FIRST AMENDMENT TO CONTRACT NUMBER C-123897BETWEEN

THE CITY OF LOS ANGELESAND

MOTOROLA SOLUTIONS, INC.

This is the FIRST AMENDMENT to Contract Number C-123897 between the City ofLos Angeles, a Municipal Corporation, "City", acting by and through the Los AngelesPolice Department, "LAPD", and Motorola Solutions, Inc., a Delaware Corporation,"Motorola" or "Contractor".

RECITALS

WHEREAS, on May 8, 2014, the LAPD and the Contractor entered into ContractNo. C-123897 ("Original Agreement") for services; and

WHEREAS, the Original Agreement, provides for amendments; and

WHEREAS, this First Amendment is necessary to provide maintenance andsupport services to the LAPD for the 9-1-1 Dispatch Geofile System.

NOW THEREFORE, the City and the Contractor agree that the Original Agreementbe amended as follows:

1. Section 3.1 — Compensation, is hereby modified as follows:

City shall pay to Contractor as compensation for complete andsatisfactory performance of the ordered services as set forth inAttachment 1, and the terms and conditions of this Agreement,the LAPD will pay the Contractor an amount not to exceed$60,000.00.

2. Ratification — Due to the need for the Contractor's services to be provided,should the Contractor provide services prior to the execution of this FirstAmendment, to the extent that such services are satisfactorily performed, thoseservices are hereby ratified.

3. In the event of an inconsistency between any of the provisions of this FirstAmendment to Contract No. C-123897, or all prior or current attachments, theinconsistency shall be resolved by giving previous attachments and/oramendments precedence in the following order:

1) First Amendment to Contract No. C-123897,2) LAPD Contract No. C-123897, and3) Standard Provisions for City Contracts (Rev. 03/09).

Except as amended by this First Amendment, all other terms and conditions of theOriginal Agreement shall remain in full force and effect.

This First Amendment includes three (3) pages and one (1) Attachment and is executedin three (3) duplicate originals, each of which is deemed to be an original. The OriginalAgreement is hereby incorporated by reference, in its entirety, into this First Amendment.

MAINTENANCE AND SUPPORT AGREEMENT 1329 TERM: 4/1/15 — 3/31/16

Geofile Maintenance DescriptionGeofile Maintenance assists LAPD with GIS data and CAD Geofile upkeep. Geofile Maintenance isprovided by the same experienced staff that accomplishes complete Geofile builds. LAPD will specifyone point of contact to Motorola Solutions for all questions and communication during this contract.

Features of Geofile Maintenancea) Addition and correction of streets, common places, and service boundariesb) Monthly routing of Geofile corrections to the LAPD CAD systemsc) Monthly generation of ATM mapsd) Monthly report provided to the Customer detailing GIS data changes

Benefits of Geofile Maintenancea) An updated Geofile promotes optimal CAD and ATM system performanceb) Eliminates the continual mapping education processc) Meets the needs of growing municipalities who cannot devote full-time resources to Geofile

maintenance

Geofile Maintenance Assumptionsa) The Geofile Maintenance Services will commence when LAPD returns the signed contract

amendment and delivers a complete file geodatabase consisting of all the CAD required dataalong with the MGU_Settings file. The services will be performed for one (1) year.

b) LAPD must supply acceptable hardcopy and/or digital source maps a minimum of 10 days prior tomonthly commencement of GIS data updates. The source maps must not have any copyrightrestrictions, and can be utilized by Motorola Solutions as an authoritative source that requires noadditional verification.

c) Motorola Solutions makes no claims to the geometric accuracy of any streets or features addedas part of the Geofile Maintenance option.

1.0 Update Street CenterlinesOn a monthly basis, Motorola Solutions will update up to 300 street segments in the GIS data. Thestreet modifications include street additions, deletions and attributes changes. New streets must besubmitted on hardcopy and/or digital maps depicting the geographic location along with the streetname and address (see the Source Maps appendix for an acceptable source map example).Motorola Solutions will also accept street attribute changes in a text file or hardcopy list where theformer attributes and new attributes are clearly represented.

In order to include requested changes in the monthly update, LAPD must respond to all MotorolaSolutions verification requests by the 15th of the month.

1.1 Motorola Solutions Responsibilitiesa) Accomplish street segment modifications based on LAPD supplied source maps.b) Check the GIS street modifications, from a CAD perspective.c) Run automated assign processes to assign the new and modified streets and intersections

to the existing boundaries.

1.2 Customer Responsibilitiesa) On a monthly basis, supply Motorola Solutions with source maps that clearly depict the

street changes.b) Answer questions and resolve any resource discrepancies that may arise during the street

modification process.c) If provided by Motorola Solutions, review street discrepancies and provide resolution for the

next update cycle.

1.3 Completion CriteriaThis task is considered complete after each monthly update cycle.

2.0 Update BoundariesOn a monthly basis, Motorola Solutions will modify up to 65 boundaries in the GIS data.Modifications include additions, deletions and attribute modifications of map layers categorized asboundaries (i.e., City, Police Fire, EMS, etc.). If a geographic or name change is made to aboundary, the streets, common places and intersections will be assigned to the new boundaryname. LAPD must submit boundary shape modifications and additions on hardcopy maps clearlydepicting the change. Attribute changes, such as the name, agency, response or message code,may be submitted in a file or a list clearly defining the former attribute along with the new attribute.

2.1 Motorola Solutions Responsibilitiesa) Accomplish boundary modifications based on LAPD supplied source maps.b) Run automated assign processes to assign the streets, intersections and common places

to the revised and new boundaries.c) If necessary, submit to the Customer a list of boundary discrepancies that require

clarification.

2.2 Customer Responsibilitiesa) Supply Motorola Solutions with source maps that clearly depict the boundary changes.b) Answer questions and resolve any resource discrepancies that may arise during the

boundary update process.c) If provided by Motorola Solutions, review boundary discrepancies and provide resolution for

the next update cycle.

2.3 Completion CriteriaThis task is considered complete after each monthly update cycle.

3.0 Update Common PlacesOn a monthly basis, Motorola Solutions will modify up to 300 common places in the GIS data.Modifications include common place additions, deletions, and attribute changes. The Customermust submit new and changed common places on hardcopy maps that clearly depict the name,address and city location. New common places will also be accepted in a CSV, XLS, commadelimited file or hardcopy list containing the common place name, valid street address and citycode. Changed common places may be submitted on hardcopy maps clearly depicting the changeor in a file or a list containing the old name, address, and city code along with the new name,address, and city code. New common places presented in a file will be compared to the streetcenterlines in order to assign a coordinate to the common place. Common places that do not matcha street Address will be returned to the LAPD for clarification.

3.1 Motorola Solutions Responsibilitiesa) Accomplish common place modifications based on LAPD-supplied source maps.b) Run automated assign processes to assign new or modified common places to boundaries.c) If required, submit to LAPD a list of common place discrepancies that require clarification.

3.2 Customer Responsibilitiesa) Submit the source maps that clearly depict the common place modifications.b) If provided by Motorola Solutions, review common place discrepancies and provide

resolution for the next update cycle.c) Answer questions and resolve any resource discrepancies that may arise during the

common place update process.

3.3 Completion CriteriaThis task is considered complete after each monthly update cycle.

4.0 Coordinate Monthly CAD UpdatesMotorola Solutions will coordinate monthly updates to the LAPD CAD system with the Customer'sGeofile System Administrator. Motorola Solutions will initiate the required MGU Processes andeither send or transfer the updated Geofile to LAPD using an expand link, RAS, or CD-ROM media.Updates are coordinated with the Customer. Once updates are applied to the CAD system, LAPDis responsible for updating the appropriate CAD parameter files based on the Geofile changes. Forinstance, if a new law dispatch zone is added to the GIS data, an entry must be made in the CADPlan File containing the associated team, area, and district information. The updates to the CADPlan File are accomplished by LAPD. Once the Geofile changes are applied to the CAD system,Motorola Solutions will review the status reports generated during the CAD update.

4.1 Motorola Solutions Responsibilitiesa) Coordinate with LAPD'S Geofile System Administrator applying the Geofile data to CAD.b) Review the MGU generated error log table for any discrepancies identified during the MGU

processes.c) Communicate service boundary changes and additions to the LAPD'S Geofile System

Administrator.

4.2 Customer Responsibilitiesa) Review CAD Spooler reports after running the refresh process on CAD.b) Accomplish required CAD Menu changes (such as, but not limited to, updating Plans,

Premise Hazard information).c) If necessary, coordinate CAD data transactions with appropriate personnel.

4.3 Completion CriteriaThis task is considered complete after each monthly update cycle.

5.0 Update Advanced Tactical MapsEach month, after the GIS data updates are accomplished, Motorola Solutions will regenerate theATM maps and submit the new maps to LAPD. LAPD'S Geofile System Administrator will distributethe updated ATM map files to each of the CAD/ATM workstations.

5.1 Motorola Solutions Responsibilitiesa) Generate updated ATM maps based on monthly LAPD supplied changes.b) If requested by LAPD, modify specified ATM map element styles, fonts, and colors.c) Supply updated ATM maps to the LAPD after each update cycle.

5.2 Customer Responsibilitiesa) Submit specific changes to the ATM maps (i.e. ATM map element styles, font, colors, layer

display, etc) in concise detail in a text based format.b) Load updated ATM maps on the ATM Configuration workstation.c) Distribute updated ATM maps to the CAD/ATM workstations using the automated ATM

map distribution feature.

5.3 Completion CriteriaThis task is considered complete after each monthly update cycle.

6.0 Create Monthly ReportAfter each monthly update cycle, Motorola Solutions will compile a report summarizing the GIS datachanges and submit the report to LAPD.

6.1 Motorola Solutions Responsibilitiesa) Generate the monthly report detailing data changes.b) Send the monthly report to LAPD.c) Review with LAPD any questions that may arise based on the monthly report review.

6.2 Customer Responsibilitiesa) Customer to review monthly reportsb) Customer to submit any questions based on the monthly report

6.3 Completion CriteriaThis task is considered complete after each monthly update cycle.
