EnDyn Profile EnDyn, (Energy Dynamics, Limited) is a specialty company that manufactures new replacement parts for Superior and Ajax engines and compressors. Our product line known as PowerParts® is sold worldwide to the many users in the gas compression and power generation industry. We are a unique company involved exclusively with providing quality PowerParts® at a competitive price and delivery with complete engineering and technical support. In addition to new replacement parts, EnDyn provides reconditioned and exchange parts and assemblies to better serve our customers requirements. Re-manufactured engines, compressors and compressor cylinders are also available and are provided upon customer request and carry a new unit warranty of one (1) year. Our multi-million dollar inventory supported by a most unique computerized inventory control system that continually monitors parts availability and production scheduling. This insures prompt response to all requests for quotations, emergency shipments and normal stock order shipments. This means faster deliveries and reduced equipment downtime. The attitude of EnDyn is pride in technical and engineering knowledge which are important requirements when manufacturing quality PowerParts®. Responsive customer service involving procurement, manufacturing, warehousing, packaging, shipping and exporting PowerParts® around the world to reduce customer loss of production time is one of our main goals. EnDyn Services EnDyn Services, founded as Oilfield Motor Service or OMS in 1947, provides services and total capabilities available to the oil and gas, drilling and power generation industry. Field service, in-house overhaul and repair, machining, compressor packaging, replacement parts and a lease compressor fleet, are some of the services available for over sixty (60) years. The repair center consists of 33,000 square feet, including engine, compressor and complete package overhaul bays, unit fabrication and packaging bays, sub-assembly repair areas supported by machine shop capabilities and an engine test stand capable of load testing Superior, Ajax, Waukesha and Caterpillar Engines up to 1600 brake horsepower. One ton fully equipped service trucks with mounted electric hoists for making heavy lifts are utilized for field service, overhaul and repair. All vehicles contain standard and special tooling and test instrumentation for performing most any field repair or trouble shooting service. The field service representatives and repair center personnel are knowledgeable in the repair and overhaul of all medium-high speed engines and compressors and are available worldwide. In-house training programs are conducted for all personnel to keep them abreast of the latest engine and compressor technology and any current development changes that may occur. Our customers are provided with the convenient and time saving service of making one phone call for all their parts and service requirements.

EnDyn Manufacturing, a division of Energy Dynamics Ltd., was incorporated in 1971. EnDyn Mfg. is a manufacturing, fabrication and general machining center that services the construction, mining, safety, medical, and oil & gas production industry. EnDyn Mfg. offers complete turn-key solutions to your machining needs, including material procurement, heat-treating, turning, milling, grinding, honing, welding, plating, assembly, packaging, and delivery. EnDyn Mfg. was founded by Monroe & Pauline Frerich, the first two employees. The company now employs 28 persons including Management, Engineering, Machinists, and Fabricators. This steady growth can be attributed to our dedication to customer needs, and determination to buy quality, technological state-of-the-art machines to produce quality products at a reasonable cost.

The manufacturing division has over twenty computerized numerically controlled (CNC) machines capable of manufacturing various engine, compressor, pump and machine parts. Every aspect is done in-house including all programming, jigs and fixtures, destructive and non-destructive testing and inspection. The welding and fabrication division provides a wide range of services including the repair of damaged components to reduce associated costs of replacement. The fabrication division specializes in structural. Registered professional engineering services, engineering drafting and consultation services on machining, welding and fabrication are additional support capabilities provided by our company.

EnDyn Mfg. prides itself on Quality Production and Customer Service from request-for-quote, to quality control of machining, to on-time delivery. A formal Quality Control program insures that all parts are produced to manufacturing specifications. Our in-house Quality Procedure Manual complies with API 6A-Q1, Mil-Q-9858A, and Mil-I-45208A.

• Outgoing - Products are priced FOB EnDyn warehouse. Freight delivered to bus stations and airports is charged at delivery cost.

and the cylinder heads • Camshaft, water pump and governor are gear driven off the crankshaft • Good reliable engine

3. SUPERIOR EQUIPMENT - PROBLEMS 6G510

• Lube oil leaks between head and block. CORRECTION: Plug block and convert to an external oil header for the

rocker arms or drill the head out for a solid pipe connection between the block and the rocker arms.

• Ensign Carburetion is obsolete. CORRECTION: Impco kits are available.

• Water leaks between head and block. CORRECTION: If cavitation exist at the grommet areas due to previous

leaks, machining is required for inserts to re-establish the sealing surface. Cylinder head torque is normally increased by 50 foot pounds for sealing.

• Cylinder head gasket leaks. CORRECTION: Increase torque by 50 foot pounds. Check cylinder liner

to block depth dimension. Excessive depth dimension will create loss of torque on the head gasket. Block inserts may be required.

• Excessive camshaft wear. CORRECTION: The cam lobe is an integral part of shaft. Wear is normally caused at start-up due to lack of lubrication or insufficient hardness of the lobe. Integral shafts can be rebuilt. Also recommend pre-lube system.

NOTE: Water pumps, cylinder heads, and manifolds can be up-dated to the latest style. Cast iron and aluminum pistons are available for the 6G-510 engines at ratios of 7 to 1 to 10 to 1.

5. GENERAL INFORMATION - 6 & 8G-825

• All the 825 series engines are equipped with bed-mounted crankshafts. It's more of an industrial design for medium speed units.

• Those naturally aspirated engines are conservatively rated and are very dependable units.

6. PROBLEMS - 6 & 8G-825

• Back-firing due to excessive carbon on the valve stem, cracked or broken valve head, or faulty ignition system.

CORRECTION: (1) Check stem to guide clearance and lube oil type. (2) Excessive grinding if the valves will remove stellite surface or extended operation of the valves is the normal cause of cracking. (3) Replace primary wiring harness as required.

• Rod and main bearing fretting due to oversize or distorted bearing housing.

CORRECTION: (1) During major overhauls, we recommend the rods be torqued without bearings and checked for distortion. Re-sizing is a normal requirement. (2) Check main bearing cap side clearance in the bedplate. Major repairs are required on older units.

• Crankshaft failures due to distortion caused by a bearing failure or mis-

alignment. CORRECTION: (1) Prelube systems are recommended for all engines. (2) Periodic inspection of bearings and alignment should be a part of preventative maintenance program. (3) Bearing sensors are an option.

NOTE: Complete update kits are available for ignition systems, ram

Energy Dynamics Ltd. (EnDyn) be-gan in 1978 in a single office andsmall warehouse in Alice, Texas,U.S.A. The original concept of thecompany was a customer-centeredbusiness focused on providing qual-ity Superior and Ajax engine andcompressor parts. Thirty years laterthe company has stayed true to itsinitial business plan, still specializingin the manufacturing of parts for theSuperior and Ajax product lines,while also evolving into a globalprovider of engineering and techni-cal expertise, service and training forall medium-speed industrial enginesand compressors.

With a 52% growth in sales overthe last five years and plans to ex-pand its Alice, Texas, facility in early

2009, the company shows no sign ofbecoming complacent.

“Our focus is on the customer,”said Kevin Downes, director of salesand marketing for EnDyn. “We relyon our customers for feedback, fordirection, for improvements, as wellas daily business. The term ‘customerservice’ or ‘service excellence’ isthrown around a lot these days, butthat is every ounce of what we do.And our employees are focused onmeeting customer requirements. Notwhat we think they might need, butwhat they require.”

“We’ve been very fortunate to main-tain our qualified, experienced staff,”said Tracy Little, president of EnDyn.“If you look around at the people inkey positions within our company,they’ve been around a long time. It’snot like some companies in this busi-ness where turnover is continuousand a company finds themselves re-training people weekly or monthly.We’ve got people in place that knowwhat they are doing and I think thecustomer gets a lot of confidencefrom that experience.”

EnDyn utilizes a global network ofagents, representatives and distribu-tors and currently has a presence inover 26 countries.

“From the very beginning, EnDynhas concentrated on internationalmarkets. In the first 10 years ofEnDyn’s existence, its primary marketwas North and South America,” saidLittle. “A large percentage of the effortwas servicing those markets. Then wegrew into Middle East, and thenEurope and Africa. In the last 10 yearswe’ve expanded into China andSoutheast Asia.”

EnDyn divides itself into three divi-sions: Parts, Service and Manufacturing.

which are trademarks of Cameron. Additionally, EnDyn isthe sole South American representative for all Altronic Inc.ignition and control products. The parts division includessales, engineering, quality control, purchasing, inventorycontrol and technical training.

“We promote ourselves as a 100% parts supplier for theAjax and Superior product lines,” said Downes. “Whateverthe customer needs, we are a one-stop shop for thoseproduct lines.”

EnDyn offers new parts for Superior and Ajax enginesand compressors — manufactured in-house. Its productline, known as PowerParts, is sold worldwide to users inthe oil, gas and power generation industries. Additionally,EnDyn provides remanufactured, exchange and used as-semblies and parts, including complete engines and com-pressors. PowerParts are distributed throughout the UnitedStates, Canada, South America, Europe, Middle East, Asia,Africa and Australia. The company sells direct to the enduser and through strategically located stocking distributorsand representative agencies. Complete support is providedto all sales and marketing outlets from the corporate head-quarters in Alice, Texas.

“It is important to point out that EnDyn continues to per-form developmental work on this legacy equipment,” saidLittle. “We are active in doing R&D work on the Superiorand Ajax equipment and are continually bringing new prod-ucts to the marketplace. We feel that we do a pretty goodjob of listening to our customers about reliability issues andopportunities for improvement and take those to our engi-neering department. Within the last few years, we’ve spentmore than US$1.3 million on patterns and tooling alone.”

EnDyn maintains a multimillion-dollar inventory sup-ported by a computerized inventory control system, whichcontinually monitors parts availability, production schedul-ing and stock levels. Included in this inventory is EnDyn’scustomized Just-In-Time overhaul, preventive maintenanceand upgrade kits for the Ajax and Superior product lines.

“On a daily basis we deal with international purchasingagents who have limited equipment knowledge,” said Little.

“They know part numbers and they know quantities butdeliveries in the international market has always been achallenge. You can’t just walk across the street to get whatyou need. So the customer fills their warehouses with parts,in overstocked quantities, to keep the equipment running.They could have enough parts in stock to overhaul everyengine in their fleet. But on an annual overhaul schedule,they might only overhaul one or two units. As customersgo through an overhaul cycle, they build up their inventoryon individual line items. They maintain that high levelthroughout non-overhaul cycles so they have excess inven-tory. Our Just-In-Time Overhaul and Maintenance Kits bringall those parts together so that the customer knows what isbeing used for a major overhaul and doesn’t skew their in-ventory minimums and maximums. We customize the kitsto the customer’s needs and the type of overhaul. The ideais that within one or two crates is everything they need.This way, they don’t have to purchase 500 line items, stock500 line items and pull those 500 line items before an over-haul only to learn that you still need two pistons, for exam-ple. With our JIT Overhaul Kits, everything comes in onepackage. With this approach, the customer can reduce theirinventory considerably.”

The Service Division of EnDyn provides technical ser-vices and repackaging for the natural gas gathering, trans-mission and power generation industries. Field service, in-house overhaul and repair, reconditioning, machining,compressor repackaging, replacement parts and a leasecompressor fleet are among the services offered.

“Because we are a service shop, we work on all typesof equipment,” said Downes. “Customers may have aChicago Pneumatic, or an Ariel, or Ingersoll Rand. Ourexpertise and order of priority is Superior and Ajax en-gines and compressors, but we have the knowledge andexperience to work on all medium-speed industrial en-gines and compressors.

“Our warranty is very competitive within the industry,”added Downes. “Our new parts warranty is two years. Ourremanufactured equipment comes with a one-year war-ranty. The way that we remanufacture the equipment al-lows us to substantiate that warranty.”

“One of the things that is unique about having equipmentreconditioned by a company like EnDyn — our core busi-ness is the manufacture of new parts, we don’t deviate to adifferent inspection program when it is a reconditionedcomponent,” said Jack McMonagle, EnDyn’s vice president

of operations. “A crankshaft that has been reconditionedcomes in the same door as a new crankshaft and goesthrough the same inspection process as the new one. That isthe reason we use the term ‘zero hour recondition.’ Everycomponent we remanufacture has been inspected to ‘newpart’ criteria.”

EnDyn’s Alice, Texas, repair center is a 33,000 sq.ft. (3066m2) facility that includes overhaul/repair bays, sub-assemblyrepair shops, unit fabrication/packaging bays and a fullyequipped machine shop. The repair center also contains anengine test stand capable of load testing Superior, Ajax,Waukesha and Caterpillar engines up to 1600 brake horse-power.

“Not only do we remanufacture engines, but each engine isload tested on our water brake dynamometer,” saidMcMonagle. “We load test our engines to ensure a quality re-build so they are ready to go when they hit the field.”

The company added its machining division in 2001 withthe acquisition of Monroe Industries, now named EnDynManufacturing. Located in San Antonio, Texas, the 22,500sq.ft. (2090 m2) facility is a manufacturing, fabrication andgeneral machining center that services the construction, min-ing, safety, medical, and oil and gas production industry.Equipped with 20 CNC machines and 10 manual machiningcenters, the machine shop offers complete turnkey solutionsto machining needs, including material procurement, heat-treating, turning, milling, grinding, honing, welding, plating,assembly, packaging and delivery.

Little, one of the original founders of EnDyn, has wit-nessed many changes within the industry over the last 30years.

“When we first started, it was a highly competitive mar-ket,” said Little. “Competition was great for the customersand good for the business in general. As we went throughthe ’80s and ’90s things changed. In the ’80s the oil and

gas industry went down quite a bit. EnDynwas more involved with the production sideof the business, gas gathering and gas trans-mission, which is more stable than drilling.When we got into the late ’90s, we saw lotsof consolidation, we saw entire companiesand equipment disappear. The concernwe’ve had is the fixed population of en-gines that we are servicing and the fixedpopulation of customers. We continue toexpand our products and services, takingsteps to continue to increase sales. Fromour standpoint, we’ve been very successfulwhile maintaining ourselves as a small, family-type operation.”The biggest challenge facing the industry to-day, in Little’s opinion, is locating and keep-ing personnel. “I’ve never seen it this badbefore,” said Little. “It has become very diffi-cult to recruit personnel into the oil and gasindustry, whether its technicians or manage-ment. We conduct training programs world-wide. Our customers are having the sameproblem we are, finding additional person-

nel, especially on the technical and mechanical side. Thereis a wave of young, inexperienced folks in our industrythat are hungry for information. We are interested in teach-ing folks what we know about equipment from an opera-tion and maintenance standpoint. We offer a formalizedprogram that often turns into a roundtable discussion de-pending on the interaction of the students. There’s very lit-tle, if any, marketing going on. These are purely opera-tional and maintenance training programs. When we havethe opportunity to conduct a training program, we are in-troducing ourselves to more potential customers. Whenyou know what you are talking about and know what youare teaching, it builds confidence within the customer’smind and, in turn, he might give you the opportunity to dobusiness with them.” n

QUALITY

POLICY Quality PowerParts® is the item of primary focus at EnDyn. We provide superior quality products and service to our customers. We realize that competitive pricing is important but it will be superior quality and service which will be the main factors in our evaluation by customers. We are not satisfied with quality which is only equal to the O.E.M. or other competitors. We realize that the O.E.M. has stated to many customers that repairs and fixes are standard procedures but we cannot and will not so state. We know that quality contributes to the bottom line of both EnDyn and the customer because it costs less to do the job right the first time around. The Quality Assurance Manager at EnDyn is totally responsible for Q-C/Q-A and delegates a portion of his responsibility to receiving and final inspections. APPROVAL Our quality control procedures are ISO-Q9001-2008 qualified and have been approved by the "Independent Quality Evaluation Firm of Robert W. Hunt" and the "United States Government". In addition our manufacturing entity is ISO-Q9001-2008 qualified and an approved API 6A-Q1 facility. SPECIFICATIONS A. Part Standard Specifications firstly include all applicable standards for the type of part. Currently

EnDyn’s part standards include ASME, ASTM, ANSI, SAE, U.S. Military/Federal, API and British standards for items not covered by United States standards.

B. Material Standard Specifications secondly include all applicable standards for the part material and required

heat treat and hardness. Current EnDyn material standards include ASTM, AISI, and SAE-AMS. Samples from castings and forgings are analyzed both chemically and physically and a material report is approved prior to machining. Critical parts have stamped heat codes which are traceable to the material report.

C. Drawings Specifications thirdly include a specific drawing for the part casting/forging. A separate

drawing for the part machining covers all physical dimensions, surface finishes, tolerances, special wear surface coatings and preservation requirements.

Material Class

B. Material The first stage of quality control and assurance is EnDyn’s approval of material as

compared to set applicable standards. C. Vendor The second stage of quality control and assurances is at the vendor level. The vendor

submits, along with the finished part, a tabulation of all the design and actual major standard and tolerances dimensions.

D. EnDyn The third stage of quality control and assurance is at EnDyn. Parts are inspected based on

their designated classification prior to payment of vendors invoices. This inspection on new PowerParts® includes (a) assurance of meeting part standard specification, (b) dissecting part to check pattern for core shifts, wall thickness and rechecking material standard through an independent laboratory analysis and (c) assurance of meeting drawing specifications. Parts which do not meet all specifications are rejected.

PROCEDURE - CONT'D. D. EnDyn (Cont’d.) In the event of disclosed discrepancies of Class IIB and III PowerParts® which require

inspection of less than 100%, the disclosed discrepancies are to be 100% inspected on the entire manufactured lot.

CONSUMER Obviously, the customer is the final judge of our product quality. PowerParts® are stamped and labeled with EnDyn’s name and part number so there will be no question as to who furnished each part before and after the part is placed into its intended service. WARRANTY EnDyn stands behind the quality of PowerParts® by a clearly stated no nonsense warranty printed on the back of each dated packing slip and invoice which in practice exceeds the warranty of the OEM and other competitors. A. New Class I parts are furnished through world wide vendors which are leaders in the

engine/compressor industry and the vendors warranty is passed through EnDyn to our customers. The warranty on Class I parts is normally one year.

Class II and III parts are manufactured PowerParts® for a specific engine/compressor

model with a warranty of two years. B. Reconditioned/Exchange Reconditioned and exchange PowerParts® are re-manufactured to the same specifications

and inspected by the same procedure as new PowerParts®. Reconditioned/exchange parts carry a warranty of one year.

C. Used Used parts are sold "As Is" and full credit is issued if part does not meet the stated and/or

intended purpose

PowerParts® are manufactured to specifications which meet or exceed the OEM's

specifications. PowerParts® specifications include all applicable standards under ASME, ASTM, ANSI, SAE, U.S. Military/Federal, API and British standards. Materials also equal or exceed OEM requirements. In addition PowerParts® materials meet all applicable standards under ASTM, AISI, and SAE-AMS. All common vendor type items are manufactured by the same supplier as the OEM.

Our quality control program and control procedures have been approved by the

"Independent Quality Evaluation Firm of Robert W. Hunt", "B.I.E. International" and the "United States Government".

EnDyn realizes that competitive pricing and delivery is important but it will be superior

quality and service which will be the main factors in our evaluation by Customers. We are not satisfied with quality which is only equal to the OEM or other competitors. We know that quality contributes to the bottom line of both EnDyn and our Customers because it cost less to do the job right the first time.

Our Quality Assurance Program includes a Partnership Program with our major vendors

and is being expanded to include our major customers. Our Terms and Conditions reflect our commitment to our Quality Assurance Program. The Warranty Policy included in our Terms and Conditions exceeds any of those offered in

the engine and compressor industry. Our Warranty Policy exceeds the OEM by two fold in every category. in addition all Complaints are either answered or a commitment will be made as to when we will answer within 60 minutes of the time we receive the complaint.

2. DEADLINES Customers expect EnDyn to meet their committed deadlines and our Quality Service

Program is set-up to do just that: Quotations are delivered 95% (minimum) on time. We track date received, date due and

date sent with custom designed software systems. Delivery is also 95% (minimum) on time as compared to the Engine and Compressor

Industry actual of 72% (average on time). We track date order is received, date acknowledged, date of committed delivery and date shipped. Back-orders are tracked by commitment date with follow-up on a weekly basis.

PowerParts® are shipped from a modern parts and machining facility dedicated only to

complete coverage of PowerParts® for the aftermarket. EnDyn ships before others can enter a Customer's order into their system. Twenty-four hour, seven days a week delivery of quality parts is the major factor associated with our success. Over 35,000 line items representing over U.S. $ 10 million is located in our Alice, Texas, warehouse inventory and an additional U.S.$ 5 million in our distributor network. Over 90% of a Customer's normal usage parts are stock items and are available for same day delivery.

High usage items are shipped from our territorial Distributor's inventory. Back-up inventory

is stocked at EnDyn’s Domestic and International Distributor Network. 3. PRICING EnDyn’s prices each item based on actual cost rather than across the board price

increases. Volume purchases from our partner Vendors maintain or reduce our prices. EnDyn has no Class 1 or "Emergency Breakdown" percent adders. Emergency orders are

shipped the same day of receipt of order by phone or fax without the requirement of a formal purchase order. In addition, Export Boxing is included in the price for critical items such as crankshafts, bedplates, cylinder blocks, etc.

Based on our successful experience of receiving blanket orders for three (3) of the top five

(5) users in the world, our prices represent a minimum net savings to Customers of over 15%.

Prices are reviewed quarterly with price additions and changes mailed to Distributors and

BPO customers.

operation, availability of equipment and total dollars per horsepower per year costs; (B) employees knowledge of the product from both a technical and practical standpoint; (C) competent local representation for a direct communication channel to the Customers' field personnel. EnDyn meets all these requirements.

Since 1977 we have averaged twenty (20) training seminars per year covering Governors,

Injection, Machining, Balance, Alignment, Maintenance and Operation, Maintenance Costs and Unit Availability at no charge to customers around the world. Seminars are conducted by Tracy Little, Mike Labbe, Jim Stewart, Jack McMonagle, Mike Cochran and Kevin Downes. We are proud of the fact that our training, exchange assemblies, reconditioning and repair, and direct field communications through our Distributors have contributed to a continuous improvement in equipment availability and reduced maintenance costs.

Tech support at EnDyn starts with our Technical Data for the applicable engine and

compressors furnished to our Distributors. This is supplemented by quarterly Product Bulletins and quarterly Technical Bulletins.

Many of these bulletins are the direct result of our Research and Development Program to:

(A) solve specific problems and (B) offer our Customers conversion kits to update existing equipment to the latest design. EnDyn utilizes an engine test dynamotor for continuous Research and Development.

5. COMMUNICATIONS No Quality Service Program is complete without specific goals on the improvement of

communications. The front line of our customer communication link is through our local Distributor. (Secondly, EnDyn (Alice) returns all calls (Domestic and International) within 60 minutes. EnDyn acknowledges all International faxes within 8 hours with an answer or the date we will have an answer. EnDyn has specific targets on the minimum times per year we visit Distributors, Agents, Representatives, Vendors and most importantly our Customers. EnDyn’s product trademark, PowerParts®, has been granted registration on the Principle Register of the United States Patent and Trademark Office. A copy of our certificate of registration number 1627985 is attached for your review. EnDyn manufactures PowerParts® for stationary SUPERIOR-AJAX gas and diesel/dual fuel engines and reciprocating gas. All PowerParts® are stamped with EnDyn’s part number for identification and traceability purposes. PowerParts® for SUPERIOR-AJAX engines and compressors are synonymous with Quality.

TERMS AND CONDITIONS OF SALE All goods are shipped per these terms and conditions of sale. Agreement is effective and binding when goods have been shipped or services completed, with or without Buyer/Purchaser acceptance or notice. Accounts owed are due and payable to Seller at the address and currency shown on the invoice. Buyer acknowledges receipt of this invoice, and Purchaser agrees to pay for goods. In the event of conflict, the terms and conditions of this agreement shall govern, with the rights of parties governed by the laws of the State or Territory shown on the invoice. All oral agreements or understandings are superseded hereby. 1. DEFINITIONS A. "Purchaser" means person, firm, or Corporation to whom invoice is addressed and unless otherwise indicated is

obligated to pay, keep and perform the obligations under this agreement. B. "Buyer" means agent employee or representative of purchaser with authority to bind Purchaser. C. "Seller" means EnDyn. D. "Goods" means parts, articles, materials, supplies, services, data, labor or other property described on invoice. 2. PRICES A. Quoted prices are firm for quoted duration. B. Prices for "Non-quoted Orders" are those in effect on date of shipment and is the price agreed to be paid for

goods ordered and shipped without formal Quoted Prices. C. Prices do not include sales, use, excise or similar taxes. D. Quotations indicate point of shipment or delivery point. E. Non-quoted orders are F.O.B. point of shipment. F. Prices are subject to change without notice except as to formal orders for which Quoted Price duration is

applicable. G. Seller reserves the right to correct typographical errors. 3. DELIVERY A. It is understood by Seller that prompt delivery is important. B. Delivery dates, however, may require being extended due to design changes, factory conditions, reasonable or

excusable (beyond Sellers control) delays. 4. PAYMENT A. Payment is due in invoiced currency upon receipt of invoice. B. Delivery by Seller to a carrier constitutes delivery to Purchaser. Purchaser or Purchaser's representatives

signature on carriers delivery tickets constitutes a security agreement and Seller retains a purchase money security interest and lien to secure payment of all amounts owing under this invoice, until paid.

C. Seller retains title to goods until payment is received. D. Past due accounts will bear interest at the highest non-usurious rate allowed by law until paid. 5. WARRANTY - Seller warrants new goods of it's manufacture with approved installation for two years from date of

delivery and services for six months from the date of performance against defects in material or workmanship. Seller warrants repair and return, overhaul or unit exchange goods for one year from delivery date. Warranties of goods made of other manufacture are assigned to Purchaser by delivery. Seller's obligation is one of the following options, viz:

A. Replacement of goods with then in effect design, B. Repair of goods returned (all freight by purchaser), or C. Refund purchase price. Seller shall have no obligation if goods become defective as a result of Purchaser's improper installation,

maintenance or operation which is not in compliance with industry standard procedures and specifications and which is not within the performance range of the specific product. If Seller's option is unacceptable to Purchaser, Purchaser is obligated to choose the option which is fair to both the Seller and Purchaser. Except as stated in this agreement there are no promises, implied warranties, or oral agreements.

6. DAMAGES

A. In no event will Seller be liable for consequential or incidental damages, loss of equipment use, or loss of anticipated profits.

This limitation applies to goods delivered, failure of goods, or delivery delays. B. Claims under this agreement must be submitted to Seller within the above

stated warranty time for the specific goods.

The attached:

1. Outlines the parts covered in a simplified listing, 2. Clarifies our warranty, 3. Sets our internal policy to make sure the customer get the IDS Sheets with the

parts and assemblies and, 4. Modifies the IDS sheets so we can get only the basic data we require.

Our goal has not changed, it’s simply to try to make sure PowerParts® are properly installed and that they operate in the intended environment (for all mutual benefits). We encourage each of you to communicate the above and ensure attached gets to each of your customers. Since July 1,1996 EnDyn requires the IDS sheets prior to a return goods for/or warranty consideration is an applicable EnDyn approved IDS sheet on the part or assembly.
