Piper Jaffray 2011 Community Leadership Report

Page 3: Community Annual Report 2011

dear community colleague:

In 2011, Piper Jaffray experienced a challenging operating environment, with effects from the European debt crisis, slow economic recovery in the U.S. and a sluggish economy in China. Even though the economy is slowly improving, business volumes—for us and the industry—continue below historical norms. Despite lower revenue levels, we are focused on improving our financial performance and have reduced costs across the board.

Within this context, we continued to support key nonprofit partners in important work helping our communities connect to opportunity. We recognize their daily dedication to improving the lives of those in need and engaging in the hard work of improving our communities for each of us to enjoy. This is an inspiration and we thank you.

I also recognize the many Piper Jaffray employees who supply expertise, enthusiasm and dollars to so many worthwhile community

efforts. We support these efforts through Matching Gifts and our Volunteer and Community Leader Programs.

Despite a lot of change around us, our firm remains grounded in our guiding principles, which include “contributing our talents and resources to serve the communities in which we live and work.” We believe it is the right thing to do. I proudly invite you to review this report and learn more about the positive impact made by Piper Jaffray and its community grantees and partners in 2011.

Sincerely,

Andrew S. Duff Chairman and CEO

History and Overview

A History of Community Leadership Throughout our history, we have maintained a commitment to solidly rooted core values, which is key to our firm’s long-term sustainability. Modeled by our founders in the late 19th century and embraced by our managers and employees today, these values include industry leadership and community partnership. Our values guide us and help us make a positive impact.

We remain committed to our clients, our shareholders, our colleagues and the communities where we do business. This community leadership commitment further supports our firm mission to build a leading international middle market investment bank and institutional securities firm. Piper Jaffray contributed more than 5 % of its pre-tax earnings to the community as a founding member of the Minnesota Keystone Program, a voluntary initiative founded more than 35 years ago which promotes corporate support for communities. That has translated into more than $11 million in community contributions and more than $2.5 million in employee volunteer hours in the past five years alone.

Across the globe, Piper Jaffray employees implement vital volunteerism and fundraising projects that increase engagement, knit the firm more deeply into local communities and directly impact the lives of others.

History For more than a century, Piper Jaffray has been evolving as a leading financial services company. We pride ourselves on listening carefully to our clients, daring to innovate, and adapting to marketplace trends.

Other Priorities:

Innovative health programs that develop and track new techniques and advances in children’s chronic health concerns

Umbrella programs that support innovation and entrepreneurship to leverage environmental opportunities.

Once again, the Piper Jaffray sponsorship

of Youth, I.N.C.’s Trading Day for Kids

brought big benefits to at-risk youth in

New York City. The two organizations

partnered for a third year to encourage

institutional investors to trade with Piper

Jaffray, which agreed to donate commissions

from designated equity trades to the charity.

On Oct. 20, 2011, $1.1 million was raised

through Trading Day — adding to a three-

year total contribution of nearly $4 million.

“I want to thank Piper Jaffray for their incredible support and unwavering commitment to the Trading Day effort,” said Steve Orr, executive director and founder of Youth, I.N.C. “Your unparalleled leadership and ongoing dedication to New York City youth has helped provide invaluable resources to this organization.”

“It has been an honor and a privilege to partner with Youth, I.N.C.,” said Tom Schnettler, vice chairman of Piper Jaffray. “The roster of nonprofits that Youth, I.N.C.

supports represents a talented and deserving pool of organizations that are truly impacting the children they serve. We are pleased to have contributed significantly to their innovative efforts in improving kids’ lives.”

In conjunction with Trading Day, Piper Jaffray hosted “Mentor Day for Kids” at its New York office for 20 high school students from three of Youth, I.N.C.’s partner nonprofits including CampInteractive, The Fiver Children’s Foundation and Trail Blazers. Students learned about the financial services industry and the firm’s day-to-day business activities. On Oct. 20, representatives from Youth, I.N.C.’s partner nonprofits along with Piper Jaffray traders and executives celebrated the day at NASDAq Stock Market’s closing bell ceremony.

Through the use of a unique venture philanthropy model that empowers, develops and educates youth organizations, Youth, I.N.C. guides grassroots nonprofits toward sustainable growth resulting in more lives changed. Since inception, Youth, I.N.C. has raised $37 million for youth, empowered nearly 100 nonprofits and impacted the lives of 600,000 youth.

From Tortillas to Landscapes: CRF Helps Boost Neighborhoods Through Small Business Development For more than 20 years, Community Reinvestment Fund, USA (CRF) has been creating good jobs and supporting small businesses in disadvantaged communities in Minnesota and across the country. CRF supplies capital to local community development lenders—financial institutions, socially motivated investors and accredited individuals—so they can grow small businesses, create and preserve jobs, develop community facilities, increase affordable housing and more. A 2011 grant from Piper Jaffray helped support grassroots CRF projects such as:

Tortilleria La Perla — Small business owners, José and Noemi Payan, struggled to make ends meet for their growing family while working in low-paying jobs. They saw a need for fresh corn tortillas in Minneapolis where the Latino population was growing and thus began their business. Upon finding a delicious, authentic recipe, José quit his job and set out sampling and promoting their product to local businesses; as demand grew, Noemi also quit her job. When their thriving operation needed new space and equipment to produce several hundred tortillas an hour, they did not qualify for traditional financing. The cost—about $500,000—was also significantly above a typical microloan. CRF and its lending partner, the City

of Minneapolis Department of Community Planning and Economic Development, lent the Payans what they needed to expand. They now have three locations, a fleet of delivery trucks and about 50 employees. They sell more tortillas than anyone else in the city of Minneapolis and their delicious products are available in restaurants, grocers and large wholesalers throughout Minnesota.

Phillips Gardens, Inc. — Ed Burke, a landscape designer with a commitment to his disadvantaged neighborhood of Phillips in Minneapolis, wanted to build a landscape design business on the site of an abandoned gas station. The street corner was a haven for drug dealers and prostitutes, unsafe for passersby from the neighborhood. Conventional lenders were unwilling to lend Burke all the money needed to complete environmental cleanup and build his business in such a risky location. CRF and the City of Minneapolis provided a $62,000 New Markets Tax Credit loan, his bank loaned him $76,000 and Burke contributed $15,000 of his own money. Today, the former crime hotspot has been eliminated and replaced with this thriving business, which employs 20 people and helps anchor the neighborhood.

“Our continuing partnership with Piper Jaffray has allowed us to bring financing to capital-starved small businesses in neighborhoods that need it the most,” said Frank Altman, president and chief executive officer for CRF. “I applaud their commitment to investing in the economic development of underserved communities and value the work we do together.”

Funding Retirement: A Complex Issue Is Illuminated by the Center for Retirement Research at Boston College

Funding retirement is a pressing national concern

in the United States. Due to big changes in the

retirement landscape—lower Social Security

benefits relative to pre-retirement earnings, a

shift from pensions to 401(k)s, persistently low

household savings rates, longer lifespans, rising

out-of-pocket healthcare costs and a difficult

economy—many households are at risk of failing

to maintain their standard of living in retirement.

Many businesses and organizations who serve

these households also have much at stake.

The Center for Retirement Research at Boston College is at the forefront of providing crucial first-class research and information dissemination about key issues affecting retirement for Americans—including Social Security, employer-sponsored pensions, annuities and asset decumulation, retiree health costs and labor force trends among older workers.

The center’s Issues in Brief program, partially funded by Piper Jaffray and its subsidiary, Advisory Reasearch,

Helping Communities Connect to Opportunity | 9

Inc., as part of their economic education focus, is a cornerstone vehicle for timely and widespread distribution of its research findings to the corporate and policy communities, media and general public. The bi-weekly publication is written for a lay audience and widely distributed through e-mail, traditional and social media, partner organizations and the center’s website.

“The work at the Center for Retirement Research at Boston College meets a crucial community need right now,” stresses Brien O’Brien, head of asset management at Piper Jaffray and CEO of Advisory Research, Inc. “The center has earned a reputation as a trusted and independent source of information on retirement issues; we are proud that our grant funds allow the center to be flexible and nimble in responding to changing events via up-to-date coverage in Issues in Brief.”

“The Briefs allow for us to bring key insights from academic research to a broad audience,” added Alicia H. Munnell, director of the Center for Retirement Research at Boston College. “Our intent is to help untangle the complexities of the retirement security challenge and offer practical insights that policymakers and individuals can use. We are delighted to have Piper Jaffray’s support in this effort, which is a critical part of our mission.”

Women’s Foundation of Minnesota Minneapolis/Saint Paul, Minn.

The Women’s Foundation of Minnesota’s girlsBEST (girls Building Economic Success Together) Fund is designed to increase the future economic well-being of the state’s girls through five program tracks, including Academics, which encourages post-secondary education, and Entrepreneurial, which mentors and supports girls in business planning and development. By supporting these program tracks, Piper Jaffray helps improve high school graduation rates and post-secondary enrollment rates. Program participants also experience lower rates of teen pregnancy and improved self-esteem and leadership skills. girlsBEST has served more than 6,000 girls since its founding in 2002; the majority of participants are girls of color from low-income families. The Women’s Foundation of Minnesota has been a force for social change and equality since it was founded in 1983. Today, it is the state’s only community foundation dedicated exclusively to achieving economic, political and social equality for all of the state’s women and girls through grant making, fundraising, capacity building, research and public policy.

MAP for Nonprofits Minneapolis/Saint Paul, Minn. This unique 33-year-old organization is a leading resource for management consultation and board recruitment for Twin Cities’ area nonprofits. MAP for Nonprofits helps strengthen the effectiveness of the nonprofit community by providing services to more than 500 nonprofits annually. Sixty percent of clients provide much-needed health and human services to the community. Other organizations served include those addressing the environment, education and the arts. In a continued tough economy, nonprofits rely on MAP for help

with strategic thinking about their choices, help with financial analysis of their programs and help with exploration of mergers and other realignments. MAP’s “backroom services” (i.e., accounting, technology support, legal, etc.) provide an affordable option for containing administrative costs. MAP also trains more than 1,000 people each year in nonprofit board governance through its “Board Boot Camps” and other resources. MAP’s contribution to effective management of the nonprofit sector is a foundational investment in the community supported by Piper Jaffray.

Metropolitan Economic Development Agency (MEDA) Minneapolis/Saint Paul, Minn. This organization was founded in 1971 by business executives to help narrow the gap of racial economic disparity through business ownership. Since then, MEDA has helped start more than 470 businesses and has assisted more than 18,500 entrepreneurs of color to succeed. In 2011, Piper Jaffray received MEDA’s Corporation of the Year Award for more than 40 years of consecutive contributions and support. With the assistance of Piper Jaffray volunteers and grant funds, MEDA in 2011 continued to offer core services of business consulting, training, mentoring, leadership development, government contracting assistance and access to financing—leading to the creation or preservation of more than 111 jobs with average wages of $20 per hour. From one-person shops to larger growing firms that employ hundreds, a wide spectrum of business owners receive support. All benefit from help in building strong business plans and obtaining financing as needed. MEDA’s assisted start-ups have a four-year survival rate of 76 %, nearly twice that of the Small Business Administration statistic of 44 %.

BestPrep Minneapolis/Saint Paul, Minn.

Piper Jaffray has supported this organization for more than 30 years. BestPrep prepares Minnesota students with business, career and financial literacy skills through experiences that inspire success in work and life. In 2011, the firm’s grant supported 76 Twin Cities Piper Jaffray employee-mentee relationships with Richfield High School via BestPrep’s popular eMentors volunteer program. It combines technology with mentoring to create unique learning experiences for students, business volunteers and teachers. The grant also supported BestPrep’s Minnesota Business Venture, a summer business camp for high school students. In addition, Piper Jaffray was a sponsor of BestPrep’s Educational Forum featuring Fareed Zakaria, a world expert on U.S. and global affairs. The forum was attended by 600 community leaders and students.

Arizona Council on Economic Education Scottsdale, Ariz.

ACEE prepares teachers to help Arizona students develop economic reasoning and analytical skills which they can use to understand the U.S. and global economies and their lives as consumers, savers, investors, workers, citizens and economic participants. A Piper Jaffray grant supported teacher workshops and in-services, designed to help students develop related thinking and problem-solving skills. The grant specifically helped provide curriculum for teachers’

education that can be used to lead hands-on activities and lessons in the classroom that make economics fun and engaging.

Science Museum of Minnesota Saint Paul, Minn.

The museum focuses on programs to improve quality STEM (science, technology, engineering and mathematics) education and appreciation. A major focus for the institution is improving pre-school through high school STEM education by supporting both teachers and students. A grant from Piper Jaffray supported Science House—a vibrant, professional home for Minnesota’s science teachers and STEM educators—where teachers can obtain the best in hands-on classroom science materials and support, engage in consultation with science experts, enjoy a full range of technology resources and discuss education issues with colleagues. This unique resource is a leader in professional development and, through the District Science Leadership Nexus program, helps school districts implement the state’s academic standards in science. More than 1,500 patrons use Science House each year, logging more than 10,000 hours with participants (educators) which leads to more than 150,000 hours during which students use Science House materials.

Guthrie Theater Minneapolis/Saint Paul, Minn.

The Guthrie Theater, founded in 1963, is a world-renowned American center for theater performance, production, education and professional training. By presenting both classical literature and new work, the Guthrie’s mission is to illuminate the common humanity connecting Minnesota to the peoples of the world. In 2011, Piper Jaffray supported this longstanding community partner through a three-month sponsorship of its Kitchak Lounge—a hospitality suite for Tyrone Guthrie Circle members and other distinguished guests. The interior of the lounge, designed by acclaimed French architect, Jean Nouvel, features floor-to-ceiling windows offering a spectacular view of the Mississippi River’s St. Anthony Falls. The sponsorship provided key support during the theater’s 2011 fall line-up, which included William Shakespeare’s Much Ado About Nothing.

Kauffman Center for the Performing Arts Kansas City, Mo.

This new regional performing arts center hosts a wide range of artists and performances from around the world reflecting classical, pop and jazz music, ballet and contemporary dance, musicals, lectures and more. It is also now the performance home of the Kansas City Ballet, Kansas City Symphony and the Lyric Opera of Kansas City. The center will host touring dance companies, Broadway musicals and traditional folk artists from around the world. Piper Jaffray sponsorship supports Kauffman’s entire mission, which includes

an educational program called Open Doors that will provide access to high quality arts programs for youth throughout the Kansas City metropolitan area. Through the Open Doors Transportation Fund and the Open Doors Ticket program, the Kauffman Center is already impacting the lives of local youth in its early days of operation.

Walker Arts Center Minneapolis/Saint Paul, Minn.

In 2011, Piper Jaffray was a Benefactor Level corporate member of one of the most-visited contemporary art centers in the United States. This core support helped undergird various events and programs, engaging nearly 600,000 Walker visitors. These included more than 1,400 presentations in the visual, performing, design and media arts, and an array of outreach and educational programs. Commissions, residencies and premieres supported emerging and master artists alike from Minnesota and across the world, while dedicated programs helped teens, preschoolers, schoolchildren, families and adults explore the art and issues of today. With the support of Piper Jaffray, the Walker was also able to maintain more than 170 community partnerships, making it a vital cultural catalyst.

Marathon Tradition Sprints On: Water Stop Community Spirit Rallies Volunteers and Runners

On Sunday, Oct. 2, 2011, nearly 75 Piper Jaffray employees and their families continued an annual tradition by volunteering to hand out water and cheer on runners at the Medtronic Twin Cities Marathon Mile 24 water stop, also sponsored by the firm. Located on historic Summit Avenue in Saint Paul, Minn., the stop featured Piper Jaffray t-shirts and banners as marathoners and 10-mile runners got motivated to cross the finish line nearby. “It’s great to have Piper Jaffray be a part of this highly visible community event,” said Steve Proeschel, head of Piper Jaffray healthcare public finance. “The Mile 24 stop would not have been possible without the many dedicated Piper Jaffray volunteers and their families who provide great energy and enthusiasm to this terrific community event.” The crew also enthusiastically cheered on several colleagues running the race that day. The Medtronic Twin Cities Marathon, in its 30th year, has been described as “the most beautiful urban marathon in America,” and annually attracts more than 18,000 runners from across the globe.

Employees Donate Time to Address Hunger Through Catholic Charities and Meals On Wheels

Several months a year, a dedicated team of Piper Jaffray employees visit Catholic Charities of St. Paul and Minneapolis’s Opportunity Center located near downtown Minneapolis to serve lunch to the homeless. The center provides a place for those experiencing homelessness to connect with many resources and move toward self-sufficiency. About a dozen Piper Jaffray employees consistently volunteer here, including Deb Anthony, senior business analyst in equity sales and trading. “It is so rewarding to know that you’re nourishing people with both food and a warm connection,” she said. “These people are down on their luck yet they are very appreciative of volunteers taking time out of their day to spend with them. It’s phenomenal what Catholic Charities does and the staff is wonderful. This experience really puts life in perspective.”

Another Piper Jaffray volunteer group, led by Lori Bilderback, vice president in IT services, and Nancy Fugina, corporate counsel, delivers nutritious meals to seniors and disabled and ill individuals through Metro Meals on Wheels in Minneapolis. “Providing clients with essential social connections is as important as

bringing a hot meal,” stressed Bilderback. “Our work helps people stay in their homes and caring human contact helps their well-being.” Meals on Wheels conducted a survey of its clients and 40 % of the respondents said the meal delivery volunteer is the only person they see on an average day. Forty-eight percent of respondents indicated the meal was the only food they eat in a day. The group of Piper Jaffray volunteers delivers about 300 meals annually to those in need.

Annual Employee Giving Campaign Boosts Community Supports

At Piper Jaffray, employees pool the strength of their financial commitment and make a positive impact in the community through workplace giving. The firm-wide employee giving campaign further supports the company’s commitment to improving the quality of life in the regions where we live and work—including donations through United Way, EarthShare and the Minnesota Environmental Fund. In 2011, the company and our employees contributed more than $535,000 to

efforts ranging from recycling to wildlife preservation, and from hunger relief to housing stability and high-quality after school programs for those in need.

EarthShare and the Minnesota Environmental Fund

The Piper Jaffray annual employee giving campaign continues to include EarthShare and the Minnesota Environmental Fund as federation partners. EarthShare supports 71 national charities and hundreds of local ones in 22 states that benefit air, water, land, wildlife and public health causes. Its mission is to engage individuals and organizations in creating a healthy and sustainable environment. The Minnesota Environmental Fund, located near the firm’s Minneapolis headquarters, provides education and a vital pre-tax payroll giving choice to employees through a balanced group of member organizations that protect, conserve and restore Minnesota’s environment.

United Way

There are United Ways located in communities where Piper Jaffray has U.S. offices. Local United Ways advance the common good by focusing on improving education, helping people achieve financial stability and promoting healthy lives by changing and improving the systems that help all of us.
