11. VARIATIONS - We will use all reasonable endeavours to accommodatevariations which you wish to make but if in our opinion any variation materiallyalters the order you previously gave us we reserve the right to vary theContract Price, the delivery date and any other terms of the Contract as mayreasonably be appropriate. The Contract Price will also be adjusted in theevent of variation or suspension of work by your instructions or lack of instructions. For the avoidance of doubt, where we have assumed that drawings have been approved by you because you have not notified us to thecontrary, any subsequent variation by you to those drawings will be treated asa variation to which this paragraph applies.

12. DELIVERY - Unless otherwise specified in our quotation or tender, theprice quoted does not include delivery. Unless otherwise specified, we shallnot be responsible for offloading.

13. LOSS OR DAMAGE IN TRANSIT and other non-compliance - Where weare responsible for delivery we will repair or, at our option, replace free ofcharge goods lost or damaged in transit; provided that we are given writtennotification of such loss or damage within 7 days of the despatch date. Youmust give us written notification within 7 days of delivery if the goods do notcomply with the Contract and we will replace such goods free of charge. Youare not entitled to reject the goods by reason only of short delivery.

14. RISK AND TITLE - The risk of loss or damage to the goods shall pass toyou on delivery. The goods shall remain our sole and absolute property andtitle in them shall not pass to you until such time as you have paid us for thegoods and for any other goods which are the subject of this or any other contract with us. You acknowledge that you are in possession of the goodssolely as bailee for us until title in the goods passes to you and, if required byus, until such time you will store the goods separately from all other goods andmark or otherwise identify them as our property. Until title in the goods passesto you we shall be entitled at any time by notice either to require you to returnthe goods forthwith at your expense, or to enter upon the premises wherethey are stored (or where they are reasonably thought to be stored) for thepurpose of recovering them.

15. TERMS OF PAYMENT - Unless we agree otherwise in writing paymentshall be made 30 days after the goods are despatched or you are advised thatthe goods are ready for despatch or 30 days after work has been completedor interim work is chargeable. If payment of the Contract Price or any partthereof is not made by the due date, we shall be entitled: (a) to charge intereston the outstanding amount at the rate of 4% per annum above the National Westminster Bank Rate from time to time, accruing daily; (b) to require payment in advance of delivery of undelivered goods or completion of Work;(c) to refuse to make delivery of any undelivered goods whether ordered underthe Contract or not and without incurring any liability whatever to you for non-delivery or any delay in delivery; (d) to refuse to complete Work whetherordered under the Contract or not and without incurring liability whatever toyou for non completion or any delay in completion; (e) to terminate theContract and any other contracts we may have with you.

16. SUSPENSION OF DELIVERY - In addition to our rights under Clause 15,we shall be entitled to suspend delivery to you of any order if, at the time fordelivery, you have already exceeded your Credit Limit or if your Credit Limitwould be exceeded if we made delivery of the order. We will recommencedelivery to you when you reduce the sums outstanding to us sufficiently so asto enable us to make the suspended delivery without your Credit Limit beingexceeded. We also reserve the right to suspend delivery to you of any order ifyou have failed to make payment by the due date of sums outstanding to anycompany within the "Groupe Schneider" group of companies.

17. STORAGE - If we do not receive forwarding instructions, sufficient toenable us to despatch the goods within 14 days after the date of notificationthat they are ready for despatch, you shall take delivery or arrange for storage.If you do not take delivery or arrange for storage, we shall be entitled to: (a) arrange storage either at our own works or elsewhere on your behalf and allcharges for storage, for insurance or for demurrage shall be payable by you.Such charges may be invoiced by us separately from any invoice for theContract Price and shall be payable 30 days from date of invoice or (b) terminate the Contract and resell or otherwise dispose of the goods (without prejudice to any other rights we may have against you for breach ofContract or otherwise).

18. DEFECTS AFTER DELIVERY - We will make good, by repair or, at ouroption, the supply of a replacement, defects which, under proper use, appearin the goods within a period of twelve calendar months after the goods havebeen delivered and arise solely from faulty design (other than a design made,furnished or specified by you, or your agents), materials or workmanship; provided always that defective parts have been returned to us if we shall haveso required. We shall refund the cost of carriage on such returned parts andthe repaired or new parts will be delivered by us free of charge. Our liabilityunder this Clause shall be in lieu of any warranty or condition implied by law asto the quality or fitness for any particular purpose of the goods and save asprovided in this clause, we shall not be under any liability, whether in contract,tort or otherwise, in respect of defects in goods delivered or for any injury(other than death or personal injury caused by our negligence as defined inSection 1 of the Unfair Contract Terms Act, 1977), damage or loss (includingindirect or consequential loss) resulting from such defects or from any workdone in connection therewith.

19. PATENTS - We will indemnify you against any claim for infringement ofLetters Patent, Registered Design, Trade Mark or Copyright (published at thedate of the Contract) by the use or sale of any article or material supplied byus to you and against all costs and damages which you may incur in anyaction for such infringement or for which you may become liable in any suchaction. Provided always that this indemnity shall not apply to any infringementwhich is due to our having followed a design or instruction furnished or givenby you or to the use of such article or material in a manner or for a purpose orin a foreign country not specified by or disclosed to us, or to any infringementwhich is due to the use of such article or material in association or combination with any other article or material not supplied by us. Provided alsothat this indemnity is conditional on your giving to us at the earliest possibletime, notice in writing of any claim being made or action threatened or broughtagainst you and on your permitting us at our own expense, to conduct any

1. GENERAL - All quotations and tenders are made and all orders are accepted subject to the following terms and conditions including, where applicable, the terms and conditions relating to the provision of services onSite set out in paragraphs 27 to 35. In these terms and conditions: - "Catalogue Products" shall mean the standarddevices manufactured by us as set out in our published catalogue from time totime; "Contract" shall mean the contract (including, where relevant, the quotation or tender) for supply of goods and/or Work on Site and the acceptance thereof together with all documents to which reference may properly be made in order to ascertain the rights and obligations of the parties;"Contract Price" shall mean the sum named in the Contract as the contractprice "Credit Limit" shall mean such amount as we may notify to you as beingthe maximum amount that we will permit to be due from you to us at any time(and such amount may be amended by us from time to time);" "Erection" shallmean the fixing in position of the various items of Plant, their inter-connectionand the connection to the Plant of supplies and services all as detailed in theContract; "Non-Catalogue Products" means all products supplied by us otherthan Catalogue Products; "Plant" means all machinery, apparatus, materialsand articles (whether manufactured or supplied by us under a separateContract or not) which are to be erected by us in accordance with the provisions of the Contract; "Site" means the place where the Plant is to beerected together with so much of the surrounding area as may be used by usin connection with the Work; "Work" means the Erection of the Plant.

2. VALIDITY - Unless previously withdrawn, our quotation or tender is open foracceptance within the period stated therein or, when no period is so stated,within thirty days only after its date.

3. ACCEPTANCE - The acceptance of our quotation or tender must beaccompanied by sufficient information to enable us to proceed with the orderforthwith, otherwise we shall be at liberty to amend the quotation or tenderprices to cover any increase in cost which has taken place after acceptance.Any samples submitted to you and not returned to our works within onemonth from date of receipt shall be paid for by you.

4. PACKING - Unless otherwise specified in our quotation or tender, all packing cases, skids, drums and other packing materials must be returned toour works at your expense and in good condition within one month from dateof receipt. If not so returned they will be charged for.

5. LIMITS OF CONTRACT - Our quotation or tender includes only suchgoods, accessories and Work as specified therein.

6. PRICES - All prices are unless otherwise stated quoted net ex works exclusive of VAT. Any variation to prices quoted as a result of governmenttaxes and levies will be for your account.

7. DRAWINGS, ETC. - All specifications, drawings and particulars of weightsand dimensions submitted with our quotation or tender are approximate onlyand the descriptions and illustrations contained in our catalogues, price listsand other advertisement matter are intended merely to present a general ideaof the goods described therein and none of these shall form part of theContract. After acceptance of our quotation or tender for supply of Non-Catalogue Products, a set of certified outline drawings will be suppliedfree of charge on request.

8. INSPECTION AND TESTS - Our Non-Catalogue products are carefullyinspected and where practicable, submitted to our standard tests at our worksbefore despatch. If tests other than those specified in our quotation or tender,or tests in the presence of you or your representative are required, these willbe charged for. In the event of any delay on your part in attending such testsor in carrying out an inspection required by you after seven days notice thatwe are ready, the tests will proceed in your absence and shall be deemed tohave been made in your presence.

9. PERFORMANCE - We will accept no liability for failure to attain any performance figures quoted by us unless we have specifically guaranteedthem, (subject to any tolerance specified or agreed to by us) and in any eventour liability will be limited to an agreed sum specified in the Contract as liquidated damages. If you have not agreed a sum with us for this purpose, itwill be deemed that no guarantee as to performance has been given by us. Ifthe performance figures obtained on any test provided for in the Contract areoutside the acceptance limits specified therein, you will be entitled to reject thegoods. Before you become entitled to claim liquidated damages or to rejectthe goods, we are to be given reasonable time and opportunity to rectify theirperformance. If you become entitled to reject goods, we will repay you anysum paid by you to us on account of the Contract Price thereof. You assumeresponsibility that goods stipulated by you are sufficient and suitable for yourpurpose save in so far as your stipulations are in accordance with our advice.

10. LIABILITY FOR DELAY IN SUPPLYING - Any times quoted for despatchor delivery of Catalogue Products are given by us as an estimate only and shallnot be binding upon us. Any times quoted for despatch or delivery of NonCatalogue Products are to date from receipt by us of a written order to proceed and all necessary information and drawings to enable us to put thework in hand. We will be entitled to assume that drawings we send to youhave been approved and that we are authorised to put work in hand unlessyou notify us to the contrary within 14 days of receipt of the drawings. Thetime for despatch or delivery shall be extended by a reasonable period if delayin despatch or delivery is caused by instructions or lack of instructions fromyou or by industrial dispute or by any cause beyond our reasonable control. Ifa fixed time be quoted for despatch or delivery of Non Catalogue Productsand we fail to despatch or deliver such products within that time or within anyextension thereof under this clause and, if as a result, you shall have sufferedloss, we undertake to pay for each week of delay liquidated damages at therate of 1/2 per cent, up to a maximum of 5 per cent, of the contract price.Such payment shall be in full satisfaction of our liability for delay. Any timedescribed as an estimate shall not be construed as a fixed time quoted for thepurposes of this clause. In no circumstances shall liquidated or any otherdamages for delay be paid where we have suspended delivery in accordancewith Clause 16.

litigation that may ensue and all negotiations for a settlement of the claim. Youon your part warrant that any design or instruction furnished or given by youshall not be such as will cause us to infringe any Letters Patent, RegisteredDesign, Trade Mark or Copyright in the execution of your order and you willindemnify us against any claim for infringement of any such intellectual property rights.

20. HEALTH AND SAFETY - You must comply with all instructions, information and warnings which we supply in respect of the goods and ensurethat such documentation is available to your customers or any other personhandling the goods. Additional copies of the documentation can be obtainedfrom us on request. You will indemnify us against any claim made against usby any third party as a result of your failure to comply with this Clause.

21. FINAL CERTIFICATE - Upon expiry of the defects liability period specifiedin Clauses 18 and 35, we shall be under no further obligation or liability to youeither under the Contract or in tort (including but not limited to negligence),unless within 14 days thereafter you shall have given us written notice of anymatter in respect of which we remain obliged or liable to you. You shall issueto us a final certificate to the effect that we have fulfilled all our obligations andliabilities to you immediately upon expiry of the said period of 14 days or, in theevent that you have given us notice as aforesaid which we have not disputed,immediately upon our having dealt with the matter(s) specified therein.

22. ARBITRATION - If at any time any question, dispute or difference whatsoever shall arise between you and ourselves upon, in relation to, or inconnection with the Contract, either of us may give to the other notice in writing of the existence of such question, dispute or difference and the sameshall be referred to the arbitration of a person to be mutually agreed upon, orfailing agreement within 30 days of receipt of such notice, of some personappointed by the President for the time being of the Chartered Institute ofArbitrators.

23. LEGAL CONSTRUCTION - Unless otherwise agreed in writing theContract shall in all respects be construed and operate as an English Contractand in conformity with English law and the English Courts shall have exclusivejurisdiction over any matter arising out of the provisions of Clause 22(Arbitration).

24. INSOLVENCY ADMINISTRATIVE RECEIVER - If you shall become bankrupt or insolvent or compound with your creditors or if a proposal is madefor a voluntary arrangement within Part I of the Insolvency Act 1986 or if a proposal is made for any other composition, scheme or arrangement with (orassignment for the benefit of) your creditors, or if a receiver, liquidator, administrator, supervisor or administrative receiver or similar officer is appointed of all or any part of your business or assets or if a petition is presented or a meeting is convened for the purpose of considering a resolution (or other steps are taken) for your winding up (other than for anamalgamation or reconstruction) or a petition is presented for an administrationorder in relation to you, then we shall be entitled to cancel the Contract inwhole or in part without prejudice to any other right or remedy which accruesto us.

25. FORCE MAJEURE - If delivery or completion of Work is delayed bystrikes, lockouts, fire, accidents, defective materials, delays in receipt of rawmaterials or bought-in goods or components or any other cause beyond ourreasonable control a reasonable extension of time for delivery or completion ofWork shall be granted.

26. STATUTORY AND OTHER REGULATIONS - If the cost to us of performing our obligations under the Contract shall be increased or reducedby reason of (a) the making or amendment after the date of quotation or tender of any law or of any order, regulation, or bye-law having the force of lawthat shall affect the performance of our obligations under the Contract; (b) anyrise or fall in the cost of labour or in the cost of materials or transport above orbelow such rates and costs ruling at the date of quotation or tender; theamount of such increase or reduction shall be added to or deducted from theContract Price as the case may be provided that no account shall be taken ofany amount by which any cost incurred by us has been increased by ourdefault or negligence.

THE FOLLOWING PROVISIONS APPLY IN ADDITION TO THE ABOVECONDITIONS WHERE THE CONTRACT INCLUDES WORK ON SITE.27. ERECTION DRAWINGS, ETC. - You shall provide us free of chargebefore commencement of the Work with any information, plans or drawingsrequired for Erection. If the information, plans or drawings required for Erectionhave not been furnished to us in reasonable time or if they do not contain thenecessary details, we shall be entitled either to suspend performance of theContract until such time as drawings are furnished or until the necessarydetails have been provided or to prepare such plans or drawings ourselves atyour cost and in either event the time for performance of the Contract shall beextended by a reasonable period. We shall have no liability to you whatsoever,whether for negligence or otherwise, in respect of plans or drawings which weprepare due to your failure to provide us with your own plans or drawings.

28. SITE FACILITIES AND WORKING CONDITIONS - Our quotation or tender is based on our estimate of the extent of the Work in the light of information (including your Site Safety Regulations) produced to us and unlessotherwise specified assumes the following conditions:- (a) You will provide suitable access to and possession of the Site in reasonable time. (b) TheErection will not be carried out in unhealthy or unsafe conditions. (c) Ouremployees will be able to obtain suitable and convenient board and lodging inthe neighbourhood of the Site and have access to adequate medical services.(d) Such equipment cranage, consumable stores, water and power, scaffolding, lighting, heating and unskilled labour as are specified in theContract will be available to us on Site and in reasonable time, and except asotherwise agreed, free of charge to us. (e) You will provide us, free of charge,with closed or guarded premises on or near the Site as a protection againstthe theft and deterioration of the Plant and of our tools and equipment. (f) Weshall not be required to undertake any construction or demolition work.If these conditions are not satisfied we shall be entitled to charge extra.

29. HOURS OF WORK - Our employees will work normal hours applicable tothe engineering industry, Monday to Friday inclusive, local public holidays

excepted. Unless stated to the contrary in our quotation or otherwise agreed,night work, overtime and holiday working are specifically excluded.

30. EXTRA COST - Should we incur extra cost owing to variation or suspension of the Work by your instructions, or your lack of instructions, or tointerruptions, delays, overtime, unusual hours, mistakes or work for which weare not responsible, or to any specified Site conditions not being maintainedby you, the Contract Price will be adjusted in accordance with our rates rulingat the time such extra costs are incurred.

31. PREPARATORY WORK - The Plant must be on the Site in reasonabletime. You will provide us in reasonable time with suitable access to the Siteand Plant and to all necessary equipment to be provided by you and furnishus with all information required for making all necessary connections to theplant. If you are responsible for preparatory work such as foundation or otherwork specified in the Contract as a pre-requisite to commencement of theWork, it must be completed in reasonable time. If we are responsible for foundation work you will provide us in reasonable time with all necessary information relating to the work necessary for preparing suitable foundations.Any extra cost incurred by us which results from an error or omission in theinformation furnished by you shall be added to the Contract Price and paid foraccordingly.

32. LIMITATION ON CONTRACTORS’ LIABILITY WHILST ON SITE - If we,our agents or sub-contractors are on Site for the purpose of the Contractthen, notwithstanding the provisions of Clauses 18 and 35 we will indemnifyyou against direct damage or injury to your property or person or that of othersoccurring while we are working on Site to the extent caused by the negligenceof ourselves, our sub-contractors or agents, but not otherwise, by makinggood such damage to property or compensating personal injury. Provided that:(a) Our total liability for damage to your property (including damage caused byour breach of contract, tort or breach of statutory duty) shall not exceed theContract Price in respect of damage to the Plant and in respect of any otherdamage shall not exceed £1,000,000 or the Contract Price, whichever sum isthe greater; b) We shall not be liable to you for any loss of profit or of contractsor, save as aforesaid, for any loss or damage of any kind whatsoever andwhether caused by our breach of contract, tort, breach of statutory duty orotherwise howsoever. Save as provided in Clause 18 and 35, we shall not beliable for any damage, injury or loss occurring after our completion of Work onSite.

33. LIABILITY FOR DELAY IN ERECTION - Any times quoted by us for completion of Erection are to date from receipt by us of full and final instructions, and sufficient and suitable availability of and access to the Plantto allow us to proceed. The time for completion shall be extended by a reasonable period if delay in completion is caused by instructions or lack ofinstructions from you or by industrial dispute or by any cause beyond our reasonable control. If a fixed time be quoted for completion of Erection and wefail to complete within that time or within any extension thereof under thisclause or under Clause 27 (Erection Drawings, Etc.), and if as a result you shallhave suffered loss, we undertake to pay for each week of delay liquidateddamages at the rate of 1/2 per cent, up to a maximum of 5 per cent, of theContract Price. Such payment shall be in full satisfaction of our liability fordelay.Any time described as an estimate shall not be construed as a fixed time quoted for the purposes of this clause.

34. TAKING OVER AND ACCEPTANCE OF ERECTION - We shall give younotice in writing of the date when the Work is ready for acceptance in sufficienttime to enable you to make any necessary arrangements for inspection. If theContract provides for tests on acceptance these shall take place in the presence of both parties. If in the course of the acceptance it is found that theWork or any part thereof is defective as a result of defective Erection, assembly or connection of the Plant we shall with all speed and at ourexpense make good the defect and thereafter if you so require offer the Workfor re-inspection and acceptance at our expense. As soon as the Work hasbeen completed in accordance with the Contract and has been accepted, youshall be deemed to have taken over the Work and the defects liability periodshall start to run. You will thereupon issue a certificate (herein called "takingover certificate") in which you will certify the date on which the Work was completed and passed the tests (if any). If you do not take the steps necessary for such acceptance or testing, the Work shall be deemed to havebeen taken over and the defects liability period shall start to run on receipt byyou of written notice from us to that effect.

35. DEFECTS LIABILITY PERIOD - We undertake to remedy at our expenseand with all reasonable speed, any defect in the Work which may appear during the period of twelve months after taking over by making good any suchdefect. If in consequence of any such defect it is necessary to repair or replaceany part of the Plant any such repair or replacement shall in all respects be atour expense, but not so as to impose upon us any liability greater than theContract Price. Our liability under this clause shall be in lieu of any warranty orcondition implied by law as to the quality, workmanship, or fitness for purposeof the Work and save as provided in this clause and Clause 32 (Limitation onContractors’ Liability Whilst on Site) we shall not be liable to you whether incontract, tort or otherwise for any loss, damage or injury (other than death orpersonal injury caused by our negligence as defined in the Unfair ContractTerms Act, 1977) resulting from any defects in work done or materials provided under the Contract or from any services or advice rendered in connection therewith.

36. In the event that any of the provisions of these terms and conditions areadjudged by any court of competent jurisdiction to be unenforceable (either inwhole or in part) we will not be liable for any indirect or consequential loss orany loss of profits, business, contracts or revenues howsoever caused.

37. Nothing set out in these terms and conditions shall relieve us from any liability that we may have under s.12 of the Sale Of Goods Act 1970 or forfraudulent misrepresentation under the Misrepresentation Act 1967.
