taxadviceonmergersandacquisitions,assetpurchases,
privateequityinvestments,corporatereorganizations
andsimilartransactions.Regardlessofthenatureofthe
specifictransaction,thegoalwastoseethedealthrough
toclosing.Adealwouldnotclose,however,untilthe
investorwassatisfiedthatthetransactionwouldproduce
