No.G1/ 2798 /2013/M 2-1-2014. To Sirs, Sub: TENDER – Tender for engaging private contractors for Manning Operation and upkeeping of a Pilot Launch at Chennai Port . for a period of 2 years - Regarding.

***** Tenders are invited by the undersigned for engaging private contractors for Manning Operation and upkeeping of a Pilot Launch for a period of 2 years at Chennai Port on daily rate of 24 hours basis as per the Terms and Conditions of the Chennai Port Trust. Interested firms can submit their offer in the Tender form which can be obtained from the office of the A.O.(Cash) (Engineering)on a non-refundable payment of Rs.2100/- (inclusive of 5% VAT) towards its cost. The Tender document can also be downloaded from the Trust’s Web site (www.chennaiport.gov.in). The DD towards the cost of Tender document (Rs.2100/- inclusive of 5% VAT) by those who downloaded from the Trust’s Website should be handed over to the undersigned on or before 1200 hours on 23.1.14 failing which Tender submitted by them will be summarily rejected. The sealed tender along with the Demand Draft towards EMD amount of Rs.88,200/- (Rupees Eighty Eight thousand two hundred only) should be dropped in the tender box kept for the purpose in the office of the Deputy Conservator, 6th floor, Chennai Port Trust, Rajaji Salai, Chennai – 1 before 1500 hours on 23.1.14. TENDER FOR MANNING, OPERATION AND UPKEEPING OF A PILOT LAUNCH AT CHENNAI PORT TRUST FOR A PERIOD OF TWO YEARS

1. INSTRUCTIONS TO TENDERERS

1.1 Sealed Tenders are invited by Two Cover System by Chennai Port Trust from experienced and eligible Tenderers meeting the minimum qualifying criteria. The main envelope containing the bid should be superscribed as “TENDER FOR MANNING, OPERATION AND UPKEEPING OF A PILOT LAUNCH AT CHENNAI PORT TRUST FOR A PERIOD OF TWO YEARS”

1.2. The Tender documents can be obtained from the Accounts Officer (Cash), Chennai Port Trust, Rajaji Salai, Chennai – 600 001 during working hours on any working day during the sale period on payment of Rs.2,100/- (Rupees Two Thousand one hundred only) (inclusive of VAT @ 5%) either by cash or by Demand draft (non refundable) drawn in favour of “The Chairman, Chennai Port Trust” on any Indian Nationalised /Scheduled Bank payable at Chennai. The tender document can also be downloaded from Chennai Port Trust website – www.chennaiport.gov.in Those tenderers who download the tender documents from the website shall remit a sum of Rs.2,100/- (Rupees Two Thousand one hundred only) by Demand Draft (non refundable) drawn in favour of “The Chairman, Chennai Port Trust” on any Nationalized/Scheduled Bank payable at Chennai towards the cost of the tender documents. The demand draft / pay order /banker’s cheque towards the cost of tender documents shall reach Chennai Port on or before 1200 hours on23.1.14. Any addition, deletion or editing the tender document is strictly prohibited. If any alterations are observed at any stage, such tenders are liable for outright rejection. 1.3 The tender documents shall be submitted, duly filled in, signed and stamped on all pages to the Deputy Conservator’s office before the due date and time of receipt of tender. Last date and time for submission of completed tenders will be 1500 hours on 23.1.14. Ch.P.T. may at its discretion extend the date and time for receipt of tenders. Tenders received after the aforesaid time and date or the extended time and date, as the case may be, if any, will be returned unopened to the tenderers. 1.3.1 The Tender documents viz., Techno-Commercial bid and Price bid shall be submitted duly filled in, signed, dated and stamped on all pages of tender documents of Techno-Commercial bid and Price bid. The Tenders shall be submitted in Two Cover system containing the ‘Techno-Commercial Bid’ and marked as such on Cover-I and ‘Price Bid’ as Cover-II and both the covers shall be put in another Main Envelope/Cover and sealed.

1.4 EARNEST MONEY DEPOSIT (EMD) 1.4.1 The tender shall be accompanied by Earnest Money Deposit. The EMD amount required to be submitted in the Main cover along with Covers ‘I’ and ‘II’ for the tender for manning, operation and upkeeping of pilot launch at Chennai Port Trust for a period of two years is Rs.88,200/- (Rupees Eighty Eight thousand two hundred only)

1.4.2 The EMD shall be paid by Demand Draft (or) Pay Order (or) Banker’s cheque payable at Chennai drawn in favour of “The Chairman, Chennai Port Trust” payable at any Nationalized / Scheduled Bank having its Branch office at Chennai. 1.4.3 The offers not accompanied by EMD amount will be summarily rejected. Also those offers with EMD amount not kept in Main Cover but in Cover –II will be summarily rejected. 1.4.4 The EMD of unsuccessful Tenderers shall be returned within 30 days from the issue of Letter of Intent (LOI) to the successful Tenderer. The EMD of the successful Tenderer shall be refunded only on receipt of Performance Guarantee and signing of the Agreement as stipulated in the tender. 1.4.5 ChPT reserves the right to forfeit the EMD in respect of successful Tenderer, if he fails to enter into a contract and furnish the necessary bank guarantee towards performance within 15days of receipt of Letter of Intent (LOI). 1.4.6 No interest will be payable on the EMD. 1.5 The sealed Tenders shall be submitted to The Deputy Conservator’s Office at the 6th Floor, Chennai Port Trust, Rajaji Salai, Chennai-600 001 or the Tenderers can also submit the completed Tender through Courier or Registered Post so that it shall reach the above office on or before the due date and time fixed for submission of the said Tender. The Chennai Port Trust at its discretion shall extend the date and time for receipt of Tenders. The Late Tenders received after the aforesaid time and date or the extended time and date, if any, will not be considered for evaluation and will be returned to the Tenderers unopened. The Chennai Port Trust shall not take any responsibility for delivery of the bid after the due date and time for submission by the Postal / Courier or any other agency. 1.6 PRE-QUALIFYING CRITERIA:

The Tenderer must fulfill the following criteria to prove the techno-commercial competence and submit the documents in support thereof. ALL DOCUMENTARY PROOF SUBMITTED SHALL BE IN ORIGINAL OR ATTESTED BY NOTARY.

1.6.1 EXPERIENCE The Tenderers having experience in manning and operation of Harbour Crat/Offshore vessel/ship for a minimum period of one year are eligible to participate in the Tender. The Bidder should submit the details of contract executed as per Schedule-I, with notarized copy of the agreement /work orders and certificate of satisfactory performance from the Employer in support of the execution of the contract for one year.

The tenderer should also submit documentary evidence related to business registration/commencement.

The tenderer should have successfully completed manning operation and maintenance for a similar work for one year during the last 7 years ending on 31.12.13 and the value of similar work carried out shall be:

a. Three similar works costing not less than amount 30% of the present estimated cost (Rs.6,60,833/-) OR

b. Two similar works costing not less than amount 40% of the present

estimated cost (Rs.8,81,110/-) OR

c. One similar work costing not less than amount 60% of the present estimated cost(Rs.13,21,665/-)

Similar works means manning and operation and maintenance of Harbour crafts/off-shore vessels/ships and the present estimated cost means the cost estimated for one year operation and not for the total contract period. 1.6.2: Management: The Contractor shall possess Govt. of India issued Deck Officer or Engineer Officer Certificate (OR) employ a person* with such qualifications to interact with Trust’s officials with regard to manning operation and maintenance of Launch. *Any IMO recognized Certificate holder will also be considered. 1.6.3 TURNOVER The average annual turn over of the tenderer for the last three years i.e. 2010-11, 2011-12 and 2012-13 should be at least 25% (5,50,694/-) of the estimated cost. The estimated cost mean the cost estimated for one year and not for total contract period. The tenderer should submit a copy of Annual Reports audited by Chartered Accountant for the last 3 yeas i.e. 2010-11, 2011-12 and 2012-13 giving the audited profit and loss account and balance sheet. If the tenderer is a subsidiary company or a member or a member of a group and under the prevalent laws the separate accounts of the subsidiary company are not available, the tenderer should submit the consolidated audit accounts of the holding company or group for the last 3 accounting years. In addition, tenderer should submit a certificate from the auditor of the holding company certifying the turnover of the tenderer (subsidiary company for the last 3 accounting years). Any certificate in this regard only from the tenderer will not suffice. 1.6.4. COVER ‘I’ – THE FIRST COVER SHALL BE CLEARLY MARKED AS

COVER –‘‘I’, “TECHNO-COMMERICIAL BID”. IT SHALL ALSO CONTAIN THE FOLLOWING DOCUMENTS AND INFORMATION.

Documentary proof to establish the experience, technical competency of the Tenderer in management and operation of the Ships /Vessels/harbour crafts as mentioned in clause 1.6 and any other relevant details.

1.6.5. While evaluating the bids Chennai Port Trust may seek any other details / documents which it may feel as necessary to ascertain and establish the competence of the tenderer. In case of failure or refusal to furnish such details within the given time limit, Chennai Port Trust shall evaluate the bids on the merits of the available documents. 1.6.6 COVER – II - THE SECOND ENVELOPE SHALL BE PROPERLY SEALED AND MARKED AS COVER –‘ II’, “PRICE BID” and shall contain the details as given in Schedule ‘A1’ (i.e. Cost Schedule ) of the tender document as issued and shall be complete in all respects. 1.6 THE RATE SHALL BE QUOTED STRICTLY AS PER THE COST SCHEDULE GIVEN IN COST SCHEDULE ‘A1’ OF THE TENDER DOCUMENT. THE TENDERERS ARE DIRECTED TO COMPLY WITH THE DIRECTIONS WHILE SUBMITTING THE TENDER. THOSE PRICE BIDS NOT CONFORMING TO THE FORMAT IN COST SCHEDULE –‘A1’ WILL BE SUMMARILY REJECTED. 1.6.8 Over-writing in the proforma of Cost Schedule ‘A1’ of the Tender Document is not permitted. 1.6.9 In case, the rate given in figure and word differs, the rate written in words shall be final and taken for evaluation purpose. 1.6.10 The tender shall be submitted in two Covers (i.e. Cover I and Cover II) complete in all respects. Any envelope not sealed properly shall not be accepted unless it is sealed properly and presented within the notified time and date. 1.6.11 The two sealed envelopes as mentioned above shall again be put together in one common cover and sealed. This sealed cover shall be addressed to the Dy. Conservator, Chennai Port Trust, Rajaji Salai, Chennai 600001 and shall be superscribed as “TENDER FOR MANNING, OPERATION AND UPKEEPING OF A PILOT LAUNCH AT CHENNAI PORT TRUST FOR A PERIOD OF TWO YEARS” 1.6.12 The Tenderer shall not put any conditions in the price bid. Any condition in the price bid shall disqualify the Tenderer and the tender shall be rejected. The Tenderer shall not indicate his rate anywhere directly or indirectly in the documents in Cover-‘I’. 1.6.13 Any Cover not sealed properly shall not be accepted and the tenderers shall submit the covers sealed properly and presented before the due date and time of submission. 1.6.14 The Tenderer shall not put any counter conditions. Any counter offer as well as any alterations in the work / scope of work, as specified in the tender , shall be liable to disqualify the Tenderer forthwith. 1.6.15 The Tenderer shall quote the rate per launch per day in Cost Schedule ‘A1’ in Indian Rupees only. No other currency would be accepted. Any offers received in other currencies will be treated as “Non Responsive” and will not be considered for further evaluation.

1.7 Only those tenderers, who have purchased or downloaded the tender documents and produce valid proof for having remitted the Demand Draft drawn towards the cost of Tender documents, shall be allowed to participate in the proceedings.

1.8 SUBMISSION & CLOSING OF TENDER: 1.8.1 The Tenderer shall submit their offers (Techno-Commercial Bid and Price Bid)

along with EMD. All the pages in the Tender Document shall be duly signed, dated and stamped by the authorized signatory. The tender shall be submitted before the due date and time fixed for submission of tender.

1.8.2 The Tender shall be prepared, signed and submitted only by that Firm in whose

name the tender documents are purchased. The Tender shall be typed or written in indelible ink in English. The Tenderer shall submit complete tender and shall avoid additions, alterations, cancellation, amendments. In case the Tenderer makes such additions, alterations, cancellation, amendments, the same shall be duly signed, dated and stamped by the authorized signatory.

1.8.3 The Tenders shall be submitted at the Office of the Deputy Conservator, Chennai

Port Trust before 1500 hours on 23.1.14 and the tender will be opened at 1530 hours on 23.1.14.

1.9 OPENING OF THE TENDERS:-

1.9.1 The Techno-Commercial Bid (i.e.) Cover - I will be opened at 1530 hours on

23.1.14 in the Office of Deputy Conservator, 6th floor, Centenary Building, Chennai Port Trust in the presence of one authorized representative of Tenderer, whose tender has been received before the due date and time.

1.9.2 The offers not accompanied by EMD amount as mentioned in Clause 1.4.1

will be summarily rejected and the representative will not be allowed to participate in the Tender Opening.

1.9.3 Those tenderers who have downloaded the Tender forms from Chennai Port

Website, shall send the Demand Draft towards the cost of Tender Documents before the due date mentioned in the schedule. The tenderers who do not submit valid proof for having remitted the cost of tender documents shall not be allowed to participate either in the tender opening or in pre-bid meeting and their offers shall be summarily rejected.

1.9.4 The Cover - II (Price Bid) of the Pre-Qualified Tenderers will be opened on

the date and time so fixed by the Deputy Conservator, Chennai Port Trust and intimated to all the Pre-Qualified Tenderers. One authorized representative of the Pre-Qualified Tenderers shall be permitted to attend the opening of the Price Bid.

1.10 RESPONSIVE OFFER

The Chennai Port Trust will scrutinize the tenders to determine whether the tender is substantially responsive to the requirements of the Tender Documents, including Technical Specifications without any deviation or reservation. An offer shall be considered responsive, if the Tender documents:

(i) is received by the due date and time including such extension thereof. (ii) is signed, sealed and marked as stipulated. (iii) Contains all the information as requested in the tender documents and the

covering letter in the format specified in Cost Schedule –‘A1’. (iv) contains information in formats same as those specified in this tender

documents; (v) Mentions the validity period as set out in Clause 1.13 of the Tender;

While submitting the clarification regarding the Techno-Commercial Bid, the Tenderer shall not be allowed to change the Price. In case, the Tenderer desires to change Price, the Tender shall be rejected and EMD forfeited.

1.11 NON-RESPONSIVE OFFER

The Tender will be considered as ‘Non-Responsive Offer’, if it is found that: (i) The Tenderer includes/adds any condition in the Price Bid; (ii) All corrections and over writings are not signed, dated and stamped by

the authorized signatory signing the tender. (iii) The Rate is not quoted in Cost Schedule-‘A1’ as per the instructions

given in the Tender Document. (iv) Tenders without furnishing the proof for Experience and average

annual turnover for the last three years and other financial reports as mentioned in Clause 1.6.

(v) The Tenders submitted without the EMD or if EMD is kept in cover II instead of in main cover as mentioned in clause 1.4.

The Chennai Port Trust reserves the right to reject any offer that is non-responsive on the grounds listed in the Tender condition or for any other reasons. The Port will not entertain any requests for alteration, modification, substitution or withdrawal in respect of such offer.

1.12 LATE TENDER :-

Any tender received by the Chennai Port Trust after the date and time prescribed for submission of tender shall not be considered for evaluation and shall be treated as an invalid offer and returned unopened.

1.13 VALIDITY OF THE TENDER :- 1.13.1 The tender shall remain valid for a period of 180 days from the date of

opening of the technical bid. The Chennai Port Trust reserves the right to seek extension of the validity period. The request for extension and response thereto shall be made in writing and the Tenderers shall have an option to agree or to refuse within the time mentioned in the letter seeking such extension by the Trust. However, in the event of the Tenderer agreeing to the request, they will not be permitted to modify the tender conditions including the Price Bid. The EMD of those tenderers who refuse to extend the validity shall not be forfeited and the EMD of such tenderers shall be returned to the

Tenderer within 60 days from the date of receipt of their communication regarding refusal to extend the validity of the tender.

1.13.2 The Chennai Port Trust shall not pay interest on the EMD and Security

Deposit under any circumstances. 1.13.3 In the event of the Tenderer withdrawing the tender after its submission and

before the expiry of the validity period, the Tenderer’s offer shall be cancelled and the EMD shall be forfeited. The EMD of the Tenderers who are not Pre-Qualified shall be returned within 15 days of communication of failure to Pre-Qualify. The EMD of the Pre-Qualified Tenderers except the successful Tenderer shall be refunded within 120 days of issue of Letter of Intent to the successful Tenderer.

1.14 DAY:-

The day means 24 hrs. of duration commencing from 0600 hrs to 0600 of the following day, which shall have following 3 Shifts. 1st Shift means - 0600 Hrs. to 1400 Hrs. 2nd Shift means - 1400 Hrs. to 2200 Hrs. 3rd Shift means - 2200 Hrs. to 0600 Hrs of the following day.

1.15 CHARGES TOWARDS STAMP DUTY & EXECUTION OF AGREEMENT:-

All costs, charges and expenses including stamp duty in connection with the contract as well as preparation and completion of agreement by the Tenderer’s attorneys shall be borne and payable by the Tenderer.

1.16 PROCESS TO BE CONFIDENTIAL :-

After the opening of the tenders, information relating to the examination, clarification, evaluation and comparisons of tender and recommendations concerning the award of contract shall not be disclosed to Tenderers or any other persons. Any efforts by the Tenderers to influence the Chennai Port Trust in the process of examination, clarification, evaluation and comparisons of tenders and decisions concerning the award of contract may result in rejection of the Tenderer’s offer.

1.17 EVALUATION & COMPARISON OF TENDERS :-

Those tenders as have been determined to be substantially responsive to the requirements of the Tender will only be evaluated. Other non-responsive tenders will be rejected. Price bids of only those tenderers who have qualified techno-commercially will be opened .

1.18 NOTIFICATION OF AWARD :-

The Chennai Port Trust shall intimate the successful Tenderer by writing

through letter/fax confirming that their offer has been accepted prior to the expiry of the tender validity period. This letter is to be called as Letter of Intent (LOI).

1.19 The successful Tenderer shall send the Letter of Acceptance (LOA) within 3 days of issue of the Letter of Intent (LOI). In case the successful Tenderer fails to send the Letter of Acceptance within the period stipulated above, the LOI is liable for cancellation and the EMD of such successful tenderer shall be forfeited.

1.20 Any correspondence/clarification/requests etc., whatsoever received from the

Tenderer after the receipt of the Letter of Acceptance by the Chennai Port shall not be entertained and no extension of time will be granted for any reason whatsoever.

1.21 The successful Tenderer shall sign the Agreement within 15 days from date of issue of LOI by the Trust. The successful tenderer shall furnish Security Deposit for Performance an amount equal to 5% of the accepted tender value in the form of D.D./Pay Order/Bankers Cheque before signing the agreement. The Tenderer shall not be allowed to sign the Agreement without submitting the Security Deposit. 1.22 COMMENCEMENT OF CONTRACT :- The Tenderer who has been awarded the contract for operation, maintenance and upkeeping of the Pilot Launch at Chennai Port Trust shall supply the necessary manpower and commence the operations within 7 days from the date of Letter of Acceptance by the Contractor.

1.23 NO CORRESPONDENCE WITH UNSUCCESSFUL TENDERER:- No correspondence will be entertained by the Chennai Port Trust from the unsuccessful Tenderers.

1.24 CHENNAI PORT TRUST’s RIGHT TO ACCEPT REJECT ANY TENDER OR CANCEL THE ENTIRE TENDER PROCESS OR TO REDUCE THE CONTRACT TO MANNING,OPERATION AND UPKEEPING OF 1 No., PILOT LAUNCH. 1.25 The Tender is for Manning Operation and total maintenance of a Pilot Launch at

Chennai Port Trust. However this tender may be awarded for Manning Operation and total maintenance of one more launch at the same rate quoted and no negotiation will be entertained.

1.26 The bidders shall given an undertaking that they have not made any payment or illegal

gratification to any person/authority connected with the bid process so as to influence the bid process and have not committed any offence under the PC Act in connection with the bid.

1.27 The bidders shall disclose any payments made or proposed to be made to any

intermediaries (agents etc.) in connection with the bid 1.28 Chennai Port reserves the right to post the Engineers, Masters and crew of the Pilot

Launch for manning and operation of any other Trust’s launches/crafts 1.29 The Chennai Port Trust also reserves the right to accept or reject any or all offers or

2. GENERAL CONDITIONS OF CONTRACT

2.1 The day means 24 hrs. of duration commencing from 0600 hrs to 0600 of the following day, which shall have following 3 shifts.

1st Shift means - - 0600 Hrs. to 1400 Hrs. 2nd Shift means - 1400 Hrs. to 2200 Hrs. 3rd Shift means - 2200 Hrs. to 0600 Hrs. of the following day.

2.2 CARE AND DILIGENCE :-

The Tenderer shall exercise all responsible care and diligence in the discharge of all technical, professional and contractual duties to be performed by them under this contract and shall be fully responsible to the Chennai Port Trust for the proper, efficient and effective carrying out of their duties. 2.3 The contract shall commence and terminate at Chennai Port Trust. 2.4 MANNING :-

a) The Pilot Launch is required to be manned is fitted with Engines of more than 750 KW and less than 1500 KW and shall be manned under Merchant Shipping Act,1958 (Safe Manning guide lines) latest circular issued by DG (Shipping). Only Indian Nationals will be allowed to work in the Pilot Launch. The Tenderer shall refer to the Merchant Shipping Act and latest circular for more information, if required.

b) The Contractor is required to obtain Security clearance from Police or from other appropriate authorities for all the crew proposed to be engaged for operating the Pilot Launch and such security clearance shall be submitted to the Controlling officer before engagement of all or any of the crew members.

2.5 EXECUTION:

The Contractor shall in consideration of payments to be made to him as hereinafter provided, execute and perform the work set forth as described in the tender, including any amendments or additions or alterations or changes thereto.

2.6 NOTIFICATION OF AWARD:

Prior to the expiration of the period of tender validity prescribed in the tender, Ch.P.T., will notify the successful Tenderer through letter/s by post/fax confirming that their offer has been accepted and award of contract. This letter is to be called Letter of Intent (LOI). This Letter of Intent shall indicate the sum, which Ch.P.T. will pay to the Contractor in consideration of the execution of the contract by the contractor.

2.7 GUIDELINES TO TENDERER :-

Eventhough the tender is for manning operation and upkeeping of 1no., Pilot Launches, Deputy Conservator reserves the right to award the contract later for manning operation and upkeeping of one more craft at the same rate and same terms and conditions.

2.7.1 Deputy Conservator or his authorized representatives reserve the right to post the men engaged by the contractor for manning operation and upkeeping of any of the launches owned by Chennai Port Trust or on lease /hire with Chennai Port Trust. The refusal by the contractor or the manning crew to work in other launches may lead to termination of contract apart non-payment of daily rate and levy of penalty.

2.7.2 The Pilot Launch shall be deployed for shipping work in the Chennai Port or to any places at sea for the purpose of search and rescue of passengers / crew of vessels in distress in the vicinity. The Pilot Launch shall also be made available for assisting towage of disabled vessels, salvage operations at the discretion of the Controlling Officer viz., the Deputy Conservator or the authorized representative of Chennai Port Trust. 2.7.3 The Contractor shall operate the Pilot Launch, as per the instructions of the

Controlling Officer viz., The Deputy Conservator or his authorized representative of Chennai Port Trust. The contractor shall participate in mitigating any emergencies like fire, sinking, stranding, Towing, Pollution as per the natural capabilities and for any act directed by the Deputy Conservator or his authorized representative of Chennai Port Trust.

2.7.4 The Contractor shall not have any direct dealing regarding scheduling of the Pilot Launch with any of the Steamer Agents / Ship Owners / Masters/ or their authorized representatives etc. 2.7.5 The Controlling Officer of the Pilot Launch shall be the Deputy Conservator of Chennai Port Trust and the crew of the Pilot Launch shall comply with all instructions from the Deputy Conservator of the Chennai Port Trust and/or his representative. 2.7.6 In case, the Deputy Conservator receives complaints of indiscipline or refusal to carry

out the orders of his authorized representative, the same shall be viewed seriously and daily rate payable to the contractor for the day shall be deducted as a penalty and for serious offences, the concerned personnel shall not be allowed to operate the Pilot Launch. The contractor shall arrange for suitable replacement within 24 hours failing which severe action will be taken including termination by the Chennai Port Trust.

2.7.7 If the offence is serious Chennai Port shall inform to the concerned enforcing

authorities. 2.8 PAYMENT TERMS:-

The Chennai Port Trust shall make monthly payment for the Pilot Launch at the rate quoted in the Schedule ‘A1’ in Rupees after adjusting the recoveries payable by the Contractor under this Agreement.

2.9 In case the recoveries like penalties, or any dues to the Chennai Port or any

other taxes, levies payable to the Government are more than the monthly chartered amount, the balance shall be recovered from the next month chartered amount or any outstanding amount payable to the Contractor including EMD/SD and Bank guarantee.

2.10 The Contractor shall submit monthly Claim bill for Pilot Launch in the Trust

format in duplicate to the Office of the Deputy Conservator. After scrutiny of the bill, the payment shall be made by ECS within 15 days from the date of

submission of the bill subject to the Contractor submitting all the relevant documents for the purpose of scrutiny and certifying the bill. Though, all the efforts will be made to make the payment within the stipulated time, the Contractor is not entitled for any type of compensation if there is any delay in making payment to the Contractor.

2.11 SERVICE TAX :-

The charter rate quoted by the Contractor shall exclude Service Tax. The Contractor shall remit the Service Tax to the Excise Department directly for the services provided to the Chennai Port Trust. The Contractor while submitting the claim for payment has to indicate the percentage of Service Tax claimed separately in the invoice, so as to ensure that the Trust pays the service tax as applicable as per the provision of the Service Tax Act. The Contractor has to produce documentary evidence for payment made towards Service Tax for the earlier payments, failing which the Service Tax component of the earlier payment with Penalty and Interest up to the date of remittance to the Tax authority by the Port shall be recovered from the subsequent bills and remitted to the Service Tax Authority by the Port Trust. However, in case of last stage payment, if the Successful Contractor fails to produce the documentary evidence within a month of receiving the payment, the Service Tax amount shall be recovered from the Performance Guarantee and remitted to the Tax Authority with Penalty and Interest as per the Rule.

2.12 DEDUCTION OF TAXES & LEVIES AT SOURCE :-

2.12.1 The Chennai Port Trust shall deduct the Tax & Levies including Income Tax at source

as per the Law applicable to the Contractor.

2.12.2 INCOME TAX The deduction of tax at source if any, shall be made by the Port Trust and deposited with the tax authorities and required certificate to this effect shall be issued to the Contractor. The Contractor shall get assessed with the tax authorities and make claims, if any to the Income Tax Authorities directly and the Chennai Port Trust shall not be responsible for getting any refund of Tax Deducted at Source on the charter amount.

2.13 ECS PAYMENT

The tenderers are advised that all payments related to this subject work would be made through ECS (Electronic Clearing Service). The tenderer would be required to provide particulars of their bank account along with their bid. The payment will be made through ECS only. The tenderers to submit the following in their letterhead for ECS procedure. Name of the bank branch with address, MICR NO. Payment shall be made on the basis of attendance of the officers and crew and availability of the Launch as per the records, log books and the contractor will have to prepare and submit by himself the bills in the prescribed form once in a month.

2.15 ESCALATION

The quoted rates shall be firm throughout the tenure of the contract. no escalation is payable over and above the rates quoted by the contractor for any reasons whatsoever.

2.16 ASSIGNMENT AND SUB-LETTING :-

The Contractor shall not sub-let the contract or any part thereof without the written permission of the Chennai Port Trust nor assign the right and interest in these presents nor assume a fresh partner or partners nor dissolve the partnership at present existing between him in reference to this contract without the written permission of the Chennai Port Trust and such consent, if any, given shall not relieve the Contractor from any liability or obligations under the contract and the Contractor shall be responsible for the acts, defaults and neglects of any sub-Contractor or his servants, agents or workmen fully as if they were the acts, defaults or neglects of the Contractor provided always that the provisions on labour or a piecework basis shall not be deemed to be a sub-letting under this clause.

2.17 COMPLIANCE WITH STATUTORY REQUIREMENTS:

The Contractor shall at all times during the continuance of the contract comply fully with all existing Acts, Regulations and bye laws including all statutory amendments and re-enactment of State or Central Government and other local authorities and any other enactments and acts that may be passed in future either by the State or Central Government or local authority including Indian Workmen’s Compensation Act, Contract labour (Regulation and Abolition) Act 1970 and Equal Remuneration Act 1976, Factories Act, Minimum Wages Act, Provident Fund Regulations, Employees Provident Fund Act, Merchant Shipping Act, Indian Ports Act, Major Port Trusts Act, Harbour Craft Rules and Rules and Regulations of Chennai Port Trust and other maritime legislations/rules/regulations etc. in so far as they are applicable to this contract. The Contractor shall indemnify and keep the Chennai Port Trust indemnified in case any proceedings are taken or commenced by any authority against the Chennai Port Trust for any contravention of any of the laws, bye laws or scheme by the Contractor. If as a result of Contractor’s failure, negligence, omission, default or non-observance of any provisions of any laws, the Chennai Port Trust is called upon by any authority to pay or reimburse or required to pay or reimburse any

amount, the Chennai Port Trust shall be entitled to deduct the same from any money due or that may become due to the Contractor under this contract or any other contract or otherwise recover from the Contractor any sum which the Chennai Port Trust is required or called upon to pay or reimburse on behalf of the Contractor.

2.18 The decision of the Deputy Conservator of the Chennai Port Trust shall be final and binding in this regard.

3. SCOPE OF WORK 3.1 The Contract involves Manning ,Operation and Upkeeping and carrying out routine

works in ;Pilot Launch or any other craft owned or leased /hired by Chennai Port Trust.

3.2 The Pilot launch shall carryout shipping operations round the clock throughout the year within the harbour and outer anchorage. The pilotage operations include Pilot embarkation and disembarkation from vessels at anchorage/steaming /on passage/berth. 3.3 The work includes manning, operation, routine maintenance, attending to breakdowns and repairs, slipway and survey works of the launch 3.4 The total upkeep of the launch and maintaining the deck, engine room and accommodation in clean and hygienic condition. 3.5 The contractor shall post only qualified persons for watch keeping and as per the requirements of MS Act (Safe Manning) and Chennai Port Trust. 3.6 The contractor shall carryout chipping of hull and deck plates and keep them rust free and painted. The contractor shall also scrap and paint all the machinery, pipe lines, engine room ship side and bulkheads. 3.7 The contractor shall supply all the tools, chipping hammers, brushes etc., for day-to- day maintenance. Chennai Port Trust shall supply special tools, if any, supplied by the manufacturers for Main engines, Propulsion system and Generator engines. 3.8 The contractor shall wash the launch with soap and fresh water and keep the launch

clean at all times. The contractor shall also supply the consumable items like cleaning soaps,brushes, mops, hoses, buckets, etc., used for cleaning and upkeeping of the launches. However, Chennai Port Trust shall supply spares for the launches and its machineries.

3.9 The contractor shall maintain the accommodation in clean and hygienic condition and shall also maintain the launch free from rats, pests and insects at their expense.

3.10 The crew posted on the craft shall attend all emergencies like fire, flooding, towing, salvage Operations, Pollution prevention, combating and Control etc.

3.11 Keeping Deck & Engine Room Machinery in good state of maintenance & in good working condition. 3.12 Attend to moorings of the launch as per good practice of Seamanship 3.13 Keep the bilges dry without causing pollution in the Harbour waters. 3.14 Upkeep and cleanliness of the launch including accommodation, engine room, deck

and superstructure. 3.15 Assisting the Port staff for completion of all statutory, annual and aother periodical

surveys, Recommendations of the Surveyors for completion of the survey and sliway repairs, periodical overhaul, repairs and breakdown repairs.

3.16 The contractor has to undertake planned weekly, monthly quarterly schedule

maintenance of various machines and equipments of the launch and maintain a record for the same for certification by the Marine Engineer authorized.

4. GENERAL REQUIREMENTS

4.1 The Pilot Launch shall be operated as per the instructions of Pilot/Dock Master/HM/DC for berthing/unberthing/ shifting & any other shipping operations including mooring, Fire Fighting, Pollution Prevention, Combating & Control, Salvage & rescue operations and Towage and any other activities required as per the normal practice of Seamanship.

4.2 The Successful Tenderer shall provide crew members consisting of technically

qualified and experienced personnel as per the Merchant Shipping Act 1958(Safe manning) and as given below and should attend all operational, navigational and maintenance work and are to be given adequate rest. The contractor shall also ensure that the Master engaged by him shall not handle the Launch continuously for more than 8 hours in a day and the other crew should work as per the applicable Labour Rules and Regulations.

4.3 The maximum age of the personnel engaged by the contractor shall not exceed 65 years.

4.4 The firm shall follow all the Labour Regulations, Minimum Wages Act, Industrial safety,

Dock safety Regulations and the customs Rules and Regulations.

4.5 The Tenderer will comply with all instructions from the Deputy Conservator of the Chennai Port and any other Officer duly authorized by Deputy Conservator.

4.6 The contract will commence and terminate at Chennai Port.

4.7 The Pilot Launch shall be used for various lawful services including mooring, dockingand undocking of vessels at Chennai Port, round the clock (24 hours a day) and throughout the contract period including but not limited to: a) Pilot embarkation and disembarkation from vessels at anchorage/steaming / on

passage /berth b) Berthing and unberthing of vessels in port. c) Operate at outer harbour for shipping operations or assist in security

operations or for Port related operations.

d) To stand by during fire fighting / Pollution prevention operations etc. e) To assist in double banking / mooring of vessels. f) To maintain communication by VHF. g) Assist in maintenance of navigational buoys / equipments

All other operations required in connection with docking / undocking operations of vessels at Port and related to Harbour conservancy and / or movement of vessels within the port and such other operations as are conventionally performed by Port Pilot Launches. 4.8 A joint survey will be carried out by the Dock Master/ Engineer (Marine) authorized by

the Dy. Conservator along with the representative of the Contractor at the time of handing over the Pilot Launch to the contractor.

4.9 Chennai Port Trust will not be responsible for any damage suffered by the Launch due to failure of the Launch or errors of the Master and crew or any reason whatsoever and the contractor shall be solely responsible for damages to the launch or its machinery during the tenure of the contract. In case of damages during shipping operations the cost of the repairs / renewal / replacement to the Trust property / crafts or to any other vessel shall be borne by the Contractor. In case of any dispute arising in this regard the ruling of Deputy Conservator shall be final and binding. 4.10 In case of damages to the machineries / equipment/ hull of Pilot Launch during the

contract period, Chennai Port Trust shall recover the cost of the machineries /spares and cost of repairs including Survey charges and overheads from the Contractor’s payments due or likely to be due and or from the Security deposit. The contractor shall not be paid the daily rate for the period during which the Pilot launch remains out of commission due to such damages or repairs to the damages.

4.11 The successful Tenderer shall execute an agreement within 10 days from the date of

receipt of order on a non judicial stamp paper of Rupees 50/- for accepting all the Trust’s terms and conditions.

4.12 Though the contract is for manning, operation and upkeep of the pilot launch the

Deputy Conservator shall at his discretion utilize all the officers and crew or any of the Officers and the crew of pilot launch engaged by the contractor in any other vessel owned or hired by Chennai Port Trust as and when required without any extra cost. Refusal to work in other Trust’s vessels will be viewed seriously and may lead to termination of the contract of the concerned officers / crew. In case of any misbehavior of the person posted by the contractor, Deputy conservator or his authorized representative shall deduct penalty at the rate of 15% of the daily rate for every incident of misbehavior and the contractor shall replace the erred person after three incidents.

4.13 The contractor shall make payments towards salaries for the officers and crew

engaged by him on or before the date stipulated by Labour Laws and other requirements like Provident Fund, ESI shall be strictly followed.

4.14 The Contractor has to pay the revised minimum wages to the crew engaged by them.

The Contractor has to take the insurance policy covering all type of risks of all employees, crew and vessel throughout the charter period including Hull and Machinery Policy.

The Contractor has to comply with the Contract Labour Act, Workman Compensation Act and shall follow the ESI and Provident Fund Rules for their personnel and documentary proof shall be produced to the Chennai Port Trust along with the monthly bill.

In case of failure to make payment of wages to the crew, Provident Fund, ESI and

insurance premium for covering all types of risks by the Contractor, Chennai Port Trust will make the wage payment, premium payment, PF, ESI etc., and recover from the monthly bills payable to the Contractor. In the event of insufficient funds, Chennai Port Trust will be at liberty to deduct the same from Security Deposit.

4.15 The tenderer shall quote the ESI Registration details and a copy of the documentary

evidence for the same shall be furnished.

a) If the contractor is employing more than 20 employees, ESI contribution of the employees engaged shall be paid by the contractor and the documentary proof for the same shall be furnished along with the bill, failing which the ESI contribution (both employee & employer contribution) will be recovered from the amount payable to the contractor.

b) If the contractor is employing less than 20 employees, the ESI contributions for the workers engaged (both employee & employer contribution) shall be paid by the contractor through Chennai Port Trust. A List of employees engaged by the contractor for this work along with details of salary, ESI contribution, etc. shall be furnished monthwise during the contract period.

4.16 The Contractor shall carryout the works strictly in accordance with the contract to the

satisfaction of the Controlling Officer i.e. the Deputy Conservator or his authorized representative of Chennai Port Trust and shall comply with and adhere strictly to his instructions and directions on any matter (whether mentioned in the contract or not) all within the Natural Capabilities of the Patrol Boat.

4.17 The Contractor shall not otherwise than in accordance with the Statutes, Ordinances

and Government Regulations or Orders for the time being in force import, sell, give, barter or otherwise dispose of any alcoholic liquor or drugs or permit or suffer any such importation, sale, gift, barter or disposal by his agent or employees.

4.18 The Contractor shall not indulge in any smuggling or illegal activities, give, barter or

otherwise dispose of to any person or persons any arms or ammunition of any kind or permit or offer the same as aforesaid.

4.19 The Contractor shall at all times take all reasonable precautions to prevent any

unlawful riotous or disorderly conduct by or amongst his employees and for the preservation of peace and protection of persons and property in the neighbourhood of the work against the same.

In case, the Deputy Conservator receives complaints of indiscipline or refusal to carry

out the orders of his authorized representative the same shall be viewed seriously and charter rate for the day shall be deducted as a penalty and for serious offences, the concerned personnel shall not be allowed to operate the Patrol Boat and suitable replacement shall be arranged by the Contractor within 24 hours.

If the offence is serious, Chennai Port shall inform to the concerned enforcing authorities.

4.20 The contractor shall provide all cleaning materials and consumable items for

upkeeping of the launch.

4.21 The Contractor shall provide insurance cover to the officers and crew of Pilot Launch at all times, engaged either in Pilot Launch or in any other vessel of the Chennai Port Trust. He shall submit the proof from time to time for having taken insurance for the personnel engaged within 15 days from the date of commencement of contract. 4.22 The Tenderer shall be solely responsible for reporting to the Chennai Port Trust, Dock Safety and Police Department immediately of any serious or fatal accident to any of his employees/workmen engaged by him. 4.23 Whenever the launch is in out of commission beyond 24 hours on account of major breakdown excepting normal wear and tear and thereby no operation, then, only 50% of the quoted rate will be paid for the period during which the Pilot Launch is out of commission beyond 24 hours. The decision of the Deputy Conservator will be final regarding nature and period of breakdown. However, planned & preventive maintenance and slipway repairs will be outside this purview. 4.24 Chennai Port Trust shall under no circumstances allow sub-contracting or sub-letting of the contract to any other firm or individual. 4.25 The contractor shall under no circumstances hand over any repair works or machinery to outside workshop for repairs without written permission of Deputy Conservator. 4.26 The Tenderer is solely Responsible to comply with all statutory Laws, Rules,

Regulations of various Departments of Central /State Governments which may not be specified herein (Eg. working hours of the afloat employees, P.F. Account etc.)

4.27 Joint Survey will be carried out by the Dock Master/Engineer(Marine)

authorized by the Dy. Conservator along with the Representative of the Contractor at the time of handing over the Pilot Launch to the contractor.

4.28 In case of damages to the machineries/equipment/hull of Pilot Launch during

the contract period, Chennai Port Trust shall recover the cost of the machineries/spares and cost of repairs including Survey charges and overheads from the Contractor’s payments due or likely to be due and or from the Security Deposit. The contractor shall not be paid the daily rate for the period during which the Pilot launch remains out of commission due to such damages or repairs to the damages.

4.29 The Contractor shall provide insurance cover to the crew of Pilot launch at all

times engaged either in Pilot launch or in any other Pilot launch/Vessel of the Chennai Port Trust. He shall submit the proof from time to time for having taken insurance of the personnel engaged by him. The failure of the contractor to submit

the proof for having taken Insurance within 15 days from the date of commencement of operation would lead to termination of contract.

4.30 The Tenderer shall be solely responsible for reporting to the Chennai Port

Trust, Dock Safety and Police Department immediately of any serious or fatal accident to any of his employees/workmen engaged by him.

4.31 The contractor shall nominate a Co-ordinator with marine background for

supervision and to coordinate with the officials of Chennai Port. 4.32 The Contractor shall maintain a log book provided by the Chennai Port Trust

about the work carried out daily and record all relevant pressures and temperatures of various engines and machineries in the Engine Room. He shall also maintain records of diesel fuel oil, lube oil consumed and the Running hours of the machinery. He shall also maintain deck log book supplied by the Chennai Port Trust and fill in all relevant columns therein and will furnish all the data to the Marine Engineers in charge of the Launch.

4.33 The Chennai Port Trust shall supply bunkers, Lubricants, spares, fresh water

and paints. 4.34 The Launch under water and other structure will be inspected by the divers so

as to assess the condition of the same before handing over the launch to the successful tenderer for operation and thereafter also at regular intervals and at the time of completion of the contract. The contractor is liable to pay the cost towards damages if any, to the underwater hull and other structures of the launch during the contract period.

4.35 Security of the Pilot Launch and its appurtenance, L.S.A and F.F.A. will be the

contractor’s responsibility. A certificate shall be obtained from the Trust Marine Engineer authorized by the DC to the effect. Based on the Certificate, cost towards loss/damage of any items will be deducted from the payment due or likely to be due for the contractor and/or from the security deposit due for the contractor from the Chennai Port Trust.

4.36 The contractor and the Engineers engaged shall be responsible for receiving

fuel oil, lube oil and spares supplied by the Trust. The quantity received and consumed shall tally and if discrepancies/short fall in the quantity of oil supplied or missing of spares is detected, the cost of same shall be recovered from contractor’s monthly bill.

4.37 The contractor will not be permitted to engage trainees/apprentice of any

category on board Pilot Launch.

5 SPECIAL CONDITIONS 1. The Tenderer shall examine carefully the special conditions of Contract and pre-

qualification requirements and shall acquaint himself with the nature and requirements of work, local working conditions etc. for the purpose of making his offer on his own responsibility.

2. It shall be open to the Deputy Conservator to nominate one or more of his

representatives to supervise the work. 3. The rate quoted by the Tenderer shall be firm and not subject to fluctuation at any

stage till the completion of the contract. The prices quoted must be filled in ink both in figures and words in the Cost Schedule ‘A1’ attached with the Tender Document. The rate quoted shall be inclusive of all Taxes(except Service Tax), duties and all charges and any corrections shall be supported by the Tenderer’s signature against the correction. The Chennai Port Trust shall reimburse the Service Tax paid by the Contractor to the appropriate authority on production of documentary proof for having paid the Service Tax for the work carried out.

IMPORTANT : The quoted rate shall include all costs without limitation of labour, material, supervision, transport, haulage, overtime, victualing, Cost of Harbour entry passes, profit and all tax expenses(except Service Tax), any other charges levied by the Government. Further, the maintenance like cleaning, chipping and painting, liabilities and obligations, which under the conditions of this contract and contract specifications shall be borne by the contractor.

4. It will be entirely the Tenderer’s responsibility to take required steps to adequately

safeguard the personnel carrying out the work by providing Personal Protective Gears and to ensure that the work is carried out in such a manner that maximum safety to the personnel and for the Pilot Launch is assured.

5. The watch and ward for the Pilot Launch and storage of materials will be Tenderer’s

responsibility and the Tenderer shall be held responsible for any loss of the materials, equipment and all fitted items onboard.

6. The Tenderer shall be deemed to have satisfied himself before submitting the tender

as to the correctness and sufficiency of his tender for the work and of his prices stated in the Cost Schedule ‘A1’ so as to cover all his obligations under the contract for proper completion of the work.

7. The successful Tenderer shall get clearance from the Deputy Conservator or any

officer authorized by him for the crew members before engaging them and also as and when the crew is changed. The men engaged by the contractor shall be qualified to work on launch and permission shall not be given to post unqualified persons / trainees. Copies of certificates of all the officers and crew shall be conspicuously displayed onboard the launch. If necessary the officers and crew shall be presented before DC/DM/Marine Engineer prior to approval by Deputy Conservator.

8. The Chennai Port is a ISPS Code Compliant Port. Hence the contractor shall ensure that the personnel engaged by him shall not have any criminal proceedings against him and the contractor is solely responsible for the antecedents of the personnel engaged by him. If required, the Contractor shall also obtain the necessary antecedence verification and clearance from the Police for issue of harbour entry passes.

9. The Deputy Conservator reserves the right to terminate the contract if the Pilot

Launch are not manned satisfactorily and also for not providing required personnel as mentioned in clause 4.2 of General Requirements.

10. The Engineers/Masters proposed to be engaged by the contractor is required to

undergo Medical examination by the Medical Officer of Chennai Port Trust and those who are declared fit by the Chief Medical Officer of the Trust will alone be permitted to work in the launch. Necessary charges for the Medical examination shall be borne by the Contractor. The Deputy Conservator reserves the right to remove any of the crew members whose performance is not found satisfactory.

11. The Contractor shall ensure that the crew or any other personnel employed / engaged

by the contractor for execution of this contract of Manning, Operation and Upkeep of Pilot Launches shall not, during the currency of the contract or at a later stage form any Trade union or affiliate themselves with any Trade Unions or shall not claim any employment in the Chennai Port Trust at any point of time. The Contract will be terminated by giving seven days notice if any of the personnel employed / engaged by the contractor is found involved in such activities.

12. The contractor shall fix and pay the wages to his employees as per Regulations 63 to

73, Chapter VI of Contract Labour (Regulation & Abolition) Act, 1970 or as per Minimum Wages Act or any other Act/Rule as applicable and make the payment of the monthly wages to the Officers and crew engaged by him before a specified date every month. In case of failure to make payment of monthly wages to the Officers and the crew before the specified date, Chennai Port Trust will recover the wages payable to the personnel engaged by him from the monthly bill or any amount payable to the contractor and make arrangements for disbursement of wages from such deducted amount.

13. The Contractor should follow the all Statutory Acts of State and Central Government. 14. The Contractor shall not engage the persons below 18 years . 15. No correspondence will be entertained by the Chennai Port Trust from any

unsuccessful tenderer after opening the Price Bid. 16. The Deputy conservator reserves the right to accept/reject any or all Tenders without

assigning any reason. 17. The Deputy Conservator reserves the right to cancel the entire Tender process

without assigning any reason and any liability. 18. The decision of the Deputy Conservator shall be final regarding any dispute arising

in any manner in execution of Manning, Operation and Upkeep of Pilot Launch.

19. Validity of the Tender: The Tender submitted by the Tenderer shall remain valid for

a period of 180 days from the date of opening of the Technical Bid. 20. In the event of the Tenderer withdrawing the tender after its submission and before

the expiry of the validity period, the Tenderer’s offer shall be cancelled and the EMD paid by that tenderer shall be forfeited.

21. The personnel engaged by the contractor shall not be allowed to work on the launch

without wearing working overalls (boiler suit), safety shoes etc. and other safety gear.

6. COMMERCIAL POINTS 1. The successful Tenderer should deposit 5% of the total contract value towards

Security Deposit in the form of Cash /Bank Guarantee / D.D. from a Nationalized / Scheduled Bank encashable at Chennai. In case of DD, it shall be drawn in favour of “Chairman, Chennai Port Trust.”

2.PENALTY :

a) Failure on the part of the Tenderer to man the Launch whenever required for operation due to non-availability of Master or Engineer or any of the crew will forfeit the daily hire charges and an additional like sum will be levied towards penalty for failure to man the launch.

b) The Deputy conservator or any other officer authorized by him shall have the right to inspect the launch to see whether manning is done by providing crew as mentioned in clause 4.2 of General Requirements. If, at any point of time, the number of crew onboard the pilot launch, is less than 5 in number, 25% of the daily rate for short of each person at every time will be deducted from the contractor’s bill.

c) A sum equivalent to 10% of the daily rate for each person whenever any of the crew member is found without proper uniform including Boiler suit and PPEs.

3. From the date of receipt of the order, the Tenderer shall mobilize the required

manpower and start operation of the craft within the date specified by the Chennai Port Trust failing which the Deputy Conservator reserves the right to cancel the contract and the EMD paid by the Contractor will be forfeited.

4. The contractor shall indemnify the Chennai Port Trust of any liabilities sustained by

him during the operational period and give such an undertaking/execute an indemnity bond. Also the Contractor shall indemnify Chennai Port Trust against Fire risk, theft and any damage caused by him to any Chennai Port Trust property / other vessels and to Undertake to make good the damages.

5. The Contract period is for 24 months from the date of commencement. 6. The contract shall be terminated by giving 30 days notice from either side. If there is

no notice from either side, the contract will automatically get terminated at the end of 24 month’s period from the date of taking over of the Launch by the contractor.

7. The contractor will be served with notice in case of unsatisfactory performance/indiscipline/non-posting of requisite personnel as mentioned in Clause 4.2. D.C. reserves right to terminate the contract on serving 3 notices to the contractor and the Security Deposit will be forfeited.

8. The offers of tenderers who have not followed the two cover system as mentioned and

who have submitted the price bid directly in a single cover will be summarily rejected.

9. Telegraphic offers will be treated as DEFFECTIVE, INVALID AND REJECTED.

10. The Tenders shall be submitted duly signed by the Tenderer or his authorized person

with seal on all the pages of Tender documents.

11. The Tenderer shall not put any conditions in the price bid. Any condition in the price bid will disqualify the tenderer and the tender will be rejected. The Tenderer shall also not indicate his rate anywhere directly or indirectly in the documents in Cover – I or in the main Cover.

12. If no separate breakup is provided for Service Tax, it will be construed as exclusive

of Service Tax for evaluation purposes and no clarification after opening of price bid shall be sought and entertained in this regard.

13. The Tenderer who fulfills the Eligibility requirements as indicated in clause 1.6

shall be pre-qualified.

14. The Cover-“II” ‘PRICE BID’ of the pre-qualified tenderers alone will be opened on the date and time fixed by the Deputy Conservator and intimated to all the pre-qualified tenderers.

15. The Chennai Port Trust shall not pay any interest to the Tenderer/contractor on the

amounts of EMD and security deposit.

16. DECLARATION: I/We certify that the details as furnished by me/us have been verified and found correct. We have not made misrepresentation with the view to get the contract in our favour. If any information is found to be not correct, the contract awarded to us shall be liable for cancellation by Chennai Port Trust and we shall be liable to pay the Chennai Port Trust such damages as Chennai Port Trust may be put to, due to termination of the contract. I/We, hereby offer price details in Price Bid only. If price found anywhere in Techno-Commercial Bid, the offer is liable for rejection.
