WARNACO PRODUCT TESTING PROGRAM

Warnaco has adopted a Quality Assurance Program which will ensure that fabrics and garmentssold by divisions and subsidiaries of Warnaco, Inc. shall meet the established testing criteria andperformance standards relating to consumer protection and quality of performance. All finishedproducts will also be sold in conformance with appropriate legislation. This includes all trimcomponents as well as hardware, fabrics and garments.

Each vendor will be responsible for ensuring that all fabrics and garments meet the Warnacotesting criteria and that all necessary tests are done according to Warnaco’s requirements.

Each vendor will be responsible for ensuring that the correct number of samples for each style, inall colors, is submitted for testing to the Warnaco approved laboratory, accompanied by thecompleted Warnaco Test Request Form.

The product testing procedure will be performed in the following manner:

Development Testing• Trim components, hardware, embroidery• Yarns• Fabrics and garments

Testing will be performed on trim components, hardware, fabrics and garments prior to theiradoption.

Production Testing• Trim components, hardware, embroidery• Fabrics• Garments

Production testing is performed on all finished products.

PROGRAM RESPONSIBILITY

Development TestingWhen a fabric or garment is in the development stage, and the item is requested by a designer,Product Manager or Merchandise Manager, Warnaco will be responsible for all testing charges.But the vendor has to pay for all testing charges first, if the product is not adopted,Warnaco will pay back the vendor the development testing charges.

Production TestingIt is the responsibility of the vendors who supply development and bulk production fabrics andgarments to Warnaco, Inc. to pay for all testing charges, including the cost of destroying thefabrics and garments during evaluation. Invoices will be sent directly to the vendors from BureauVeritas laboratories. The current testing price list can be found on the related performancespecifications.

TESTING PROCEDURES

I. WARNACO’S RESPONSIBILITYWarnaco will provide the vendor with a copy of the Warnaco Quality AssuranceSoftlines Program Manual, sample submission requirements and performancestandards.

When a product fails testing, Warnaco will discuss the situation with the QualityDepartment, Division Merchandise Manager and the vendor, when necessary, toremedy the deficiency, to determine the disposition as to retest or cancellation of theorder.

II. VENDOR’S RESPONSIBILITYVendors to Warnaco are responsible for all fabric and garment testing of developmentand bulk production merchandise. Vendors must guarantee that all fabrics andgarments pass all tests before production begins and the final product is shipped. Thebest timing for fabric testing is upon the initial run of production. The best timing forgarment testing is upon receipt of our order with the correct samples. It is vendor’sresponsibility to ensure that all the necessary tests are done to meet Warnaco’srequirements.

All tests will be paid by the vendor.

Sample submission to the laboratory:

Fabric Testing: For initial testing, a minimum of four (4) square yards must besubmitted for full testing in one (1) colorway along with a minimum of two (2) squareyard of fabric in each additional colorway. Fabric must be identical in every aspect tobulk production piece goods including color and prints.

Garment Testing: Send three (3) garments in each style with one colorway forcomplete garment testing. No additional color testing required in garment stage.Production garments must be made on production machinery and must represent bulkproduction. If additional garments/fabrics are required, the laboratory will immediatelycontact the vendor.

A completed Warnaco Test Request Form must be submitted with each fabric/garmentsubmission. The laboratory will not accept a sample if the form is incomplete. (Seeenclosed Test Request Form). Garments must include all trim, accessories andembellishments.

The following outlines the number of samples required of trims, hardware, etc.:

Note: VISUALLY UNSATISFACTORY SAMPLES (stains, tears and missing pieces)WILL NOT BE ACCEPTED FOR TESTING!

Garment Retests: All retests are the vendor’s responsibility.Note: On production retests, the previous test report number must be referenced onthe Test Request Form. If a previous report number is not referenced, the full fabric andgarment tests may be performed on the submission. All retest fees are the vendor’sresponsibility.

Ongoing Programs: Products that are purchased on an ongoing basis must be testedin accordance with the appropriate packages at least once every 6 months, or whenchanges have been made in production.

TEST REQUEST PROCEDURES

The following is the procedure for requesting testing:

Warnaco Test Request Form:All test requests must be submitted to the approved laboratory on the Warnaco Test RequestForm in order to expedite testing.

The forms must be filled out completely at the time of submission for testing and must include thefollowing information:

• Vendor/ Mill Name. The full name of the test submitter must appear and the name must belegible.

• Warnaco Contact Information: Must be filled completed including Warnaco Contact, e-mailaddress, telephone number and address.

• Service Required: A test request box must be checked to specify which service is requiredfor testing.

• Division: a test request box must be checked for one of divisions (Chaps, WSG, CK Jeans,CKU or Intimate)

• Category: a test request box must be checked to identify which category is being testingsuch as Men’s, Women’s or Kid’s (96 months or below)

• Fabric Supplier

• Cutting Factory

• Fiber Content. The complete fiber name must be written and it must be in the formrecognized by the Federal Trade Commission (FTC). If a trade name is used such asLycra®, it must be followed with the FTC recognized name as well, such as Lycra®elastane.

• Country of Origin

• Style Number. This should be the assigned Warnaco style number. If this is not available,then the supplier’s style number should appear.

• Color. If the Warnaco color name or number is not available, then the supplier’s name ornumber should appear.

• Intended Care Instructions. The care instructions should include complete informationregarding washing, bleaching, drying, ironing. If no care instruction is available, then theline should read “lab to provide care instructions”.

• Sample Status: Must advise if sample is development or bulk production and a testrequested box must be checked.

• Tests to be Conducted: One box must be checked.

• Billing Information: Must be fully completed including company name, address, contactname, e-mail address and telephone or fax number.

The approved laboratory will make every effort to complete the requested tests as quickly aspossible. There are several levels of service available:

• Regular Service: 5 business days beginning the day after the laboratory receives thesample(s). The regular fee applies.

• Priority Service: 3 business days beginning the day after the laboratory receives thesample(s). A 40% surcharge applies.

• Express Service: 2 business days beginning the days after the laboratory receives thesample(s). A 100% surcharge applies. This service cannot perform complete testing.

For testing requested under the “Priority” and “Express” sections, only those tests should berequested that can be completed within the specified time frame. These options should limited inscope and should only be used when absolutely necessary to reduce turn-around time. Note: Ifthe service time will exceed the specified time frame because of the tests required, the laboratorywill notify the requestor within 24 hours of receipt of the sample what the completion date will be.

There are certain tests or packages which by nature will require longer testing times:• Leather items• Feather & down analyses• Swimwear colorfastness• Durability to Repeated Launderings• Fiber content analyses• Products requiring numerous washings• Heavy Metal test• Lead Content test• Nickel Release

Warnaco Test Result Ratings:Individual tests, along with the overall rating will be based on the following:

Pass: Approved

Approved Within Warnaco Standards & Requirements (AWT)

Improvement Needed (IN): Item Failed Testing, improve and resubmit

Fail: Cannot Proceed

DEVELOPMENT/ PRODUCTION TESTING

The Development Testing Program tests products and evaluates the performance of trimcomponents, hardware and fabrics before the sample is adopted and the bulk production order isgiven. Although testing is done in the development stage, bulk production testing must also occur.

Trim Components Testing

All trim items, whether functional or decorative must be tested according to the Trim ComponentTesting Package before an order is place with the supplier. This procedure ensures that trim itemswill the Warnaco Performance Requirements prior to adoption. Basic trim components that havepreviously passed the requirements do not need to be tested in the development stage.

Zippers: 15 samples are required in each color. If the sample is painted or coated, 30 extrasamples will be needed.

Basic Testing Package:• Bottom stop, pull off• Cross pull off• Durability to 3 laundering cycles• Durability to 1 drycleaning cycle• Operability• Slider lockhold• Slider pull off• Top stop, pull off• Lead determination on painted or coated samples• Heavy Metal• Nickel content test (for zipper with direct skin contact)• Corrosion Resistance (for metal component only)

Colorfastness Testing on Approved Color:• Colorfastness to crocking• Colorfastness to drycleaning• Colorfastness to laundering

Snaps: 12 samples minimum if not painted or coated & 30 samples minimum if painted orcoated. Samples must be attached to a representative fabric sample.

Basic Test Package:• Durability to 3 laundering cycles• Durability to 1 drycleaning cycle• Quality & appearance• Snap/Unsnap Force• Lead determination on painted or coated samples• Heavy Metal• Nickel content test (for snap with direct skin contact)• Corrosion Resistance (for metal component only)

Hasps/Sliders/Buckles: 30 samples minimum are required.

Basic Test Package:• Durability to 3 laundering cycles• Durability to 1 drycleaning cycle• Lateral pull (only applicable for Chaps, CK & Intimates groups)• Vertical pull (only applicable for Chaps, CK & Intimates groups)• Attachment Strength (only applicable for WSG when the sample is submitted with strap)• Quality & appearance• Lead determination on painted or coated samples• Heavy Metal• Nickel content test (for hasp/slider/buckle with direct skin contact)• Corrosion Resistance (for metal component only)

Beads/Sequins: 12” x 12” fabric with 15 lines of beads at least 2 inches in length. The beads orsequins must be affixed to the approved fabric or a representative fabric. If the sample is coatedor painted, 150 extra samples will be needed.

YARN TESTING – DEVELOPMENT/PRODUCTION

Basic testing Package: 1 cone, 120 yards minimum is required in each color or cone with fineyarn: 0.5” thickness / cone with coarse yarn: 1” thickness

Remark: If tension and handfeel is fine, Warnaco will inform vender there is no need to proceedyarn test.

FABRIC AND GARMENT TESTING – DEVELOPMENT

Number of samples required: 4 yards if 36” or wider; 5 yards is 15” – 36” and 12 yards if 14” orless.

All fabrics submitted must represent the its finishing process such as sanding, stonewashing,sandblasting, flocking, printing, garment washing, etc. The fabric manufacturer is responsiblefor testing the fabric before washing or finishing. The garment manufacturer is responsiblefor testing garments after washing and finishing.

Basic Testing Package:• Abrasion• Appearance after 3 laundering cycles, either machine or hand• Appearance after 1 drycleaning cycle• Bursting strength (knit fabrics)• Tearing strength (woven and leather)• Tensile strength (woven and leather)• Dimensional stability after 3 launderings or 1 drycleaning• Dimensional stability to steam pressing• Fabric weight• Fiber content• Flammability• pH (intimate: all colors / others: white & indigo only)• Pile retention (plush fabrics only)• Pilling resistance• Torqueing• Stretch on fabrics containing elastic fibre• Water resistance – Rain test (rainwear only / if claimed)• Water repellency - Spray test (outerwear/ if claimed)

FABRIC AND GARMENT TESTING – PRODUCTION

The Production Testing Program was developed to ensure that all trim components, hardware,fabrics and garments conform to the Warnaco Performance Standards. Note: If the fabric has aspecial type finish, then testing must be performed on the finished fabric.

SCOPE OF TESTS - SOFTLINES

While the extent of laboratory test will vary by product category, consumer products will besubjected to numerous tests to attain quantitative data on overall serviceability in addition toverification of conformance to required Federal and Industry Safety criteria.

For example, consumer products shall be subjected to the following:

Basic Piece Goods Testing(Please note that this list is not complete and does not include country specific testing requirements -please refer to other relevant sections of this manual!)

Note: If fabric weight vary by 10%, shrinkage tests will also be performed. It may also benecessary to conduct fiber content evaluation.

Garment Testing

3 garments are required to submit for testing

All production garments are required to be tested in accordance with the Basic Garment TestingPackage before the goods are shipped. Every garment style in the correct color must be sent to aWarnaco approved laboratory.

Note: The submitted production garment must be totally complete, containing all trims, hardwareand embellishments. If two garments are not furnished, the testing laboratory will contact therequestor for additional garments. Testing cannot proceed until both garments are received.

Basic garment testing includes the following:

Verification of Care Instructions

When a preproduction garment sample is submitted the care instructions are confirmed byevaluation results of garment tests and production fabric tests.

Fiber Content

Fiber content is evaluated on representative fabric. When the laboratory finds different fabricconstruction within the style submitted, additional fiber content analysis may be conducted in orderto verify. The actual fiber content label must be verified by the garment, taking into considerationthe type and amount of trim, ornamentation and functional components.

PRODUCT SAFETY STANDARDS AND PROCEDURES

TEXTILES - SAFETY REQUIREMENTS

FormaldehydeAll textiles and textile components including linings, ribs, cuffs, non-woven interlinings, labels andtrim & embroidery components will be tested primarily with qualitative Spot Test (BV C1007). If theresult shows positive (formaldehyde presents), a quantitative test should be done in accordancewith AATCC 112.

TRIM AND DECORATIONS

Functional items

Such as buttons and snaps, are items that are necessary to remove or put a garment on the body.Such functional items are excluded from the Federal ruling for North American Products, but mustmeet or exceed Adult: 15 lbs or infant/ children (under 96 months): 17 lbs @ 10 seconds pullstrength for North America.

The following guidelines are presented as an aid to producing a safe product.

Wash DurabilityAll trim components will be subject to the AATCC 135 Home Laundering Test and must show nosigns of detachment, discoloration, distortion or removal of any protective coatings. All metal trimcomponents will be subjected to the corrosion resistance test, and must show no signs ofcorrosion, oxidation or discoloration.

Sharp Points and Edges (All Ages)No sharp points or edges may exist on any product, packaging, or hardware, tested in accordancewith ASTM F 963/16 CFR 1500.

Velcro Adhesive Fastenings (All Ages)No Velcro, or hook and loop, fastening tape with sharp corners may be applied to anymerchandise. All tape edges must be radiused (die-cut or hand trimmed) to prevent scratching.

Cords, Ties, and Sashes

Drawcord - Defined as a string or cord inserted into a garment usually through buttonholes oreyelets for use in closing or controlling the fullness of the garment.

Ties and Sashes (Functional) - Defined as a ribbon, cord or band of fabric permanently attachedto the garment and usually worn about the waist as an accessory for the purpose offastening and drawing closed in addition to knotting to form a bow.

CONDITIONS OF TESTING

At the request of the submitter (“Client”) of a test request form (“Test Request Form”), Bureau Veritas Consumer Products Services, Inc. (“BVCPS”), a Massachusettscorporation, or a subsidiary or affiliate of it, as identified in a written report (the “Test Report”) issued by BVCPS or such subsidiary or affiliate (BVCPS or such subsidiaryor affiliate being referred to herein as the “Company"), has conducted the tests specified in the Test Report in accordance with, and subject to, the following terms andconditions:

1. The Test Report is issued solely by the Company, is intended for the exclusive use of client and shall not be published, used for advertising purposes, copied orreplicated for distribution to any other person or entity or otherwise publicly disclosed without the prior written consent of the Company. The Company shall not beliable for any loss or damage whatsoever resulting from the failure of the Company to provide its services within any time period for completion estimated by theCompany. If Client anticipates using the Test Report in any legal proceeding, arbitration, dispute resolution forum or other proceeding, it shall so notify theCompany prior to submitting the sample for testing.

2. The names, service marks, trademarks and copyrights of the Company and its affiliates, including the names “BUREAU VERITAS,” “BUREAU VERITASCONSUMER PRODUCTS SERVICES,” “VERITAS” and “BVCPS”, (collectively, the “Marks”) are and shall remain the sole property of the Company or its affiliatesand shall not be used by Client except solely to the extent that client obtains the prior written approval of the Company and then only in the manner prescribed bythe Company. Client shall not contest the validity of the Marks or take any action that might impair the value or goodwill associated with the Marks or the image orreputation of the Company or its affiliates.

3. The Test Report sets forth the findings of the Company solely with respect to the test samples identified therein and, unless specifically and expressly indicated inthe Test Report, the results set forth in such Test Report are not indicative or representative of the quality or characteristics of the lot from which a test sample hasbeen taken. The Test Report reflects the findings of the Company at the time of testing only, and the Company shall have no obligation to update the Test Reportafter its issuance. The Test Report sets forth the results of the tests performed by the Company based upon the written information provided to the Company asset forth in, or attached to, the Test Request Form. The Test Report represents the entire understanding of the parties hereto with respect to the subject matter ofthe Test Report and no modification, variance, extrapolation or conclusion with respect thereto shall be permitted without the prior written consent of the Company.

4. The Company may, in its sole discretion, destroy samples which have been furnished to the Company for testing and which have not been destroyed in the courseof testing. The Company may delegate the performance of all or a portion of the services contemplated hereunder to an affiliate, agent or subcontractor of theCompany, and client consents to such delegation.

5. Unless a shorter period is provided for in the Test Report, payment in full for the Test Report shall be due 30 days after the date of invoice. Client shall pay intereston any overdue amount from the due date until paid at an interest rate of 1.5% per month or, if less, the maximum rate permitted by law. The Company reservesthe right, at any time and from time to time, to revoke any credit extended to client. Client shall reimburse the Company for any costs it incurs in collecting past dueamounts, including court costs and fees and expenses of attorneys and collection agencies. The Test Report may not be used or relied upon by client if and for solong as client fails to pay when due any invoice issued by the Company or any affiliate of it to Client or any affiliate or subsidiary of client together with interest andpenalties, if any, accrued thereon.

6. The Company may, from time to time, permit Client to access the Test Request Form, the Test Report and other communications by means of e-mailtransmissions with the Company. Client acknowledges that any such transmission will not be encrypted and, hence, will not be confidential, that suchtransmissions may be read and intercepted by third parties and that the electronic version of a Test Request Form, Test Report or other communication could bemodified inadvertently. The Company disclaims any and all responsibility or liability arising out of or in connection with e-mail transmissions of such information.

7. The Company represents and warrants solely to Client that the Test Report is free of any material error or omission caused by the negligence of the Company. IfClient desires to assert a claim for breach of the foregoing warranty, it must submit a claim to the Company within 60 days after the date of issuance of the TestReport to Client in a writing that sets forth with particularity the basis for such claim. If the Company determines that the claim is timely and that a breach of theforegoing warranty has occurred, then the Company, at its option, may either (a) re-perform the deficient test, without charge to client, or (b) refund to Client,without interest, the fee paid to the Company for such Test Report. Client waives any and all claims for breach of the foregoing warranty, including, withoutlimitation, claims that the Test Report is inaccurate, incomplete or misleading or that additional or different testing is required, unless and then only to the extentthat Client submits a written claim to the Company within such 60-day period.

8. The Company shall, to the extent of the limitation of liability set forth in Section 9, indemnify Client against third party claims asserting a loss arising exclusivelyfrom the negligence of the Company, but only if Client (a) notifies the Company of the assertion of such claim immediately upon its being notified and (b) providesto the Company the option to assume the defense of such claim or participate in such defense.

9. EXCEPT TO THE EXTENT OF THE LIMITED WARRANTY SET FORTH IN SECTION 7 OR AS MAY OTHERWISE BE AGREED TO IN WRITING BY THECOMPANY AND NOTWITHSTANDING ANY PROVISION TO THE CONTRARY CONTAINED HEREIN OR IN ANY TEST REQUEST FORM, NO WARRANTYOR GUARANTEE, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE,IS MADE. IN NO EVENT WHATSOEVER SHALL THE COMPANY BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL OR INCIDENTAL DAMAGES INCONNECTION WITH OR ARISING OUT OF THE SERVICES PROVIDED BY THE COMPANY HEREUNDER, INCLUDING WITHOUT LIMITATION LOSS OFOR DAMAGE TO PROPERTY, LOSS OF INCOME, PROFIT OR USE, OR CLAIMS OR DEMANDS MADE AGAINST CLIENT OR ANY OTHER PERSON BYANY THIRD PARTY IN CONNECTION WITH OR ARISING OUT OF THE SERVICES PROVIDED BY THE COMPANY HEREUNDER. NOTWITHSTANDINGANY PROVISION TO THE CONTRARY CONTAINED HEREIN, UNDER NO CIRCUMSTANCES WHATSOEVER SHALL THE LIABILITY OF THE COMPANY INRESPECT OF ANY CLAIM FOR LOSS, DAMAGE OR EXPENSE, OF WHATEVER NATURE OR MAGNITUDE, AND HOWEVER ARISING, EXCEED ANAMOUNT EQUAL TO THE AMOUNT OF THE FEES PAID TO THE COMPANY FOR THE SPECIFIC SERVICES WHICH GAVE RISE TO SUCH CLAIM.

10. These Conditions of Testing shall be governed by, and construed in accordance with, the local laws of the country where the Company performs the tests or, in thecase of tests performed in the United States of America, the laws of the Commonwealth of Massachusetts. Client waives the right to interpose any counterclaim orsetoffs of any nature in any litigation arising hereunder. Any proceeding related to the subject matter hereof shall be brought, if at all, in the courts of the countrywhere the Company performs the tests or, in the case of tests performed in the United States of America, in the courts of the Commonwealth of Massachusetts.

11. If there is a discrepancy between the terms and conditions set forth in these Conditions of Testing and the terms and conditions set forth (a) in theTest Report, (b) in the Test Request Form or (c) in any other writing other than a master agreement which expressly (i) provides that its terms andconditions shall take precedence over these Conditions of Testing and (ii) cross-references this Section 11 or the equivalent section in the TestRequest Form, the Conditions of Testing set forth at this website shall govern and any inconsistent provision of the Test Request Form, the TestReport or other writing, as applicable, shall be disregarded.
