X Meetings and Membership Assistant Zach Seals Consent Calendar The board reviewed the minutes from the December 19, 2018 & January 16, 2019 Board of Directors Meetings. Donald Patterson moved to approve the December 19, 2018 & January 16, 2019 minutes. Michael Solorza seconded the motion. The December 19, 2018 & the January 16, 2019 minutes were approved. Financial Report as of December 31, 2018 and January 31, 2019 The board reviewed the financial position and YTD Financial Activity. Rudy Livingston reported that conference income is now coming in, and although it is a concern that funds are going down, it appears to be getting back on on track.
Donald Patterson moved to approve the December 2018 and January 2019 financials. Rudy Livingston seconded the motion. December 2018 and January 2019 financials were approved. 2019 Board Elections The board reviewed and discussed the list of current board vacancies and positions up for election. The only Position that currently has no candidates is Secretary. Margaret Moggia reported that there may be someone in her office that is interested. Yelena Martynovskaya read the following from the Standing Rules: The nominating committee shall determine a slate by February 28 and election will be held by electronic means no later than March 10, and will conclude at 11:50 p.m. on March 31. Committee Reports Education and Certification No report. Investment Policy Certification Subcommittee Shaun Farrell reported that five investment policies have been received and the committee is currently evaluating. Shaun added that if a policy does not pass on the first go, he or someone from the committee gives the agency contact a personal phone call and walks them through the policy, as well as providing them with an example of a passing policy. Dan Matusiewicz let the board know that he took the investment policy pamphlets to the January training in Riverside to hand out. Dan suggested that a shorter version or a postcard may be better to hand out. Dan also shared that Susan Munson will be offering a course based on investment policies, and would like to take the pamphlet to her course. SMA will work with Shaun to create a shorter version of the pamphlet. The board discussed promoting CMTA on social media, and how important it is to post about the organization and any events or workshops being offered. Yelena reported that Smith Moore is currently working on improving CMTA’s Linkedin profile. Certification CCMT and CTC Subcommittee Ernestine Jones reported that we are currently updating the postcards used for marketing the education program. The CFA institute Investment Foundations program has transitioned to a free program so the marketing materials would need to be updated.
Education Subcommittee No report.
Membership Committee Damien Charléty added to his submitted report that he has been working with Yelena to establish a rule book for membership. The committee has looked at past data to help with creating the document. Dan reported that it is the document. Damien talked about processes, how to work on retention how to connect with lapsed dues, questionnaires for expired members that did not renew, etc. Damien stated that as an association, we want to build bridges to other organizations and do a better job at retaining information. If there are emails that bounce back, there need to be practices in place to proactively track this and do follow ups. Damien told the board that he welcomes any suggestions the board may have. Communications Committee Margaret Moggia reported that the committee is focusing on social media and how to make it more acceptable. The committee has also been focusing on how to better market CMTA programs like the investment policy, education and membership. Commercial Associate Liaison Kyle Tanaka updated the board on the number of commercial sponsors and exhibitors that have currently signed up for the 2019 Annual Conference. Kyle thanked Yelena for providing data on commercial associate memberships from the last few years. Kyle further reported that currently there are fifteen Commercial
Associates that have not renewed. Kyle will be reaching out to these past members to see why they have not renewed. Kyle will provide this list to the entire board. Governance and Finance Committee No report. Revenue and Taxation Policy Committee No report. 2018-19 Conference Committee Dan Matusiewicz reported that the conference program is almost complete except for a few speaker slots. Weekly marketing emails are being sent out. There are also some additional costs associated with reimbursing. It is important to authorize these requests in order to bring them in especially if CMTA is trying to build relationships with them. 2019-20 Conference Committee Don Patterson reported that the committee has narrowed the hotels to the Marriott San Mateo and Embassy Suites Burlingame. Don reported that there are pros and cons on both sides, but he personally is leaning towards the Marriott. The Marriott’s space is larger and the meeting space is closer together, while the Embassy Suites’ meeting space is spread out. Kyle Tanaka added that from Commercial Associates’ perspective, it is much better to have the exhibit space closer to the break-out rooms. Don’s recommendation, with all things considered, is Marriott. Donald Patterson moved to approve the Marriott San Mateo as the 2020 Annual Conference venue. Dan Matusiewicz seconded the motion. Consent Calendar The board did not have a quorum. The approval of the February 20, 2019 Board of Directors Meeting minutes will be voted on at the next scheduled board meeting. Financial Report as of February 28, 2019 The board did not have a quorum. The approval of the Financial Report will be reviewed at the next scheduled board of directors meeting.
2019 Board Elections Yelena Martynovskaya reported that we currently have 14 responses to the board election email. Staff will be sending a few more mails to the government associate membership before the deadline. Committee Reports Education and Certification No report. Investment Policy Certification Subcommittee In Shaun Farrell’s absence, the board discussed the two page flyer that was created to advertise the investment policy. The board agreed that the flyer is great because it’s a lot shorter and brie it can be easily handed out at event. Margaret Moggia suggested that we post this flyer on our LinkedIn and maybe even post it on our website. Certification CCMT and CTC Subcommittee Ernestine Jones reported that there was recently a committee meeting, but several people could not attend, but those that did attend are on board with restructuring the certification program. The committee is also working on updating certification program flyer and postcard. Dan Matusiewicz added that he would like to see training for bond issuance added to the program. The board further discussed the possibility of a bond issuance course and whether it falls within the niche that CMTA reserves.

Membership Committee No report. Communications Committee Margaret Moggia briefly reported that the committee is focusing on social media and working with Smith Moore to keep our website current. The committee is also working on creating a newsletter where we can highlight upcoming events. Commercial Associate Liaison No report. Governance and Finance Committee No report. Revenue and Taxation Policy Committee No report. 2018‐19 Conference Committee Yelena Martynovskaya reported that there are currently 190 attendees registered for the Annual Conference. We have also met and surpassed our $75,000 goal, we are currently at a total of $77,000. We do need to increase our attendees so we can come out on top. Damien Charléty suggested to the board that we add a CMTA table to the exhibit hall or put it next to registration. At this table we can set out CMTA documents, engage with the attendees and try and get feedback from our members about membership and anything else that we would like to discuss. The board agreed that this a great idea.
2019‐20 Conference Committee Don Patterson reported that the committee is working on the timeline and the theme of the conference. Don added that he wanted something to pass out something at this year’s conference to help promote next year’s conference. Don will work with Smith Moore to help create a flyer. Set up Ad Hoc Legislative Committee The board discussed adding an Ad Hoc Legislative Committee. Thomas Metz was appointed committee char.
Items for Future Consideration Dan Matusiewicz asked if an alternate date for the April 17 board meeting has been set. Yelena Martynovskaya confirmed that the next board of directors meeting is on April 10.

Breakout Session 1 Investment Accounting and Reporting – Kickin’ it Up a Notch CPE: 1 CMTA Specialized Training: 1 California Government Code requires only minimal investment reporting to your entity's governing body. This session will discuss taking your investment reporting to the next level to assist the many stakeholders interested in the investment program. The presentation will show various ways to: account for and report investments; measure achievement of your primary objectives of safety, liquidity, and income; and checkup on how you are reporting the investment GASBs (31, 40, 72, 79). Questions such as, "should cash in the bank be shown on an investment report" will be discussed. Also, with interest rates up and bond prices down, many entities are seeing unrealized losses on their portfolios. But what is really a "loss"? Online financial fraud is exploding due to criminals' use of social engineering. Their schemes target businesses of all sizes and are often paired with wire fraud, payment diversion, and account takeovers. The attempts are often difficult to identify, resulting in thousands of victims and billions of dollars in losses. Knowing how to spot a scam is crucial in thwarting attempts.
Mobile Banking fraud through mobile Remote Deposit Capture (mRDC) has increased the complexity of check fraud. Few organizations know how to resolve the losses and Holder In Due Course claims caused by double‐presentments or other mRDC scams. Meanwhile, old‐school check fraud still produces more losses than any other form of payment fraud because businesses still issue checks. Check fraud is not going away.
Attendees will learn how to spot common internet scams, and how to implement proactive strategies and controls to protect their organizations from fraud losses. They will learn how Check 21 Warranties combine with Holder In Due Course to give recourse to banks and consumers seeking to recoup mRDC losses. The presenters will share real‐life fraud situations, including what went wrong and how the losses could have been prevented.
