The ArchitectThis agreement has been developed as a formal basis for the relationship between a client and an architect. Under the Architects Acts in each state and territory, an architect is a person who is registered by the relevant Architects Registration Board (or equivalent).

The client should be aware that the person nominated as architect under this agreement may not be entitled to use the title ‘architect’ in the place the project is located. The client should check with the relevant Registration Board that the person named as architect is entitled to be described as an architect in that place.

The Budget This budget may be reasonably relied on by the client and the architect in determining the architect’s fees. Estimates of the Cost of Works may be revised and the parties must agree any resultant changes to the scope of services and fees.

Total Project Cost (as set out in Clause C.1)

TheTotal Project CostisinclusiveofGSTandisdefinedastheCost of Worksplusallothercoststotheclientassociatedwiththeproject,includingbutnotnecessarilylimitedto:

• removalandrelocationcosts

• designandconstructioncontingencies,includingescalationcosts

• architectural,consultantandotherprofessionalfees

• authorityfeesandcharges

• legalfees

• landscaping

• loosefurniture,fittingsandequipment

• financecharges,marketingandpromotionalcosts

Cost of Works (as set out in Clause C.2)

TheCost of WorksisexclusiveofGSTandisdefinedasthefinalcostofallworkdesigned,specifiedorscheduledbythearchitect,includingallworkdesigned,specifiedand/orscheduledbyspecialistconsultantscoordinatedbythearchitect,including:

a thefinaladjustedcontractprice(excludingGST)inaccordancewithanybuildingcontract,plus

b theequivalentfinalcost(excludingGST)ofanyworkoritemssuppliedtothebuildingcontractorbytheclient(asifprovidedbythebuildingcontractorunderthebuildingcontract),plus

c thefinalcost(excludingGST)ofanypartoftheprojectprovidedunderacontractotherthanthebuildingcontract.

The Design (as set out in Clause G.1)

ThearchitectretainscopyrightinThe Design.The Designmeans,designconcepts,drawingsanddocumentsprovidedunderthisagreement.

Public Information (as set out in Clause G.2)

Public Informationmeansanyinformationcontaininga2-or3-dimensionalrepresentationoftheproject,orapartofitpublished,exhibitedorcommunicatedtopersonsotherthantheclientorarchitectortheirrepresentatives.

A. Core Architectural Services

Core architectural services are the professional services required by most clients for a building project from the initial design to completion of construction. The majority of projects require all core architectural services. Some projects may not require them all, or may require additional services as described in Clause B.

The architect will provide the following services in relation to the project [strike out those services not required]:

C. Cost

TheclientandthearchitectmustagreeaninitialbudgetfortheCost of Works.TheclientagreesthattheirinitialagreedbudgetfortheTotal Project CostappropriatelytakesintoaccounttheinitialbudgetfortheCost of Works.

EstimatesoftheCost of Worksmayberevisedduringtheprojectandsuchrevisionsmustbeinaccordancewithclientorconsultantadvice,tendersoroffersreceivedandanyadjustmentsduringconstruction.

AsrevisedestimatesoftheCost of Worksareprepared,theclientandthearchitectmustagreetheadjustedbudgetfortheCost of Works.AsrevisedestimatesoftheCost of Worksareprepared,theclientagreesthattheadjustedbudgetfortheTotal Project CostappropriatelytakesintoaccounttheagreedadjustedbudgetfortheCost of Works.

EstimatesoftheCost of Worksarenotaguaranteeoftheactualcost,aquotationoratender.

C.� Total Project Cost

TheTotal Project CostisinclusiveofGSTandisdefinedastheCost of Worksplusallothercoststotheclientassociatedwiththeproject,includingbutnotnecessarilylimitedto:

• removalandrelocationcosts

• designandconstructioncontingencies,includingescalationcosts

• architectural,consultantandotherprofessionalfees

• authorityfeesandcharges

• legalfees

• landscaping

• loosefurniture,fittingsandequipment

• financecharges,marketingandpromotionalcosts

ThearchitectisnotresponsibleformonitoringorcontrollingtheTotal Project Costfortheclient.

C.2 Cost of Works

TheCost of WorksisexclusiveofGSTandisdefinedasthefinalcostofallworkdesigned,specifiedorscheduledbythearchitect,includingallworkdesigned,specifiedand/orscheduledbyspecialistconsultantscoordinatedbythearchitect,including:

a thefinaladjustedcontractprice(excludingGST)inaccordancewithanybuildingcontract,plus

b theequivalentfinalcost(excludingGST)ofanyworkoritemssuppliedtothebuildingcontractorbytheclient(asifprovidedbythebuildingcontractorunderthebuildingcontract),plus

c thefinalcost(excludingGST)ofanypartoftheprojectprovidedunderacontractotherthanthebuildingcontract.

AttheexecutionofthisAgreementtheinitialbudgetfortheCost of Works(excludingGST)isasstatedonpage1.

D. Time

Theclientmustinformthearchitectoftheirinitialprogramfortheprojectandfromthis,theclientandthearchitectmustagreeaninitialprogramforthearchitect’sservices.

Theinitialprogrammayberevisedduringtheprojectbymutualagreementinwriting.

D.� Protracted Services

Ifthearchitect’sservicesareprotractedbyanycausebeyondthearchitect’scontrol:

a thearchitectmustnotifytheclientinwritingofthecauseandanticipatedextentoftheprotraction,and

b thearchitectisentitledtoadditionalfeesandtoareasonableextensionoftheagreedprogram.

D.2 Suspended Services

Wherethearchitect’sservicesaresuspendedforanyreasonbytheclientorthearchitect,thearchitectisentitledtopaymentofallfeesandDisbursementsdue.

Wherethearchitect’sservicesaresuspendedbytheclient,thearchitectisalsoentitledtoreimbursementofanyassociatedcosts.

Ineithercase,allotherrightsandentitlementsofthearchitectcontinueasthoughthesuspensionhadnottakenplace.

E. Fees

Feesforthearchitect’sserviceswillbeonthebasisofatleastoneofthefollowing:

• apercentageoftheCost of Works

• alumpsumfee

• anhourlyratefee

• ifapplicable,acombinationofthese

TheagreedbasisoffeesissetoutinScheduleE1.

AllfeesareGSTexclusive,withaccountssubmittedunderthisagreementtobetaxinvoicesasapplicable.

Additionalservicesrequiredbytheclientafterthisagreementissignedwillbeassessedatanagreedhourlyrate,orasotherwiseagreedinwriting.

ThetotalpercentageorlumpsumfeeshowninScheduleE1takesprecedenceoveranyerror,omissionorambiguityintheamountsallocatedtoindividualservicesorinvoicedatstagespriortothefinalinvoice.

E.� Percentage Fees

WherePercentageFeesapply,thetotalpercentagefeeisallocatedtospecificarchitect’sservicesasshowninScheduleE1.

PercentageFeesarecalculatedandadjustedprogressivelyagainstthebudgetfortheCost of WorksadjustedinaccordancewithClauseC,subjecttofinaladjustmentagainsttheCost of Works,whendetermined.

E.2 Lump Sum Fees

WhereLumpSumFeesapply,thetotallumpsumisallocatedtospecificarchitect’sservicesasshowninScheduleE1.

IfLumpSumFeesapplyandtheprojectscopeoranyofthearchitect’sservicesunderthisagreementarechanged,theresultingworkissubjecttothehourlyratesshowninScheduleE2,orasotherwiseagreedinwriting.

E.� Hourly Rate Fees

Wherehourlyratefeesapply,therespectiveratesfordifferentservicesordifferentpersonnelareshowninScheduleE2.

HourlyratesaresubjecttoannualreviewinlinewiththeConsumerPriceIndex.

Forfeescalculatedonthebasisofagreedhourlyrates,thearchitectmustprovide,ifrequested,timesheetsorotherrecordstosubstantiateallhoursclaimed.

E.� Fee Invoices

FeeInvoicesmayinclude,butarenotnecessarilylimitedto:

a amountsdueforservicesprovideduptothedaybeforethedateofinvoice,and

b amountsforreimbursementofDisbursementsdueinaccordancewithClauseE6.

FeeInvoicesmaybesubmittedmonthlyorasotherwiseagreedinwriting.

E.� Disbursements

Disbursementsnotincludedintheagreedfeesforarchitect’sservicesaretobepaiddirectlybytheclient,orpaidbythearchitectandreimbursedbytheclient,asshowninScheduleE3.

IfreimbursementofthearchitectrelatestoaDisbursementandaservicefeeisalsoshowninScheduleE3,theamountreimbursabletothearchitectwillbetheDisbursementplus15%.

E.6 Payment of Invoices

Amountsdueunderaninvoicemustbepaidwithin14daysofthedateoftheinvoice.

Amountsdueunderaninvoiceandnotpaidwithintheaboveperiodwillbesubjecttointerestatarateof15%perannum.

Interestwillbeappliedprorataontheoutstandingbalancebydividingtherateby365toobtainadailyrateandmultiplyingthatpercentagebythenumberofdaysthebalanceisoutstanding.

Thearchitectisentitledtosuspendprovisionofservicesifanypaymentinrelationtoaproperlysubmittedinvoiceisoverdue.

F. Other Specialist Consultants

Most projects require additional specialist consultant services in support of the architectural services provided under this agreement.

F.� Specialist Consultant Engagement

ThearchitectandtheclientagreetheprojectwillrequiretheservicesofthespecialistconsultantsspecifiedinScheduleF.

ScheduleFindicatesthosespecialistconsultantstobeengageddirectlyandpaidbytheclientaswellasthosetobeengageddirectlyandpaidbythearchitectaspartofthearchitecturalfeesprovidedforinClauseEofthisagreement.

Inrelationtoanyspecialistconsultantengageddirectlyandpaidbytheclient,theclientwillengageeachsuchconsultantonthebasisthat:

a thearchitectisnotresponsiblefortheservicesprovidedbythespecialistconsultant;

b thearchitectisresponsibleforcoordinationofthespecialistconsultant’sservices,and

c theclientistopaythespecialistconsultantallitsfeesandDisbursements,buttheclientmayseekthearchitect’sconfirmationthattheconsultantservicesinvoicedhavebeenprovided.

F.2 Additional Specialist Consultants

Wherethearchitectandtheclientagreethatadditionalspecialistconsultantservicesarerequiredbeyondthosespecifiedinthisagreement,suchadditionalconsultantsmaybe:

a engageddirectlyandpaidbytheclient,subjecttoClauseF1,or

b engageddirectlyandpaidbythearchitect,inwhichcasetheassociatedfeeswillbechargedinadditiontothearchitecturalfeesprovidedforinClauseEofthisagreement.

ThearchitectretainscopyrightinThe Design.The Designmeans,designconcepts,drawingsanddocumentsprovidedunderthisagreement.

ThearchitectgrantstheclientanexpressbutrevocablelicencetouseThe Designfortheprojectonthesiteforwhichitwasintended,subjecttotheconditionsthat:

a nolicenceisgrantedorimpliedunderthisagreementotherthantheexpresslicence;

b thelicencemayberevokedbythearchitectinwritingifanyinvoicethatthearchitectisentitledtosubmitunderthisagreementisoverdue,inwhichcasethelicenceisautomaticallyreinstatedonthearchitect’sreceiptofalloverdueamounts,and

c thelicenceisautomaticallyrevokedbyanyeventoractionbytheclientorathirdpartythatchangestheclient’sownershiporlegalinterestinthesiteinanyway,inwhichcasetheclientmayrequestinwritingthearchitect’sconsenttoreinstatethelicenceandsuchconsentmustnotbeunreasonablywithheld.

Oncompletionofallservicesunderthisagreement,andonfullpaymentofallinvoicesthatthearchitectisentitledtosubmitunderit,includingafterTerminationunderClauseM,thelicencebecomesirrevocable.

G.2 Moral rights

ThearchitectmustbeattributedinanyPublic Informationabouttheprojectpromulgatedby,oronbehalfof,theclientorarchitect,whethertheprojectiscompleteornot.

TheformofattributionmustbeasstatedinScheduleG,andthearchitectmustobtainanyconsentoftheauthorsoftheprojectrequiredbytheCopyright Act 1968toenablethisformofattribution.

Public Informationmeansanyinformationcontaininga2-or3-dimensionalrepresentationoftheproject,orapartofitpublished,exhibitedorcommunicatedtopersonsotherthantheclientorarchitectortheirrepresentatives.

G.� Electronic Data Transfer

Theclientagreesthat:

a thearchitectmayissuedataelectronicallytoitandtoothersinvolvedintheproject;

b thearchitectisnotresponsiblefortheaccuracy,completenessoranycontaminationofelectronicallytransmitteddata;

c thecostofelectronicdatapreparationandfileconversionistobereimbursedbytheclient,asshowninScheduleE3.

H. Insurances and Liabilities

H.� Insurances

Thearchitectmustmaintain:

a professionalindemnityinsurance,notlessthanthevalueshowninScheduleH

b publicliabilityinsurance,notlessthanthevalueshowninScheduleH

c insurancetocoverliabilitytoemployees,tostatutoryrequirements.

H.2 Limited Liability

Tothemaximumextentpermittedbylaw:

a subjecttob,canddbelow,thearchitect’stotalliabilitytotheclientunderthisagreement(includingtheperformanceornon-performanceofthearchitect’sservices),whetherunderthelawofcontract,intort,inequity,understatuteorotherwise,islimitedtotheamountspecifiedinScheduleH;

b thearchitecthasnoliabilitytotheclientinrespectofanyindirect,consequentialorspeciallosses,(includinglossofprofit,lossofbusinessopportunityandpaymentofliquidatedsumsordamagesunderanyotheragreement);

c thearchitecthasnoliabilityinrespectofthearchitect’sservicesaftertheexpirationof3yearsfromthecompletionofthearchitect’sservices,and

d ifanyofthisclauseisvoidasaresultofsection68oftheTrade Practices Act 1974(Cth),orparallelstateandterritorylegislation,thenthearchitect’sliabilityforabreachofaconditionorwarrantyislimitedtothe:

• supplyingoftherelevantarchitect’sservicesagain;or

• paymentofthecostofhavingthearchitect’sservicessuppliedagain.

I. Client Obligations

Theclientmust:

a appointthearchitecttoactasitsagentfortheprojectasnecessaryforthearchitecttocarryouttheservices;

b agreewiththearchitectinaccordancewithClauseC.1,areasonablebudgetfortheCost of Works;

c provideallinformationrequiredbythearchitecttocompletetheservicesdescribedinthisAgreement;

d cooperatefullywiththearchitecttoensureefficientandsatisfactoryprogressthroughallstagesoftheproject;

e payinaccordancewithClauseE,allfeesdueplustheapplicableGSTfortheservicesandDisbursementsspecifiedinthisAgreement,andanysubsequentlyrequiredservicesorDisbursements,andpayinterestonoverdueaccounts;

f engagedirectlyanyspecialistconsultantsspecifiedinScheduleFafterconsultationwiththearchitectonthetermssetoutinClauseF.2,andpayallfeesandexpensesassociatedwiththeirengagement;

g allowthearchitectreasonableaccesstophotographorotherwiserecordtheprojectbeforeoraftercompletion;

h allowthearchitecttopublicisetheprojectformarketingpurposesunlessagreedotherwise;

i attributethearchitectinaccordancewithClauseG.2,and

j notifythearchitectinwritingofanydetailsoftheprojectrequiredtobekeptconfidential.

J. Architect Obligations

Thearchitectmust:

a providetheservicesdescribedinthisagreementwiththeskillandprofessionalismofareasonablycompetentarchitect;

b actastheclient’sagentfortheprojectandasrequiredundertheselectedbuildingcontract;

c togetherwiththecostconsultant,ifany,coordinatethepreparationofallestimatesoftheCost of Works;

d coordinateandintegratetheworkofallspecialistconsultantsengagedfortheproject;

e maintainaccuraterecordsandkeeptheclientinformedofprogressbywayofmeetings,reportsandothermeansatallstages;

f notifytheclientpromptlyinwritingwhenaninstructionfromtheclientoranyotherrequirementchangesthescopeofservicesorrequiresservicesnotprovidedforbythisagreement;

g foranyrequiredservicesnotprovidedforbythisagreement,providetheclientwith:

- anestimateoffees,and

- thelikelyimpactontheestimatedCost of Worksorontheprogram;

h notifytheclientpromptlyinwritingofanymatterconnectedwiththearchitect’sservices,ethicalorregulatory,thatmaygiverisetoaconflictofinterest;

i ifaconflictarises,notifytheclientpromptlyinwritingandsuspendtheservicesuntiltheconflictisremoved,ortheagreementisterminated,and

j maintainregistrationwiththeArchitectsRegistrationBoard(orequivalent)inthestateorterritorywheretheprojectislocated.

K. General Conditions

Despiteanythingexpressedorimpliedelsewhereinthisagreement,thearchitectandtheclientagreethat:

a thearchitectisnotresponsibleforensuringtheconstructedprojectcomplieswiththebuildingcontractdocuments,butwhenengagedforcontractadministrationservices,isrequiredtoinstructthebuildingcontractorregardingrequirementsofthebuildingcontractdocuments,accordingtothecontractterms;

b thearchitectgivesnoexpressorimpliedwarrantythattheprojectorThe Designisfitfortheclient’spurpose;

c anynaturalmaterialsselectedforaprojectmaychangeinappearanceordimensionfollowingexposuretouseorclimaticconditionsandthisisnormalbehaviourforsuchmaterials;

d thescopeofthearchitect’sservicesdoesnotincludeanyservicesinrelationtoasbestos,otherhazardousmaterials,oranyothersitecontaminant;

e uponcompletiontheclientisresponsibleforongoingandregularmaintenanceoftheproject,includingitssystems,finishesandequipment;

f exceptbytheoperationoflawandassetoutinClauseG,neitherpartycanassignortransfertheirentitlementsorobligationsunderthisagreementwithoutthepriorwrittenconsentoftheotherparty;

g theapplicablelawofthisagreementisthelawofthestateorterritoryinwhichthesiteoftheprojectislocated,unlessitisoutsideAustralia,inwhichcaseitisthelawofthestateorterritoryofthearchitect’saddressstatedinthisAgreement;

h nothingmakesineffective,orreduces,anyprotectionatlawfromliabilitywhichthearchitectisentitledtointhestateorterritoryoftheapplicablelaw;

i thisagreementsupersedesallprioragreementsrelatingtothearchitect’sservicesfortheproject,andappliestoallservicesprovidedbythearchitectbeforetheformalexecutionofthisagreement.

L. Dispute Resolution

Ifadisputearisesoutoforinrelationtothisagreementtheclientandarchitectmustcontinuetoperformtheirobligationsundertheagreement.

Whenadisputearises:

a eitherpartymaydeliveranoticeinwritingtotheotherpartyoutliningthedetailsofthedisputeandrequiringameetingwithinsevendaysofthedateofthenoticetomakeabonafideattempttoresolvethedispute;

b ifthedisputeisnotresolvedbythemeeting,eitherpartymaysubmitthedisputetomediationbydeliveringtotheotherawrittenproposalofmediation;

c aproposalofmediationmuststatethenameofamediatoraccreditedbytheInstituteofArbitratorsandMediatorsAustralia(IAMA)inthestateorterritoryofthelawthatapplies,whoisindependentandwillingtoact;

d ifthepartiesdonotagreeonthemediatorinwritingwithinsevendaysaftertheproposalisdelivered,thePresidentoftheChapteroftheIAMAintheplaceofthelawthatapplies,mustberequestedtonominatethemediator;

e themediationmustthenproceedinaccordancewiththerulesoftheIAMAformediationexceptthatinnocasewillonepartyberequiredtopaymorethanhalfofthecostsofmediation,and

f ifthepartiesareunabletoresolvethedisputebymediation,confirmedbythemediatorinwriting,eitherpartymaytakelegalactiontoresolvethedispute.

M. Termination

Eitherpartymayterminatethisagreementaftergivingtheotherparty30daysnoticeinwritingwithoutbeingrequiredtogiveanyreason.

OnTerminationofthisagreement,unlessotherwiseagreedinwriting:

a theclientmust:

- paytheoutstandingbalanceofallproperlysubmittedinvoicesdeliveredpriortothenotice,and

- paythearchitectforallservicesreasonablyundertakenandanyreimbursableexpenses,includingthoseshowninScheduleE3,reasonablyincurredbythearchitectsincethedeliveryofthenotice,and

b thearchitectmust,onreceiptofpayment,issuetotheclientacopyofThe Designasitexistsuptothedateoftermination.

N. Special Conditions

AnyspecialconditionsapplicabletothisagreementarenominatedatScheduleNandtakeprecedenceoveranyotherconditioninthisagreement.
