Dear Exhibitor:

The Tradexpos Staff is proud to present the Topeka Farm Show at the Stormont Vail Events Center, January 5th, 6th, and 7th 2021.

The recent expansion to Stormont Vail Events Center has added over one hundred booths to Expo

Hall, as well as a new twenty foot wide door for moving in machinery, and an enhanced concession area. We have updated the booth numbering system, so double check your space, as the booth number will have changed.

Henry Helgerson Company will be the show decorator again this year. You will receive an

information packet from them in November. Advanced orders for tables, chairs, stools, and signs will save you time, money, and headache. They can be contacted at (316) 943-1851 or emailed at [email protected].

Capital Plaza Hotel will have a special farm show rate of $92.00 plus tax per night. Be sure to mention the 2021 Topeka Farm Show when you make your reservations to get this rate. The Capital Plaza Hotel is connected to the Stormont Vail Events Center and will include daily hot breakfast buffets for up to two people per day.

Please note that July 1st, 2020 is the due date for the 2021 contract if you wish to homestead your 2020 Topeka Farm Show location.

If Tradexpos cancels the 2021 show due to a COVID outbreak, Tradexpos will, at the Exhibitor's op-

tion, either (1) Apply the funds to the 2022 Topeka Farm Show or (2) Refund booth, electrical and lot fees paid by your company for the 2021 show. This provision has been added to our contract for your review. Be sure to review, sign, and send back both sides of the contract.

CONTRACT FOR EXHIBITOR SPACE (Continued)

In consideration of the mutual covenants hereafter set forth, the parties contract the following: 1.TRADEXPOS, INC. will permit the Exhibiting Party to use exhibit space subject to the expressed conditions enumerated herein. TRADEXPOS reserves the right to accept or reject a contract and to designate the area and specific location of space rented. The violation by the Exhibiting Party of any condition expressed or implied in the rules and regulations shall, at discretion of TRADEXPOS, INC. terminate this agreement; where upon the Exhibiting Party shall immediate-ly vacate the above described space and forfeit, as liquidated damages, any funds paid to TRADEXPOS, INC. TRADEXPOS, INC. reserves the right to the final decision on accepting contracts and space assignments - no specific space location is guaranteed. 2. In no case shall the Exhibiting Party allow other individuals or organizations to sublease or rent exhibition space without the prior knowledge and approval of TRADEXPOS, INC. All exhibitors are required to exhibit inside their purchased display area. No selling, discussion or sales approach in the walkway/isle adjacent to their purchased display area. 3. Set up times will be assigned per booth locations as spelled out in your move-in letter, mailed at least 30 days prior to the show. Deadline for set-up is 6 p.m. day prior to show’s opening unless otherwise agreed upon. Exhibits shall remain intact until 4 p.m. day of show’s closing. All exhibits must be removed from the show floor no later than 8 pm . TRADEXPOS. INC. will not be responsible for any items left at show site after the close of the Farm Show. 4. No signs, aerial pieces, or other devices shall extend above the normal height of the 8’ high back drop of exhibits without prior approval of TRADEXPOS, INC. . The maximum height of 8’ is allowed only in the rear half of the booth with a 4’ height restriction imposed on all materials in the remaining space forward toward the isle so as not to obstruct the sight line of neighboring exhibitors. Any use of microphones or sound amplifying devices must be kept at a non offensive level, the volume must be within reasonable levels and must not interfere with other exhibitors. Radio and background music are not allowed before during or after the show. DVD presentations must have the prior approval of TRADEXPOS, INC. The use, distribution or sale of helium balloons is prohibited. 5. No food items may be given away or sold without complying with state health codes and the prior approval of TRADEXPOS, INC. and the facility. No peanuts in the shell are to be distributed on the show floor. 6. NO PETS ALLOWED. Service animals specifically trained to aid a person with a disability will be welcome. 7. This agreement for exhibit space specified above shall be subject to acts of God or any condition or circumstances beyond the control of TRADEXPOS, INC. which shall prevent the carrying out of some or all of the Farm Show, upon the occurrence of such event, TRADEXPOS, INC. shall have the right to terminate this agreement without liability of any nature. 8. The Exhibiting Party indemnify, save and hold harmless TRADEXPOS, INC. from and against any and all claims, demands, actions or causes of actions, suits at law or inequity of any nature or character arising out of or by reason of any act or omission of the Exhibiting Party or its agents in the performance of the rights, duties, and obligations of the second party under this agreement. 9. The Exhibiting Party understands that TRADEXPOS, INC. assumes no responsibility or liability for any property of the second party which may be located on the premises or for drayage received and stored. 10. The Exhibiting Party warrants that it has in effect and shall maintain for the period of this agreement for the mutual benefit of both parties a policy of public liability insurance against claims for personal injuries or death, or damage to property occurring upon, in, or about the herein rented premises; in limits of not less than $1,000,000 combined single limit by virtue of second party's authorized signature. The second party will supply certificate of insurance naming TRADEXPOS, INC. as additional insured. 11. TRADEXPOS, INC. reserves the right to change the rules and regulations, and to make additional rules and regulations, as it deems to be in the best interest of the Farm Show. TRADEXPOS, INC. has the sole power to interpret, amend and enforce rules and regulations. ADDENDUM A. EXCUSE OF PERFORMANCE

TRADEXPOS, INC. will be excused from the performance of this Agreement to the extent that such performance is prevented by any act of God or force majeure, which could not reasonably have been foreseen and provided for. For the purposes of this Agreement, the terms act of God or force majeure include strikes, lockouts, sit-downs, material or labor restrictions by any governmental authority, unusual transportation delays, riots, floods, washouts, explosions, earthquakes, fire, storms, acts of the public enemy, wars, insurrections, pandemic and/or any other cause not reasonably within the control of TRADEXPOS, INC. or VENDOR or which by the exercise of due diligence TRADEXPOS, INC. is unable wholly or, in part, to prevent or overcome. Unless due to a default by TRADEXPOS, INC, OR GLOBAL SPECTRUM, L.P., if VENDOR shall, for any other reason, fail to occupy or use the PREMIS-ES in accordance with The TOPEKA FARM SHOW CONTRACT, and/or this Agreement, no refund shall be made of any amounts paid or payable by VEN-DOR to TRADEXPOS, INC. TENANT hereby waives any claim for damages or compensation from TRADEXPOS, INC. should this Agreement be so terminated as an act of God or force majeure. Should the Topeka Farm Show be canceled by State, Federal or Local authority or by Global Spectrum, L.P., due to any of the above-mentioned occurrences, TRADEXPOS, INC. shall refund all booth fees, but not credit card convenience fees, paid to date by VENDOR within 60 days of the Date the TOPEKA FARM SHOW was scheduled to occur.
