Editorial

Assam has been facing acute problem of power shortage due to the vast gapof demand and supply. It is a fact that there has been a steep increase ofdemand of power in the last 3-4 years in this state. With the increaseddevelopment and economic activities in the last few years, Assam has beenexperiencing an average peak demand for power to the tune of 1250 MW. Thisis more than 2(two) times what it was five years ago. In Guwahati alone in thepast five years, there has been a threefold increase in demand of power. Untila couple of years back, only 16% rural households were electrified, but as perthe National Electricity Policy, steps have been undertaken to electrify everyhousehold of Assam. As such, there has been a great increase in demand forpower in the rural as well as urban areas in recent times. The installed capacityin the State is 574.4 MW. In addition to its own installed capacity, the State hasa share of 288 MW from Central Sector Generating Stations owned by NEEPCOand NHPC. Besides this, the State has also 24.5 MW of private power (IPP)generation. The total capacity thus available for the State is 886.9 MW. Tillnow, Assam is mainly dependent on hydro generations. This is about 60% of thetotal existing availability. Most of these hydro generators are sourced throughRun on River (RoR) which are solely dependent on the rainfall in the respectivecatchments areas. It was expected that these hydro generators would pick upto 100% of its capacity during this monsoon; but this year due to insufficientrainfall below normal value in its respective areas they are yet to gear up. Also,the gas based thermal power stations are generating far below their full capacitydue to inadequate supply of gas etc. That is why the demand availability gap iswidening According to Central Electrical Authority (CEA), the peak hour demandin Assam is likely to rise to the level of 1752 MW by the end of 12 th Plan.Currently, average peak demand is 1250 MW against available 700 MW therebyleaving a shortfall of 550 MW. But the state is able to meet only 16% of thepeak demand with its own power project (about 260 MW). In coming years,even after adding the share of 240 MW receivable from Palatnana, 380 MWfrom Bongaigaon TPP and 65 MW from Kameng Hydro project, we fall woefullyshort on meeting the demand. Therefore, the only option is to set up own powerprojects to meet at least 50 % of demand forecast. The state Government hasidentified several new project like 150 MW Lower Kapili, 60 MW UpperBorapani , 60 MW Inter Mediate, 500 mw Margherita TPP, 100 MW AmguriTPP which will require investment of about Rs 7996.00 Crore. Out of it Stat’sshare would be Rs 2408.00 Crore. How quickly the impasse over LowerSubansiri Hydro Electric Projects ends, more beneficial it would be to the state.Then Assam will get total 533MW additional power.

n 29 August 2013 the newCompanies Bill finally received thePresident’s assent that made it into a law,thereby replacing the six decade oldregulations under the Companies Act,1956. The Companies Act, 2013 allowsfor a contemporary legislation forregulation of the corporate sector in India.The Act, amongst other aspects, providesfor business friendly corporate regulations,better corporate governance, focus oncorporate social responsibility, enhanceddisclosure norms, investor protection, etc.

As the most significant provider ofequity capital to corporate India, theIndia Private Equity and Venture Capital(PE and VC) industry stands to benefitfrom any improvement in the Indiancorporate regulatory framework. Thenew Companies Act will impact the PEand VC industry in numerous ways, some

of which are enumerated below.A point of uncertainty lies in the

definition of a listed company. As perthe Companies Act, 2013, a company withany listed security will be treated as alisted entity. So an unlisted portfoliocompany of a PE investor, which mayhave listed its NCDs, will be suddenlyburdened with an entire gamut ofobligations applicable for a listedcompany. Are we heading towards a newconcept of private listed companies?

More onerous for PE investors are theadditional liabilities on Directors as theAct puts a higher onus on directorsappointed by PE funds. The PE directorscould potentially be liable forprosecution under various statutes for anydefault by the Company’s management.It would perhaps be more appropriate tohave PE directors treated on par with

other independentdirectors, as typically theyare not involved in dayto day management. It isinteresting to note that adirector will not bepenalised for misconductof the Company if he hasraised objections againstthe activity on record,thereby raising the antefor greater vigilance byPE directors.

As per the New Act,investment is notpermitted through morethan two layers ofinvestment companies.Though the incorporationof this clause aims toprevent diversion offunds through webs ofcomplex corporatestructures, the greatestblow will be felt byinfrastructure companies.Private equity investors

prefer to invest in holding companies, torealise higher returns from the entiregroup through a single investment ratherthan multiple investments in subsidiaries.Thus this restriction may deter PEinvestments in the sector and henceexceptions should be allowed for genuinemulti-layered corporate structures.

The Companies Act, 2013 now allowsthe shareholder of a ‘public’ company toenforce put or call options if contractuallyagreed in respect of transfer of securities.Enforcement of these options under theCompanies Act, 1956 was untenable asshares of a public company were requiredto be “freely transferable”. The act grantsstatutory recognition to contracts inrespect of transfer of securities of a publiccompany, putting to rest contradictoryjudicial precedents on this aspect. ThusPE investors can confidently utiliseclauses such as drags, tags, right of firstrefusal, etc. against other contractingshareholders, providing for additionalcontractual protection. This is a bigpositive for private equity.

However enforcement may still be aconcern as in the past, Sebi has taken theview that such options do not qualify asspot delivery contracts under SCRA andalso do not qualify as legal and validderivatives contracts because they are nottraded on a stock exchange.

Birla Groupcompany, which is mostly into teaplantation and also in sugar andfertiliser in a small way, is exploringways to develop some of the landparcels available with the companyscatted across the country. About adecade back, Jay Shree forayed intoreal estate development when timeswere difficult for tea plantationcompanies and tea prices remainedsubdued for years, resulting in losses.It had then developed some premium

luxury apartments in Bangalore’smarket Ali Askar Road area, and offSarat Bose Road and Raja SantoshRoy Road in Alipore, two of the mostsought-after addresses in Kolkata.“We are looking at the sector, we arestill exploring. We have several landparcels within India. We want to seewhat we can do,” said executivedirector Vikash Kandoi .Thecompany can develop around 2 lakhsquare feet of built-up area.Investment in the development couldbe about Rs 30-40 crore. Jay Shreehas land in West Bengal, Haryana andother states. The projects would mostprobably be taken up in joint ventures

with developers. No doubt , thecompany’s prime look out is the teaproduction.Jay Shree plans to produce23 million kg this fiscal, higher than20.5 million kg produced lastfiscal.”We expect production to be upby about 3 million kg this year. Wehave again started taking outside leaf,which would be up by 2 million kgthis year while our own productionwould be up by 1 million kg. Out ofthe total production, bought leaf wouldbe 5 million kg against 3million kglast year. We will be producing at least1 million kg more of orthodox,” saidMD D P Maheswari.It is to bementioned that Jay Shree Tea &Industries Ltd. is the third largest teaproducer in the world. It has 22 TeaEstates spread throughout India withtotal area of 9407 hectares under teaplantation. It has five Gardens inUpper Assam, five in Cachar, four inDooars & Terai, six garden inDarjeeling and two in South India. Thecompany also has two tea processingfactories which manufacture teaexclusively from tea leaves procuredfrom other gardens. The company isalso scouting for more acquisitionsin Africa to strengthen its presencein the black tea market. JTIL hasrecently acquired three tea gardensin East Africa — two in Rwanda andone in Uganda.The company is oneof the largest tea manufacturer-exporter of India.

NEW ACQUISITIONSAs per the strategic tie up with AssamTea Corporation Ltd. the company is procuring green leaf of Longai andIshabheel Tea Estates and operatingits Longai Tea Factory to manufacture6 lac kgs of tea per annum from thecurrent season.

The Parvati Tea Company Pvt. Ltd.acquired by it at Makum (Tinsukia) in the State of Assam is likely tomanufacture 6 lac kgs. of black tea

during the current year.The Company through its

investment arm, Birla Holdings Ltd.,UAE has acquired 100% stake in Kijura Tea Co. Ltd. and Bondo TeaCo. Ltd., having tea estates, producingaround 14 lac kgs of tea per annumin Uganda (East Africa). Under a jointventure arrangement, it has acquired60% stake of Mata Tea Co. Ltd. &Gisakura Tea Co. Ltd., Rwanda. Thecompanies own tea estates in thebest quality tea producing belt of East Africa producing 42 lac kgs oftea per annum.

The cost of producing Tea in EastAfrica is lower as thereis not much need forapplication offertilizers andpesticides in the fieldbecause of the bettersoil condition. Further,the social cost for thelaborers is theresponsibility of thelocal Government.DIVERSIFICATION

IN SUGARThe company hasacquired 100% stakein M.P.ChiniIndustries Ltd.havinga sugar factory atMajhaulia in Biharwith a capacity of4600 TCD, which isbeing enhanced to5500 TCD. Thefactory has co-generation facility of6 MW and its ownsugarcane plantationof around 1000 acres.This is one of the bestmaintained factoriesin the State of Biharand will enable thecompany to leverageits experience andexpertise inmanaging agro basedindustries.

The Syndicate Bank has reduced the rate of interest on housing loanswith effect from October 9. The rate of interest on all housing loans,irrespective of the quantum of loan, will be on the base rate of 10.25 percent. The bank has also made the base rate applicable to all existinghousing loan accounts withimmediate effect.

Keeping in view of theongoing festival season, thebank had already reduced therate of interest on four-wheelerloans to 10.90 per cent. Similarly, the rate of interest on two-wheelerloans has also been brought down to 12.25 per cent.

The bank has slashed the service charges by 50 per cent, on all housingloans and vehicle loans during the festival period. The Syndicate Bank isoffering loans to micro and small enterprises at the most competitive rateof interest with nominal service charges. To give focused thrust, the bank

has launched tailor-made products,aiming at doctors,transport operators,cashew industries,marble and graniteindustries andtextiles and ready-made garment units,with attractive termsin rates of interestand service charges,said a press release.

The central government hasdecided to infuse Rs.14,000 croreequity capital in 20 public sectorbanks during the current financialyear. “The Government of Indiahas approved infusion of Rs.14,000crore in the PSBs during financialyear 2013-14, through preferentialallotment of equity in its favour,”the finance ministry said in astatement.

The country’s largest lenderState Bank of India will getRs.2,000 crore equity capital fromthe government. The Central Bankof India and IDBI Bank will getRs.1,800 crore each. Thegovernment will provide Rs.1,200crore equity capital to IndianOverseas Bank, and Bank of Indiawill get Rs.1,000 crore.

Punjab National Bank andUnion Bank of India will getRs.500 crore each. United Bank ofIndia will get Rs.700 crore, VijayaBank Rs.250 crore, and Syndicateand UCO Bank will get Rs.200crore each. Other lenders that willbe benefited from thegovernment’s equity infusionprogramme include AllahabadBank Rs.400 crore; Andhra BankRs.200 crore; Bank of BarodaRs.550 crore; Bank of MaharashtraRs.800 crore; Canara Bank Rs.500crore; Corporation Bank Rs.450crore; and Dena Bank Rs.700crore. Mahindra GippsAero, the Australianaircraft manufacturer and subsidiary ofthe Mahindra Group, has successfullycompleted the first flight of its newaircraft, the GA10.The aircraft, which isthe first single turboprop developed inAustralia, is a 10 seater, multi-role aircraftbased on the very successful GA8 eight-seater utility aircraft. The first flight tookplace at GippsAero’s home base atLatrobe Regional Airport in eastern

Victoria on May 1.This aircraft will soon enter the Indian market, companyofficials said.Powered by a Rolls-Royce 250 turboprop engine, the GA10 willsuit a wide range of applications from passenger and freight work to air surveyand surveillance roles. With the completion of this first flight, the GippsAeroengineering team will subject the prototype to an intensive programme of staticand flight tests to gain a CASA Type Certificate for the GA10. It is anticipatedthat the new type will be available for customer delivery in the first half of2013.The company plans to soon announce details of a deposit programme thatwill provide an opportunity for operators to secure a purchase position.

Four of them willbe from Fiat brand, four from Jeepbrand, which is also a Fiat brand and aperformance car from Abrath brand.These will be introduced in phasedmanner over the next two-three years.

It is being built asper the recommendations andguidelines of expert committee .Itwould neither break down in waterpressure nor in earthquake.Moreover, there is no any fear ofdownstream effect, instead it wouldhelp to control flood”. Theorganization has recently invited agroup of journalist from Guwahatito visit the project site .Speaking tothe media person Mr.Rakesh, Executive Director,LSHEP, said, “As a govt.undertaking NHPC isalways committed to thepeople of Assam and Northeast. It would never doanything, nor did anythingwhich is anti-people oragainst common good. Nodoubt, there are someapprehensions among thepeople of northeast aboutthe project. But a certainsection of people spread the

rumor that NHPC is constantlyconspiring against the people ofAssam .But reality is not likethat.”Explaining in details about thedam design and safety, Mr. Rakeshinformed- the dam which is beingbuilt in Subansiri is a ConcreteGravity Dam. All the necessaryguidelines and instruction of expertgroup is followed here. The heightof the dam is 210 meters from thesea level and 116 meters from theriver bed. As the project is Run ofThe River , the dam would not blockthe river flow. There are eighttunnels in the dam. One tunnelamong the eight tunnels will remain

open for 24x7 where 250-300 cubicmeter/second of water would bedischarged. So, there is not any fearof dry up of the river in lower part.Actually the general flow of waterof Subansiri in lean period/ winterseason is 250-300 cubic meter/second. On the other hand, in rainyseason ,the water level would bemaintained in 15 meters below thepinnacle of the dam. In case ofexcess water ,eight surge tunnel ismaintained here. The executiveDirector claimed, “LSHEP is a multi-purpose dam. Along with electricityproduction, flood control, irrigationwater navigation etc purpose couldbe carried out. But firstly , priorityis given on electricity productionand flood control. Afterwards, otheraspects would be considered.”Though irrigation is a state subjet,according to Mr. Rakesh,NHPC hasengaged IIT,Rurkee for feasibilitystudy.It is to be mentioned thatAssam would get total 533MWelectricity from NHPC’s project.Asper Hydro policy, Assam would get25MW free power,It can buyanother 208 MW Power.Additionally the central govt. hasdecided to provide 300MWunallocated power to Assam.

Dam safetyThe concrete Gravity Dam of 116meter height has been designed forall statutory load combinationsincluding all water and seismic loadsas stipulated in IS code 6512.Provisions for bureau of IndianStandards and national/internationalpractise have been followed forstability and design of dam. Furtherduring exposure of the damFoundation, the rock massparameters of the damfoundation were tested andhave been found to be betterthan evaluated earlier duringpreliminary design stage.

Though the dam hasbeen meeting all theprescribed criteria all along,doubts were raised on thestability of the damparticularly in view of weakrock present and highseismicity. Although it is notdifficult to design a dam on weakrock for any set of loading conditionsas the weak strength propertieswould only make the section widerwhich in the present case was alreadydone since from the very beginning.To clear the doubts of safety andstability of dam, its design features

have again beenthoroughly reviewedby an independentbody- Dam DesignReview Panel(DDRP) as per therecommendations ofThatte committee.DDRP has suggestedsome additionalsafety measures thatwill ensures a t i s f a c t o r yperformance of thedam on a long termbasis for all prescribedloading conditions inthe present geoseismological setup.&&&&& The dam has been

designed for seismic designparameters as approved by nationalcommittee on seismic designparameters.&&&&& Base width for the dam which waskept 1.35 times of Dam height willfurther be increased to 2.16 times toincorporate the additional safetymeasure proposed by DDRP.Normally based with is kept as 0.8

times of dam height.&&&&& 30 m long concrete apron providedat the toe of the dam with end shearkey and 36mm diameter 9m longanchors to prevent any damage todam toe.
