INTRODUCTION & SCOPE OF WORK

Biotech Park Lucknow is a society, registered under the Societies

Registration Act, 1860, jointly promoted by Government of India and

Government of Uttar Pradesh. The Biotech Park Lucknow has been

established with the objectives to facilitate development of industrial

growth in multidisciplinary areas of biotechnology and high growth

knowledge based activities in the fields of human and animal health

care products, crops, horticulture, forest, tree species, bio- pesticides

and bio-fertilizers, safe disposal of waste and development of bio- fuel

etc.

The Biotech Park, Lucknow located in the City of Nawabs and having

futuristic state of the art and facilities for biotechnology led enterprises.

It is an important and functional Biotechnology Park in the North India

serving the State of Uttar Pradesh to bring biotechnology as the way of

cultivating crops, living a healthy life and enriching the skills for

boosting biotech industry.

The total area of Biotech Park is 8 acres and located close to Lucknow

ring road. It is well connected and approachable place in Lucknow city.

Biotech Park Lucknow intends to license lab, poly houses and net

houses (Hereinafter collectively referred to as “Tissue Culture Facility”

and individually with their respective names) for production of tissue

cultured plants, and, accordingly invite single bid for complete Tissue

Culture Facility.

The eligible interested parties may submit duly completed bid in the

office of Administrative Officer, Biotech Park Lucknow.

The interested parties shall be required to purchase RFP documents

from the office of Administrative Officer, Biotech Park, Lucknow on

payment of Rs. 3000/-(Rupees Three Thousand Only) by making

payment in cash or by demand draft/bankers cheque drawn in favour

of CEO, Biotech Park and payable at Lucknow. The bidders who

downloaded the tender documents from the website shall enclose a

separate demand draft/bankers cheque of Rs. 3000/-(Rupees Three

Thousand Only) towards the cost of tender documents and place in

envelop no.1.

No Real Estate Agencies / Brokers will be entertained.

The Licensee shall be entitled to use following spaces i.e. Tissue Culture

Biotech Park, Lucknow shall also make provisions for following facilities in

favour of the successful bidder:

(i). Water required for use in toilets and pantries, provided,

however, that the Biotech Park’s responsibility for supplying

water shall be limited to quantity that water supply is made

available by the Municipal Corporation or within its resources.

(ii). Provisions for 24X7 security at the main gate and patrolling by

guards inside the Biotech Park.

(iii). A maintenance services comprising the maintenance, up-keep,

cleaning and lighting of the area intended for common use,

namely, lifts, public staircases, lift lobbies & passages leading

thereto.

Note: The Licensee shall be responsible to maintain including carry out replacement of equipment(s), on its own cost, during License Period.

ELIGIBILITY OF BIDDER

(i). An Indian Company, Society or Partnership Firm having

Turnover of Rs. 5.00 Crore ( Rupees Five Crore Only)or Net

Worth of Rs. 1.00 Crore ( Rupees One Crore Only) during the

previous financial year; and

(ii). The eligible entity should possess an experience of production of

at least 10,00,000 ( Ten Lakh) Tissue Culture raised plants in

last 3 (three) completed financial years.

Net Worth shall mean (A) Paid up Share Capital (B) plus

Reserves including premium account (C) minus Accumulated

Losses, deferred expenditure and misc expenditure i.e Net

Worth = A+B-C.

Turnover means gross turnover of the entity. Out of gross

turnover, at least 60 % of turnover should be from sale of

tissue cultured plants.

BIDDING DOCUMENTS The eligible Bidders shall submit their bids in prescribed format duly completed in all respect and signed by the authorised signatory.

1. REQUEST FOR PROPOSAL (RFP)

(i). RFP shall mean Request for Proposal.

(ii). Bid, Tender and RFP are used to mean the same.

(iii). Bid Documents and Tender Documents are used to mean the same

and include documents issued, requisitioned and submitted

excluding the License Agreement.

(iv). Working days means week days from Monday to Friday.

2. CONTENT OF BIDDING DOCUMENT:

Envelope No. 1:- shall contain a Demand Draft / Pay Order/Bankers’

Cheque of Rs. 3,00,000/-(Rupees Three Lakh Only) in favor of ‘Biotech

Park, Lucknow’, payable at Lucknow towards the Earnest Money Deposit.

The EMD shall be refunded to the unsuccessful Bidder/s after selection

of the successful Bidder as per terms and conditions of this RFP.

The demand draft/bankers cheque of Rs. 3000/-(Rupees Three

Thousand Only), as applicable, towards the cost of tender documents

shall also be placed in this envelope.

Envelope No. 2 shall contain the entire Tender documents with all pages

signed with sealed by the authorized signatory of the bidder.

3. PREPARATION OF BID

(i). Period of Validity of Bids:

Bids shall remain valid for a period 60 (sixty) days without any

correspondence.

(ii). Format and Signing of Bid:

The information/details of Bid documents shall be typed or written in capital letters.

a) The Bidder shall provide all the information, details and documents sought under the RFP in the prescribed format.

b) The Bidders who have downloaded the Tender Document from the website, should carefully note the following instructions:

I. The Bidders should ensure that the complete Tender Documents have been downloaded.

II. The printout of Tender Documents should be taken on an “A4” size good quality paper. The printout should be same as available on Biotech Park, Lucknow’s website. The print should be legible and indelible.

c) The Bid shall signed by the authorised signatory of the Bidder who shall also initial each page, in blue ink. All the alterations, omissions, additions or any other amendments made in the Bid documents shall be initialled by the person(s) signing the Bid.

d) The Bid shall be signed by the Bidder’s representative duly authorized by resolution/power of attorney/ other form of authorizations.

(iii). Bid Submission

The sealed Tender Box shall be kept in the office of Administrative Officer

for depositing the bids.

The offers should be made strictly as per the formats enclosed. Bid

Documents shall be submitted in spiral bound file and all pages shall be

numbered. Bids duly sealed in accordance with the instructions to

Bidders should be delivered and deposited in Tender Box at Biotech Park

Lucknow. The bids received by post or courier shall be put in the Tender

Box.

Bid documents submitted by fax, telex, telegram, or e-mail shall not be entertained and shall be summarily rejected. Bid documents received after the due date shall be summarily rejected. Applications received without due EMD shall be summarily rejected.

(iv). Bid Currency

Bids must be expressed in Indian Rupees only.

(v). Bid Language

Bids must be in English Language only.

(vi). Deadline for Submission

The last date of submission of bids is as indicated in “Summary of

Bidding Information”.

(vii). Extension of Deadline for submission of Bid

Biotech Park, Lucknow, at its discretion, may extend the deadline for

submission of bids by issuing amendment to tender notice in news

papers and also uploading on its website, in which case all rights and

obligations of Biotech Park, Lucknow and Bidders will thereafter be

subject to the deadlines as extended.

(viii). Late Bid

Bids received after the scheduled time will not be accepted by Biotech

Park, Lucknow, under any circumstances and Biotech Park, Lucknow

will not be responsible for any delay due to postal service or any other

means.

(ix). Modifications & Withdrawal of Bids

Bids once submitted will be treated, as final and no further correspondence will be entertained. Bidders may withdraw the bid before declaration of successful bidder. In case of any correction/addition/alteration/omission in the Tender Document, unless initialled by the authorised person, the bid shall be treated as non-responsive and shall be rejected out-rightly.

(x). Right to Reject, Accept / Cancel the bid

Biotech Park, Lucknow reserves the right to accept or reject any or all the

bid(s) without assigning any reason whatsoever.

Biotech Park, Lucknow does not bind itself to accept the highest bid or

any bid and reserves the right to reject all or any bid or cancel the Tender

without assigning any reason whatsoever.

Biotech Park, Lucknow also has the right to re-issue the Tender without

the Bidders having the right to object to such re-issue.

(xi). RFP Abandonment

Biotech Park, Lucknow may at its discretion abandon the process of

selection of successful bidder for the Tissue Culture Facility at Biotech

Park, Lucknow at any time before notification of successful bidder.

EVALUATION PROCESS/ CRITERION

(i). The evaluation of the RFPs shall be carried out by the Evaluation

committee constituted by the Biotech Park, Lucknow.

(ii). While in evaluation process, the following criterion shall be

considered in finalization of the successful Bidder:

a) Experience of Bidder in production of tissue cultured plants. i.e.

number of plants produced, duration in the business activities

and competence of the management etc.;

b) Financial soundness of the bidder;

c) Existing capacity for production and supply of tissue cultured

plants;

d) Entity’s presence in the state of Uttar Pradesh.

(iii). The interested bidder shall have to fulfill the eligibility criteria as

provided in this RFP, failing which they would be rejected outright.

(iv). Evaluation Committee reserves the right to verify any/all

statements, information and documents submitted by the Bidder

in response to the Tender Documents and the Bidder shall, when

so required by Evaluation Committee, make available all such

information, evidence and documents as may be necessary for

such verification. Any such verification or lack of such verification,

by Evaluation Committee shall not relieve the Bidder of its

obligations or liabilities hereunder nor shall it affect any rights of

Biotech Park, Lucknow there under.

(v). Evaluation Committee will take the decision about finalization of

successful bidder. The decision of the Evaluation Committee will be

final and bidders will have no right to challenge such decision.

(vi). After evaluation of Bids, the name of successful bidder shall be

provided by the Evaluation Committee to the Biotech Park,

Lucknow.

(vii). Letter of Acceptance (the “LOA”) shall be issued, in duplicate, by

Biotech Park, Lucknow to the selected successful Bidder and the

selected successful Bidder shall, within 7 (seven) days of the

receipt of the LOA, sign and return the duplicate copy of the LOA in

acknowledgement thereof. In the event the duplicate copy of the

LOA duly signed by the Bidder is not received by the stipulated

date, Biotech Park, Lucknow may, unless it consents to extension

of time for submission thereof, appropriate the EMD of such Bidder

as damages on account of failure of the Selected Bidder to

unconditionally accept the terms of LOA and proceed for allocation

of license, as it deems appropriate.

(viii). After submission of acknowledgement of the LOA, the successful

bidder shall execute the License Agreement within next 10 (ten)

working days and deposit Performance Guarantee on or before

execution of License Agreement. The Selected Bidder shall not be

entitled to seek any deviation, modification or amendment in the

License Agreement except as necessary under the objectivity of the

subject matter.

GENERAL TERMS & CONDITIONS

1. LICENSE FEE: Minimum License fee of Rs 60,00,000/- (Rupees Sixty Lakh Only) per

annum shall be payable by the Licensee to the Biotech Park, Lucknow

for utilisation of Tissue Culture Facility. The License fee is exclusive of

applicable taxes and shall be payable in two half yearly instalments in

advance in the manner as illustrated below:-

First Instalment: Rs. 30,00,000/- (Rupees Thirty Lakh Only) plus

applicable taxes shall be paid on the date of execution of License

Agreement.

Second Instalment: Rs. 30,00,000/- (Rupees Thirty Lakh Only) plus

applicable taxes shall be paid 15 (fifteen) days before the

commencement of second half year.

Instalments for subsequent periods: The instalment of

Rs. 30,00,000/-(Rupees Thirty Lakh Only) plus applicable taxes shall

be paid 15 (fifteen)days before the commencement of subsequent half

years falling during the License Period. For Example: If subsequent

half year is expiring on 30th September, and then instalment of

License Fee with applicable taxes shall be paid on or before 15th

September of the relevant year.

All Demand Draft/ Bankers’ Cheque shall be drawn in favour of

“Biotech Park, Lucknow” and Payable at Lucknow.

2. UTILITY CHARGES:

Licensee shall obtain separate electrical connection from UPPCL for its

usage in Tissue Culture Facility and pay the bill, as per consumption,

directly to UPPCL.

3. MAINTENANCE CHARGES:

The Licensee shall also be liable to pay maintenance charges for

security, maintenance of common areas and other amenities

provided/available in Biotech Park, Lucknow. Maintenance charges

shall be levied in proportion to the carpet and/or covered area. The

bill for common facilities shall be paid by the Licensee within 7 (seven)

days from the date of receipt of the bill.

4. EARNEST MONEY DEPOSIT: (EMD)

Earnest Money Deposit of Rs.3,00,000/-(Rupees Three Lakh Only)

shall be paid by every bidder along with the Bid documents.

EMD of the successful bidder shall be treated as part advance of

License Fee of first half year and balance License Fee along with taxes

shall be payable as per terms of this Bid Document. The EMD of

unsuccessful Bidders and rejected bids shall be refunded, without any

interest, after sixty (60)days of declaration of successful Bidder.

The Bid shall be summarily rejected if it is not accompanied by the

EMD. If the bidder withdraws their bid at any stage, their EMD

amount shall be forfeited.

5. PERFORMANCE SECURITY:

The successful bidder shall, for due and punctual performance of its

obligations under License Agreement, prior or at the time of execution

License Agreement, submit Bank Guarantee of Rs. 18,00,000/-

(Rupees Eighteen LakhOnly) from a scheduled bank and valid initially

for a period of 12 (twelve) months. The Licensee shall keep the Bank

Guarantee valid at all times and shall submit the renewed Bank

Guarantee at least seven (7) days before expiry of the existing bank

guarantee.

6. LICENSE PERIOD:

The License period is 3(Three) years commencing from the date of

handing over of one or more Tissue Culture Facility.

7. TERMINATION OF LICENSE AGREEMENT:

The Licensee can terminate the license agreement after expiry of 1

(one )year of license period by serving 90 (Ninety) days clear prior

notice to Biotech Park, Lucknow and the License Agreement shall

terminate after expiry of notice period, subject to confirmation by

Biotech Park, Lucknow and further subject to rights of the Biotech

Park, Lucknow.

License Fee, due and payable on the date of service of termination

notice, shall be paid prior or along with termination notice. If any

amount due, same shall be set off/claimed by the Biotech Park as per

terms and conditions of the License Agreement.

The Biotech Park may, at any time, terminate the License Agreement

by serving a 30 (thirty) days Preliminary Notice to enable the Licensee

to cure/rectify the non compliances or breaches of terms and

conditions of License Agreement. On failure to cure or rectify the non

compliances or breaches of terms and conditions of License

Agreement within the stipulated period of 30 (thirty) days, the Biotech

Park shall issue 60 (sixty) days termination notice. On serving of

termination notice, the Licensee shall pay the amount, as may be

payable up to date of expiry of termination notice period, hand over

possession of all Tissue Culture Facility in their original conditions,

except deterioration caused through wear and tear, comply with other

obligations and vacate the Biotech Park Lucknow.

8. LOCK IN PERIOD FORTERMINATION OF LICENSE AGREEMENT:

The Licensee can terminate the license agreement after completion of

/expiry of 1 (one) year of License Period.

9. SUB LICENSE:

The Licensee shall NOT be entitled to sub-lease, sub-license or share part or full area of one or more said Tissue Culture Facility.

10. OTHER TERMS AND CONDITIONS:

(i). A bidder is permitted to submit only one bid for the purpose of

licensing of Tissue Culture Facility.

(ii). The bids shall be typed or written in indelible ink and shall be

signed& sealed by a person or persons duly authorized to sign on

behalf of the bidder. All pages of the Bid shall be initialled by the

person or persons signing the bid. All entries or amendments shall

be initialled by the person or persons signing the bid.

(iii). Authorized signatures shall be of persons of status and probity and

his/her full names, occupations & addresses shall be printed below

their signatures with official seal.

(iv). License Agreement shall be signed between Biotech Park, Lucknow

and successful Licensee. The cost of execution of License

Agreement including stamp duty, registration charges and legal fee

shall be borne by the Licensee.

(v). The Tender Documents should have tamperproof binding. Loose

Tender Documents shall be rejected out-rightly.

(vi). Biotech Park, Lucknow shall constitute an evaluation committee

which shall be responsible for evaluation of bids and finalisation of

successful bidder.

(vii). Biotech Park, Lucknow reserves the right to accept or reject any

bid and to annul the bidding process and reject all bids, at any

time, prior to award of License, without therebyincurring any

liability to the affected bidder or bidders or any obligation to inform

the affected bidder or bidders of the grounds for Biotech Park,

Lucknow’s action.

(viii). The bid shall contain no alterations, omissions or additions, except

those to comply with instructions issued by Biotech Park, Lucknow

or as necessary to correct errors made by the bidder, in which case

all such corrections shall be initialled by the person or persons

signing the bid.

(ix). Any costs incurred by the applicants for collection of information,

for preparation of the bids, for attending or making the

visit/conference / meetings / presentations or any other

subsequent negotiations shall not be reimbursable.

(x). The bidders are subject to disqualification, if a bidder made

misleading or false representation in the tender documents, forms,

statements and attachments.

(xi). The Tender Documents and License Agreement are to be taken as

mutually explanatory and, be read, construed, understood,

severally and/or jointly, as the case may be. In the event of any

conflict between them, the priority shall be in the following order: a) License Agreement b) Tender Documents; i.e., the License Agreement shall

prevail over Tender Documents.

(xii). Notwithstanding anything to the contrary contained in this Tender

Document, the detailed terms specified in the License Agreement

shall have overriding effect; provided, however, that any conditions

or obligations imposed on the Bidder hereunder shall continue to

have effect in addition to its obligations under the License

Agreement.

(xiii). The documents including this Tender Document and all attached

documents, provided by Biotech Park, Lucknow shall remain or

become the properties of Biotech Park, Lucknow and are

transmitted to the Bidders solely for the purpose of preparation

and the submission of Bid(s) in accordance tender conditions.

Bidders are to treat all information as strictly confidential and shall

not use it for any purpose other than for preparation and

submission of their Bids. The provisions of this Clause shall also

apply mutatis mutandis to Bids and all other documents submitted

by the Bidders, and Biotech Park, Lucknow shall not return to the

Bidders any Bid document or any information provided along

therewith.

(xiv). It shall be deemed that by submitting the Bid, the Bidder agrees

and releases Biotech Park, Lucknow, its employees, agents and

advisers, irrevocably, unconditionally, fully and finally from any

and all liability for claims, losses, damages, costs, expenses or

liabilities in any way related to or arising from the exercise of any

rights and/ or performance of any obligations hereunder, pursuant

hereto and/ or in connection with the Bidding Process and waives,

to the fullest extent permitted by applicable laws, any and all rights

and/ or claims it may have in this respect, whether actual or

contingent, whether present or in future.

(xv). The Bidding Process shall be governed by, and construed in

have exclusive jurisdiction over all disputes arising under,

INSTRUCTIONS TO BIDDERS

1. Biotech Park, Lucknow invites Request For Proposal (RFP) from the

interested bidders for licensing of Tissue Culture Facility inside the

Biotech Park, Lucknow.

2. A bidder can submit a single bid i.e. one bid only.

3. The intending bidders shall have to submit details of their company,

experience and financial information in the prescribed format -Form – I.

4. The Bidders have to unconditionally accept the terms and conditions

contained herein this RFP.

5. Tender Document Fees : This RFP document shall be available at the

office of the Administrative Officer, Sector G, Jankipuram, Kursi Road,

Lucknow – 226021, Uttar Pradesh Tel.+91- 522- 2365050, 4012091, on

payment of Non Refundable Fee of Rs. 3000/-(Rupees Three thousand

only) in cash or through Demand Draft / Banker’s Cheque in favor of

“Biotech Park, Lucknow” payable at Lucknow, on working days between

10 a.m. to 4 p.m as per bidding information mentioned herein above in

RFP.

6. Bidding Structure: The Bidders shall submit their bids along with full

tender document and Earnest Money Deposit.

7. The Demand draft/Bankers Cheque of Earnest Money Deposit ( & Cost of

tender, if applicable)shall be submitted in Envelop No. 1 and other tender

documents shall be placed in Envelop No. 2. The Envelops shall be

marked as “Tender Documents for Tissue Culture Facility” and complete

name and address of bidder shall be provided on the left side of the

Envelops. The tender documents shall be addressed to Administrative

Officer. The tender documents sent by post or courier shall be placed in

big size envelope.

8. The evaluation committee shall evaluate only those bids which are

received before the Bid submission deadline prescribed herein in the

required formats and are complete in all respects and accordingly, any

bids not conforming to the requirements contained herein shall be liable

to be rejected.

9. The evaluation committee reserves the right to reject any Bid received

from the bidders without assigning any reason whatsoever.

10. The Bidders shall not have a Conflict of Interest that affects the Bidding

Process. Any Bidder found to have a Conflict of Interest shall be

disqualified.

ACCEPTANCE LETTER

To, Administrative Officer, Biotech Park Sector G, Jankipuram, Kursi Road, Lucknow – 226021, Uttar Pradesh Sir, With reference to RFP No. BP/RFP/2016-2017/01 dated 13th September 2016, we hereby unconditionally accept the terms and conditions of tender documents and we further confirm/state/undertake that:

(i). We have made a complete and careful examination of the bidding documents;

(ii). We have received all relevant information from Biotech Park, Lucknow;

(iii). We have accepted the risk of inadequacy, error or mistake in the information provided in the bidding documents and/or license or furnished by or on behalf of Biotech Park, Lucknow relating to any of the matters referred to in Tender Documents and shall not be a basis for any claim for compensation, damages, claim for performance of its obligations, loss of profits, etc. from Biotech Park, Lucknow, or a ground for termination of the License Agreement by the Licensee;;

(iv). We are satisfied with all matters, things and information hereinabove necessary and required for submitting an informed Bid, execution of the license agreement in accordance with the tender documents and performance of all of its obligations there under;

We further state that we do not have a Conflict of Interest in the bid.

We also confirm that payment of Earnest Money Deposit has been made in the form of DEMAND DRAFT / PAY ORDER and enclosed herewith.
