These five appeals under Section 44 of The Real Estate (Regulation and
Development) Act, 2016 (hereinafter referred to as "the Act') take exception to the
common final order dated 27.11.2017 passed by the Three Member Bench of
MahaRERA in Complaint nos. CC0500000000033, CC0500000000119,
CCO500000000149, CCO500000010541 & CCO500000010543, thereby issuing various
Statute which governs and supervises the rights and obligations of the
allottees and Promoters, the reliefs sought by the flat purchasers to be

adjudicated are completely beyond the scope and framework of RERApafticularly under Section 38 of the Act;

Allowing the reliefs to complainants / flat purchasers will not only beprejudicial or detrimental to the rights and interest of the appellants butthe same would also frustrate the arbitration proceedings.
The entire order under challenge does not remotely make a referenceto the Development Agreement executed between appellants andoriginal promoter which crystalizes the rights and obligations inter_sebetween the parties;
The impugned order is without jurisdiction and once the Authoritycomes to the conclusion that the dispute is of civil nature, rest of thecontentions and grievances ought to have been left to the jurisdictionof the Learned Arbitrator with whom the controversy is still pending.

xvil The frat purchasers have faired to estabrish their rights under section19 of the Act and in the teeth of such failure grievances of the flatpurchasers should not have been considered by the Authority asapparently reliefs sought by the frat purchasers are nothing but at theinstance of Promoter who has not been joined as a necessary party inthe complaints by the flat purchasers.
xviil Promoter, M/s Bhansali Infotech had not treated the appellants as
Promoters and faired to dirigentry discharge its obrigations within the
scope and framework of Development Agreement. promoters have
unilaterally executed the Agreements with the flat purchasers without
recognizing the rights of the appellants and in such a situation the
dispute is outside the purview of RERA. In this background, complaints
by flat purchasers should have been dismissed by the Authority.

Based on the above grounds, appellants sought the following reliefs in6.

by the Authority under Section 63 of RERA;
7. Respondent M/s. Bhansali Infotech LLP / Promoters resisted the appeals vide
reply dated 4.2.2019. According to the Promoters -
Notice issued by appellants in Indian Express dated 08.08.2017 stating
that the Agreements are not legal, valid and enforceable in the eyes of
law;
xiiil Appellants sent a legal notice dated 11.08.2017 and reiterated that
Agreements not signed by appellants are not enforceable and flat
purchasers would not acquire legal title of their respective units illegally
purchased from the Promoters;
xivl The flat purchasers of J-2 Building have been threatened by appellants
by disputing their legal title though they are bonafide purchasers under
the valid registered Sale Agreements. It is nothing but an extottion of
the flat purchasers. Appellants may get their grievances resolved at an
appropriate Forum but have no right to dispute the registered Sale
Agreements of the customers who have paid valuable consideration
under the Agreements to Promoters;
xvl Under Section 19 of RERA, Appellants cannot dispute or deny title of
the bonafide flat purchasers and cannot prevent the flat purchasers
from claiming possession of their respective flats for which they have
paid valid consideration to the Promoters.
xvil Promoters have already initiated arbitration proceedings and appellants
in order to avoid arbitration proceedings are wrongly agitating a civil
dispute under RERA;
xviil Appeals have been filed for the sake of preventing Promoters from
carrying out their obligations under the contract and further preventing
them from handing over possession of flats to bonafide purchasers of
J-2 Building.

On the basis of aforesaid grounds, Promoters prayed to dismiss the appeals
with exemplary costs.
8. So far as flat purchasers are concerned, their grievances are limited to the
public Notice issued by appellants in Indian Express Newspaper, refusal of appellants
to sign Agreements for sale and obstruction to their access way to J2 building by the
appellants.
g. Heard the Learned counsel for parties in extenso. on perusal of complaints
and defence raised by Promoters and flat purchasers, following points arise for our
consideration in these appeals and we have recorded our findings against each of
them for the reasons to follow:

a primary co-operative housing society which constructs
apaftments or buildings for its Members or in respect of the
allottees of such apartments or buildings; or
(v) any other person who acts himself as a builder, coloniser,
contractor, developer, estate developer or by any other name orclaims to be acting as the holder of a power of aftorney from the
owner of the land on which the building or apaftment is constructedor plot is develoPed for sale; or
(vi) such other person who constructs any building or aparlmentfor sale to the general Public.
Exptanation - For the purposes of this clause, where the person
who constructs or converts a building into apaftments or developsa plot for sale and the persons who se//s apaftments or plots are
different persons, both of them shall be deemed to be the
promoters and shall be iointly liable as such for the functions and'responsibilities
specified, under this Act or the rules and
re gu t ati on s m ade th ere un de r; "
11. The allottees have relied upon circular No.12 of 2017 issued by MahaRERA
on 04.L2.20L7 to submit that appellants are covered by the said circular and are
jointly liable to perform the functions and shoulder responsibilities specified under the
Act. considering the definition of 'promoter' under section 2(zk), its explanation and
Circular referred by allottees, we do not find force in the submission of Learned
counsel for appellants in view of an unequivocal admission that by virtue of
Development Agreement, Promoters and land owners agreed to share the sale
proceeds to the extent of B0o/o and 20olo respectively'

Promoter in the process of developing /constructing the J_2 Building as detailed
above is consuming FSI in excess of theFSI granted by the Complainants to theRespondent under the Development
Agreement dated 04.07.2014 and by
doing so are carrying out an unfair
practtce as contemplated under theprovisions of Section 7(c) of The Real
Estate (Regulation and Development) Act
2016 and therefore the registration of the
said project is liable to be revoked under
the provisions of Section 7 of The Real
Estate (Regulation and Development)
Act,2016.
(i) it may kindly be held thatthe Respondenl
interest of justice, may be pleased todeclare that the Claimant is entifled toutilize the balance FSI rights 1579.27
sq.mhs. to be executed upon the landproperty without any obstruction from theRespondents.

allocate and reserve the area in the land

constructing the buildings under the
balance FSI rights of 1579.27 sq.mtrs

lnjunction restraining the Respondents in
any way and manner in interfering in the
execution of the paid FSI rights of the
Claimant over the property and not to

Promoter has sold the Car Parkings to
various Flat Purchasers in excess of the

by the Respondent from the Competent
Authority and by doing so havecommitted irregularity as contemplated
under the provisions of Section Z(c) ofThe Real Estate (Regulation andDevelopment) Act, 2016 and therefore onthis count too the registration of the saidproject is liable to be revoked under theprovisions of Section 7 of The Real Estate(Regulation and Development) Act, 2016.
(iii) lf the Hon,bte Authority comes to a
conclusion that the Respondent has
committed an irregularity and has/is
carrying on unfair practices as
contemplated under the provisions of
Section 7 of The Real Estate (Regulation
and Development) Act, 2016, then in
addition to the reliefs prayed above, the
Hon'ble Authority be further pleased to
impose maximum penalty upon the
Respondent as contemplated under the
provisions of Section 61 of The Real
Estate (Regulation and Development)
(iv) lt may further be held that the
Respondent is not entitled to construct
and sell the units in the J-2 Building by
consuming the permitted paid FSI in
excess of 7088,27 square meters,

amenities to be constructed on the said land to J2 building wherein the
Complainants have purchased the flats.
(B) The Respondents be restrained and refrained by an order that they
should not dispute the Complainants' legal title to the purchased flats in
J2 building.
(C) The Respondents be restrained and refrained by an order that they
should not dispute the registered agreements to sale of the flats to the
complainants purchased in the 12 building.
(D) The Respondents be restrained and refrained by an order that they
should not obstruct the entry of the Complainants to 12 building from
the main entrance gate as well as entry from any ofthe gates in the said
property.
(E) The Respondents be convicted under section 61 of the RERA Act for
contravention of provisions of Section 19(1) & (2) of the said Act.
(F) The Respondents be penalised 5olo of the estimated cost of 12 Building
Project at Leisure Town, Hadapsar, Pune for contravention of provisions
of Section 19(1) & (2) of the said Act.
(G) Any other Orders in the interest of justice.
17. From the above reliefs claimed before RERA and in arbitration proceedings, it is
crystal clear that dispute between promoters and land owners/promoters is an arbitral dispute
and since arbitration proceedings are pending, MahaRERA has no jurisdiction to deal with
those issues particularly between Promoters and land owners/promoters. In this premise
of the Real Estate sector. The provisions of the Act are therefore required to be construed
and interpreted keeping in view the object and scope of the Act' In the case of Neelkamal
Realtors Suburban Pvt. Ltd. & Anr' V/s' Union of India [(20U) SCC OnLine Bom'
93021, it has been observed by the Division Bench of the Bombay High Court thus -
"A verv larse number of people spread over various
cities'acris the country have invested their hard-
iirned money in the real estate proiect f or securing
ririver tneir neads. For millions of people, a dwelling
iiuse in this country is still a dream come true' The'iiiiictir" Governments, Corporations have declared
beneficial schemes for low and high income groups ror
ilotment of residential houses. However, that is not
iriini to o" sunciert. The hard-earned money of the-iniuir"o,
their life-time savings were invested in
iuny *ri prolects. It was found that many proiects
ii" ivins iile ior various reasons, due to which public
)ih:isi consumers of real estate sector are adversely
)friri"i financially and otherwise' A comprehensive
iai was the need'of the day. The Parliament thereforq
tnorght it fit to comprehend under one umbrella-ffiit i mechanism'for a disciptined growth of the
real estate sector. "

19. Further, under Section 31 of the Act' any aggrieved person may file a complaint with
the Authority or Adjudicating Officer as the case may be for any violation or contravention of
the provisions of the Act or the rules and regulations made thereunder against any promoter'
allottee or real estate agent as the case may be'
20. Section 34 relates to functions of Authority' Clause (0 is relevant in the
present case. For ready reference the same is reproduced here as follows:

"The functions of the Authority shall include -

2L. The directions issued vide impugned order by the Authority are under Section
37 of the Act. It reads thus -

22. In the case on hand, it is not in dispute that the land owners / promoters
entered into Development Agreement with the promoters / developers to develop their
land to the extent of FSI of 70gg.27 sq.mtrs with a view to construct J2 building'
Admittedly, the Development Agreement is the subject matter of dispute in arbitration
proceedings. The entire case of appellants revolves around Development Agreement'

23' considering the pleadings, MahaRERA held that the Authority does not get anyjurisdiction to deal with civil issues lying between the parties and all the reliefs claimedby parties in complaints based upon such issues cannot be granted.

24' Assairing the order, Learned counser for appelants referred to the provisionsof section 35(2)(iv) of the Act to submit that while exercising the powers, Authorityhas the same powers as vested in civir court under the code of civir procedure andtherefore under section 10 of the code of civir procedure, Authority shourd not haveproceeded with the inquiry as previously instituted arbitration proceedings on identical
issues between the same parties were pending before the Learned Arbltrator. Learned
Counsel submitted that intention of Legislature in enacting Section 10 of the Code of
Civil Procedure is to avoid severance of cause of action and conflicting decisions.
25. Commenting upon the powers of Authority to issue directions, Learned
Counsel for appellants submitted that once MahaRERA came to the conclusion that
dlspute is of civil nature and arbitration proceedings are pending, such directions ought
not to have been issued as issuance of such directions would amount to bifurcation of
the subject matter which is not permissible in law. He further submitted that issuance
of directions would not only frustrate arbitration proceedings but would invite the risk

of possibility of conflicting judgements and orders by two different forums' In support
of the submissions, Learned counsel relied upon judgment of the Hon'ble supreme
Court in Sukanya Holdings Pvt. Ltd. vs. Jayesh H' Pandya & Anr' [(2003) 5
scc 5311
26. It is pertinent to note that allottees are not parties to arbitration proceedings
as can be seen from the record. Authorlty passed common final order in all five
complaints. on careful reading of section 37 of the Act, it is apparent that powers of
Authority are wide in nature as the role assigned to Authority is to regulate and
promote the real estate sector and protect the interest of consumers' Appellants being
covered by definition of the promoter under section 2(zk) are jointly liable to peform
the functions and shoulder the responsibilities qua allottees as specified under the Act
of 2016. Considering the scheme of the Act of 20L6, its objects, role assigned to the
Authority and the powers under Section 37 of the Act, we do not find merit in the
submission of appellants that directions issued vide impugned order are per se without
jurisdiction and not sustainable in law. Point 2 is thus answered in the affirmative.
Points3&4:
In view of our findings to Points 1 and 2 supra, we find the appeals devoid of
substance and merits.
27. Appellants have stated that all the directions issued vide impugned order have
been complied by them. Even at the time of passing order, appellants agreed to
withdraw the Notice issued by them to the allottees and expressed their willingness to
give an undertaking that they shall not obstruct the allottees from using the main
entrance of J2 building to have an access to their respective flats. Accordingly, they
had given an undertaking and Authority accepted the same. This is apparent from the
order dated 27.t7,2017. As appellants agreed to withdraw the Notice, expressed
readiness to give an undertaking and acted in pursuance to the undertaking, we do
