    Dear North Carolina Baptists,

    I am humbled and amazed when I consider the many ways that God has worked among North Carolina Baptists over the past year. God continually reminds me of His faithfulness, which was reflected in the 2019 Baptist State Convention of North Carolina’s annual meeting’s theme of “God’s Great Work.”

    The year of 2019 marked five years since the implementation of the strategy of “impacting lostness through disciple-making.” We spent much of the year evaluating the strategy and updating N.C. Baptists on the progress that has been made in fulfilling the strategy. While we have made great strides since the strategy’s implementation, there is still much work to be done. I am thankful that N.C. Baptists have affirmed the progress we have made together and encouraged us to continue in that work.

    In keeping with the Baptist State Convention of North Carolina’s stated mission ofassisting the churches in their divinely appointed mission, the overarching goal ofthe strategy is to help churches fulfill the Great Commission, which is found inMatthew 28:19 — “to go and make disciples of all nations.”

    With this emphasis on making disciples, we have challenged and encouraged N.C.Baptist churches to cultivate and develop a disciple-making culture that results inlives being transformed by the power of God. A disciple is a transformed follower ofChrist who is engaging the lost with the gospel and making disciples who, in turn,make more disciples.

    This annual report provides just a glimpse into how God has worked through N.C.Baptist churches in fulfilling our Great Commission mandate. You will read manytestimonies in this report of how God is at work in North Carolina, North Americaand around the world.

    We believe God has called every individual believer and every local church to be onmission for Christ and to be involved in fulfilling the Great Commission. Thank youfor your continued support of the state convention’s efforts to come alongsidechurches in their ministry and missions efforts. We want to be the strongest force inthe history of this convention for reaching people with the message of the gospel ofthe Lord Jesus Christ. May God be glorified as we seek to serve Him together.

    The Committee on Resolutions and Memorials has the responsibility of reviewing all properly submitted resolutions and presenting those resolutions to messengers for consideration at each year’s annual meeting. The committee also has the responsibility of preparing a report memorializing ministers and lay leaders who have died in the previous year and recommending names of individuals to whom the “Annual of the Baptist State Convention of North Carolina” will be dedicated. RESOLUTIONSA resolution has traditionally been defined as an expression of opinion or concern. A resolution is not used to direct a specific action other than to communicate the opinion or concern. No resolutions were submitted to the committee this year; therefore, no resolutions are being presented to messengers for consideration at this year’s annual meeting.

    MEMORIALS & DEDICATIONThe Committee on Resolutions and Memorials met on July 24, 2019, to consider those names of the men and women who had faithfully served North Carolina Baptists over the years and had received their eternal rewards during the time period of July 2018 to June 2019. In appreciation and honor, the committee presents the following persons to whom we dedicate the 2019 Baptist State Convention of North Carolina annual.

    Logan Carson, Southeastern Baptist Theological Seminary’s (SEBTS) first full-time African American professor, died Nov. 3 at age 86. Carson, who taught theology at SEBTS from 1994-2009, will be remembered for his zeal for life, love for teaching Scripture to his students and his humility in serving others.

    Danny Akin, Southeastern’s president, noted, “The thing I remember most about Dr. Carson is that he said he didn’t want his sight back in this life because ‘the first thing I want to see is Jesus’ face.’”

    Carson was born blind due to malformed retinas in July 1932 in McDowell County, N.C. However, blindness did not stop his zeal in ministry and his love for the Lord. In 1955, Carson was pursuing a degree to become a constitutional attorney when he sensed God’s call to teach students the Scriptures.

    Carson received a bachelor of arts in Bible and social science from Shaw University in Raleigh, N.C., in 1957. In 1960, just three days after marrying his wife, Glenwood, he received his bachelor of divinity from Hartford Seminary Foundation in Connecticut. Twenty years later, the graduate school of Drew University in Madison, N.J., awarded Carson a doctor of philosophy degree. His students through the years have been impacted by the way he taught them to know and love Scripture and to honor the Lord through doing everything well for His glory. His motto was, “In Christ, strive for excellence.”

    During his time at Southeastern, Carson also served as pastor of Green-Bethel Baptist Church in Boiling Springs, N.C. Before joining the SEBTS faculty, Carson had taught 21 years as a professor of religion in Old Testament studies at Gardner-Webb University in Boiling Springs. Doug Nalley, director of housing at SEBTS and a former student of Carson’s, recalled how Carson would affectionately call his seminary students “tadpoles,” as they were not fully-developed theologians. Carson told his class he was going to be sent to make brooms after high school but was determined to do more, Nalley recounted.

    “They laughed at him initially, but then off he went to law school,” Nalley said. “Next was theology school. If they had their way, Dr. Carson would have spent his life making brooms. However, in God’s providence, God used this blind man to prepare untold numbers of students to fulfill the Great Commission and serve the church.”

    In addition to Gardner-Webb, Carson also served as an instructor of religion at Montclair State College in New Jersey and a Bible knowledge master at Waka Schools in northeastern Nigeria. Carson’s ministerial positions included pastor of Olive Branch Baptist Church in Wake Forest, N.C.; associate pastor of First Baptist Church in Jeffersontown, Ky.; pastor of Webb First Baptist Church in Ellenboro, N.C.; and pastor of Christ Community Baptist Church in Gastonia, N.C. Throughout his educational journey, Carson was both an outstanding student and beloved professor.

    As a student, Carson graduated with high honors from Shaw University, received special commendation in receiving his master’s degree and maintained a 4.0 GPA during his Ph.D., while also being awarded multiple fellowships. At Southeastern, Carson received the Excellence in Teaching Award in 2003. Carson’s hiring at Southeastern stemmed from the advocacy of his former secretary, according to the 2002 book by historian Barry Hankins, “Uneasy in Babylon: Southern Baptist Conservatives and American Culture.”

    The secretary, not named in Hankins’ book, had taken a job at Southeastern and recruited Gardner-Webb graduates who were studying at the seminary to sign a letter urging that Carson be considered for the faculty. Paige Patterson, who became SEBTS president in 1992, “grew interested and brought Carson to Southeastern for an interview that eventually resulted in his hiring for the fall of 1994,” Hankins wrote.

    Wayne McDill, emeritus senior professor of preaching at SEBTS, was both a colleague and neighbor of Carson. A member of the faculty committee that interviewed Carson in a preliminary visit to Southeastern, McDill said his first impression “was that he was so informed about almost any subject, and that he was spiritually sensitive. I was struck with his genuine interest in students. I was in his office one time when a student came by. Dr. Carson immediately recognized him and asked about his situation. Then he prayed for him while we stood there together.”

    Carson served in other capacities during his career as well, including as a music writer for a Kentucky newspaper called “The American Baptist,” parliamentarian for the Ebenezer Baptist Association and Gardner-Webb College faculty meetings; moderator of the Gold Hill Missionary Baptist Association; a speaker and evangelist for revival services and a conference leader for multiple Winter Bible Studies. Carson was preceded in death by his wife, Glenwood (whom he affectionately called “Pep”), and is survived by his two adult children, Aaron and Tricia.

    Dr. Milum Oswell “M.O.” Owens Jr. passed away on May 21, 2019 at his home in Covenant Village, Gastonia, N.C. He was 105 years old. He was born Sept. 4, 1913, in New Holland, Aiken County, S.C. He was the son of the late Milum O. Owens Sr., and Jesse Hammett Owens.

    Owens graduated from Taylors High School in Taylors, S.C. where he was salutatorian of his class. He then attended Furman University where he was on the swim team and track team and helped form the Furman Glee Club where he served as baritone soloist and manager. After graduation with honors from Furman, he worked as a teacher and principal at Barwick High School in Barwick, Ga. He entered Southern Baptist Theological Seminary in Louisville, Ky., in 1935 and graduated with honors and an MTh degree in 1938.

    Owens served the following pastorates before coming to Gastonia: Myrtle Beach, S.C.; Palmetto, Fla.; Marion, N.C.; and Lenoir, N.C. From Lenoir he was called to East Baptist Church in Gastonia. While serving there, land was purchased to relocate the church, but it was later decided to plant a new church which became Parkwood Baptist Church in Gastonia. As that church grew, Owens was called there and served there as pastor until his retirement in 1980.

    For 30 years after retirement he served as interim pastor in 15 different churches. During his ministry he was instrumental in forming seven new churches in North Carolina. Owens was always active in community affairs, as well as in his church organizations. He served on the board of trustees at Gardner-Webb College for 14 years and was chairman of the board for several of those years. He founded Gaston Christian School in Gastonia in 1978. He also helped in the forming of the Crisis Pregnancy Center.

    The Milum Oswell Owens Chair of New Testament Studies was endowed in his honor at Southeastern Baptist Theological Seminary in Wake Forest, N.C. He was a member of the Kiwanis Club in Marion, N.C. and frequently performed as a soloist in various charity shows. He was a member of the Rotary Club in Lenoir, the Lions Club in Gastonia, then joined the Rotary Club in Gastonia and was proud to be a Paul Harris Fellow.

    A great believer in travel, he traveled in all 50 states, in 40 different countries and on all seven continents. Owens had many interests and hobbies. He was an avid reader and gardener. He excelled in growing roses. He loved golf and played as often as his schedule allowed. He collected stamps and coins, built at least 20 dollhouses, and always supported the arts, especially music programs. He was a prolific author, publishing three books and a quarterly publication titled “The Watchman.” He enjoyed many sports, particularly baseball and basketball. He was for years a loyal fan of the Dodgers and ultimately became an ardent fan of the Braves.

    Owens is survived by three loving daughters, Celia Alexander (Erwin) of Suffolk, Va., Linda Russ (Eldon) of Greenville, S.C., and Mary Lancaster (Glenn) of Vass, N.C.; foster daughter, Deborah Ko (Chi Sown) of Girard, Ohio; eight grandchildren; two foster grandchildren; 13 great-grandchildren; three foster great-grandchildren; five step-children, and many step-grandchildren. He was predeceased by three wives, Ruby Bridges Owens, Ola Carothers Owens, and Margaret Williford Brown Owens.

    Owens was God’s servant his whole life. He was loved and respected by all who knew him. He will be sorely missed.

    Dr. Roy J. Smith, husband, father, grandfather, great-grandfather and leader in North Carolina Baptist life, passed from this life to the next on Thursday, Oct. 18, 2018, at Brookridge Baptist Retirement Community in Winston-Salem, N.C.

    Smith was born in Macon County, North Carolina on July 7, 1929, to the late Sanford J. Smith and Pearl Kinsland Smith. In addition to his parents, he was preceded in death by his wife of 53 years, Doris Pearce Smith. He is survived by his wife of 14 years, Charlotte Cook Smith; three children, Ginger (Dick) Graves, Roy (Martha) Smith Jr., and Tracy Smith; Charlotte’s two children, Steve (Sheryl) Cook and Ann Parker; 11 grandchildren, Shelley (Justin) Sizemore, Betsy Graves, Charlie Graves, Jordan (Jessica) Smith, Nicholas (Ashley) Smith, Jaclyn (David) Holland, Ashtyn Smith, Adam Cook, Sophie Cook, Andrew Parker, and David Parker; three great-grandchildren, Elliot Sizemore, Layne Smith, and Emelia Smith; his brother Johnny (Guinehl) Smith, and two sisters, Lib Pierce and Peggy (Clinton) Clevenger, and many nieces and nephews.

    Smith was a graduate of Wake Forest College (‘53) and Southeastern Baptist Theological Seminary (‘56). He completed additional graduate studies at North Carolina State University and Emory University. He holds two honorary doctorates of divinity from Wake Forest University and Campbell University.

    A 1984 article in the Biblical Recorder announcing Dr. Smith’s election as general secretary of the North Carolina Baptist convention led with the headline “Roy J. Smith is always at home in North Carolina,” a sentiment that rang true until the very end of his life. His storied career was motivated by service to God and to the people of North Carolina. Smith was beloved across the state for his patient and scholarly mind, his oratorical genius in the pulpit, and his compassionate and dedicated servant leadership.

    He was a lover of Wake Forest athletics and a well-known sports commentator to his family and friends. He was an accomplished guitar player and singer, traveling across the state to perform country and bluegrass music, with a particular proclivity toward Johnny Cash. He was a great fisherman, a competitive Rook and Boggle player, and an accomplished gardener.

    Smith travelled extensively across the world both on behalf of the Baptist state convention and for pleasure. He enjoyed spending time at the mountain house in Franklin, N.C., built on his family’s land. Smith had a very distinguished career. His entire 43-year ministry was within the state’s boundaries. He served as pastor of Union Hope Baptist Church in Zebulon (1954-57) and Jersey Baptist Church in Lexington (1957-62).

    From 1962-1997, he served the Baptist State Convention of North Carolina. He held positions as associate in missions, secretary, town and country missions and seminary extension, and associate general secretary-treasurer. In 1984 he was elected executive director-treasurer of the Baptist state convention, a role he filled until his retirement in 1997.

    He was recognized as North Carolina and southeastern regional “Rural Pastor of the Year” in 1962 and as “Tar Heel of the Week” in 1984. Among his many civic commitments, Smith served on the board of trustees at Wake Forest University as well as played an integral role in the foundation of Wake Forest University Divinity School and Campbell Divinity School. He served as a member of the coordinating council for the Cooperative Baptist Fellowship of North Carolina and was the National Cooperative Baptist Fellowship representative to the Baptist World Alliance.

    Myrtle Ellen Dennis Tabor, Ed.D., 90, of Winston-Salem went to be with the Lord at Wake Forest Baptist Hospital on March 10, 2019, after experiencing a sudden heart attack and stroke.

    She was born in Albemarle, N.C., in 1928 to Charlie Martin and Henrietta Dennis. She was preceded in death by her husband of 69 years, Dr. Charles Gordon Tabor. Ellen received her first degree at Mars Hill College and went on to nursing at Baptist Hospital, and after she and Charles wed, they dedicated themselves to missionary service at Wallace Memorial Baptist Hospital in Pusan, South Korea, for 20 years.

    Upon their return to the United States, Ellen passionately pursued both education and service as a nursing professional. She was the founding president of the Baptist Nursing Fellowship and earned her doctorate in education, continuing to tutor and volunteer throughout her life. She modeled in her life and actions what it meant to be devoted to the needs of those around her. She was a strong leader, a selfless servant, a dedicated mother, grandmother, great-grandmother, and a friend to so many.

    Her family is grateful for the time, lessons and love she has shared with them over the years. They are also grateful for the many kindnesses and partnerships that those in her community have shared with her during her life. We rejoice that she is in heaven with her Lord and Savior now, reunited with Charles.

    Ellen is survived by her sons: Charles David Tabor and his wife Christina Nelson; and Dennis Gordon Tabor and his wife Carol Tabor; her grandchildren: Jennifer, Kara, David Jr., Laura and Beth; and great-grandson, Nicolas.

    • Founded in 1946 as Fruitland Baptist Bible Institute. • Became Fruitland Baptist Bible College on November 12, 2013.

    The purpose of Fruitland Baptist Bible College in its associate degree and certificate programs is to glorify God, serve the local church, and fulfill the Great Commission, by developing Christian leaders who think biblically, communicate the gospel effectively, and serve in Christ’s kingdom with godly character, competence, and commitment.

    Fruitland accepts students with various and/or limited academic preparation.     • Today, in 2019, Baptist Children’s Homes is located in 23 communities across the state and in Guatemala, impacting 107,700. In the past five years, 703 people have made decisions for Christ.

    • “It’s a Family Matter” bi-weekly podcast by Dr. Michael Blackwell began in 2019.

    • Initiative began in 2019 to promote Foster Care program to recruit and train foster parents in all 100 counties of NC by the end of 2020.

    E. Historical Educational InstitutionsThe Convention recognizes its historical relationship with the historical educational institutions, based on the Convention’s founding of Wake Forest University in 1834 and Meredith University in 1898. Each historical educational institution is autonomous in its governance and its board of trustees shall be elected by such board of trustees in accordance with such procedures as set forth in its governing documents. The historical educational institutions shall not share in the distribution of Cooperative Program funds except scholarship funding for North Carolina Baptist Students which shall not exceed the amount each individual historical educational institution was receiving from the Convention at the time the historical educational institution became autonomous in its governance.

    BAPTIST RETIREMENT HOMES OF NORTH CAROLINAThe messengers to the 2009 Annual Meeting of the Baptist State Convention of North Carolina (Convention) approved the establishment of a new relationship with the Baptist Retirement Homes of North Carolina (BRH) in order that the BRH might be recognized as a Historical Social Services Institution. In this relationship, the Convention recognizes the BRH’s provision of ministry to senior adults on behalf of the Convention from 1951 to 2006. As a Historical Social Services Institution, BRH is autonomous in its governance. The Convention no longer elects the trustees of the institution. In addition, BRH no longer shares in the distribution of Cooperative Program funds.

    A Nonprofit Corporation

    The undersigned, being a natural person of the age of eighteen (18) years or more, hereby makes and acknowledges these Articles of Incorporation for the purpose of forming a nonprofit corporation under and by virtue of the laws of the State of North Carolina as contained in Chapter 55A of the North Carolina General Statutes entitled the “North Carolina Nonprofit Corporation Act,” as amended (the “Act”).

    Article I. Name The name of this nonprofit corporation is the Baptist State Convention of North Carolina, Inc. (the “Convention”).

    Article II. Duration The period of duration of the Convention shall be perpetual unless sooner dissolved in accordance with the Act.

    Article III. Type The Convention is a “charitable or religious corporation” within the meaning of the Section 55A-1-40(4) of the Act.

    Article IV. Purposes The Convention is organized exclusively for religious, charitable and educational purposes as permitted under Section 501 (c) (3) of the Internal Revenue Code (the “Code”), including, but not limited to, the following:

    A. To assist the churches in their divinely appointed mission; to promote missions, evangelism, education, social services, the distribution of the Bible and sound religious literature; and to cooperate with the work of the Southern Baptist Convention; and

    B. To do any and all acts and things which may be deemed desirable or expedient for the benefit of the programs of the Convention.

    Article V. PowersIn order to carry out the purposes set forth in sections (A) and (B) of Article IV, the Convention shall have full power:

    A. To solicit, acquire, hold, manage, convey, transfer and dispose of cash donations;

    B. To lease property;

    C. To invest in, acquire, hold, pledge, resell, exchange, transfer or otherwise dispose of securities of any nature and to exercise all rights, powers and privileges of ownership thereof, including the right to vote thereon for any and all purposes;

    D. To enter into, make and perform contracts of every kind for any lawful purpose without limit as to amount, with any person, firm, association, corporation, town, city, county, district, state, territory, or government; and

    E. To exercise any and all powers which may be conferred by law or which may be deemed necessary or expedient for the achievement of the objects and purposes of the Convention as set forth in Article IV.

    It is understood that the Convention works together with the associations in seeking to fulfill these purposes. While independent and sovereign in its own sphere, the Convention does not claim and will never attempt to exercise any authority over any other Baptist body, whether church, auxiliary organization, association, or convention.

    Article VI. Members; Composition The Convention shall be composed of the following members described in Sections A. and B. below (which members shall be referred to either as “members” or “messengers” in the Articles and Bylaws of the Convention):

    A. Those messengers who have been duly elected by cooperating churches, have been duly registered, and are in attendance at the annual meeting or special meeting of the Convention. The number and criteria for messengers shall be as follows:

    1. The number of messengers to which a cooperating church is entitled may be determined on either a numerical or financial basis:

    a. On a numerical basis: every cooperating church shall be allowed two (2) messengers and one (1) additional messenger for every one hundred (100) members or fraction thereof, beyond the first one hundred (100) members; provided that to have more than two (2) messengers, the cooperating church financially supports the Cooperative Program of the Convention by giving at least one percent (1%) of undesignated budget gifts through the Cooperative Program of the Convention; for the purposes of this calculation, funds used as matching funds for the expanded annuity shall not be considered.

    b. On a financial basis: every cooperating church giving five percent (5%) of undesignated budget gifts through the Cooperative Program shall have two (2) messengers and one (1) additional messenger for every one percent (1%) beyond the initial five percent (5%).

    2. Messengers shall be members of a cooperating church, as defined below.

    3. A cooperating church shall be one that financially supports any program, institution, or agency of the Convention, and which is in friendly cooperation with the Convention and sympathetic with its purposes and work. Among churches not in friendly cooperation with the Convention are churches which knowingly act to affirm, approve, endorse, promote, support or bless homosexual behavior. The Board of Directors shall apply this provision. Any decision by the Board of Directors shall be final; provided that a church has a right to request the Convention in annual session to reconsider the Board of Directors’ decision that such church is not in friendly cooperation with the Convention.

    4. No cooperating church shall be entitled under any circumstances to elect more than ten (10) messengers.

    5. No one who is a messenger pursuant to a position described in Section B is eligible to be elected as a messenger from a cooperating church.

    B. The officers of the Convention, the members of the Board of Directors, the editor of the Biblical Recorder, the President of the Woman's Missionary Union of North Carolina, the President of the North Carolina Baptist Men, and the President of the North Carolina Baptist Associational Missions Conference.

    Article VII. Officers of the Convention The officers of the Convention shall be a President, a First Vice-President, a Second Vice-President, an Executive Director-Treasurer, and Parliamentarian, as set forth in the bylaws of the Convention.

    Article VIII. The Board of Directors Management of the Convention and its properties and affairs shall be vested in the members of the Convention, the Convention officers and Convention committees as well as its Board of Directors, which, in addition to its other powers and authorities, shall have the power and authority from time to time to sell, expend, or otherwise dispose of any and all property of the Convention in furtherance of any of the purposes for which the Convention has been organized. The members of the Convention are described in Article VI herein and the members of the Board of Directors of the Convention, their number, their terms of office, and the method of their selection and removal shall be provided for and determined by the bylaws of the Convention.

    Article IX. Registered Agent The street address of the initial registered office of the Convention, which is located in Wake County, is 205 Convention Drive, Cary, North Carolina 27511, and the mailing address is P.O. Box 1107, Cary, North Carolina 27512-1107. The name of the registered agent at the street address for the Convention is Glenn Harder.

    Article X. Address The street address of the principal office of the Convention, which is located in Wake County, is 205 Convention Drive, Cary, North Carolina 27511, and the mailing address is P.O. Box 1107, Cary, North Carolina 27512-1107.

    Article XI. Prohibitions No part of the net earnings of the Convention shall inure to the benefit of, or be distributable to, its members, directors, officers or any “private shareholder or individual” within the meaning of Section 501(c)(3) of the Code; provided, however, that the Convention shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article IV hereof. No compensation shall be paid to directors and officers for their services as members of the Board of Directors or as officers of the Convention. No substantial part of the activities of the Convention shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the Convention shall not participate in or intervene (including the publishing or distribution of

    statements) in any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of the Articles, the Convention shall prohibit any activities not permitted to be carried on:

    A. By a corporation exempt from federal income tax under Section 501 (a) of the Code as an organization described in Section 501 (c)(3) of the Code;

    B. By a corporation, contributions to which are deductible under Sections 170 (c)(2) and 2055 of the Code; or

    C. By a “charitable or religious corporation” as that term is defined under the Act.

    Article XII. Dissolution In the event of its dissolution, the Convention, after paying or making provision for the payment of all the liabilities of the Convention, shall distribute all of the net assets of the Convention to one or more organizations which themselves are exempt as organizations described in Sections 501 (c) (3) and 170 (c) (2) of the Code, or to federal, state, or local government exclusively for public purposes. Any such assets not so disposed of shall be disposed of by the Superior Court in the county in which the principal office of the Convention is then located, exclusively for such purposes or to such organization and organizations, as said Superior Court shall determine, which are organized and operated exclusively for such purposes.

    Article XIII. Personal Liability; Indemnification The members of the Board of Directors shall not be personally liable to the Convention for monetary damages arising out of any action, whether by or in the right of the Convention or otherwise, for any breach of duty as a member, officer, trustee or director, except for liability with respect to: (1) acts or omissions that such director at the time of the breach knew or believed were clearly in conflict with the best interests of the Convention, (2) any liability under Sections 55A-8-32 or 55A-8-33 of the Act, (3) any transaction from which such director derived an improper personal financial benefit, and (4) acts or omissions prior to the date the Articles are effective. Also, as used herein, the term "improper personal benefit" does not include a director’s reasonable compensation or other reasonable incidental benefit for or on account of service as an employee, independent contractor, attorney or consultant of the Convention. If the Act is amended after the date of the Articles to authorize corporate action further eliminating or limiting the personal liability of the director, then the liability of the director shall be eliminated or limited to the fullest extent permitted by the Act, as so amended. No amendment or repeal of the provisions of this Article XIII shall apply to or have any effect on the liability or alleged liability of any director of the Convention for or with respect to any act or failure to act on the part of such director party occurring prior to such amendment or repeal.

    It is the policy of the Convention to indemnify to the maximum extent permitted by the Act any one or more of the indemnified parties against judgments, penalties, settlements and other liabilities incurred by them in connection with any pending, threatened or completed action, suit or proceeding, whether civil, criminal investigative or administrative and against reasonable costs and expenses (including attorneys’ fees) in connection with any such proceeding, where liabilities and litigation expenses were incurred incident to the good faith performance of their duties. As used herein, the term "indemnified parties" shall mean the officers of the Convention, the members of the Board of Directors, the President of the Woman's Missionary Union of North Carolina, the President of the North Carolina Baptist Men and key

    employees and special committee members as listed in a duly authorized resolution adopted by either the Board of Directors or the Convention. The Convention may advance expenses in connection with any proceeding to any such person in accordance with applicable law. The use of funds of the Convention for indemnification or for purchase and maintenance of insurance for the benefit of the indemnified parties shall be deemed a proper expense of the Convention.

    Article XIV. Incorporator The name and address of the incorporator is James H. Royston, 205 Convention Drive, Cary, North Carolina 27511 (Wake County).

    Article XV. Amendments The Articles may be changed or amended at any session during any annual meeting of the Convention other than the first or the last session during the annual meeting or during any special meeting of the Convention by a two-thirds (2/3) vote of the registered messengers present and voting when the vote is taken, provided that notice of any and all amendments to the Articles (a) shall either appear in the Biblical Recorder in at least one (1) issue with a publication date of more than ten (10) days in advance of the meeting of the Convention in which the proposed action is to be taken or be mailed to every cooperating church, as defined above, at least twenty-one (21) days in advance of the meeting of the Convention in which the proposed action is to be taken; and (b) shall appear on the Convention’s website beginning at least twenty-one (21) days in advance of the meeting of the Convention in which the proposed action is to be taken and to remain on such website through the conclusion of the meeting of the Convention in which the proposed action is to be taken.

    Article XVI. Effective Date; Validate The Articles shall be effective upon filing in the office of the North Carolina Secretary of State. The adoption of the Articles shall not invalidate any action validly taken by or in behalf of the Convention or any of its institutions or agencies prior to the date the Articles of Incorporation becomes effective.

    Baptist State Convention of North Carolina, Inc.

    A Nonprofit Corporation Subject to its Articles of Incorporation (the “Articles”), the affairs of the Baptist State Convention of North Carolina, Inc. (the “Convention”) shall be governed by the following Bylaws (“Bylaws”):

    I. Convention Meetings, Officers and Committees

    A. Meetings of the Convention

    1. Time and Place. The Convention shall hold its annual meeting with the first session commencing on the Monday after the second Sunday in November. In case of emergency or unusual circumstances, the Board of Directors (the “Board”) is empowered to change the time or place of meeting or cancel the sessions of the Convention. A special meeting of the Convention may be called either (a) by a vote of two-thirds (2/3) of the registered messengers present when the vote is taken at an annual meeting, or (b) by vote of a majority of the members of the Board present when the vote is taken.

    2. Notice. Notices of the meetings of the Convention shall appear (a) in the Biblical Recorder in at least one (1) issue with a publication date more than thirty (30) days in advance of the meeting of the Convention; and (b) on the Convention’s website beginning at least thirty-five (35) days in advance of the meeting of the Convention and to remain on such website through the commencement of such meeting of the Convention.

    3. Quorum. The quorum of the Convention shall be the majority of registered messengers present at any session of the annual meeting or any special meeting.

    4. Voting. Except as otherwise provided by law, the Articles or in these Bylaws, an act of the majority of the registered messengers voting at a session at which a quorum is present shall be the act of the members of the Convention.

    B. Officers of the Convention

    The officers of the Convention shall be a President, a First Vice-President, a Second Vice-President, an Executive Director-Treasurer, and Parliamentarian(s).

    1. President and Vice-Presidents

    a. Term. The terms of the President and the Vice-Presidents shall commence at the conclusion of the annual meeting at which they are elected and continue until the close of the next annual meeting of the Convention. The President and Vice-Presidents shall not be elected for more than two (2) consecutive terms in the same office.

    b. Vacancies. A vacancy in the office of the President shall be filled by the First Vice-President, and a vacancy in the office of the First Vice-President shall be filled by the Second Vice-President. A vacancy in the office of the Second Vice-President shall be filled by the Board.

    c. Duties. The President shall preside over the deliberations of the Convention and discharge such other duties as are imposed upon the President by the Convention or as are incumbent on the presiding officer of a deliberative body. The President may

    appoint committees when so directed by the Convention. The President and the Vice-Presidents shall serve as a nominating committee, chaired by the President, to nominate members of the Committee on Nominations to the Board for their election at its January meeting and shall serve as ex-officio voting members of all Convention committees, the Board and its Executive Committee. Unless otherwise stated in the Articles or these Bylaws, the President and Vice-Presidents of the Convention shall serve as ex-officio non-voting members of all subcommittees of Convention committees and of all committees and subcommittees of the Board.

    d. The President and the Vice-Presidents shall be members of cooperating churches as defined in Article VI.A.3. of the Articles. The President and Vice-Presidents may be removed from office for any of the reasons set forth in Article IV.H. of these Bylaws under the process described in that section.

    2. Executive Director-Treasurer

    a. Term. At its annual meeting or a special meeting, the Convention shall elect a person to the office of Executive Director-Treasurer. The Board shall nominate a person to the Convention for consideration. Opportunity shall be given to receive additional nominations from the floor of the Convention. The person receiving the majority of votes cast shall be declared elected. Upon election, the Executive Director-Treasurer shall hold office for an indefinite period. The Executive Director-Treasurer shall serve at the pleasure of the Board, and shall serve until the earlier of his death, his retirement or his resignation. The term of the Executive Director-Treasurer may also be terminated by a majority vote of the Board at any meeting of the Board, where the individual director requesting the termination of the Executive Director-Treasurer has given at least twenty (20) days prior written notice to the Board Secretary; upon receipt of such notice, the Board Secretary then shall give at least fifteen (15) days prior written notice of the individual member’s intent to bring such motion at the meeting of the Board.

    b. Vacancies. In the event that the position of Executive Director-Treasurer becomes vacant, the Board shall elect, at a regular or special meeting of the Board, an interim Executive Director-Treasurer. The Board of Directors shall consider recommendations from the Executive Committee, with the opportunity for additional nominations to be made at the regular or special meeting. The interim Executive Director-Treasurer shall be elected by a majority vote of the Board, and shall serve until the permanent Executive Director-Treasurer is elected.

    c. Duties. The Executive Director-Treasurer shall be the chief executive officer of the Convention, the chief professional adviser of the Convention, the Board and its committees, and one of the denomination's spiritual leaders, providing statewide guidance and inspiration. The Executive Director-Treasurer shall serve as an ex-officio non-voting member on all Convention committees and subcommittees and the Board and all committees and subcommittees of the Board. The Executive Director-Treasurer shall be the principal operating officer of the Convention, shall oversee the day-to-day operation of the Convention and shall perform such other duties as may be assigned from time to time by the Board. The Executive Director-Treasurer shall plan, coordinate, supervise and evaluate the Convention’s ministries and programs, budget and staff and work on a cooperating basis with other Baptist bodies, including churches, auxiliaries, associations, organizations and conventions, and with other religious groups. The Executive Director-Treasurer shall also have custody of all funds and securities belonging to the Convention, shall receive, deposit and disperse same under the direction of the Board, and shall keep

    full and accurate accounts of the finances of the Convention in books for such purpose. The Executive Director-Treasurer shall forward, at least once a month, all contributions to their destinations.

    3. Parliamentarians

    a. Term and Qualifications. The President shall appoint no fewer than one Parliamentarian and no more than three Parliamentarians, who will serve at the pleasure of the President. The term for each Parliamentarian shall end, unless terminated earlier by the President, at the conclusion of the meeting of the Convention. The Parliamentarians shall be persons of sufficient knowledge and experience to enable them to fulfill their duties for the Convention.

    b. Vacancies. In the case of a vacancy in the office of Parliamentarian, the President may, but is not required to, name a successor so long as there remains at least one Parliamentarian.

    c. Duties. The Parliamentarians shall advise and assist the President (or presiding officer) of the Convention with respect to all matters involving proper parliamentary procedure. The Rules of Order for the Convention shall be those set forth in the most recent edition of Robert's Rules of Order, but in cases where the meaning may not be clear the President shall exercise discretion, subject to override by a vote of the majority of the registered messengers voting at a session at which a quorum is present.
