Good news, everyone! We can now reopen Planet Express and start delivering packages again!!

YAY! We have our jobs back!

But remember we can’t make the same mistake we did 4 years ago..

Hey guys, I was just thinking, wouldn’t it be faster to cut out all this paperwork? If we did that, we could spend more time doing our

real jobs.

That does sound like a good idea. I hate doing all these corporate

resolutions.

Wanting to dedicate more time to working in the delivery business, the

shareholders and directors of Planet Express decided to limit annual meetings

and cease up-to-date record keeping.

That’s it! I’m tired of working here! You, shareholders, are discriminating against me just because I’m a Blob! That’s RACIST!! I’m suing!

Go ahead! We’re a corporation. That means we have limited liability- you can’t sue the individual shareholders.

Hahaha, yes! I knew it wasn’t hopeless. I’m going to take

everything you own.

But to be a corporation, you need to act like one- that means, doing paperwork.

ARGHHHH! What did we do?! I totally forgot about substance over form and now we lost our

rights as a corporation!

Yea thanks to your bright idea, we’re all in a lot of

trouble.

Meaning we don’t have limited liability and can now

be sued at the individual level.

NOOO!!!

Planet Express’ Shareholders and Board of Directors were sued and lost

everything they owned. It took them 4 years to recover and

reopen.

It took us forever, but we’re back in business!

But this time, we aren’t going to take short cuts. We learned our lesson!

Planet Express started to keep minutes of their annual meetings

and filed the correct paperwork.

As a result, they became more

successful than ever!
