These Specifications define the respective commitments of OXYLANE GROUP and of its SUPPLIERS regarding theOXYLANE GROUP General Terms of Delivery for finished products in the OXYLANE GROUP supply chain.

1. ObjectThe purpose of these specifications is to describe the fundamentals that must be observed by OXYLANE GROUPSUPPLIER’s during deliveries to warehouses.

Our customers receive your products after several stages of transport and handling.

By signing these General Terms of Delivery, you undertake to observe them. If you do not, your deliveries maybe refused or brought to conformity by our warehouses, at your cost.

Moreover, if you arrange transport to the final destination warehouse, the OXYLANE GROUP could refuse and returnthe responsibility of the SUPPLIER:

- Early or late deliveries relative to the date and time of contractual delivery- Shipments not meeting the quantities ordered or on non-compliant products

2. Objectives

Good knowledge of the logistical aspects of your products and of our warehouse delivery procedures will enable:

To Build agreements reached during referencing, Easier receipt and processing of your goods, Faster settlement of your invoices, Faster availability of your products.

3. Customer Selling Unit (Sun)

1 Customer Selling Unit = 1 invoice unit= 1 OXYLANE GROUP reference = 1 item code

The selling unit is the unit made available to the end customer.

The selling unit packaging is the packaging in which the product is offered to the end customer. It must:3.1 carry all required legal information3.2 carry size or dimensions information, with international sizing correspondences,3.3 be in conformity with merchandising requirements defined by the Purchasing Department.

In the appendix 1, you will find our packaging specifications. The purchasing Department will define if the productis “sensitive”.

A finished product will be promoted on the shelves if it carries:3.4 a barcode EAN 13 standard or UPC with bars and barcode figures printed below (no other format is acceptedbecause not readable by OXYLANE GROUP IT system)

Mandatory informations :Every product which is elligible to RFID, should have a tag (pocket or sticker).This tag should contain the following informations :

- Barrcode (2 or 3 lignes)- EPC : numerical translation of barcode- Item Code- Name (max 40 digits)- Size- Conception code

3.5 and, depending on Purchasing Department's decision, a label or sufficiently sized space (75x45mmminimum) for the OXYLANE GROUP retail label or RFID tag if the item isn’t source-tagued.

4. Sub-packaging (sub units per batch), also known as: Shipping Unit(SU)

1 Sub-packaging = several selling units= 1 OXYLANE GROUP reference = 1 item code

The sub-unit per batch or sub-packaging is the intermediate grouping level between the selling unit and the units perbatch. It is used directly for delivery to stores or workshops.

The sub-unit per batch comprises several selling units. It is not always requested.

The selling unit in sub-packaging must be grouped according to quantities and the grouping method (plastic sachet,bubble-wrap, cardboard box, strapping, etc.)If textile products, excepted sensitive products identified by the design (Product Engineer or Engineer Packaging), thedefault grouping is a link fall fabrics.

You will find in the appendix 1 our specifications concerning the sub packaging packaging.

5. Packaging (Unit per batch)

1 unit per batch = several sub-units per batch or several selling units= 1 OXYLANE GROUP reference = 1 item code

The unit per batch is the highest grouping level. It is the unit in which you deliver your products to us.

The type of packaging used must be compatible with our warehousing techniques in order to avoid re-packaging yourdeliveries. It must also guarantee the parcel's resistance and the quality of its contents. It is defined with thePurchasing Department.In the box no material will be accepted by way of stuffing.

6. Packaging types

Packaging format

The packaging format is defined by the Purchasing Department.

Rule 1: it will enable storage or transport of the parcel on a Europe pallet (80cm x 120cm) without exceedingthe size of the pallet.

Rule 2: for packaging which weight and volume are less than 20kg and 96dm3 respectively, the format usedmust be the standard format (see below).

Packaging weight

For practical and safety reasons, the weight of the packaging must not exceed 20kg (except for specific cases dueto the weight of the product, in agreement with the Purchasing Department and Logistics Department, for example forFitness apparatus).

Reminder: 1 parcel = 1 reference = 1 order.For a given reference, a parcel always contains the same number of selling units (units per batch).

6.2.1 Each parcel is closed in an H, on the top of the parcel, with a personalized adhesive to guaranteethe immunity of the box.Adhesive must not be with the specific Oxylane printing. Then , all personalized adhesive is authorized.

1 PCB = 1 date (no more )

For PCB pallet, 2 dates are tolerated if :- Pallet signage is added: « 2 DLUO ».- Date with smallest number of parcels is on the top of the pallet

SHU (SHipping Unit) is a barcode label (with a unique number) that we paste on each single parcel, in orderto make this parcel unique in our network.SHU is compulsory for all orders and currently affects only the exported orders using CAPE* interface.. (Compulsory after 31/03/2011).

SHU Full Shipping Mark replaces the former standard signage of parcel with more information:

Other parcel label :

- Multi-parcel bulky items must be numbered (e.g.: 1 of 3; 2 of 3; 3 of 3).

- Sell-by date must be written on the lower flap of parcel.

- The last 2 DIGIT numbers of the item code must be written (bigger numbers) on the upper flap of the parcel .It favorsquicker reception in CAC & ease storage in CAR.

Except for format smaller than 2X2x3 or equal and single SKUD pallet, we accept that some parcel signage are notvisible on the pallet. But the pallet must be sorted out by order.

7. TRUE – Treatment of Referencing Unities

To make the GTD control, including Weights & Volumes, on each expedition of implantation for reliability of theinformation and less risk of fines and blocks in the Customs.

7.1 Procedures _ target weight and volumes

The SUPPLIER (with the support of QPL) checks the information regarding Weights & Volumes found during the GTDcontrol => Excel Ref Injector | Item Management and this file is uploaded in CAPE by Production Leadersupply chain.

If there are differences, the PL must inform the RS in order to update the referencing .. Item Weight (Item ( lot included) + pack + slipcover + accessory, notice). PCB Gross Weight (weight of the full box). PCB Volume (multiplication of length X width X height), if standard cartons, do not take precise mesure (Ex:60x40x40 is OK , 59.5x39.5x39.5 is not necessary )

It is only possible to update ref AS by AS.It is not anymore possible to update local ref.If you want to improve the ref, you contact passion brands and thanks to your action the main database will beupdates & by your side next AS will be accurate.

8. Palletisation and pallet signage

We have simple and effective rules that will enable:You:

Faster reception of orders and settlement of your invoices, Optimization of volumes for transportation,

Your carrier: Faster unloading of lorries,

Our warehouse: Easier reception.

Pallet signage

The pallet signage sheet identifies each pallet, showing its contents, which makes it easier to inventory and check yourdeliveries. Each pallet must be signed using the following information:

Pallet wrapping should guarantee its stability throughout transportation. If the pallet is considered to be dangerous tohandle and store due to instability, it will be refused upon unloading at the warehouse.

Pallets must not be stacked one on top of the other**Except if you have specific authorization from OXYLANE GROUP logistic department.

For a delivery, a maximum of 10 loose parcels will be accepted (for example, in a courier service delivery).

To help you with palletisation, you will find palletisation plans in the appendices for each standard format.

Disparate boxes must be placed along the length of the pallet (not the width). The pallet is always 80cm widemaximum , including the width of the products.

No exceeding the pallet's width (over 80cm) will be tolerated.

9. Bulk Loading

For the parcels transported BULK, SHU labels must be apparent when the container is unloaded. For the parcles shipped on pallets, the pallet signage sheet must be apparent when the container is

unloaded For each loading type, the parcels must be regrouped by order in order to accelerate the reception

In order to optimize the efficient management of our respective flows, we would like to remind you some simple rulesthat save time with:

unloading, counting and checking your deliveries, matching your packing list to our order form, settling your invoices.

10.1 MAKING AN APPOINTMENT

You must make an appointment with the warehouse, via fax, telephone or e-mail (depending on theorganization at the delivered warehouse (can be confirmed by your Oxylane contact).

The warehouse undertakes to offer you an appointment within a maximum of D+48 hours. Here, D isthe day you contact the warehouse to make an appointment.

To arrange an appointment, you must have:- an active order number- a delivery date that falls seven days either side of the contractual delivery date.- the number of pallets- the number of parcels

An appointment must be made for each order number.

The OXYLANE GROUP order number is essential for efficient management of our respective flows and must beshown on all your documents.

10.2 DELIVERY

10.2.1 The driver must arrive at the appointed time. In case of lateness exceeding 30 minutes, the warehousereserves the right to refuse to receive the lorry.

10.2.2 Any order without an appointment will automatically be refused.

10.2.3 Documents:

The driver must be in possession of the duly completed documents (transport document and packing list).If the driver is unable to present the packing list on delivery, it must be faxed to the warehouse when the

appointment is confirmed. This is the only exception.

N.B.: If several lorries deliver an order, each driver must present a delivery note and a packing list for each lorry andeach order.

10.2.3.a ) The transport documents (CMR note for road transport; bill of lading or sea way billfor maritime transport; air way bill for air transport) must contain all required legalinformation.

10.2.3. b) The packing list shows the parcel content details for the parcels in a given order.

There is one packing list per order.

It must contain the following information:relative to the whole delivery:

The sender's details the consignee's details The delivery place

relative to the order: the order number; the volume;

the total number of parcels; the total quantity of items; the gross weight; the net weight; the delivery's country of origin; (this is essential customs

information)

relative to the details of the order:by item code, the following must be indicated: description; OXYLANE GROUP reference (item code); size; color; numbers of the parcels relative to this selling unit; quantity of parcels; quantity of selling units per parcel (must be equal to the units per batch); total quantity of selling units; net and gross weight; product's country of manufacture

To help you draw up the packing list, there is an example in appendix 8This document is essential: it allows us to match your delivery to our order.

11. Specific air delivery : Carrier responsability

Delivery on pallet « EUR » wrapped. Signage of each parcel must be apparent Airline company stickers cannot cover our label (SHU) Pallet height 215cm maximum (including pallet) Heavy parcels at the bottom and light parcels on top ! The packing list is given for each lorry .

NB : Sorting out of order will be done and invoiced by logistics department.

APPENDIX 8RFID

What is RFID ?

Radio-frequency identification (RFID) is the wireless non-contact use of radio-frequency electromagnetic fields totransfer data, for the purposes of automatically identifying and tracking tags attached to objects

Different kinds of RFID :

There are 2 typologies of RFID in Oxylane :

PS : for shoes, RFID Sticker will be glued under the insole.

Mandatory informations :

Every product which is elligible to RFID, should have a tag (pocket or sticker).This tag should contain the following informations :

- Barrcode (2 or 3 lignes)- EPC : numerical translation of barcode- Item Code- Name (max 40 digits)- Size- Conception code

How to control ?

There are 2 kinds of control :

- Visual control of the printed informations on RFID : comparison with packing list data (item code, name,size).

Attention : This visual control cannot be applied on shoes (cause RFID is bintegrated to the Finish Good (insole).

- Encoding control : use of Embiscan to compare encoded data and Barcode (see OCS)

APPENDIX 9MRP (Maximum Retail Price) stickers to add for India

What is a MRP Sticker?

MRP (Maximum Retail Price) sticker: also called as Sticker Price.Label which needs to be stuck on all products at the time of manufacture to be sold on the Indian Territory.This is the Maximum price, a customer should pay while purchasing.Purchase price can be lower or equal to the MRP but should never be greater.

Why?

It is a Legal Requirement to protect the customer and avoid any trickery from retailers (or resellers).Indian Government (Legal Metrology department) controls and monitors all the stores to ensure that theprocess is known and accurately followed.

DETAILS TO BE SPECIFIED ON THE MRP LABEL

Every package whether imported or not, and intended for retail sale or wholesale shall bear thereon a legible,definite, plain, and conspicuous declaration as to:

A. Name and address of the manufacturer or the importer; whichever is applicableThe name and the address of the manufacturer or importer or, where the manufacturer or importer is not the packer, ofthe packer.

B. Common name of commodityThe common or generic name of the commodity contained in the package and in case of the packages with more thanone product, the name and number of quantity of each product.

C. Number of commodities contained in the packageThe net quantity, in terms of the standard unit of weight or measure, of the commodity contained in the package orwhere the commodity is packed or sold by number, the number of the commodity contained in the package. Thenumber of the commodity must be followed by “N”, for example 2 N.

D: The month and year in which the commodity is manufactured or importedThe month and the year in which the commodity is manufactured or pre packed or imported

E. Maximum retail price (MRP) inclusive of taxesThe retail sale price of the package ie the maximum price at which the commodity in packed form which is offered forsale. The MRP must be succeeded by either “.00” or “/-”, for example Rs. 100.00 or Rs. 100/-

F. Size or dimensionWhere the sizes of the commodity contained in the package are relevant, the dimensions of the commodity containedin the package and if the dimensions of the different pieces are different, the dimensions of each such different piece

G. Details of the contact personEvery package shall bear the name , address, telephone number , e mail address, if available, of the person who can beor the office which can be contacted in case of consumer complaints.

Please note:For operational purposes, the following must be present on each MRP label –

1. Bar code : to be able to scan the bar code at PoS2. Item code : correct item code to avoid hassle
