Introduction
The purpose of this prospectus is to raise $22MM in investment capital through a high‐interest loan to the Snohomish Hemp Institute (wholly owned by David Moore); with all shares held in the ‘LUVRules Hemp Trust’ by an appointed board of trustees (every $3M garners a trustee appointment by the investor or the investor group).
The Snohomish Hemp Institute is a training and development facility (210 Acre Farm near Seattle) designed to co‐create lifelong career opportunities through a two‐summer externship and entrepreneurial farming‐franchisee program that teaches sustainable farming practices to small business farmers. The Snohomish Hemp Institute will be working closely with the North Intertribal Vocational Rehabilitation Program as well as Pioneer Human Services in the achievement of this social mission.
The organically grown Green Buffalo Estates ‘Hemp Brand’ consists of four main products: 28 THC Oil Blends, a Cannabidiol (CBD) dietary supplement oil, the hemp‐seed oil, and the hemp‐seed flour (plus merchandising). And as Green Buffalo Estates grows the brand, Green Buffalo Estates will be introducing hemp cigars and hemp cigarettes (designed to replace tobacco products).
Organically Grown
The sustainable and organically grown farming practices consist of four main pillars: cannabis solariums, hemp fields, vegetable greenhouse farming, and solarium fish farming. And by combining an aquaponic‐biofiltration system with an upregulation‐infusion methodology (as well as a hemp‐seed oil radiant heating system), the Snohomish Hemp Institute guarantees that organically grown food and medicine are ingested by the average consumer.
Medicinal Cannabis Sativa
Dr. Jeffrey Raber of the Wercshop has proven that processing a concentrate of the cannabis sativa plant, (whether it be a ‘hemp cbd oil’ or a high potency ‘thc oil’) causes the chemicals, the pesticides, and other environmental pollutants to be concentrated within the ‘cannabis oil concentrate’. In other words, the product that the industry is currently promoting as a ‘medicine’ can actually be a poison. This has become a huge threat to the integrity of this fledgling industry, and the Snohomish Hemp Institute plans on setting the industry’s ‘gold standard’ as quickly as possible; thus co‐creating a strong foundation from which the entire industry can be built.
High Flowering Seedy Hemp
Jan Carlos Byl of MedCanna Consulting LLC will be retained to consult on the Snohomish Hemp Institute’s operations, and MedCanna will also be retained to help acquire the specialty hemp seeds the Snohomish Hemp Institute requires. The Snohomish Hemp Institute requires a < 1% THC

producing hemp plant that is high flowering, seedy, and low‐lying. And as a part of the holistic farming program being executed, all hemp farming will be done during the summer months for the purpose of rejuvenating the topsoil, and for the purpose of organically growing nutrient and mineral rich vegetables during the non‐summer months (farm is left fallow from December 1 to February 28).
The Downtown Seattle Restaurant
With revenues ranging anywhere from $30M to $300M annually, cash controls have become a major hurdle to overcome. But the Hemp CBD Oil can be sold worldwide as a dietary supplement via normal credit and banking channels.
However, as a temporary retail solution, all in‐state Cannabis THC Oil revenues can be deposited into a personal business account via the ‘point of sale’ ATM card transaction (a pin must be entered by the card holder).
And the Snohomish Hemp Institute has decided to open a casual upscale restaurant in downtown Seattle Washington named Lunai’s, and a downtown Seattle Washington restaurant named Jax’s Hoagie Shack & Juicery. The Snohomish Hemp Institute is opening a restaurant group to accomplish the following:
1. Co‐create a job training and career development facility for casual upscale restaurants. 2. Co‐create a tourism center in Downtown Seattle for the Green Buffalo Estate brand. 3. Co‐create a venue for the farm to sell their organically grown food and medicine to. 4. Co‐create wholesome and healthy meals with high quality organic ingredients. 5. Co‐create a prepared meals takeout program and a farm to table grocery program.
This restaurant will be run at a considerable loss for the first three years. So the plan is to pay a living wage to every co‐worker (minimum gross of $55K) and have everyone work one or two days a week at the Snohomish Hemp Institute.
The farm (the Snohomish Hemp Institute) will pay for all of the restaurant expenses (including labor), the restaurant revenue will generate and maintain the banking and credit services.
The Snohomish Credit Union & Trust
The Lunai’s Restaurant will handle the immediate short‐term cash situation, the various Easy Street Restaurant concepts will consume most of the first harvest’s revenues, and most of the second harvest’s revenues will be spent by the LUVRules.com talent acquisition campaign.
So year‐three’s harvest will fund the creation of a community chartered Washington State Credit Union. The Snohomish Credit Union will be a not‐for‐profit financial cooperative that is regulated by the National Credit Union Administration (NCUA), a federal agency.

The Jack Herer 420 Stock Certificate
The Snohomish Credit Union will be the only banking institution that exchanges the Jack Herer 420 Stock Certificate for United States Dollars. And the Jack Herer 420 Stock Certificate can be used within a consortium of businesses. And each consortium member will have agreed to accept the Jack Herer 420 Stock Certificate in exchange for an ounce of high grade and NCIA Certified ‘Organically Grown’ cannabis. And to insure a consistent value, an algorithm will be used (similar to Bitcoin’s) to handle the release and buyback of the Jack Herer 420 ‘penny stocks’ being traded on the market.
The Corporate Evolution Plan
The Snohomish Hemp Institute is the keystone solution to this foundational plan. And while I will now layout a timeline growth‐plan, please understand that this is a flexible and strong framework that can adapt to almost any climate. In other words, I can modify and adjust the plan to fit almost any scenario:
