4 EasternEdge Credit Union

Throughout 2018, the Board of Directors of EasternEdge Credit Union demonstrated its commitment to providing effective governance and leadership. One of the board’s key objectives was to provide support and strategic direction to help ensure a successful year, enabling the credit union to achieve its core objectives. The board is very pleased with the strong positive financial results achieved by EasternEdge in 2018 and, as president of the board of directors, it is my honour to report to you on the activities of your credit union.

The board met regularly throughout the past year and demonstrated diligence in its governance responsibilities with reviews, discussion and approvals of monthly financial statements, budget, lending practices, marketing activity, and audit reports. In addition, the board completed annual reviews of the privacy compliance checklist and the Anti-Money Laundering /Terrorist Financing (AML/TF) program. In September, the board was also tasked to oversee updates to the AML/TF program. An excellent regulatory examination by our provincial regulators certainly confirms EasternEdge’s sound business practices and the board would like to take this opportunity to recognize the management and staff for this accomplishment.

Continued education is a consistent goal for directors. Our newest directors have been regularly completing courses offered by Cusource® to develop their skills and knowledge even further. The NL Directors Forum, organized by Cusource® and the Credit Union Deposit Guarantee Corporation (CUDGC), was held in St. John’s in November. An opportunity for further development, this forum, attended by members of the board, allowed directors of all NL credit unions to avail of current information affecting credit unions. Directors also attended an excellent presentation from CUMIS on National Claims Trending and Directors and Officers Liability. In addition to attending several other informative presentations, directors had the opportunity to gain valuable information on the risks and opportunities of building a commercial portfolio.

Credit Unions are built on co-operative principles, one of which is Concern for Community. The board of directors is very proud of the credit union’s contributions to our members and community through sponsorships, scholarships, and by providing financial literacy education to the youth in our community. The employee’s contributions in this area throughout 2018 have strongly demonstrated this key principle.

I would like to thank the directors for their time and effort and for demonstrating their commitment to our success. On behalf of the board of directors, I would like to thank the management and staff for their hard work and dedication resulting in a successful year. And to you, our members, thank you for your continued support.

52018 in Review

2018 was a successful year for EasternEdge Credit Union and I’m pleased to share how that success is measured.

Financial and Regulatory Profit is, quite often, the first thing that comes to mind as an indicator of success. The results show that not only did 2018 end with a profit, legislated capital adequacy requirements were also met. As a result, our balance sheet, retained earnings, and liquidity remain strong.

Canada adopted the International Financial Reporting Standards (IFRS) in 2011 and companies were required to start the transition from, the very well known, Generally Accepted Accounting Principles (GAAP) to IFRS. As part of this transition, we were required to comply with IFRS9 in 2018. This standard brought with it some significant changes to the way we classify and measure impaired loans and it represents a tremendous shift from past practice, into the future. The transition to IFRS9 could certainly be classified as a financial success for 2018.

It is significant to report that compared to 2017, EasternEdge was faced with far less bankruptcies and consumer proposals, in terms of both the number of accounts and dollar amounts. In additional contrast to 2017, we received $34,000 in bad debt recoveries from previous years, further contributing to our 2018 financial success.

Every 2 years, credit unions in Newfoundland and Labrador undergo a regulatory examination by the Credit Union Deposit Guarantee Corporation. Our most recent examination took place over a 2-week period in March 2018. As always, its purpose is to ensure compliance with the Credit Union Act and Regulations as well as ensure the credit union’s lending policies are followed and are in accordance with sound business practices. We are proud to advise that EasternEdge performed quite well, achieving between 94% and 98% in all six lending categories. Additionally, at 1.8%, our unsecured above average lending risk in the loans portfolio was well within the acceptable 20%.

Social Responsibility Competing in business is never easy. Competing as a small credit union in a huge marketplace adds an extra layer of complication. It’s an uphill battle for customer retention when your competition has more resources, more reach and more and more influence in the market.

It’s not just a dilemma for EasternEdge Credit Union. It’s one that is shared by the entire Atlantic Credit Union system. We are a network of independently owned and operated credit unions offering dozens of different types of products: mortgages, loans, wealth management, credit cards – everything the big banks offer. We are also competing for the same customers.

Despite not having the budgets and resources that the banks enjoy, we have learned a thing or two over the years about using grassroots tactics to stand out, attract new members and retain them. Credit unions have very strong values and are guided by unwavering co-operative principles. Part of our role as a credit union is to support our communities in valuable and meaningful ways, driven by real need.

The work we are doing to promote financial literacy among our youth is a prime example. It is the belief of many that the education system in our province is lacking when it comes to giving youth the tools they need to make good, solid financial decisions as they mature. With these tools, they could not only learn to use money wisely and treat credit with the respect it requires, they could also become a quality, lower risk pool of business from which credit unions would eventually draw for their lending and savings products.

In 2018, we expanded our financial literacy project beyond Gonzaga High School to include O’Donel High School in Mount Pearl and Holy Heart of Mary High School in St. John’s. In September, we also increased our presence at the post secondary level by securing monthly visits to the Prince Philip campus of the College of North Atlantic and actively participating in and sponsoring the Canadian Undergraduate Technology Conference held at Memorial’s Engineering building.

The community support provided by EasternEdge extends beyond student financial literacy to include meaningful organizations such as the Community Food Sharing Association and the Seniors Resource Center. In 2018, we also applied resources to other worthy causes such as Bridges for Hope and the CNIB.

EasternEdge, on behalf of all our members, is proud to be associated with the above noted community groups and others. We believe we are making a difference and achieving success.

MembersThroughout 2018, our focus remained squarely on our members. Gaining and keeping the trust and confidence of our members guides everything we set out to do. EasternEdge is committed to helping every member achieve personal financial success as they define it by:

1) Listening.2) Providing complete and accurate information.3) Providing sound advice and personalized

solutions.4) Providing access to financial and related services

as member needs dictate.

A new suite of credit cards was introduced last spring while the old cards were phased out. This was a significant and detailed undertaking for our employees. While the uptake for the new cards has been slightly below target, we are confident the new Collabria cards are beneficial for our member base. They have many practical benefits with very competitive market rates and we encourage all members to evaluate their suitability.

Through our partnership with Aviso, we had the opportunity to switch from the Mutual Fund Dealers Association (MFDA) platform to the Investment Industry Regulatory Organization of Canada (IIROC) platform. This decision gives members access to many more product offerings and wealth management solutions. To fully understand the depth of these benefits, we encourage a conversation with our financial planner, Danny Whalen.

The rising cost of electricity, and concern about managing those costs, is on the minds of many in our province. To give our members an affordable and expedient option to improve the efficiency of their homes, EasternEdge has introduced Home Efficient Smart Loans. Please contact any of our lenders as they would be pleased to review its benefits and flexible terms.

Members have recently been asked to confirm that they are not a robot when logging into their online banking. This new security feature is called reCAPTCHA and was created by Central 1 in December 2018. It is designed to protect MemberDirect® members from fraudsters who use automated software to guess a members PAC and gain access to their online banking. Further enhancements to ReCaptcha are expected in 2019.

The TeamI would like to extend a sincere thank you to everyone who contributes to success at EasternEdge. Thank you to the board for providing guidance and direction. My employees, even on the busiest days, consistently demonstrate teamwork and hard work, providing our members with the best advice and service – thank you for your commitment. Thank you to our members – for your continued trust, confidence, referrals, and for doing business with us every day!

Respectfully Submitted,

72018 in Review

This past year was not without its challenges in our local market. While market reports indicated continued increases in bankruptcy and consumer proposal statistics, the lending committee is pleased to report an improvement in this area for EasternEdge Credit Union as compared to 2017 results.

Throughout 2018, EasternEdge Credit Union remained true to the strategy of cautious and quality lending. As a result, the quality of loan applications as of late 2018 proved stronger with a 73% approval rate versus 53% last year. We are hopeful that his trend will continue into 2019.

Our loan portfolio was down overall by just over $1.0 million or 1.88% and the dealer-referred portion of our portfolio reduced by some $1.8M. However, the other categories of loans combined grew by $800K. Our dealer-referred business continues to be minimal as the recreational vehicle market is very soft and strong manufacturer incentives are offered to quality purchasers.

Report of the Lending Committee

Our delinquency continues to be closely monitored and remains well within industry standards. This is further reflected by the significant decrease in our allowance for doubtful loans year-over-year. These tight controls combined with our conservative lending approach will continue as we move forward.

In closing, I would again like to thank our lenders for their continued commitment and diligence with their credit analysis, sound decision-making and overall portfolio management. I would also like to thank the members of our lending committee for their continued support and valuable contribution to the team.

Respectfully submitted on behalf of the committee,

Angela DykeChair, Lending Committee

The Audit Committee of the Board of Directors (the “Committee”) is comprised of four directors, all of whom are independent of the operations of EasternEdge Credit Union. The Committee consists of the following members:

Paul Summers (Chair)Ephraim LaingPaul Newman

During 2018, the Committee fulfilled its responsibilities related to the quality and integrity of the credit union’s financial statements, its systems of internal controls and the internal audit and annual external audit functions.

MeetingsThe audit committee met five times throughout 2018 in combination with the board of directors to review the year-to-date financial results. In addition, a separate audit committee meeting was held on February 8, 2018 to review the annual operating budget.

Financial ReportingOne of the roles of the audit committee is to review the financial results of the credit union. Throughout the year, the general manager issued the monthly financial statements to the board and provided detailed summaries of the results, explaining all significant budget variances. Also, the audit committee members performed preliminary reviews of quarterly financial statements, which were then discussed at subsequent board meetings to address any questions or concerns.

The firm of Byron D. Smith Chartered Professional Accountants provides external audit services to EasternEdge Credit Union. As part of its mandate, the Committee reviews the annual external audit reports and recommends approval by the board.

The audit committee is satisfied that the financial statements of EasternEdge reasonably reflect the financial results of its operations and that no reporting errors have been noted.

Internal ControlAnother key role of the audit committee is the oversight of the internal audit function. Currently, EasternEdge and Reddy Kilowatt Credit Unions conduct internal audits of each other’s credit union using subject area experts from within the two organizations. The general manager of the auditing credit union oversees the audit and is responsible for preparing the annual audit report for the board of the audited credit union.

The Committee has reviewed the coverage, scope and objectives of the joint three-year internal audit program of EasternEdge and Reddy Kilowatt. Based on work to date, the Committee is satisfied that these audits deliver independent and meaningful assessments of internal controls and procedures and practices for each credit union.

Regulatory ComplianceThe audit committee assists the board in its oversight of regulatory compliance and risk management. The Credit Union Deposit Guarantee Corporation (CUDGC), as regulator of all credit unions in the province, performs biennial examinations of the credit union’s lending practices. For the 2018 examination, the Committee reviewed the final report and recommended the general manager’s response be approved by the board.

On behalf of the audit committee, I extend our appreciation to the management and staff of EasternEdge Credit Union for their assistance, dedication and valued work throughout the past year.

Did you know that credit union members’ deposits are insured up to $250,000 per account type which is more coverage than what is available at chartered banks? Even better, it isn’t necessary to apply - insurance coverage is automatic and free.

The Credit Union Deposit Guarantee Corporation (CUDGC) is a provincial crown corporation that was established in the late 1980’s to insure deposits of credit union members in Newfoundland and Labrador.

There are some exceptions noted below. However, to demonstrate the great significance of the insurance, the following table represents the CUDGC NL coverage for credit union members, Mary and Bob, including the trust account for their daughter, Krista.

Depositors should ensure that each joint and trust deposit is designated as such and the names and address of each participant is identified. For trust deposits, if there is more than one beneficiary, the portion owned by each beneficiary must be recorded and updated annually.

Superior Deposit Insurance – just one more reason why it pays to be an EasternEdge Credit Union member. For more information visit cudgcnl.com.

Do you know someone who will be graduating high school this year? They could be one of the next recipients of the EasternEdge Credit Union $1,000 scholarships. Watch for eligibility requirements and other details on easternedgecu.com. Applications will be due by September 27, 2019.

Congratulations to our 2018 Scholarship recipients, Hillary Oldford and Tori Burt!

Hillary is a recent graduate of Holy Spirit High School in Conception Bay South. In addition to excelling academically, she has completed both the bronze and silver levels of the Duke of Edinburgh Award while actively volunteering her time and talents at her church. Teaching Sunday School, dance, leading the choir with music and working with the children as a worship leader are all examples of how she has given back to the community in which she lives. One of Hillary’s references probably said it best: ‘Hillary is a fantastic representative of our school and community. She has an amazing work ethic, is enthusiastic, confident, determined, kind, and has true leadership qualities’.

Well done, Hillary!

Hillary is the granddaughter of EasternEdge Credit Union members, L. Woodrow (Woody) and Betty Oldford.

2018 Scholarship recipient, Tori Burt.

High School Scholarship Program

Graduating from Leo Burke Academy in Bishop’s Falls, Tori Burt has also proven to be a stellar student. She has been the recipient of numerous awards including Youth of the Year for 2017, a first place academic, plus the Alice Butler Spirit Award. She coached the Junior Girls Volleyball Team, was assistant to the athletes for the Special Olympics, and was the youth representative on the Bishop’s Falls Town Council.

As one of Tori’s references pointed out: ‘Tori is a positive role model and can be seen at many community events. She is a team player and is always one to encourage and support others’. With qualities and credentials such as these, Tori is an excellent choice as a 2018 Scholarship recipient.

Great job, Tori!
