NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that the forty-fifth Annual General Meeting of the Western India Regional Council (WIRC) of the Institute of Company Secretaries of India (ICSI) will be held on Friday, 23rd July 2021 at 01.30 pm. IST through Hybrid Method i.e. through Video Conferencing (“VC”) Other Audio Visual Means (“OAVM”) and offline mode at ICSI-WIRC Premises, 56 & 57 Jolly Maker Chambers No.2, Fifth Floor, Nariman Point, Mumbai - 400021, to transact the following business:

1. To receive, consider and adopt the Audited Balance Sheet as at 31st March 2021, the Income & Expenditure account for the year ended on that date, Report of the Regional Council and Auditors’ thereon.

2. To appoint M/s. P.R. Agarwal & Awasthi, Chartered Accountants, Mumbai as Statutory Auditors for the Financial Year 2021-22 and fix their remuneration.

3. To transact such other business as may be brought before the meeting with the permission of the Chair.

Status of Members:

The total number of members in the Western Region (including defaulters) as on 31st March, 2021 stood increased to 22560 as against 21160 as on 31st March, 2020. Out of total membership of 22560 in the Western Region 3195 were Fellow Members and 19365 were Associate Members. There were 3910 Members holding Certificate of Practice in the Region. There were 4301 CSBF Members in Western Region as on 31st March 2021.

Activities and New Initiatives: WIRC is one of the four Regional Councils which organizes Professional Development and continuing education programs for the members and Oral Coaching Classes, Training & Development programs for the students. In keeping with the tradition of the ICSI-WIRC for the acquisition and dissemination of useful information and updating of professional knowledge on subjects of interest to the profession of Company Secretaries, a number of meetings, talks, lectures, seminars, study circle meetings, Knowledge Centers and other professional development programs were organized by ICSI-WIRC, during the year under review. Some of the initiatives and achievements for 2020-21 by the Regional Office and its Chapters are highlighted, in the Annexure A to this report.

UPDATION OF CREDIT HOURS

WIRO office has uploaded credit hours of around 4316 Members for 36 programs conducted by WIRO. Similarly the Chapters are also uploading credit hours for the programs conducted by the Chapters. ICSI-WIRO LIBRARY FACILITY

Library facilities are available at the WIRC office at Mumbai and also at various chapters of ICSI-WIRC.

Due to COVID – 19 Pandemic the reading room facility was suspended at the Regional office and Chapters during the year.

PROFESSION RECOGNITION, BRAND BUILDING AND AWARENESS PROGRAMS

ICSI-WIRC undertook various brand building and awareness initiatives.

Brand building measures were undertaken through branded program folders, students’ folders, media coverage, etc., various Brand Promotion Items provided by the ICSI-HQ were sold and promotion materials like folders, pens and notebooks with the ICSI logo were distributed to the Students and Members in the programs.

Chapters also regularly conducted programmes, seminars, talks, study circle meetings for the

benefit of the members and students.

Management Skills Orientation Program, Induction, PEGP, PSDP, PEDP, Orientation Program and PDP for students:

ICSI-WIRC conducted Management Skills Orientation Programs (MSOP) during 2020-21, to facilitate the students who have passed the Professional Programme to fulfil their training requirements, enabling them to become members of the institute. Ahmedabad, Thane, Indore and Pune chapters also conducted MSOPs during the year. Moreover, ICSI-WIRC conducted Induction, E-Governance (EGP), Skill Development Program (SDP) and Entrepreneurship Development Programs (EDP), Orientation programs and many Professional Development Program (PDP) for Students as per CS Regulations. Chapters also conducted these program.

One Investor Awareness program was organized by the Kolhapur Chapter.

Group Insurance Scheme:

With a welfare motive towards its members in the western region, like yesteryears, ICSI-WIRC has carried forward the group insurance scheme. The policy has been taken from LIC. Salient features of this scheme are as under. (a) Rs.10 lakhs term cover per individual member. (b) The cover is global. (c) Premium payable Rs.2,800/- per annum plus GST. (d) A member hailing from Western Region is eligible to become a member of the scheme. (e) No health check but only a simple declaration of good health at the time of joining. (f) Age limit – 60 years. Currently there are 91 members, who have enrolled in the scheme. Members are earnestly requested to avail of this scheme and get benefitted out of this.
