We have acted as Oman lead counsel in relation to
the project financing of most of Oman’s independent

privatisations over the past 20 years. Many of these
high-value, large-scale pioneering projects have called
for creative solutions to the novel and complex issues
of law and practice they raised.
Our strong reputation in the industry has placed us
at the forefront of Oman’s newly emergent Islamic
banking and financial services sector. We acted
on behalf of the promoters setting up, licensing
and listing alizz, a new Islamic bank, under the
Central Bank of Oman’s Islamic Banking Regulatory

We specialise in assisting businesses entering and
operating in the Oman market, or seeking to expand
and restructure, to achieve their strategic objectives.
We advise on strategic alliances and joint ventures,
the establishment of branch and representative
offices, agency and distributorship arrangements and
company formation.
Our capital market lawyers regularly act for corporate
clients on high-value initial public offerings (IPO) and
rights issues, private equity transactions, complex
corporate restructurings, mergers and acquisitions
and conversions of closed joint stock companies to
publicly listed companies. We have advised on ‘first
of a kind’ transactions including swaps, derivatives, the
first global depository receipt issue undertaken by an
Omani issuer and on the setting up of closed and
open ended funds.
Our lawyers have considerable expertise in advising
on public-private partnerships and the restructuring
of government entities in key sectors such as power
and water, oil and gas and telecommunications.
Since the government’s privatisation programme
kicked off in the mid-1990s, we have advised on the
majority of Oman’s independent power and water
projects, many of which involved novel and complex
questions of law. Our lawyers act for the government
of Oman as it continues a phased programme of
disinvestment in state-owned assets in sectors such
as telecommunications. Our team has been at the
forefront of the emergent Islamic banking and financial
services sector advising on the establishment and IPO

companies and the issue of an OMR 50 million sukuk
(Islamic bond) financing of a real estate project.
AMJ’s corporate and capital markets practice is recognised as the market-leader in Oman. Our
strong reputation and top ranking stems from our high level of market activity and engagement
at the forefront of legal developments in the sector over the past 30 years. Today our team of
corporate and capital markets specialists handles a busy practice advising government entities,

Litigation and Arbitration
AMJ’s litigation and arbitration practice is widely acknowledged as a market leader in Oman.
Our strong reputation stems from the unrivalled depth and breadth of our practice and from
our track record of success in handling complex, high-profile claims before the Omani courts
over 30 years in addition to local and international arbitrations for an impressive roster of
national, regional and international clients.
We have more than 20 litigation specialists organised
in three teams led by senior partners, Mansoor Jamal
Malik and Dr Said Hilall Al Busaidy, a former Supreme
Court Judge and Deputy President of Oman’s State
Council. Each team includes international lawyers with
multi-jurisdictional experience and a large cadre of
Omani advocates, all of whom are licensed to appear
before the primary circuit courts throughout Oman's
regions. In addition, more than half of our lawyers are
licensed to appear before the appeal courts of Oman
and 5 of them enjoy further rights of audience before
Oman’s Supreme Court.
Our clients benefit from the Firm’s accumulated
technical expertise across a range of industry sectors
including construction and engineering, power and
water, transport, trade, finance and insurance, real
estate and intellectual property. Our practice is
known for adopting a practical and commercially-
aware approach to disputes. We have experience of
all types of alternative dispute resolution including
structured settlement discussions, mediation and
expert determination. We aim to achieve out-of-court
settlements where costly and prolonged litigation
is not in our client’s best interests. Our litigators
and arbitrators work closely with our corporate
commercial teams to identify risks and structure
appropriate prevention and resolution strategies at
the outset of a transaction or project. Clients value
this multi-disciplinary approach designed to prevent
disputes arising.
13
When legal proceedings cannot be avoided, we work
to minimise their impact and achieve a speedy and
effective resolution guiding clients expertly through
every stage of prosecuting and defending a claim
or arbitration procedures. Our arbitration practice
comprises lawyers with experience of high-value
domestic and international arbitration of both public
and private law disputes. They act as arbitrators
and lead counsel before the Omani courts and in
international arbitrations under ICSID and UNCITRAL
rules before the ICC International Court of Arbitration
and the London Court of International Arbitration
(LCIA). Our in-house strength is complemented by
our close relationship with Thirty Nine Essex Street, a
leading set of barristers’ chambers in London, widely
recognised as experts in the field with experience of

Regulatory
We have an in-depth understanding of Oman’s business and legal environment across a wide
range of sectors and offer expertise based on our long-standing presence in the market and
involvement in landmark projects and transactions. As Oman’s regulatory regimes develop
rapidly in scope and complexity in line with global trends, we are able to provide our clients with
advice on the laws and regulations which impact their businesses as well as on general policy and
legislative developments in Oman.
Our team of senior lawyers assists clients in
understanding and managing compliance with sector-
specific regulations as well as corporate governance
and responsibility issues such as directors’ liabilities,
insider trading, money laundering, employee relations,
health and safety, environment and trade sanctions.
Our experts are regularly called upon by ministries
and government departments to advise on,
review or draft laws and regulations to underpin
Oman’s program of economic development or
to accommodate increasingly complex trends in
business and finance. In particular, we have been at
the forefront of developments in innovative public-
private partnerships, restructurings and privatisations
of government entities and instrumental in shaping
the governing law and regulations. We also provide
advice to the Ministry of Commerce and Industry
on company law reform and to the Capital Markets
Authority and Muscat Securities Market on corporate
governance and regulation of the market.
With the recent emergence of Islamic banking
and finance in Oman, our lawyers have advised
government and regulatory authorities on:
• a regulatory framework to govern the new takaful
(Sharia-compliant insurance) industry;
• a regulatory framework for sukuk (Islamic bond);
• a new law of trusts to apply to sukuk;
• an Islamic banking regulatory framework.
Our role of trusted adviser to government and
regulatory authorities ensures that our lawyers enjoy
a close relationship with key institutions, a valuable
asset for clients seeking to identify and iron out any
complexity or uncertainty that may impact their
business. Our clients benefit from the integration
of our regulatory practice with our corporate and
capital markets, banking and finance and commercial
practices which enables us to offer comprehensive
solutions to clients.

Projects and Privatisation
Sustained investment in infrastructure and development has transformed Oman from an economic
backwater in 1970 into a modern state today. Oman’s current five-year development plan 2011-
2015 sets out an ambitious programme of expansion earmarking OMR30bn for expenditure on
social and transport infrastructure and the country’s nascent tourism industry. Large-scale projects
under construction include ports and airports, roads, special economic zones, power, water plants
and industrial plants and a railway which will eventually form part of a GCC-wide network.
Our projects and privatisation group advises
government entities, multi-national and national
corporates, consortia, project sponsors, developers,
construction companies and finance institutions
on infrastructure and privatisation projects across
all industry sectors in Oman. We have expert
knowledge of the government’s privatisation law and
practice by virtue of our transactional and advisory
roles on many projects based on the public-private
partnerships that Oman has pioneered in the
region. Our lawyers have accumulated a wealth of
experience from their involvement in most large-
scale infrastructure projects undertaken in Oman
to date starting with the Al Manah power project
in 1994, the first independent power project in the
Middle East. In addition to the power and water
sector, we are active in projects in the petrochemicals,
oil and gas, industry and manufacturing, transport,
telecommunications and tourism sectors. Our close
familiarity with the privatisation, restructuring, and
regulatory frameworks governing these diverse
sectors enables us to provide valuable pre-bid advice
to developers, lenders and their advisers.
The group marshals the firm’s expertise in corporate,
commercial and banking and finance law to offer
clients a fully-integrated service on all aspects of
project work including advising on joint ventures,
project structures, incorporation, construction
contracts, development agreements and land law, legal
due diligence, risk allocation, financing arrangements
and related security packages.
As well as for technical ability and in-depth
knowledge of local laws and regulatory issues,
clients also value us for our network of contacts in
government and business circles. This gives clients
a critical advantage in identifying and ironing out
any complexity or uncertainty that may arise in
structuring, financing and developing large-scale
infrastructure and development projects in this fast-
evolving legal environment.
16
Aviation and Shipping
Oman’s transport sector is undergoing a rapid transformation with OMR4.5bn allocated for
hard infrastructure projects in the government’s eighth five-year development plan 2011-2015.
New and expanded airports as well as a major ports expansion underscore Oman’s importance
as a strategic hub for transhipment and trade at the crossroads of Arabia, Africa and Asia. We
have expanded the legal services we offer clients to match the pace of these developments.
Aviation
Oman’s aviation sector is poised for a new phase
of growth and record increase in passenger traffic
as the government forges ahead with its strategy
of promoting inbound tourism. Six airport projects
are underway; two expansions of existing airports
– Muscat International Airport and Salalah Airport-
and four new regional airports in Sohar, Adam, Ras
al Hadd and Ad Duqm.
In such a dynamic sector, organisations across the
industry require legal services from lawyers with in-
depth local know-how and commercial focus as well
as technical expertise. Our practice spans a broad
spectrum of aviation-related work including fleet
acquisition, sale and leasing programmes, corporate
transactions and commercial contracts for the
management of airports. Our lawyers advise the
region’s leading carriers on dispute resolution and
transactional work as well as regulatory changes
impacting the aviation sector.
Shipping
AMJ is consistently top-ranked in Oman for its shipping
law practice. Our expertise and industry knowledge
spans wet and dry, contentious and non-contentious
matters as well as regulation and operations. Our
lawyers provide advisory and advocacy to the Oman
National Shipping Company, ship owners, protection
and indemnity clubs, financiers, port authorities, dry-
docks, freight forwarders, charterers and leading
international law firms. The services we provide
encompass all aspects of Oman’s maritime law and
practice, ship financing, shipbuilding, acquisition and
lease contracts, charter party arrangements, port
operations and infrastructure, insurance, seizure,
arrest, cargo claims and regulation.
Our clients value the 360-degree legal support we
offer as our aviation and shipping group works closely
with their colleagues in the banking and finance,
commercial and dispute resolution teams to deliver a
seamless and comprehensive service to clients.
17
Labour and Employment
The pace of structural and legal reform of Oman’s labour market has accelerated in recent
years as the government seeks to boost private sector employment among its citizens, improve
productivity and promote a vibrant non-oil economy. Our dedicated labour and employment
group provides a range of legal services for national, regional and international employers
spanning all industry sectors seeking to set up or already managing a workforce in Oman.
We provide support on all aspects of Omani
employment law and practice as well as immigration,
residency and social security rules and regulations.
We advise on managing the respective rights and
obligations of employer and employee for the life cycle
of the employment relationship. We assist businesses to
keep abreast of government regulations and directives
impacting their operations and employee relations.
The labour and employment group provides
support to our commercial and corporate teams on
employment issues relevant to company formation
and transfer of employees as part of a corporate
acquisition or restructuring. We represent companies
and employees before the various tiers of the Omani
courts and tribunals in respect of disputes arising
from the employer-employee relationship.
Our expertise includes:
• Contract documentation: drafting and negotiation
of offer letters, employment contracts, service
agreements for executives, employee handbooks,
disciplinary procedures and letters of termination.
• Regulatory: advising on the Oman Ministry of
Manpower regulations, immigration and residency
rules and procedures, employee contract and
registration formalities, entitlements, formation of
employee representative committees and trade
associations, HSE requirements, statutory end of
service benefits and termination.
• Business reorganisation: advising on employment
aspects of commercial transactions such as transfers
of employees/redundancy programmes in the course
of corporate mergers and acquisitions.
• Benefits and incentives schemes: advising on
the creation and management of all forms of
staff benefits and incentives schemes including
employee share option plans and provident funds.
• Employee relations: disciplinary, dismissal and
grievance procedures, settlement negotiations and
severance agreements.
• Litigation support: representing employers and
employees in respect of workplace disputes,
redundancies and unfair dismissal, protection of
confidential information, boardroom disputes,
transfer of undertakings and regulatory issues.

Intellectual Property
The value of many of the world’s most successful companies is increasingly vested in knowl-
edge-based, intangible assets rather than physical assets and traditional sources of competitive
advantage such as manufacturing capability or location. In a fast-paced, technology-driven global
economy, the valuable knowledge or intellectual property a company has – and its competitors
do not – is a source of competitive advantage and is likely to be a key factor in its success.
At AMJ, we recognise that protecting an organisation’s
intellectual property is a strategic priority for business
and critical to fostering the innovation which drives
growth. Our dedicated intellectual property practice
provides a full portfolio of contentious and non-
contentious IP-related legal services.
We regularly advise leading national, regional and
global brand owners on trademarks, copyright,
patents, designs, domain names, trade secrets and anti-
competitive practices. Our specialist lawyers work
closely with our clients to develop and implement
brand protection strategies by registering their IP rights
throughout the MENA region. We also advise clients
on all aspects of infringement and enforcement of IP
rights. We assist in mediating and handling disputes
in a range of forums including the World Intellectual
Property Organisation (WIPO), Internet Corporation
for Assigned Names and Numbers (ICANN) and the
Omani courts and regulatory authorities.
Our intellectual property team provides support
to the firm’s commercial and corporate teams on
related matters such as the negotiation and drafting
of licensing and franchise agreements, merger and
acquisitions, due diligence, brand merchandising and
marketing, technology transfer and data protection
issues. Our clients value our ability to provide high-
quality, specialist IP advice on major corporate
transactions within a broader commercial context.
19
Careers
These are exciting times to be practicing law at AMJ as the market for legal services expands
and diversifies in step with Oman’s economic growth and development. We offer excellent op-
portunities for associates at all levels to progress their careers through involvement in a broad
range of high-value and often innovative work undertaken in small teams. We offer a competitive
compensation and bonus package and a friendly, supportive work environment.
We recognise that the greater part of our success
derives from recruiting, retaining and rewarding
people based on ability and their contribution to the
firm’s progress. Accordingly, we are always interested
to hear from talented international lawyers with 2
years PQE upwards in all practice areas. Regional
experience is less important than technical expertise,
a drive to succeed and a transferable skill set that
includes the ability to foster close client relations in a
culturally-diverse business region.
Similarly, we welcome applications from promising
Omani lawyers at all levels as well as law graduates
seeking to launch their careers with a traineeship in
our offices. We have the largest contingent of Omani
lawyers and trainees of any law firm in the country
and have been commended by the government for
our outstanding track record of training and nurturing
home-grown talent. As a result of the training and
work experience gained at AMJ, many of our Omani
lawyers have been successful in securing placements
in the judiciary or as in-house counsel with leading
companies and government organisations. We
believe that investing in training and incubating high-
performing young lawyers is key to building a solid
foundation for the legal profession.
If you have an ambition to make your mark in a
buoyant market for legal services coupled with a
desire to be part of our continued growth, we invite
you to send your CV and a covering letter to us at
20
Community
As a leading law firm in Oman, we are committed to investing in the community in which we live
and work. As legal professionals and individuals, we are driven to share our knowledge, skills and
resources to support educational activities and charitable causes and to improve access to justice
for under-served groups in the community. Our key focus is on youth education. Our aim is to
contribute to the advancement of children and young adults in a meaningful and sustainable way.
Internships and career guidance
We offer vacation internships to law undergraduates
studying in Oman or at universities overseas as well
as to secondary school students in Oman who are
contemplating a career in law. We devote considerable
time and energy to ensuring that interns gain practical
experience and insight into how a law firm operates.
Our lawyers also support local schools and universities
at careers fairs and events by providing advice and
guidance on the path to becoming a lawyer.
Let’s Read Initiative
The firm regularly sponsors school, sporting and
charity events in the community. Additionally, as we
believe that achieving positive change demands a long-
term approach, we sponsor the Let’s Read campaign
set up in 2007 by leading Omani charity Dar Al Atta’a.
Let’s Read’s activities include creating playrooms and
reading corners in hospitals, schools and nurseries,
holding story-telling sessions and staging writing
competitions. In 2013, AMJ provided seed-funding for
the launch and operation of ‘Maktabati’, Let’s Read’s
new mobile library initiative. This ‘first of its kind’
touring library bus makes a wide range of quality
books available to children throughout Oman.
Pro Bono
We help non-profit organisations, as well as the
individuals they refer to us, to access their legal rights.
Our pro bono work also serves as personal and
professional development for our lawyers. It gives
them insight into the world outside business law along
with the opportunity to make a positive difference to
the lives of others. For more information on the above,
