15. FormatofBid 15.1 TheBidshallcontainnoalterationsoradditions,exceptthosetocomplywithinstructions issued by AKTC, or as necessary to correct errorsmade by theBidder, in which case such corrections shall be initialed by the person orpersonssigningtheBid.
28.2 The Letter of Acceptance will constitute the formation of theAgreement,subjecttotheBidderfurnishingthePerformanceSecurityinaccordancewithClause29andsigningtheAgreement.
Section2.STATEMENTOFNEEDS1. INTRODUCTIONTheAgaKhanTrustforCulture(AKTC) isanagencyoftheAgaKhanDevelopmentNetwork(AKDN),which iscomposed of multi-sector, non-denominational agencies and institutions working to promote socialdevelopment by creating broad, sustained improvements in overall quality of life. AKTC is a non-for-profitagency, focusingon thephysical, social, cultural, andeconomic revitalisationof communities in thepoorestpartsofthedevelopingworldandhasbeenactiveinAfghanistansince2002.AKTCistheimplementingarmofAgaKhanFoundation,Afghanistan(AKF-A).WithfundingfromtheGermanFederalForeignOfficethroughtheKfWDevelopmentBank,theAgaKhanTrustforCulture (AKTC)aims toplanand implement the ‘KabulRiverfrontTransformation’ (KARIT)project,whichwill be situatedwithin the legal and policy framework of AKTC’s contribution to the larger ‘Heritage Zone’alongthecity’sriverfrontarea.TheKARITprojectwillbeimplementedinclosecooperationandcoordinationwith local communities and relevant governmental and non-governmental stakeholders, taking intoconsiderationallplansfortheurbandevelopmentofKabul.TheMachineKhanaModernizationprojectisanimportantcomponentoftheoverallKARITproject1.1. SituationOverviewThe primary objective of the Machine Khana Industrial Complex, hereafter known as the ‘PROJECT’, is torehabilitateandre-utilisethefacilityforsocial,commercial,economic,andculturalusebythepublic.Thegoalof the PROJECT is to contribute to economic development and revitalization of the urban fabric of centralKabulthroughimplementingprojectmeasuresaimedatimprovinglivingconditions,workingandcommercialenvironments, and enhancing public spaces and open landscapes around the project area for localcommunities.Opportunitieswillbeprovidedforeconomicgrowthandcapacitydevelopmentrelatedtourbanand heritage transformation and regeneration, and significant improvements will be made in keyinfrastructureandpublicspacesasoutlinedinprojectdocuments.AstrategiccomponentofKARIT is themodernisation, transformation,andreuseof thePROJECT,aseriesofunderutilized historical buildings and warehouses built in the late 19th century, located along the Kabulriverfront.Thesiteiscurrentlyvacantandinadilapidatedcondition.SeeANNEX1,Images.AKTC has undertaken initial surveys of the PROJECT site in order to identify the dimensions, buildingtypologies,andphysicalconditionsofbuiltareasandopenspaces.SeeANNEX2,SitePlan.Thiscomplexwillberepairedandmodernizedoverthecourseoftheproject,whichisexpectedtocommencein 2018 and reach completion by the end of 2020, creating a range of commercial spaces and units hatgenerate significant revenue for the State through rental income and tax. Located in a strategic junctionbetween the Sherdarwaza and Asmai mountains, the restoration of the complex’s unique industrialarchitecturewill link and consolidate its relationship to thewider ensemble of historic neighborhoods andheritageproperties locatedalongKabul’sriverfront. Inadditiontoprovidingforcommercialretailandtradeonthesite,theprojectproposestoidentifysuitablebuildingswithinthecomplexforpublicservicesandcivicuses, including a library, exhibition spaces, museum, and educational facilities. The transformation of theMachineKhanawill encouragewiderprivate andpublic investment and improve theutilisationof land andhistoricalbuildingsaroundthesite.Thesite’slargewarehouses,secondarybuildings,andinterwovenpublicspaceswouldprovidesuitablespacesfortradeandcommerce,small-scaleindustryandcraftsproduction,publicservicefacilities,andmulti-purposespaces for social, cultural, and educational programs. Large scale formal commerce, production, and retailactivitieswouldbe locatedalongside small-scalevendors, traders,and food&beverageoperators, reducingdirect competition and increasingmutual advantages by providing a variety of services at a range of costs;supporting the formation of commercial relationships that are mutually beneficial. In order to provideopportunity forAfghanmanufacturersand industries,whichgenerate localemploymentandpromotewidereconomic growth, a high proportion of the site will be allocated for services and products manufactured
ⱡServicesA‘CommercialSurvey’wascarriedoutbyAKTCinthecatchmentareaaroundtheMachineKhanacomplex,thefindingofwhichprovidesuptodatebaseline informationonthetype/scale/ revenueofcommercial/retailactivitiesinthewiderarea.Whiledatagatheredthroughthe‘CommercialSurvey’formsthebasisofbaselineinformationprovidedtotheconsultant,itisexpectedtheconsultantwillpreparedetailedfinancialmodelsanda business plan on the basis of accurate data generated expanding on the already completed ‘CommercialSurvey’ as part of their assignment. Such data will also be used to establish rental prices for the variousprogramsandusesandprojectrevenueforecastedfromoperationsoftheMachineKhanafacility.1.2. RFPObjectivesInanefforttodeterminethefutureviabilityofthePROJECT,AKTCexpectstoengagequalifiedcompaniesonConsultancyServices,hereafter referred toas ‘CONSULTANT’, towards thepreparationofdocumentsasperthefollowingphases:
Aspartofthisstudy,theCONSULTANTwouldneedtoconsiderhowbesttointegrateinformalstreetvendors into the overall program at the facility. Whereas new commercial and infrastructuredevelopment typically results in the displacement of street traders, contributing to an increase inpoverty through the lossof income, theenvisioned reuseof thePROJECTcouldpotentiallyprovideamplelow-rentalspacesandfacilitiesthatenableusebyarangeoftraders,includingmobilevendorsandmid/high-endretailers–resultinginavibrant,diverse,andpopulardestinationforawiderangeofthepopulation.
AKTCisissuingthisRequestforProposals(RFP),seekingtheservicesofaqualifiedfirm,inordertoreaffirmthepremise that the PROJECT as a new retail and services center in downtown Kabul constitutes a viableinvestmentprojectfortheGoIRA.2. SERVICEREQUIREMENTS
2.1. ProjectDescription/Deliverables
• The CONSULTANT is expected to produce awritten report of their proposed business plan for thePROJECT supported with illustrations, facts, and financial charts to substantiate their findings,assumptionsandrecommendations.
CapitalExpenditure,ProfitandLossStatement,BalanceSheets,CashflowStatements,NPV&IRRandotherkey indicatorssupportingproposals. It isalsovital that thesecharts includeexplanations thatwill help readers interpret findings. The financial projections should include provisions forreplacementandmaintenanceexpenditureintheformofreserves.
• Based on the financial review, the report should recommend an action plan for development and
o Direct,indirectandinducedspending(andderivation/sourceofmultipliers);o Direct and indirect employment (and derivation/source of multipliers), with clear
differentiation between temporary and permanent, and part-time and full-time positions;and
o Taxrevenuesgenerated,includingalltaxrevenuesfromallsourcesfortheGovernment.Financialanalysisshouldinclude:

2.2.1. WorkPlanandWorkScheduleRequirementsThe CONSULTANT shall submit a work plan or schedule for task completion, identifying each majortask,requiredsubtasks,and/orspecificmilestonesbywhichprogresscanbemeasuredandpaymentsmade.TheCONSULTANTwillberequiredtosubmitmonthly‘ProgressReports’describingtheworkperformed,workstatus, work progress difficulties encountered, remedial action, andstatement ofactivity anticipatedsubsequenttoreportingperiodforapprovalpriortopaymentofinvoices3. PROPOSALREQUIREMENTS
3.3.1. DemonstratedExpertiseTheCONSULTANT is tooutline theconsultancy firm’sexperiencewith comparableprojects, solicitedby thisRequest forProposals. Presentthe firm’scredentialsandsamplesofworkcarriedoutonsimilarprojects inAfghanistanor internationally. Explainthesizeofyourfirm, includingyears inbusiness,office locationsandlegalstructure.3.3.2. ProponentReferencesProvide three references for any work done by your firm in the past three years that is similar in nature,complexity and size to the requirements specified in this RFP. Provide the nameof each project reference,alongwithhis/herphonenumber,faxnumberandemailaddress.Theprojectreferenceinformationprovidedshould identify the size of the projects conducted, as well as demonstrate the extent of your previousexperience, the clients’ overall satisfaction with your services and the results achieved, including youradherencetointerimandfinaldeadlines.3.3.3. ProposedApproach/ProcessandProjectPlanDescribe the approach and/or process proposed to address the service requirements. Include any notablemethodologies,innovativesolutions,toolsandtechniques,andtheirrespectivesuitabilitytothisproject.Alsoprovideaprojectplan that reflectsyourproposedapproach/processanddemonstratesyourability tomeettheschedulerequirementsforthisproject,includinganyapplicablemilestones.3.3.4. ProposedResources,ResumesandReferencesTheproponentshouldbeabletodemonstratethatitsproposedteamasawholehastheexperience/skillstoperformtheservicesinaccordancewiththerequirements.Preparethetablebelowtoidentifyallpersonnelwhowillbeassignedtotheprojectandcontributeto:(i) theroutinemanagementand/or(ii) the performance of the required services. As shown, provide each person’s name, title, role on this
Ifcontractorsorpartnersaretobeusedforthisproject,theymustbeidentifiedinyourtable.Ifso,describethegeneral rangeof services that the respectivecontractors (companiesor individuals)willprovide.Submitthe individual resumes for each proposed resource. The resumes should be structured to emphasize theirrelevantqualifications andexperience in successfully completedprojects of a similar size and scope to thatrequired by this RFP. Each resume should include at least two project references where the proposedindividualservedinasimilarrole,including:
If at time of award the resources that have been proposed by a proponent are not available, and noreplacementsacceptabletoAKTCprocuringentitycanbeidentified,theprocuringentityreservestheright,initssolediscretiontorefusetoproceedwithawardtothatproponent.3.4. PricingResponseTheCONSULTANT istoprepareafixedpriceperdeliverablefor itsproposedservicesregardingtheservices.Provideappropriatedetailstosupportthesefigures,includingestimatesoftheworkeffortandabreakoutofexpectedexpensesandman-hoursrequiredforthecompletionofthetasks.4. PROPOSALEVALUATION4.1. GeneralInformationThe Evaluation Team will consist of AKTC personnel and may include representatives of otherorganizations/institutionsasdeemedappropriateby theprocuringentity. It isunderstoodandacceptedbytheproponentthatalldecisionsaboutthedegreetowhichaproposalmeetstherequirementsofthisRFPareinthesoledeterminationofthisEvaluationTeam.Toassistintheevaluationofproposals,theEvaluationTeammay,butisnotrequiredto:
to commercial infrastructure development. Experience must include actuarial or other financialexpertisenecessarytoprojectthenumberandlevelofparticipationthatwouldbesufficientforthePROJECTtobeself-sustaining.
6. As of 2018, and for at least the 5 most recent continuous years, the firm must have a verifiableoperatinghistorywithatleast5institutionalfundclientswithsimilarsize,complexityandassetmixtothePROJECT.
7. Asof 2018, theprimary contact dedicated to thePROJECT contractmust have at least 10 years ofexperienceinprovidingconsultingservicestoinstitutionalfundclients.
8. Must be qualified to do business in Afghanistan. Proof of filing (certificate of good standing, AISAregistration,etc.)withtheGovernmentofAfghanistanmustbeprovided.Proofoffiling(certificateofgood standing,AISA registration,etc.)with theGovernmentofAfghanistan is also required for anysubcontractoridentifiedaspersonnelunderExperience,Personnel,andReferences.
9. Allsuchlicensesandregistrationsmustbecurrentandingoodstanding.10. Failure to satisfy each of theminimum qualifications will result in the immediate rejection of the
proposal. TheConsultantmustaddresseachofthequalificationssubstantiatinghowtherespondersatisfies each of theminimum qualifications. The responsesmust contain sufficient information asprescribed to assure AKTC of its accuracy. Failure to provide complete information will result inrejectionoftheproposal.
4.4. Stage2–EvaluationCriteriaIfaproposalmeetstheMandatoryCriteriaitwillbeevaluatedusingtheEvaluationCriteriasetoutinthetablebelow.Scoreswillberecordedforeachcriterionandatotalscorewillbedetermined.Preparethetablebelow,inserting references to the appropriate sections within your proposal that deal with each criterion underevaluation
