Dear Commercial Law Section Conference Attendees:

On behalf of the National Bar Association Commercial Law Section (“NBACLS”), it is my pleasure to welcome you to our 30th annual Corporate Counsel Conference in Atlanta, Georgia. We are honored that you are joining us for an engaging three-day program planned to inspire you, introduce you to innovative legal developments, and challenge you to be active in “Advancing the Legacy” of the NBACLS.

The NBACLS continues to focus its programming on the diversity of interests and practice areas of our corporate, law firm and government lawyer attendees. We are offering thirteen (13) Continuing Legal Education Programs and four (4) Signature Programs during the conference. Thursday’s schedule begins with a dynamic panel of our esteemed Honorary Conference Co-Chairs (General Counsels from four Fortune 500 companies) and will be followed later in the day by a thought-provoking look back at the tenure of the NBACLS and forward-thinking discussion about Advancing the Legacy of the NBACLS. Friday’s programming will continue with a morning discussion on the importance of Unleashing the Value of Legal during times of razor sharp cost containment policies. The day will continue with the third installment of CLS United and the rollout of the Black Attorneys United app designed to help us all stay connected year round. We will also have the ever popular Judicial Forum where we will hear from venerable federal district and appellate court judges from the District of Columbia, Illinois, Ohio, and Georgia.

In addition to the regular Expo interview opportunities that will be available, there will also be numerous informal networking opportunities to take advantage of including organized dine-arounds, two NBACLS dinners, spa, golf, and our Saturday headshot lounge.

During the Conference, the NBACLS will present its John Lewis, Jr. Corporation of the Year Award to Toyota Motor North America, Inc. for its demonstrated commitment to diversity and the NBACLS members. We will also present the distinguished Cora T. Walker Legacy Award, posthumously to Jean-Marie Sylla, Jr., an advisor member of the NBACLS Executive Committee, for his staunch dedication to the mission of the NBACLS over the last several years. I thank the members of the NBACLS Executive Committee who have openly given their time, talent and experience to Advancing the Legacy of this Section. I appreciate each of you for your trust, professionalism and tenacious commitment. Also, I am appreciative of NBA President Kevin Judd’s leadership, and the continuing support of our sponsors and Honorary Co-Chairs.

I look forward to you joining us next February 15-17, 2018 as we celebrate 31 years of the Corporate Counsel Conference at the Monarch Beach Resort in Dana Point, California.

HISTORY OF THE COMMERCIAL LAW SECTIONCORPORATE COUNSEL CONFERENCE

In 1987, a small group within the National Bar Association Commercial Law Section met to consider ways for NBA members in business practice to meet with institutional corporate clients for the purpose of developing professional relationships and to create opportunities for institutional entities to seek out, meet and refer out-side legal matters to African-American attorneys. After months of intensive planning, this core group organized the first Corporate Counsel Conference in 1988 in Chicago, Illinois.

In soliciting corporate attendance at the inaugural Conference, Commercial Law Section Chair Cora T. Walker wrote:

[T]he purpose of the Minority Corporate Counsel Conference is to afford general counsel and chief executive officers of major corporations with an opportunity to meet NBA members from across the country and acquaint them-selves with the wealth of virtually untapped resources available to them through use of NBA members as outside counsel.

The Minority Corporate Counsel Conference will provide an excellent opportunity for you to further explore the vast array of legal talent available within the NBA for use as outside counsel . . . . Over twenty-five (25) major corpo-rations, including many insurance companies such as Aetna, Allstate, CIGNA and Wausau, and the American Insurance Association, have already chosen to take advantage of this unique opportunity and have accepted our invitation to attend the conference.

The inaugural Conference proved to be a resounding success because it enabled major corporations to meet and network with NBA members who practice in areas of substantive law affecting America’s major corpora-tions. The event was attended by representatives from the law departments of Allstate Insurance Company, Amtrak, Consolidated Rail Corporation, DuPont Chemical, Ford Motor Company, General Motors, IBM, Mc-Donald’s Corporation, Mobil Oil Corporation, Shell Oil Company, Sterling Drug, The Coca-Cola Company, The Travelers Insurance Company, and many others.

Throughout the years, the Corporate Counsel Conference has continued to grow in size, visibility and influ-ence. Over the years, it is estimated that over 1,000 NBA Commercial Law Section members have connected with well over one hundred (100) different corporations and their representatives through the Commercial Law Section Corporate Counsel Conference. Many have formed long-standing mutually beneficial attorney-client relationships. The Corporate Counsel Conference has also served as the model for similar programs which have subsequently been created by other organizations. This year, the Commercial Law Section is proud to pay trib-ute to individuals and corporations who created this Conference and to all of those who have supported and attended the Conference throughout the years. We look forward to many more years of connecting the immense wealth of talent which is within the National Bar Association Commercial Law Section with those corporations and other institutions who recognize diversity as an essential component to any commitment to excellence.

Sharon is Vice President and General Counsel for Cummins Inc., where she

is responsible for worldwide legal matters and oversees a team of lawyers,

paralegals and other professionals.

With more than 30 years of experience in the legal profession, Sharon

primarily specializes in intellectual property law. Prior to joining Cummins,

she served as Deputy Under Secretary of Commerce for Intellectual Property

and Deputy Director of the United States Patent and Trademark Office

(USPTO). During the two years she spent in that role, Sharon led 15 foreign

missions to meet with government representatives, as well as leaders in

academia and industry to raise awareness about the impact of intellectual

property on business and innovation.

She has spent the majority of her career in private practice, most recently at

the law firm of Foley & Lardner in Chicago, where she led the firm’s Intellectual

Property Department, a team of more than 200 intellectual property lawyers.

Sharon received the 2013 American Inns of Court Professionalism award

for the 7th Circuit and the 2011 Women of Vision award from the Women’s

Bar Association of Illinois. She was named one of the 50 Most Influential

Minority Lawyers in America by the National Law Journal in 2008 and an Illinois

“Super Lawyer” by Law & Politics Media Inc. (2005-2011) for her intellectual

property litigation work.

She is a graduate of Syracuse University where she earned a bachelor’s

degree in psychology and went on to receive a law degree from the University

of Michigan Law School.

Norm Brothers leads UPS’s global legal and privacy functions as the

company’s General Counsel and Corporate Secretary.

In this role, he is responsible for identifying and managing enterprise-wide

legal risks and ensuring compliance with international, federal, state and

local laws in the more than 200 countries where UPS operates around the

world. He is a member of the company’s Management Committee which is

responsible for long-term strategy and operating plans for the company’s

worldwide operations. He also advises and supports the UPS Board of

Directors.

Norm began his UPS career in 2000 as an attorney in the corporate legal

department. He has led various legal practice areas including litigation,

privacy, corporate, business development, regulatory compliance and

international. He most recently served as the company’s Vice President and

Deputy General Counsel.

Prior to joining UPS, Norm served on active duty as a captain in the U.S.

Army, where he was a military prosecutor in the Judge Advocate General’s

Corps. He also practiced at the international law firm King & Spalding where

he focused on commercial and tort litigation.

Norm received his undergraduate degree from the University of Pennsylvania

and his law degree from Emory University School of Law. He has attended

executive education courses at the Yale School of Management and The

Wharton School.

Norm is a member of the board of directors for The Georgia Justice Project

and Reach for Excellence. He also serves on the Executive Committee of the

Corporate Counsel Section of the Georgia Bar and is a member of the Law

and Judiciary Committee of the Georgia Chamber of Commerce. Norm also

is a member of the Leadership Atlanta Class of 2015.

Rhonda Ferguson is Executive Vice President and Chief Legal Officer at Union

Prior to joining Union Pacific in 2016, Ferguson was FirstEnergy Corp. Vice

Ferguson previously served as Assistant General Counsel and Assistant

Secretary with Ferro Corporation. She also served as a partner with Baker

Hostetler LLP law firm and began her career with Thompson Hine LLP.

Ferguson has an undergraduate degree in engineering from Northwestern

University and a J.D. degree from Case Western Reserve University. She and

her husband, Clayton, have two children.

Ben Garren is currently General Counsel, North America. Ben began his

Associate General Counsel, Litigation and Employment; Associate General

Counsel, Bottling Investments Group; and Chief Legal Officer, Coca-Cola

America, CCR and the Company’s Global Legal Division. He serves on the

Company’s Ethics & Compliance Committee and previously served on the

boards of Company owned or managed bottlers. Ben is also on the boards

Atlanta.

Cravath, Swaine & Moore and Baker & Botts in New York.

2017 Cora T. Walker Legacy Award Honoree

JEAN-MARIE SYLLA, JR.

It is with tremendous sadness that we share the passing of Jean-

Marie Sylla, Jr., Esquire on Friday, September 30, 2016. Jean-Marie

passed away after battling illness over the past several months, and

was surrounded by family and loved ones in his final moments.

Jean-Marie was a founding partner in the successful Washington, DC

based law firm, Taylor, Sylla & Agin, LLP, specializing in insurance,

commercial, business, and real estate litigation. He also earned

numerous professional awards and held several prestigious roles

within the legal community. He was a dedicated member of the

National Bar Association (NBA), where he served as General Counsel

from 2015-2016; former member of the NBA Board of Directors; an

Executive Committee Member of its Commercial Law Section; and

former Chair of the Small Business Law Section. Most recently, Jean-

Marie was awarded the NBA’s 2016 Presidential Award and honored

at the organization’s Annual Convention in July 2016. Jean-Marie was

also an active member and 2015 Diversity Fellow of the American Bar

Association’s Solo, Small Firm, and General Practice Division. Jean-

Marie was an avid sports fan, with fierce loyalty to the NY Giants,

as well as teams from his alma mater, the University of Maryland

College Park. He was also a proud member of the Omega Psi Phi

Fraternity, Inc.

Jean-Marie will be missed greatly by his family, including his mother

Delia Sylla, his long-time love Lisa M. Hathaway, his children Joelle

and Jean-Marie, III, and by a host of cousins, aunts, uncles, friends,

colleagues, and fraternity brothers. We are comforted in knowing

that, in his transition, Jean-Marie has been received into the loving

arms of his grandparents, his father, and his daughter Brielle.

A View from the Bench Panelist

The Honorable Leslie AbramsDistrict Court JudgeU.S. District Court for the Middle District of Georgia

The Honorable Leslie J. Abrams is a United States District Court Judge for the

Middle District of Georgia. On March 11, 2014, President Obama nominated

her to the bench; and on November 18, 2014, the Senate confirmed her by a

vote of 100-0. On November 21, 2014, Judge Abrams took the oath of office

and became first female federal judge in the Middle District of Georgia and

the first African American woman to become an Article III judge in the State

of Georgia.

Judge Abrams grew up in Gulfport, Mississippi and Atlanta, Georgia. She is the daughter of two

United Methodist ministers and the third of six children. She received a joint bachelor’s degree

in Public Policy and African American Studies from Brown University in 1997 and received her JD

from Yale Law School in 2002.

Following graduation from law school, Judge Abrams clerked for the Honorable Marvin J. Garbis

on the United States District Court for the District of Maryland. Following her clerkship, she

joined the DC office of Skadden, Arps, Slate, Meagher & Flom, LLP and the Atlanta office of

Kilpatrick Stockton, LLP (now Kilpatrick Townsend). From 2010 to 2014, Judge Abrams served as

an Assistant United States Attorney for the Northern District of Georgia in both the white collar

and major crimes sections. In addition to her duties as a prosecutor, Judge Abrams also served as

the Community Outreach Coordinator for the U.S. Attorney’s Office, developing programs focused

on community education, crime prevention and prisoner reentry. In this position, she frequently

spoke to schools, churches, and community groups about human trafficking, child exploitation,

elder abuse, discrimination, and community safety.

The Middle District of Georgia is comprised of 69 counties spanning a vast area of the state from

Athens to Valdosta. In addition to sitting in the MDGA, Judge Abrams is also sitting, by designation,

in the Middle District of Alabama. Judge Abrams has continued her community work in human

trafficking by speaking to youth groups and attending the Vatican’s Judges’ Summit against Human

Trafficking and Organized Crime and is active with various civic and community organizations.

A View from the Bench Panelist

The Honorable Guy ColeChief Appellate Court JudgeU.S. Court of Appeals for the Sixth Circuit

Chief Judge R. Guy Cole, Jr. was nominated by President Clinton and

unanimously confirmed by the U.S. Senate in 1995 to a judgeship on the

United States Court of Appeals for the Sixth Circuit. In August 2014, Judge

Cole assumed the role of Chief Judge for the Sixth Circuit—becoming the first

African-American to hold that position since the court’s formation in 1869.

During his twenty years on the appellate bench, Judge Cole has authored

hundreds of legal opinions, including landmark decisions on civil rights,

criminal procedure, and the scope of the First Amendment, among others.

Prior to joining the Sixth Circuit, Judge Cole served as an attorney in private

practice at the Columbus law firm of Vorys, Sater, Seymour and Pease, and as

a litigator for the Commercial Litigation Branch of the Department of Justice

in Washington, D.C. He also served as a United States Bankruptcy Judge for

the Southern District of Ohio from 1987 to 1993. In addition to his judicial

responsibilities, Judge Cole gives back to the community by serving as an

adjunct professor at The Ohio State University Moritz College of Law and on

the governing boards of several philanthropic organizations in central Ohio.

A View from the Bench Panelist

The Honorable Robert L. WilkinsAppellate Court JudgeU. S. Court of Appeals for the District of Columbia Circuit

Judge Wilkins was appointed to the United States Court of Appeals for the

District of Columbia Circuit on January 15, 2014. A native of Muncie Indiana,

he obtained a B.S. in Chemical Engineering from Rose-Hulman Institute of

Technology in 1986 and a J.D. from Harvard Law School in 1989. Following law

school, Judge Wilkins served as a law clerk to the Honorable Earl B. Gilliam

of the United States District Court for the Southern District of California.

In 1990, he joined the Public Defender Service for the District of Columbia,

where he served first as a staff attorney in the trial and appellate divisions and

later for several years as Special Litigation Chief. In 2002, he joined the law

firm of Venable LLP as a partner, handling white-collar defense, intellectual

property and complex civil litigation matters. During his tenure with the

Public Defender Service and in private practice, Judge Wilkins served as the

lead plaintiff in Wilkins, et al. v. State of Maryland, a landmark civil rights lawsuit

that inspired nationwide legislative and executive reform of police stop-

and-search practices and the collection of data regarding those practices.

Judge Wilkins also played a key role in the establishment of the Smithsonian

National Museum of African American History and Culture, serving as the

Chairman of the Site and Building Committee of the Presidential Commission

whose work led to the Congressional authorization of the museum and the

selection of its location. As a practicing lawyer, he was named one of the “40

under 40 most successful young litigators in America” by the National Law

Journal (2002) and one of the “90 Greatest Washington Lawyers of the Last

30 Years” by the Legal Times (2008). On December 27, 2010, Judge Wilkins was

appointed United States District Judge for the District of Columbia, where

he served until his appointment to the D.C. Circuit.

A View from the Bench Panelist

The Honorable Anne Claire WilliamsAppellate Court JudgeU.S. Court of Appeals of the Seventh Circuit

In 1999, Ann Claire Williams was the first judge of color appointed to the

U.S. Court of Appeals for the Seventh Circuit. She was elevated from the U.S.

District Court in Chicago where, at 35, she had been the youngest woman to

serve on the federal bench.

Williams was the first judge of color to serve as Court Administration and

Case Management Committee Chair for the U.S. Judicial Conference and as president of the Federal

Judges Association. She co-founded Just The Beginning – A Pipeline Organization (JTB-APO), Black

Women Lawyers’ Association of Chicago (BWLA), and Minority Legal Education Resources Inc.

(MLER). In 1991, she also created the post-graduate legal fellowship program for Equal Justice

Works.

She has traveled and continues to travel throughout the United States and to Kenya, Ghana, Liberia,

Rwanda, and Uganda to train judges and lawyers on topics such as gender violence, judicial ethics,

and trial advocacy, and has served on international training teams teaching trial and appellate

advocacy at the International Criminal Tribunals for Rwanda and former Yugoslavia.

Among other honors, In 2012 Williams was named one of 150 Fearless Women in the World

by Newsweek Daily Beast and the BWLA Pioneer Award she also received the 2009 American

Judicature Society’s Devitt Distinguished Service to Justice Award. Williams serves on the boards

of the Carnegie Foundation, the Museum of Science and Industry, the University of Notre Dame,

National Institute for Trial Advocacy and the Advisory Committee of JTB –APO.

She began her career as a music and third grade teacher in Detroit after graduating with a bachelor’s

degree in elementary education from Wayne State University, where she became a member of Delta

Sigma Theta. She received her master’s degree in guidance and counseling from the University of

Michigan and law degree from the University of Notre Dame. Before joining the bench, she was

an Assistant United States Attorney in Chicago and Chief of the Organized Drug Enforcement Task

Force. Before that she was a law clerk to Seventh Circuit Judge Robert A. Sprecher who sat on the

court where she now serves.
