Response: The map showing the existing WAN is attached.

Response: Yes, the service area is the same as the borders for the City.

Response: a) No, the City does not own this cell tower. The cell tower is owned by AT&T. It is not
known if it can be accessed for the installation of the infrastructure or if AC power is
available.

c) Yes, the Westwood Park baseball field light pole is owned by the City, and it does have
available power.
d) No, the City does not own this property. The height of the building is unknown. The
City will assist the Contractor with securing sites not owned by the City.

Question 4: Will there be any permits or fees associated with the installation of the infrastructure

Response: The City does not require permits or fees for this project.

Is there any information on what permits need to be obtained for either the
individual meter/transmitter installations or the infrastructure installations?
Response: The City does not require permits or fees for this project.
Question 6: Page 6 of the RFP, III, b) Installation
Is there a waiting period/timeframe between the system demonstration and work
continuation? How many evaluation sites will be required? Will two installation
mobilizations be required (one for the Pilot and one for notice to proceed after the
Pilot evaluation)? If so, how long is the evaluation process?

Response: Demonstration can be completed in one week once the test area is operational. The
purpose of the demonstration is to show data transmitted from meters at all four corners
of Inkster; then to the DCU’s and then to the Central Host Server for migration to the
billing system.
Question 7: Who installed and maintains the City’s SCADA system? Please list the company
name, phone and contact person.
Response: The City does not have a SCADA system.
Question 8: Is there a Prevailing Wage that applies for this project for either meter installations
or the infrastructure installations? If so, what county and job classifications should
be used?
Response: The City does not require Prevailing Wage for this project.
Question 9: Will transmitters be mounted inside or outside of structures?
Response: The City will consider outside and inside mounts.
Question 10: There are no stated insurance requirements. Are there any?
Response: Until completion and final acceptance of the Work, the Contractor shall purchase and
maintain Worker’s Compensation Insurance, Employer’s Liability Insurance, Direct
Liability Insurance for Contractor’s own operations, Contingent Liability Insurance for
the operations of Subcontractors and Contractual Liability Insurance to insure the
indemnifying portions of the Agreement, such insurance to include Bodily Injury Liability
and Property Damage Liability. Certificates of such insurance (and copies of policies if
requested) shall be filed with the Contracting Officer and shall be subject to its approval
for adequacy of protection and the satisfactory character of the insurer, but in no case
shall they be less than the following limits:

Response: There are meter pits/vaults. The existing meter pit/vault lids are not composite. They are
concrete and steel. The Contractor is responsible for verifying the size, purchasing and
installing lids to accommodate data transmission for their system.
Question 13: Are the 1 ½” meters disc or turbos?
Response: There is a combination of all meter types. The Contractor shall replace in kind.
Question 14: Are the 2” meters disc, turbo, or 2” compounds?
Response: There is a combination of all meter types. The Contractor shall replace in kind.
Question 15: If the 2” – 6” meters are turbos or compounds, are they to be provided with
strainers?
Response: The City requires that all meters over 2” be supplied with strainers.
Question 16: Under section III b) Installation – reference is made to weekly meetings with the
City’s project manager and other representatives (if needed) at City Hall on a weekly
basis throughout the life of the project. Is it sufficient for our subcontractor’s
Project Manager to attend these weekly meetings or will you require our Badger
Meter Project Manager to attend?

Response: It is sufficient for the subcontractor’s Project Manager to attend the weekly meetings.
Question 17: Under section III b) Installation – reference is made to weekly meetings with the
City’s project manager and other representatives (if needed) at City Hall on a weekly
basis throughout the life of the project. Is teleconferencing an option for these
meetings?
Response: Teleconferencing is not the preferred medium of communication for weekly meetings. A
local representative for the Contractor should be available to meet in person.

Question 18: Does the City have a list of approved, local, minority, female businesses who are
eligible to participate in this project? If so, would you please provide a list to Aclara?
Response: The City does not have a list of approved, local, minority, female business who are eligible
to participate in this project.
Question 19: Page 18 of the RFP states that a Base Map showing the Fiber Optic WAN follows the
page. We did not find this information attached to the RFP. Would the City please
provide a copy to Aclara?
Response: The Base Map showing the Fiber Optic Wide Area Network is attached herewith to
Addendum No. 1.
Question 20: Will the City provide a list of current meter locations so Aclara can perform a GIS
study for DCU propagation?
Response: A list of account addresses is attached herewith to Addendum No. 1. Note that the account
information could not be verified. The Contractor shall use this information at its own
discretion.
Question 21: Will the City accept proposals that are sent via FedEx in lieu of U.S. mail?
Response: The City will accept proposals via FedEx provided they are received by the RFP closing
date and time.
Question 22: In addition, due to the holidays coming up and the effect they have on resources,
Aclara would like to request that the City consider an extension to the due date of 7
to 14 days. We understand the impact that this could have on the timelines set forth
in the RFP. If possible, any extension would provide us with the additional time to
ensure our response is complete and concise to the City’s needs.

Question 23: What is the billing file format BS&A requires to generate a bill?
Response: The file format is standard BS&A billing. The Contractor must have experience integrating
AMI data into BS&A billing systems.
Question 24: What data does the City of Inkster require to be gathered and stored on an hourly
basis?
Response: The data required for storage would be the standard consumption information by meter
account. Migration of this information from the AMI system to the billing system may
require an aggregation of hourly data to a larger time frame to generate utility bills.
Question 25: Does the City of Inkster want the hourly data stored in BS&A? If not is there a
specific application the City wants the data stored in?
Response: The AMI system (central server database) must store the hourly information. The hourly
information will NOT be stored in the BS&A system (see question above).
Question 26: What type of meter labeling does the City require for inventory purposes?
Response: Each meter installed by the contractor must have a unique identification that can be linked
(one to one) with the customer ID in the City of Inkster billing system. At a minimum, this
includes the address and date of removal.
Question 27: How many users would require access to the meter data stored on the Central
Computer outlined on page 4.
Response: There will be a maximum user group of five (5); three (3) from the Finance Department and
two (2) from DPS.
Question 28: Is the City going to provide a facility to handle customer outreach, monitoring. Is the
City going to provide a location and space for the meter project team and project
training?
Response: Yes, the City will provide a facility for the Contractor to handle customer outreach.

Question 29: How many meters need to be installed at the extreme boundaries of the City prior to
full implementation?
Response: A minimum of four meters must be used to demonstrate the performance prior to full
implementation. The performance evaluation will not be based upon the number of meters,
but rather the data traffic, transfer rates, etc.
Question 30: Is the City going to be responsible for the cost of customer mailings?
Response: No, the City is not going to be responsible for the cost of customer mailings.
Question 31: Is DPS currently connected to the City’s WAN?
Response: Yes, DPS is currently connected to the WAN.
Question 32: Can you provide a copy of the City’s LMFBE City Charter language? How are the
LMFBE evaluation points allocated to LBE’s, MBE’s and FBE’s?
Response: The City’s policy on Equal Opportunity for Local, Minority and Female Business
Enterprises is attached herewith to Addendum No. 1. Evaluation points for LMFBE
participation will be in accordance with participation goals set by the City Council or their
designee. A maximum of 5 evaluation points are possible.
Question 33: There is a requirement to store removed meters for 6 months for dispute resolution.
Do the meters have to be stored in the City of Inkster or can they be housed
anywhere? What is the lead time required to provide requested meter data to the
City in order to resolve a customer dispute?
Response: At the time of removal, the Contractor shall compare the inside meter reading and the
outside meter reading. The difference in the readings shall be documented. If the numerical
difference between the readings is greater than 15 units, the meter is required to be stored.
If the numerical difference is less 15 units, the meter may be scrapped by the Contractor.
The meters do not have to be stored in the City of Inkster. However, the Department of
Public Services has a secure storage area that can be made available to the successful
Contractor between the hours of 7:00 am to 3:00 pm, Monday through Friday. If needed to
resolve a customer dispute, the City requires the meters to be made available within 7 days
from the written or verbal notification of a customer dispute.

I. REQUEST FOR PROPOSAL FOR CONTRACTOR SERVICES FOR CITY OF
INKSTER'S AUTOMATED METERING INFRASTRUCTURE (AMI)
PROGRAM
The City of Inkster is requesting proposals for Contractor services for implementation of
an Automated Metering Infrastructure (AMI) Program. For the purpose of this RFP, the
Contractor is defined as a meter vendor (supplier) having the capability of installing and
configuring the complete AMI system with an identified meter manufacturer team
member.
This is a Request for Proposals and is not a contract tender call. No contractual, tort or
other legal obligations are created or imposed on the City by this RFP or by
submission of any Proposal or by consideration of, or failure or refusal to, consider
any Proposal by the City. Further, the Contracting Services Agreement, when executed,
is the sole source of any contractual obligation on the City with respect to this Project.
All Proposals received in response to this RFP will be evaluated and the
proposer judged to have the "best overall proposal" will be selected to enter into
negotiations leading to a Contracting Services Agreement with the City for this Project,
if negotiations are not successful, the City can negotiate with other proposers.
By submitting a proposal, the Contractor agrees that neither the firm, subcontractors, nor
suppliers will discriminate against any person with respect to hiring or employment on
the basis of religion, race, color, national origin, age, sex, height, weight, marital
status, or a handicap that is unrelated to the individual's ability to perform tasks
particular to a job or position. The proposer must comply with all federal, state and
local laws and policies to prohibit discrimination in employment and hiring process.
The successful proposer will be asked to sign a Contracting Services Agreement
following contract negotiations for this project.
Minimum Qualifications
The qualified contractor shall be thoroughly versed in encoder meter technology and
possess the following minimum qualifications:
1. Have a minimum of 15 years of relevant experience in the design, selection,
installation, testing and commissioning of meter reading systems. This shall
include a thorough understanding of available encoder meter technology.
2. Utilize a meter manufacturer with demonstrated capabilities in the
manufacturing, installing, configuring and maintaining complete AMI systems;
and
3. Have minimum of (3) years of direct experience in the design, selection,
installation, testing and commissioning of fixed based automated metering
systems.

II. BACKGROUND INFORMATION AND PROJECT SCOPE
The City of Inkster is seeking to implement an Automated Meter Infrastructure (AMI)
system that will improve operations and efficiencies within the City. The background for
the AMI project is described below.
Overall System Characteristics
The City of Inkster requires an automated meter-reading environment that will collect
readings at the new water meters; transfer the hourly data from the Meter Interface Unit
(MIU) to the Data Collection Unit (DCU); and aggregate / store all the hourly data for at
least 12 months at the City’s central computer and database. In addition, the City
requires that monthly summary information will be transferred to the City’s existing
billing system (BS&A) on a regular basis.
The City of Inkster requires a fixed system with meter readings from the MIU being
collected and sent to the DCU on a regular basis, preferably hourly, for monthly billing
purposes. The City also requires an AMI system to report at a minimum: meter
tampering, potential leaks, and no flow conditions.
The City is seeking to implement an AMI environment that will allow Department of
Public Services (DPS) staff to read any water meter at any time, especially outside the
normal read cycle for the water meter. The City requires that each MIU would operate at
least 99.5 % of the time and transfer data to the DCU at a minimum on a daily basis. The
City also requires that the system to have provisions to prevent data loss (at least 30 days
storage) should any part of the system fail.
The City expects to select a Contractor that has implemented at least three fixed based
system installations within the last five years for communities as large as or larger than
the City of Inkster (population 30,000). The City staff fully expects to visit one or more
AMI installations of the selected Contractor; therefore, references will be requested.
Meters
Under this project, the City of Inkster contemplates replacing all the existing water
meters because of their age. Therefore, the new AMI environment should assume a
complete replacement of all water meters. There are approximately 10,000 meters in
operation within the City ranging in size from 0.50 inches to 6.0 inches with a majority
being residential 5/8 inch meters. A summary of the meter size and approximate
quantity are shown below.

The City requires that a single meter type be used within the City; therefore, the MIU
must be able to work with the recommended water meter in all types of installations. The
City requires the battery life of the MIU to be at least 10 years based upon acquisition of
hourly data sent to the DCU. Batteries failing before 10 years will be replaced free of
charge by the Contractor (a Contractor/Vendor Warrantee will be required). The
replacement process of the battery, or MIU if the battery is integrated and sealed within
the unit, must be simple and straightforward.
The City requires that all water meters and associated MIUs be properly labeled for
efficient tracking of installation, repairs, replacements and warranties.
The City requires that all existing meters are removed and disposed of by the Contractor.
Proper documentation such as account number, street address, digital pictures of the
register, serial numbers, etc. shall be provided to the City for each meter. The Contractor
shall safely store the removed meters for six months after completion of the meter
installation in case meters are needed to address disputes with City customers.
Communications
The City of Inkster maintains a fiber optics wide area network (WAN) connecting
several of the City-owned buildings – Parks, Fire / Police, and City Hall. This WAN
would provide the communications backbone for the AMI environment. It is expected
that the Contractor would define how the data collected at the MIU would be propagated
to a collection node on the City WAN and then to the central AMI computer. A map
displaying the WAN is attached for reference.
The Contractor shall conduct a propagation analysis to determine the number and

location of data collection units (DCUs) required for their proposed system. If sufficient,
the City requires the DCU(s) be established at the City-owned buildings located on the
existing WAN. The City requires a radio communication system to transfer meter
readings from the MIU to the DCU.
Data Management / Integration
The City of Inkster maintains a network of computers for standard city operations –
water / sewer billing, e-mail, cost accounting, etc. The City requires the following
specifications within their computer hardware / software environment:
Windows 2003 Server
Intel Pentium servers with RAID 5 capabilities
SQL Server database
Internet Explorer as the browser interface
The Contractor shall furnish, install, test and fully debug all the computer hardware and
software needed to create the Central Computer (and database). The City requires
Microsoft Windows based servers with a SQL database. All end user access would be
through a browser-based environment that maximizes data displays and charting.
The City of Inkster requires access to up-to-date meter readings as well as stored data via
the central computer. This access should be browser based and utilize simple tools for
data display and charting. The Contractor shall state in their proposal the anticipated size
of data that will be generated each year.
The City of Inkster maintains a utility billing system from BS&A. This utility billing
system is .NET based and uses a SQL database server. The Contractor will establish the
monthly billing data set that would be sent to the BS&A utility billing system.
Implementation
The overall installation and implementation of the AMI system shall be not more than
one (1) year including the replacement of all water meters within the City. The
Contractor shall provide all implementation functions related to:
New meter installation;
MIU installation;
Fixed network integration;
Central database installation;
AMI system software installation and configuration;
Technical support by the AMI manufacturer/vendor (system operation, maintenance,
replacement parts, etc.) for a minimum of two years of final acceptance of the AMI
system;
System testing and acceptance (software, each meter installation, system-wide);

Utility billing integration.; and
Training
The City of Inkster will assign a project manager to assist in coordination of Contractor
activities, specifically public notifications and water shut -offs. The Contractor is
expected to develop a meter / MIU installation program describing the City
requirements. The installation program should address customer facility access
procedures and other related issues.
The City will require training classes for AMI system management and for end users
within the Department of Public Services. The following staff numbers should be used
for planning training sessions:
Field Maintenance (5 staff);
Data Management (5 staff);
Billing Interface (5 staff);
System Management (3 staff);
Overall Administration (3 staff).
It is expected that the AMI environment from MIU to DCU to Central Host Computer
would be properly documented for both System Management and End User
Applications.
The Contractor shall designate a project manager who will be responsible for overseeing
the work, coordinating work activities, and regularly communicating with the City's
project manager. The Contractor will not substitute or replace any key staff member,
including but not limited to the project manager, identified in the proposal without the
written approval of the City of Inkster. The City, if not satisfied with the efficiency
or quality of work of any member of the Contractor's team, will direct the
Contractor to replace that person with qualified staff that meets the City’s approval. The
Contractor will need to comply with the City’s request within 72 hours.
The City's intention is to enter into a Contractual Agreement with the selected
Contractor to implement a fully functional AMI system. The City invites
qualified Contractors to submit a proposal with their qualifications for
consideration. The contents of the selected proposal and this RFP will become
part of the contractual obligation. Submission of a proposal establishes a conclusive
presumption that the proposer is thoroughly familiar with the RFP and the
City’s functional requirements of the AMI system, and that the proposer
understands and agrees to abide by each and all of the stipulations and requirements
contained therein. All prices and notations must be typed or printed in ink. Exclusion
of any mentioned services in this RFP for the project may serve as cause for
rejection, or termination of the contract. Tasks may be added and/or redefined based on
subsequent negotiations. Upon execution of the Contracting Services Agreement, the
selected Contractor will provide various products and services that will allow the City

to implement an AMI system.
Proposer shall explicitly incorporate everything in its proposal to provide the City with a
complete and working system, even if not mentioned in this RFP.
III PROJECT REQUIREMENTS
a) Program Services:
Coordinate, obtain and collect any permits and related information necessary for
the successful completion of this project (Proposers should assume the
availability of data from the City is very limited). The Contractor shall
coordinate work with the City’s project manager. The Contractor shall also
collect needed information from, and keep informed city departments like
DPS, Treasurer, City Manager, Police, Fire and Building Safety, and all
stakeholders having interest in the project.
The Contractor shall review all available documentation, make all contacts and
coordination, and perform all engineering required to properly design the fixed
based AMI system to meet specified performance requirements. The Contractor
shall submit the following deliverables for approval by the City:
Propagation Study
Fixed Based System Layout (DCU locations, repeaters if required,
installation heights, and all relative information
Recommended meter/MIU installation
AMI System Documentation as installed
o Meters (ID, address, account no.)
o MIUs (ID)
o DCUs (location, elevation, capacity, access)
o Central Control Computer (hardware capacity, end-user
access, WAN link)
o Integration with BS&A Billing System
AMI System Training Manuals
b) Installation:
During this phase, but prior to city-wide installation of meters, the Contractor
shall implement the fixed based AMI system with meters at the extreme
boundaries of the City to demonstrate that the system is functioning properly.
Upon verification by the City of the system’s functionality, the Contractor will
install meters city-wide. The Contractor shall be responsible for coordinating
access to homes and businesses, and conducting the work in a safe, professional
manner. The Contractor shall develop and submit their customer

notification/communication plan and literature (if any) for the City’s approval
prior to mailing out or communicating with customers.
The Contractor will prepare monthly reports summarizing costs, schedules,
quantities of work completed, overall project status, and any critical issues
requiring action for progress payments (Proposers are to assume a one-year
construction contract duration). The Contractor will prepare and provide
operation and maintenance (O&M) manuals related to the system architecture,
design overview, and instructions for installing, operating and maintaining the
AMI system under this contract. The Contractor will also provide training on all
components of the AMI system to the city staff.
The Contractor may be asked to make up to three presentations (at the beginning,
midway, upon completion) regarding the AMR System to the appropriate bodies
(Mayor and Council etc.). Close coordination will be paramount to the progress
and timely completion of this project. The Contractor shall keep residents and
businesses informed via neighborhood meetings and flyers on a regular basis
and/or as directed by the City. The City’s project manager will assist the
Contractor in this effort by mailing out notifications along with customer water
bills.
During the meter installation, the Contractor shall report to the City of Inkster’s
assigned project manager on a daily basis. The Contractor will hold meetings
with the City’s project manager and other representatives (if needed) at City Hall
on weekly basis throughout the life of the project. The Contractor shall also
collect needed information from, and keep informed city departments like DPS,
Treasurer, City Manager, Engineering, Police, Fire and Building Safety, and all
other stakeholders having interest in the project.

§ 37.01 AUTHORITY; POLICY.
Pursuant to Charter, Section 13.1, that “the Council shall provide by ordinance for the purchasingprocedure to be followed in all purchases, sales and leases and the letting of contracts therefor,” thesame shall be the policy for purchasing by bids for all equipment and supplies in departments in the city.

§ 37.02 PURCHASING ASENT.
All specifications for all items to be purchased are to be drafted by the City Manager, who shall actas Purchasing Agent with the aid and advice of department heads. All such specifications are to be inwriting and submitted to the City Clerk and to be advertised in either the official newspaper of the city,a newspaper of general circulation in the area, or in a publication suitable for the particular type of bid

§ 37.03 OPENING BIDS.
(A) The opening of bids shall take place in the presence of any two administrative officers of thecity. It shall be the duty of the City Manager or his duly authorized representative to report to the CityCouncil, during its regular session, the tabulation of all bids received and to make recommendations onsame. (B) The location for the opening of the bids may be held in any building used by the city to carryout public business, and said location must be specifically noted in the advertisement for bids. All bidsmay be inspected by any and all persons present at the opening of bids after they have been read aloud.(‘68 Code, § 2-304)

§ 37.16 APPLICATION OF PROVISIONS.
This subchapter shall apply to all eligible projects, as herein defmed, whether or not federallyassisted, unless the provisions herein conflict with federal or state law, or rules and regulationspromulgated thereunder, or applicable federal or state grant requirements. § 37.17 DEFU~ITIONS.
For the purpose of this subchapter, the following definitions shall apply unless the context clearlyindicates or requires a different meaning.
BIDDER Any person, firm, partnership, corporation, association or joint venture seeldng to beawarded a public contract.
CONSTRUCTION CONTRACT. Any public contract for the construction, rehabilitation, alteration,conversion, extension or repair of buildings, streets or other improvements to real property, exceeding$10,000.

CONTRACTOR. Any person, firm, partnership, corporation, association or joint venture which hasbeen awarded a public contract.
aIGIBLEPROJECT. Any public contract awarded by the city to perform public works, communitydevelopment construction and purchasing contract whereby the city expended or commits theexpenditure of $10,000 or more for the construction or repair of improvements of real property, orwhereby the city grants concession rights having a value exceeding $10,000 per annum to occupy or usecity property.
FEMALE EUKU~ESS ENTERPRISE (ThE). A business entity at least 51% of which is owned byfemales and certified as such by the city.
LOCAL BUSRVESS ENTERPRISE (LBE). A business entity at least 51% of which is owned byresidents of the city or which is located within the corporate limits of the city, and certified as such bythe city.
W?’~1OR1V1’YBUSThTESIS ~JTERPRISE (2WBE). A business entity at least 51% of which is owned byminority persons and certified as such by the city.
MINORITYPER.SON. Any American citizen or permanent resident alien of the United States whois Black, Hispanic, Asian or American Indian.
PIJBMC CONTRACT. Any contract awarded by the city, other than a contract between the citSr andanother municipal, county, state or federal governmental body or agency or division thereof, or a publicauthority, having a value exceeding $10,000, whereby the city expended or commits the expenditure ofthe funds in return for work, labor, services, supplies, equipment, materials or any combination of theforegoing; or any lease, lease by way of concession, concession agreement, permit or permit agreementwhereby the city leases, grants or demises property of the city or otherwise grants a right or privilegeto occupy or use property of the city for monetary consideration other than payment of a permit fee; orany lease by the city of personal property. This definition shall include any contract, the value of which,when combined with all other public contracts awarded within the preceding 12 months to the sameperson or entity, exceeds $40,000.
SOLE SOURCE. A contract which is determined by the Mayor or his designee to be the onlysource, by reason of geographical location or specialized resources, from which labor, services supplies,equipment or materials for a particular purpose can be obtained.

§ 37.18 GOALS.
(A) The city’s goal is to provide the maximum extent that local business enterprises (LEEs), minoritybusiness enterprises (rvmEs), and female business enterprises (FBEs) participate in each eligible projectat a percentage of the total dollar amount expended equal to or greater than minority and femalerepresentation amounts business entities known to be available for like projects. Separate goals for LEE,MBE and FBE participation for each fiscal year shall be set by the City Council or their designee throughappropriate Council resolution, which resolution shall set forth the basis by which each goal wasdetermined, including but not limited to the following:
(1) A forecast of all eligible projects to be awarded within the coming fiscal year, specifyingthe type and vaiue of contractual services to be obtained;
(2) The anticipated amount of federal funding for eligible projects;
(3) The number of LEE, IvIBE and PEE firms known to be available for the type and value ofcontractual services to be obtained;
(4) The LEE, MBE and FBE percentages of the total number of business entities known to beavailable for the type and value of contractual services to be obtained;
(5) The statistical and data sources by which each goal was calculated.
(B) The goals must be approved by resolution of the Council within 30 days of promulgation andby the Council or its designee, and shall remain effective until the promulgation of new goals thefollowing year.
(C) It is the main objective of the city’s goals to give priority to all local business enterprises in theirparticipation in all eligible projects to the maximum extent possible.(‘68 Code, § 2-1703) (Ord. 603, passed 8-15-83)
§ 37.19 CONTRACT COh’9LIANCE OFFICER; FUNCTION AND DUTIES.
The Contract Compliance Officer shall be the Personnel Director of the city, which office shall havethe following duties for the encouragement of local, minority and female business enterprises:
(A) Administration and enforcement of this subchapter.
(B) The establishment of written procedures to effectuate this subchapter.
(C) The establishment of procedures to meet city goals to insure the participation of local, minorityand female business enterprises in eligible contracts on the prime level, such procedures to include:
(1) The development of a local, minority and female business enterprise directory to bemaintained as a public record;
(2) Consultation with the appropriate offices and departments within the city to determine andimplement methods of attracting qualified LBEs, MBEs and FEEs;

(3) Administration of a program to assist LBEs, Iv2Es and PBEs who need assistance in meetingthe city insurance and bonding requirements;
(4) Regular notification, by advertisement and writing to inform qualified LEEs, Dv2Es and FBEsof pending eligible projects to be bid.
(0) The determination in writing, with reasons therefor, whether potential contractors are incompliance with this subchapter, to be made prior to the award of any bid or the execution of anyeligible project.
(E) Holding pre-award conferences with potential contractors and subcontractors for the purposeof insuring that said office has all available information with which to make a determination ofcompliance.
(F) Investigations of alleged violations of this subchapter, and the issuance ofwritten determinationsfollowing these investigations, stating the reasons therefor.
(C) Provision to all business entities of all necessary forms, applications, documents and papersnecessary to comply with this subchapter.
(H) The review of cases where contractors fail to implement previously made LBE, MBE or FBEcommitments to determine whether there should be further efforts to alternative approaches includingbut not limited to contact with industry or any pertinent federal agency for information concerning theavailability of qualified LEEs, MBEs and FBEs.
(I) Certification of contractors as bona flde LEEs, MBEs or FEEs, in accordance with the standardsset forth in this subchapter.
(I) Recommendation to the Mayor and City Council of further efforts needed to insure participation.(‘68 Code, § 2-1704) (Ord. 603, passed 8-16-83)
§ 37.20 CON’l’RACTOR’S REQUIREMENTS.
(A) Notwithstanding its compliance with any other requirement of city ordinances, no bidder shallbe awarded an eligible project unless the Contract Compliance Officer/Personnel Director has approvedthe LEE, MBE and FEE participation program of the bidder designed by said bidder to meet theapplicable yearly goals set for such projects, which requirements shall be to be incorporated into itscontract with the city and which program shall include, at a minimum, the following:
(1) The listing by the bidder and its response to an invitation for bid or request for proposal,of the names of LBEs, MBEs and FEEs to whom it intends to award subcontracts, the dollar value of thesubcontracts, and the scope of the work. Such names of LEEs, MBEs and FBEs shall not be changedafter the submission of bids or proposals without the prior approval of the Contract ComplianceOfficer/Personnel Director; such approval shall not be unreasonably withheld.
(2) Bidders who fail to identify the LEEs, Iv~Es and FBEs by name scope of work and dollarvalue of work in their bids or proposals sufficient to meet the LEE, MBE and FBE percentage goals shall~ot be awarded eligible projects; such proposals or bids to include the following:

(a) Copies of written notification of LEEs, MBEs and FBEs that their interest in thesubcontractor solicited;
(b) A statement of the efforts made to select portions of the work proposed to beperformed by LEEs, MBEs and FEEs in order to increase the likelihood of achieving the stated goal;
(c) A statement of the efforts made to negotiate with LEEs, MBEs and FBEs, including, ata minimum: the names, addresses and telephone numbers of LEEs, MBEs and FEEs who are contacted;a description of the information provided to LBEs, MBEs and FEEs regarding the plans and specificationsfor portions of the work to be performed; and a statement of the reasons why additional agreements withLBEs, IvmEs and FEEs, if needed to meet the stated goals, were not reached;
(d) A statement of efforts made to assist LEEs, MBEs and FBEs contacted who neededassistance in obtaining bonding and insurance which the bidder requires; and
(e) As to each LEE, MBE and FBE contacted, but which the bidder considered not to bequalified, a statement of the reasons for the bidder’s conclusion.
(B) The Personnel Director shall consider such application prior to the award of the eligible projectin question and shall grant administrative waivers where reasonable good-faith efforts are shown.(‘68 Code, § 2-1705) (Ord. 603, passed 8-15-83)
§ 37.21 INCORPORATING I2~WBE CLAUSE IN CONTRACTS FOR flIGThLE PROJECTS.
All contracts for eligible contractors hereinafter entered into by the city shall incorporate a LIVWBEclause. This requirement shall be considered to have been complied with when such quoted LIvTBEclause is set forth in an exhibit attached to the contract and appropriate language incorporating theexhibit into the contract is set forth in the contract.
(A) The LIVFBE clause shall read as follows:
“The contractor agrees to make all good-faith, best efforts to meet the goals of this agreement bymaking available opportunities for local, minority and female business enterprise participation in the workset forth within this agreement, and shall take the following actions as part of its good-faith, best efforts:
1. Notification to community organizations that the contractor has subcontractor opportunitiesavailable and maintenance of records of the organization’s response.
2. Maintenance by the contractor of a file of the names and addresses of each local, minorityand female business referred to it and action taken with respect to each such referredbusiness;
3. Dissemination of the contractors local, minority and female business enterprise policyexternally by informing and discussing it with all management and technical assistance sources; byadvertising in news media specifically including minority news media; and by notifying and discussingit with all subcontractors and appliers.

4. Specific and continuing personnel (both written and orai) recruitment efforts directed atlocai, minority and femaie contractor organizations, local, minority and female recruitment organizationsand local, minority and female business assistance organizations.
5. Subdivision of the contract into as many segments as practical to allow the greatestopportunity for participation by LEES, l~Es and FBEs.
6. Increasing, where possible, the number of aggregate purchase items so as to eliminate therequirement of front-end purchases of material for as many LMFBE subcontractors as possible.
7. Adoption of the LBE, ~vmE and FEE participation program submitted with its response tothe invitation for bid or request for proposal obligations under this agreement.
8. Submission of monthly reports on the forms and to the extent required by the ContractCompliance Officer/Personnel Director, to be due on the last day of each month following the award ofthe work set forth in this agreement.
(B) The contractor further agrees that any breach of the LIVflE provisions contained herein shallsubject it to any of the following penalties:
1. Refusal of all future bids for any eligible project with the city or any of its department ordivisions until such time as the contractor demonstrates that their has been established and there shallbe carried out all of the LMFBE provisions contained herein.

§ 37.22 LBW!aE”FBE CERTWIC&TION.
The Contract Compliance Officer/Personnel Director shall determine the eligibility of LEEs, ~Esand FEEs for participation in city eligible projects according to the following standards:
(A) Bona Me minority group memberships shall be established on the basis of the individual’s claimthat he or she is a member of a minority group and is so regarded by that particular minority community.
(B) An eligible LEE, rvmE or FEE under this program shall be an independent business. Theownership and control by local individuals, minorities or females shall be real, substantial, and shall beindicated by customary incidence of ownership, as demonstrated by an examination of the substancerather than the form of ownership and operating arrangement.
(C) The local, minority or female owners must possess the power to direct or cause the directionof the management and policies of the firm and to make day-to-day, as well as any, decisions on mattersof management, policy and operations. The firm shall not be subject to any formal or informalrestrictions which limit the customary discretion of the local, minority or female owners. There shall beno restrictions by partnership agreements, charter requirements, or other arrangements which preventthe local, minority or female owners from maidng a business decision of the firm without the cooperationor vote of any owner who is not local, minority or female.

(D) lit such instance, where the actual management of an ISI’VWBE is contracted out to individualsother than the owner, those persons who have the ultimate power to hire and fire the managers and, forthe purpose of this chapter, be considered as controlling the business.
(E) All securities which constitute ownership or control of an entity for purposes of establishing itas a LBE, I~E or FBE must be held directly by local, minority or female individuals. No securities heldin trust or by any guardian for a minor shall be considered held by local individuals, minorities or femalesin detennining the ownership or control of a corporation.
(F) The Contract Compliance Officer/Personnel Director, shall make investigation ofLBE, MBE andFBE ownership arrangement beyond fonnai documents submitted by such entities if the firm is newlyformed or the firm has local, minority and/or female ownership of less than 100%; there is a previous orcontinuing employer-employee relationship between or among present owners; a business which is nota LBE, !~E or FBE has an interest in such entity; or the ownership of the firm has changed sincedocuments have been submitted to the Contract Compliance Officer/Personnel Director.(‘68 Code, § 2-1707) (Ord. 603, passed 8-15-83)
S 37.23 LBflSE/FBE PARTICIPATION.
LBE, lv~E and FBE participation shall be counted toward the applicable goals as follows:
(A) Once a firm is certified as such, the total dollar value of the contract awarded to the LBE, IV~Eor FBE is counted toward the applicable goals.
(B) A LBE, Iv~E,or FBE which is owned and controlled by both minority males and females iscounted toward the minority and female goals in proportion to the percent of ownership of each groupmember.
(C) LBE, MBE, FBE suppliers shall be credited as follows: 100% of the contract amount forLBE/MBE/FBE suppliers who manufacture the goods supplied; and all LiBE/MBE/FBE suppliers who arewholesalers warehousing the goods supplied or who are manufacturers’ representatives will be creditedwith 100% of the price of their contract; however, only 25% of the LBE/IvmE/FBE goal may be obtainedwith non-manufacturing supplier contracts to laBEs/MBE5/FBE5.
(D) In those contracts of which an extraordinarily large proportion of the contract price is forequipment or supplies, the City Council or Mayor may set a lower project goal than otherwise wouldbe required for increase the 25% limit for supplier’s, or a combination of the two.
(E) The Contract Compliance Officer/Personnel Director shall grant certification of an approvedLBE, !~E or FBE for a period of two years. All companies must request recertification of their business.If a LBE, IvBE or FBE is denied certification on the basis of information submitted, the company cannotreapply for certification for a period of one year from the date of the notice of denial, provided that saidcompany shall have the right to appeal said denial before the City Council, and to be certified if saidappeal is decided in its favor.(‘68 Code, § 2-1708) (Ord. 603, passed 8-15-83; Am. ) § 37.24 LMFBE ADVISORY CO!vTh~I7TEE.
(A) The City Council has the authority to establish an LMPBE Advisory Committee which, as anadvisory group only, shall assist the City Council, the Mayor, the Personnel Director and any otherdesignee in reviewing the continuing programs of contractors and subcontractors concerning local,minority and female business participation, and which shall make recommendations to the City Councilconcerning such programs. The Committee shall consist of seven members, of wham the Mayor shallappoint one and the Council shall appoint one.
(B) Members of the Committee shall serve two-year terms. The membership of the Committee shallinclude representatives of the city, contractors, trade associations, and private nonprofit and profit-makingorganizations concerned with local, minority and female business enterprises.(‘68 Code, § 2-1709) (Ord. 603, passed 8-15-83)
