MESSAGE FROM OURPRESIDENT

Hello,

Thank you for your interest in American Business Consulting (ABC). Since 2005, our company has strived to provide doctors like you with the practice solutions they need to operate independently and successfully. Since assisting our initial client that year, ABC has gone on to open over 16 new practices, with more in development. We would be pleased to welcome you to our family of satisfied and successful clients.

ABC is a practice solutions provider, dedicated to making practice ownership a reality for as many doctors as possible. Our team of specialists performs a complete suite of business services, while leaving the owner in complete control and as the sole authority in all clinical matters. Unlike other companies in the healthcare industry, we are a services firm, not a practice management group, and we recognize high-quality patient care is the client’s top priority.

Please review the contents of this prospectus, and consider how ABC could help your vision of ownership become reality. In addition to descriptions of our services suite and information on our client packages, you will also find testimonials from other doctors who recognize the outstanding services and value ABC has provided.

I look forward to hearing from you soon.

Best Regards,

Derek LeonardPresident, American Business Consulting

ASSOCIATERECRUITMENT

For every successful practitioner, there comes a point when there is not enough time in the day to give each patient the treatment time you would prefer. Or, perhaps you want to purchase or build a second location, or add another specialty to your practice.

When the time comes to bring another provider onboard, ABC’s recruitment services can be counted on to bring qualified applicants to your door. Our team personally meets with dozens of new doctors at a variety of healthcare schools and specialty programs each year. Our Careers web page, visited by hundreds more, extends our reach even further. We will identify a pool of candidate that best suit your requirements, and arrange for interviews with the owner. When the right candi-date has been identified, ABC negotiates on behalf of the owner-doctor, and provides a Service Agreement for both parties to sign. Recruitment can be stressful on a solo practi-tioner, but with ABC’s assistance, its impact on daily treatment responsibilities is minimized.

Dr. KevinEatmon

ABC does not have a cookie cutter approach, but rather tailors suggestions on what may work for your particular practice based on your specific needs. This was important for me because one approach may work well in a particular demographic or dynamic, but not necessarily for your practice. I was looking for someone that can think outside the box, which they also do.

PREPARATIONPHASE

In order to lay the groundwork of your project, ABC will guide you through the following areas of project focus:

FinancingFor recent graduates, the prospect of financing a practice project can appear daunting. Fortunately, ABC is well versed in obtaining the necessary funds to launch a practice. Our partners in banking and private capital sourcing offer proven packages that give ABC’s clients the finan-cial support they need, and often extend preferential rates when the company’s involvement is secured.

Market AnalysisA good location is instrumental to your practice’s success, and ABC has a number of tools for the identification and critical evaluation of potential practice sites. Besides key demographic indicators, our team will consider competition analysis and other market factors when presenting our recommendations. ABC’s detailed reports have frequently played an instrumental role in the success of our client’s projects.

Real Estate With the target market chosen, our broker will identify the most promising properties for rent or sale in the area. ABC will conduct negotiations with the landlord on your behalf, securing beneficial terms and ensuring your lease is properly drafted and executed. Given the importance of this document, receiving professional guidance is essential to securing favorable concessions and avoiding terms and conditions that could be detrimental to your practice.

Page 14: ABC Client Prospectus

CONSTRUCTIONPHASE

Once project funds and a practice site have been secured, ABC has the experienced personnel necessary to guide your project through to a successful opening.

Project ManagementGiven the diverse and varied aspects of developing a practice, the role of Project Manager is a key service for our clients. The Project Manager will coordinate a number of crucial pre-opening tasks, such as securing the services of a General Contractor. Also, he will be the chief interface for a number of vendors, including architectural, interior design, clinical equipment, office equipment, and I.T. services.

Administrative Set-upAs work begins on preparing the practice for patient treatment, ABC’s administrative team will conduct a variety of necessary tasks to enable administrative operations. These include setting up bank accounts,

securing all necessary licenses and insurance policies, and merchant services. Most importantly, our credentialing team will make sure the new office is registered with the local market’s top PPO’s and Medicaid (at the client’s discretion).

Design ServicesAn original logo is the small but critical first step in the design process that will yield a variety of promotional materials for the practice. These include business cards, stationary, brochures, and other printed materials custom-designed for your practice. Additionally, clients are provided a website and email services to ensure an online presence for the practice.

Page 15: ABC Client Prospectus

OPERATIONALPHASE

Following the opening of the practice, ABC continues to contribute to our clients’ success through a variety of business services tailored to meet the needs of a thriving healthcare office.

MarketingPrior to opening, ABC will compile a detailed marketing plan to identify opportunities for the practice, and lay out the strategies and tactics necessary to reach prospective patients. In addition to acting as an advertising agency for broadcast media, the company will vigorously promote the practice at the neighborhood level to build referrals and positive word-of-mouth. Feedback metrics will be employed to gauge the effectiveness of campaigns, and meetings will be held quarterly to plan the next cycle’s efforts.

Back-Oce ServicesAs patient flow increases, the staff and owner will be hard-pressed for time to perform administrative functions. Fortu-nately, ABC’s administrative

professionals complete a number of these tasks off-site, allowing the practice’s personnel to make patients the primary focus. Tracking receivables, claims management, and payables management are all functions our clients are glad to share with our team.

Practice EnhancementFollowing the recruitment of practice staff by ABC, our practice enhancement team will visit for staff training and operational planning. Beyond this initial session, ABC follows up in quarterly intervals to offer continued training and evaluate employee skill progression. For the owner, ABC prepares monthly and quarterly reports detailing the state of the practice, and provides ongoing consulting services as needed.

Page 16: ABC Client Prospectus

Once a practice has established itself, ABC’s clients consult with our team to examine growth channelsfor future expansion. As each is a special case, options are tailored to fit every doctor’s particular goals.Expansions involve a similar process to start-up, though new challenges and opportunities present themselves.

They can be accomplished through:• Leasing new space• Acquiring offices from other doctors• Building a new office on purchased real estate

In all cases, ABC will use the tools and resources available to assemble a custom-designed package of services to enable the desired plan.

Having someone that you can rely on to help

essential. ABC wasable to do that for me.

They were, and continue to be, great to work with.

ABC takes the time to answer any

questions that I may have, and has a knack for

evaluating opportunities.

Purchasing a practice can be a difficult process for the doctor to navigate, and ABC is pleased to offer a buyer consultancy program. Typically, the selling doctor has already secured the services of a brokerage firm, and has provided the prospective buyer with a thorough appraisal of the target purchase. ABC confirms the asking price falls within the fair market value range, as determined by our own internal models. Our company will also renegotiate all leases on behalf of the buyer, to avoid extra charges from the seller’s landlord(s). Additionally, we perform a demographic analysis of the surrounding market, to provide the buyer with an outlook for economic growth in the area. Should the potential buyer commit to the purchase,

ABC enacts the Transitions Package, a suite of services designed to maximize convenience for the buyer in the following areas:

• Financing• Marketing• Administrative Services• Construction Services (as needed)

Beyond the purchase window, signing on for this package secures ABC’s services following the sale, to ensure a successful transition for the new owner.

FREQUENTLY ASKEDQUESTIONS

My student loans are substantial. Is nancing the project still possible?Absolutely. Our financing partners realize that a doctor’s education involves substantial financial commitments, and a significant amount of student debt is to be expected. As long as a candidate’s personal finances are otherwise sound, the prospects of obtaining a loan are strong.

Do I have to share ownership of the practice with ABC?Definitely not. ABC is a business services provider, and has no input regarding the clinical aspect of the practice. The client doctor is the 100% owner of every project we complete. Ownership is only shared when multiple doctors are involved with one practice.

Is ABC a practice management company? No. As a business services provider, we report to the owner, much in the same way as an

independent contractor or employee. Our services are limited to the business aspect of running the practice. We place no requirements or restrictions on clinical patient treatment, which is the sole province of the doctor. Also, while practice management companies seem to focus primarily on the “bottom line” at the expense of quality patient care, we advise our clients to put the patient’s needs first and foremost.

Am I required to contribute to the project budget with personal funds?Aside from an initial retainer payment, the bulk of the project is financed with financing and other funds. While some doctors choose to amplify their projects with personal funds, ABC is normally able to complete the project without this requirement. Some exceptions do apply, and can be discussed in preliminary consultation.

The following are questions typically posed to ABC at presentations, dental exhibitions, and initial consultations:

Page 23: ABC Client Prospectus

I just wanted to thank you for all of your support and efforts. You are truly the best out there! I mean that most sincerely. I was incredibly impressed with your skill and your ability to communicate promptly with me and our third party. This is a combination that seems rare in today's service industry. I have heard countless horror stories from other residents and their experiences with different companies in your line of work and I have to say, I definitely lucked out by having you on my team! If there is a testimonial section on your website I will gladly write my highest recommendation of you and share my complete satisfaction with your services! If there is anything else I can do to help let me know. In fact, send me some of your brochures so that I may share them with some of my colleagues. I can't think of a better guy to recommend for the job.

Dr. Jeremiah DanelMoorhead, MN

Having ProABC work with me when I decided to open my own practice, was the best decision I ever made. They made every step of the process seem effortless and stress-free. I always felt like I was in good hands. They went beyond their duties to ensure I was satisfied. I would highly recommend ProABC to anyone who is considering purchasing or building their own practice.

I received information regarding ABC from a colleague and friend who is an orthodontist. I 0started communicating with Derek about 2 years before I was ready to open an office. He has been very patient with me and helped me to choose a very good location for my office. ABC has been with me every step of the way and eliminated a lot of the stress associated withopening an office. TOOWNER

Practice ownership is a goal that many doctors aspire to, yet may delay for a number of reasons. Perhaps the need is felt to become more grounded in their career first, or shore up their financial situation following long and expensive years in academic preparation. These are valid concerns, as the decision to go into business for oneself is not a trivial matter. However, in actuality, with proper planning even the daunting challenge of starting a new practice from the ground up is a very attainable goal. In fact, the prepared doctor is able to overcome difficulties, and enjoy quantified success in a relatively short time frame as well. In order to launch the new practice successfully, the specialists at American Business Consulting have identified five key areas that, with careful planning, are instrumental to establishing a solid footing. These are: preliminary professional services, real estate and construction, marketing and advertising, office administration, and financial reporting.

Page 25: ABC Client Prospectus

1. Preliminary Professional ServicesFinancing is a painfully obvious need to all doctors, but the outlook for securing a loan is actually quite positive. Many lenders, despite the poor economy and the often-sizeable burden of the doctor’s student loan debt, are willing to extend a suitable financing package at zero out-of-pocket cost to the borrower. In some cases, a co-signer may be required if the primary signatory has insufficient credit history. Also, any financing package will include working capital to cover operating expenses that will occur until the practice achieves profitability. Concurrently, the doctor would be wise to set up a professional corporation for legal and taxation advantages, begin enrollment with as many insurance providers as are beneficial, and require an attorney to review all forms related to the business. Accounting services will also be necessary, as the doctor will have to open a bank account, and develop a business plan, timeline, and budget to suit lender requirements.

2. Build the PracticeWith financing in hand, the doctor is in position to select a location for the new practice. Securing the services of a real estate broker would be a helpful move, both to uncover additional options for the practice site, as well as to negotiate skillfully with the landlord to include lease terms favorable to the tenant. Once a space has been secured, an architect, preferably with dental office design experience, will be required to create a floor plan that will allow for the most efficient treatment of patients. Following the completion of the plans, a construction company can commence the build-out of the space in accordance with all local ordinances. The practice’s telecommunications system will be installed and computer network established. Also, furniture, fixtures, and equipment will all need to be selected, ordered, delivered and installed.

3. Office AdministrationOnce the practice has been built-out, equipped and furnished, staff recruitment can commence and systems established for day-to-day operations to proceed smoothly. Recruitment sources include online job boards, local dental programs, or print ads. Once staff candidates have been interviewed and hired, a trainer should be brought in to make sure everyone is familiar with the practice management software the doctor has selected. Payroll services will need to be set up, and any additional training performed. Patient forms should be generated as well. Finally, the practice can set a supply order schedule to keep essential items in stock.

4. Marketing and AdvertisingThis is arguably the most crucial area in determining how long it will take the practice to achieve profitability. The first step is securing the services of a designer to create an overall brand message for the practice, and a logo that fits it. Once this has been established, a complete suite of materials will need to be produced to provide a uniform promotional appearance. The doctor will need to be mindful of the practice’s location and create a tailored marketing outreach plan to make their presence known and draw in new patients. This effort can include printed advertising inserts, mailers, and ads in a variety of media. After patients have walked through the practice doors, a different set of techniques is required to retain the hard-won gains. A knowledgeable staff that can convert consultations to sign-ups is essential, as are promotional programs to excite patients, and utilizing new social media in addition to traditional methods to stay in touch with them. Additionally, the doctor should take the time to market themselves to other dental specialists in the area, in an effort to create a steady channel of referrals.

5. Financial ReportingThe final step to a successful start-up practice is having metrics in place to analyze and report on the financial health of the business. Receivables and Payables should be carefully monitored to avoid lost revenue opportunities and fees for late payments. Balance Sheets, Income Statements, and Statement of Cash Flows should all be scrutinized on a regular basis. Also, Practice Enhancement specialists can be hired to produce daily, weekly, monthly, and quarterly reports to identify areas of opportunity the practice can pursue to increase profitability. Additionally, the doctor will need to secure the services of a Certified Public Accountant to file the practice’s taxes annually (quarterly where necessary).

The goal of practice ownership clearly takes effort to obtain, but it is well within the grasp of the doctor who is willing to carefully plan and execute the above steps to fulfillment. By carefully laying out business plans and utilizing professional assistance, a doctor can advance from associate to owner in as little as six months. Ownership is not a challenge to be undertaken lightly, and, frankly, is not in the best interest of every dental specialist. However, if a doctor truly desires to make an impact in the field as a practice owner, the tools are available to make this dream a reality in a much shorter time frame than is commonly assumed.
