Tenders will close at Connors Legal offices 159 Palmerston Street no later than 4 p.m. Monday 16 March
2020 and may be lodged in person or by mail.
The Tender shall need to be identified as “Tender for Purchase of Abandoned Land” and if mailing
should be addressed to “Tender for Abandoned Land: Connors Legal, P O Box 266, Westport, 7866”.
Each Tender must be made on a separate form and accompanied by a deposit of no less than 20% of the
Tendered price plus GST (if any).
Further Terms of Sale
22. No Tender which gives the name of the Purchaser “as agent” or “as trustee” or “on behalf
of a company to be formed” will be accepted. Where the Tender is submitted for or on
behalf of an existing company the following provision in the memorandum of contract by
way of tender must be completed for the tender to be accepted.

hereby personally guarantee to the Council the due performance of the obligations of the
Tenderer in terms of this tender including payment of the moneys to be made by the
Tenderer”.
Signature
This guarantee shall remain in full force and effect until such time as all of the Purchasers
obligations under this agreement are completed in terms of the tender.
23. The Purchaser agrees to pay a contribution to the Vendors legal and conveyancing costs
associated with this transaction on settlement date which shall not exceed $650 plus GST
and disbursements of $100.
24. The Tender may be accepted in the first instance in accordance with Section 79(3) of the
Local Government (Rating) Act 2002. If two or more Tenders for the same parcel of
land are equal, then Council will draw the successful Tenderer by ballot.
25. A Tender must be accompanied by payment of the deposit, equivalent to 20% of the
Purchase Price, payable by bank cheque made out to Connors Legal at the time of
lodging the Tender OR by Direct Credit to Connors Legal Trust account (BNZ, 020844-
0065349-03) using your name as a reference then AL (Parcel no. ## ) followed by a
Certificate of Title no. from the Council advert, on or before closing date and time.
26.
a. The Purchase Price shall be plus GST if any.
b. To the best of the Vendor’s knowledge the Registered Proprietor is not registered for
GST purposes.
c. If however, it is subsequently established that the Registered Proprietor is registered for
GST purposes then this Tender shall be deemed to be exclusive of GST.
d. The Purchaser is responsible for the payment of GST on the Purchase Price (if any).
e. Where the Purchaser provides evidence that it is GST registered and the supply under the
Tender is a taxable supply, the purchase may be zero – rated pursuant to section
11(1)(mb) of the Goods and Services Tax Act 1985. However, if the Purchaser’s GST
position changes prior to the Settlement Date or it otherwise transpires that GST is
payable, then the Purchaser is responsible for paying GST on the Purchase Price.
f. As between the Vendor and the Purchaser the Buller District Council is not liable to pay
any GST or additional tax or to take any other steps to minimise the liability in respect of
such tax or additional tax until the corresponding payment is received from the Purchaser.
27. The Tender property is sold subject to tenancies or occupations including holding over by
the Registered Proprietor and the sale does not include any chattels or fixtures that may
be classed as chattels or fixtures.
28. The Vendor Buller District Council shall not be called upon to comply with or be
responsible for any acts, bylaws, regulations or other lawful directions in connection with
the property.
29. The Tender property is sold subject to all encumbrances, easements, covenants,
restrictions, memorials, agreements and notices affecting the property and/or lodged
and/or registered against the title at any time and the Vendor Buller District Council shall
not be liable if it shall be found that any buildings or erections on the property encroach
upon any adjoining property or that any building or erection encroaches upon the
property hereby sold.
30. The Tender property shall from the date of notification of acceptance of a Tender be at
the sole risk in all circumstances of the successful Tenderer and the Vendor Buller
District Council shall be under no obligation to take any steps to preserve the property or
take possession of the property. For the avoidance of doubt the successful Tenderer
accepts that this means if there is any damage or deterioration to the property (for
whatever reason) the successful Tenderer shall nevertheless settle in full without
deduction on the date for settlement and have no claim against the Vendor Buller District
Council.
31. If it is necessary for the Vendor Buller District Council to obtain any consent or consents
to the sale (and the successful Tenderer shall if required co-operate with the Vendor
Buller District Council to obtain such consent or consents as soon as possible) or should
there by now or at any time before completion of the purchase any lien, prior mortgagee
requiring consideration to discharge its mortgage, charging order, caveat, notice of claim
of interest under the Property (Relationships) Act 1976, or statutory land charges
registered against the title to the property or disputes in respect of which the Vendor
Buller District Council may not be prepared to compromise or any other proceeding
preventing registration of a memorandum of transfer in pursuance of this sale, the Vendor
may, notwithstanding any attempt to obtain such consent or consents or remove such lien,
caveat, charging order or notice or litigation in respect thereof, by notice in writing to the
successful Tenderer or their solicitor cancel this agreement and repay to the successful
Tenderer the said Purchase Price paid (without interest or costs) which shall be accepted
in full satisfaction of all claims hereunder or otherwise.
32. To be accepted, if this Tender relates to Parcel Number 2, 3, 5, 8, 9 or 11 in accordance
with the Local Government (Rating) Act 2002 s 79(2) the Purchaser must be the
registered proprietor of a property sharing a common boundary with the Tender Property
as at the Closing Date and Time of the Tender.
33. To be accepted, if this Tender relates to Parcel Number 13 in accordance with the Local
Government (Rating) Act 2002 s 79(2) the Purchaser must be the registered proprietor
of a property as at the Closing Date and Time of the Tender that shares a common
boundary or would otherwise be contiguous with the property for Tender and the sole
reason that property is not contiguous is because it is intersected by one unformed legal
road.
