Review of the Charter The following amendments to the Charter shall be tabled at the Seventh General Council which will be held in Seoul, R.O. Korea on 4 November, 2013. 2.1 Amendments to the Charter – Article IV: Membership, Section 1: Composition In the current Charter, there is a confusion regarding the difference between associate membership and individual and corporate membership. In line one, it states that: “The Network shall be composed of full members, associate members, individual members and corporate members”. Then in line three, it says: “Associate members shall consist of relevant non- governmental organisations, institutions, agencies, individuals and the corporations from within and outside the region”. The Secretariat reviewed the Charter and proposed the following amendments in this section at the Twenty-Eighth and the Twenty-Ninth Executive Committee Meetings held in Dhaka and Surabaya, respectively, but the Secretariat would like to propose once more since the previous discussion did not lead to a conclusion. During the Twenty-Ninth Session of the Executive Committee Meeting, the discussion on the review of the Charter was decided to put on hold until the Secretariat transfer to Seoul. The proposed amendments include: Add the word “and” immediately after the word “institutions”. Delete the words “, individuals and corporations” immediately after the word “agencies”.

REVIEW OF THE CHARTER, MEMBERSHIP, AND ANNUAL MEMBERSHIP FEE

(Provisional Agenda 11)

1. Background

The Thirtieth Session of the Executive Committee Meeting will be the last opportunity for the Executive Committee to gather and discuss the regulations and formations of the network before the General Council, the highest authority of CITYNET which will be held on the following day, 4 November 2013, in Seoul.

The following subjects were brought up during the past two working-level meetings through Skype which were held on 26 May 2011 and on 29 May 2012 as preparatory meetings amongst Executive Committee Members and for the discussion of the Executive Committee.

1.2. Review of the Charter

The following amendments to the Charter shall be tabled at the Seventh General Council which will be held in Seoul, R.O. Korea on 4 November, 2013.

2.1 Amendments to the Charter – Article IV: Membership, Section 1: Composition

In the current Charter, there is a confusion regarding the difference between associate membership and individual and corporate membership. In line one, it states that: “The Network shall be composed of full members, associate members, individual members and corporate members”. Then in line three, it says: “Associate members shall consist of relevant non-governmental organisations, institutions, agencies, individuals and the corporations from within and outside the region”.

The Secretariat reviewed the Charter and proposed the following amendments in this section at the Twenty-Eighth and the Twenty-Ninth Executive Committee Meetings held in Dhaka and Surabaya, respectively, but the Secretariat would like to propose once more since the previous discussion did not lead to a conclusion. During the Twenty-Ninth Session of the Executive Committee Meeting, the discussion on the review of the Charter was decided to put on hold until the Secretariat transfer to Seoul. The proposed amendments include:

Add the word “and” immediately after the word “institutions”. Delete the words “, individuals and corporations” immediately after the word “agencies”. Add the sentence “Individual membership and Corporate membership shall consist of

relevant individuals and corporations from within and outside the region.” immediately after the words “may also become associate members.”

THE CHARTER OF THE NETWORK

Article IV: Membership

Section 1: Composition

The Network shall be composed of full members, associate members, individual members and corporate members. Full members shall be composed of city authorities in the region of Asia and the Pacific. Associate members shall consist of relevant non-governmental organisations, institutions, and agencies, individuals and corporations from within and outside the region. City authorities from outside the region of Asia and the Pacific may also become associate members. Individual membership and Corporate membership shall consist of relevant

individuals and corporations from within and outside the region. An associate member shall not have a vote at the meetings of the General Council, except in electing the members of the Executive Committee. Individual and corporate members shall not have a vote at the meetings of the General Council nor be eligible to hold any position or office created by the Charter.

2.2 New Articles

The Seventh General Council shall discuss if it is necessary to create new Articles in response to the report from CITYNET Review and Redesign Committee and discussion in Agenda 3.2.

3. Review of the Membership, Application Process and Qualification

3.1 Corporate Membership - Past Discussions on Membership Criteria is attached as Annex X.

The Corporate Membership may be discussed in response to the report from the CITYNET Review and Redesign Committee. The categorization of companies is proposed during the Twenty-Eighth and the Twenty-Ninth Sessions of the Executive Committee, however, the decision was put on hold until the following Executive Committee meeting.

The Thirtieth Session of the Executive Committee should discuss and decide if corporate membership should be divided into 2-3 categories (i.e. small, medium, and large) based on capitalisation or gross income.

For your information, currently, there is only one category for Corporate Membership and CITYNET charges according to the GDP/capita of the respective country in which headquarters are located. The Secretariat researched a fair mode for determining the scale, due to the fact that every country has different classifications which need to be taken into account. Below are the Secretariat’s proposed options.

3.2 Individual Membership

Since the Secretariat has received inquiries on applications for individual membership, its criteria and benefits should be defined in detail. The Secretariat proposes that Individual members such as former mayors/commissioners/urban experts share expertise as well as promote CITYNET by participating in seminars/conferences/training courses as speakers/resource persons.

3.3 Application Process

How to Join CITYNET is attached as Annex X.

(1) Back GroundAt the Twenty-Seventh Session of the Executive Committee, it was decided that the application from Dr. Shubha Raul for individual membership be submitted to the General Council for approval as an Honorary Member. The Commitment Consultant, a private company based in Dhaka, joined the National Chapter of Bangladesh, and its application for CITYNET may be considered after reviewing their participation/involvement in the Chapter’s activities.

(2) RecommendationsThe Twenty-Ninth Session of the Executive Committee should discuss and decide if CITYNET should change the qualification for the Individual Membership as below;

Individual and Corporate members should obtain two endorsement/supporting letters from full and/or associate members. For individual members, she/he should obtain at least one such letter from her/his former city/organisation.

Individual memberships should be selected from local governments and former mayors as well as from people who are devoted to urban development and the improvement of local governments.

Individual members can be transferred to the honorary membership category if they provide outstanding contributions and support to CITYNET. The decision to appoint individuals as honorary members shall be made by the General Council.

(3) Need further discussions on: Criteria and benefits of corporate and individual memberships The duration of individual membership as lifetime or yearly

Membership between National Chapter and CITYNET: Some members of the National Chapter want to be a member of not only the National Chapter but CITYNET as well, as they expect to be able to receive more benefits directly from CITYNET.

4. Review of the Annual Membership Fee

The Annual Membership Fee of CITYNET shall be discussed in response to the report from the CITYNET Review and Redesign Committee.Current Membership Fee Calculation Sheet is attached as Annex X.
