Executive Summary

After 17 years Holler & Son Construction Company LLC is selling their business and assets. Holler & Son be-

gan operations in June 1997, as a general excavation business. The company focused on Innovative and Al-

ternative (I/A) septic systems by gaining education and expertise in installation, as well as maintenance of on

-site systems. The business began to grow significantly during the years of 2000 through 2008 with sales in

residential as well as commercial septic systems. Our sister company (Muddy Waters Environmental, Inc.)

began to offer emerging technology at that time marketing the Pirana technology to our customers. This

technology rejuvenates failing leach facilities, that are showing signs of hydraulic failure, and offer the ad-

vantage of virtually no construction footprint to install. The customer has the advantage of recuperating

their leach facility with no re-landscaping necessary.

Jim Holler, founder and proprietor of Holler & Son would be willing stay on as a part time consultant and work with the new company securing in place contracts and new technology opportunities. Terms of his em-ployment will be negotiable.

ASSESSMENT OF OPPORTUNITY

The assets and business of Holler & Son is offered for sale at Four Hundred seventy five Thousand

($475,000.00) Dollars. Seller is willing to consult for a period of time and assist in the transaction period

which will be negotiated as a condition of the sale.

Commercial Realty Advisors, Inc., invites written offers for the business known as Holler & Son. Any such

offer should be submitted to Edward Miles, VP, Commercial Realty Advisors, Inc., 222 West Main Street, Hy-

annis, MA 02601 and must identify the purchaser(s), mailing and legal addresses, the offering price, contin-

gencies if any, source(s) of capital to complete the transaction, proposed closing date and an earnest money

deposit that will be held by Commercial Realty Advisors, Inc., in its non-interest bearing escrow account, that

will be applied to the purchase price, or refunded to the purchaser with the agreement of the parties.

The Seller prefers an all cash transaction but may consider providing a small loan to a qualified buyer/

operator on terms that are mutually acceptable. In such event, buyer will be required to provide a statement

of net worth, personal tax returns for the prior three years, a resume indicating Purchaser’s qualifications to

operate the business and may be required to provide additional unencumbered collateral to secure any such

loan.

The business known as Holler & Son, the inventory of furniture, listed as owned by Holler & Son in this docu-

ment, subject to final count and verification. It also includes the distribution rights of the product know as

Pirana Wastewater Treatment System described in the package. A reasonable period of transition assistance,

and or consulting on sales, marketing, customer lists and overall industry knowledge also as may be negotiat-

ed between buyer and sellers and the good will inuring to the business. The sellers will assist in the assign-

ment of the Lease with the landlord.

THE PIRANA WASTEWATER SOLUTION (Distribution Rights)

Pirana Wastewater combines modern technology and the fundamentals of nature to provide a biological so-lution to a biological problem. The Pirana System grows a powerful species of natural bacteria, a form of mi-crobe, in your septic tank. The Pirana unit sits on the bottom of your septic tank. The Pirana Blend bacteria, living inside the Pirana digest the wastes from your toilet, along with the other household waste you send to your septic tank. Inside the Pirana, the Pirana Blend bacteria grow and multiply extremely fast. Every day, huge numbers of Pirana Blend bacteria travel to the disposal field in the liquid from the septic tank. In the dis-posal field, the Pirana Blend bacteria eat Biomat. When the Pirana Blend bacteria have eaten enough Biomat to reduce its thickness, liquid from the septic tank can again be absorbed into the soil. The septic system is now restored. Over time, the Biomat is completely digested by the Pirana Blend bacteria of a Pirana System in the septic tank will keep the Biomat from forming which keeps the septic system from having future Biomat problems.
