The Tot Lot is in good shape. The landscaping is well maintained. All equipment is in good condition and safe to use.
The pavers surrounding the table at the Tot Lot will need to be pressure washed. This will insure the surface is not slippery.

SUMMARY
Summary
Overall the development and common areas are in good condition. There are small maintenance items that need attention.
These maintenance items consist of repairing normal wear and tear, such as the dumpster enclosure gate. The areas with poor turf conditions need to have irrigation zones inspected, as well as a plan to get these areas green again.
There was an island and some other common areas/ Lots that need mowing. Maintenance will also need to check the irrigation on the islands and replace the dead landscape. A walk through with the Yellowstone landscaping and CDD representative to address these areas is recommended.

Landscaping
• The rocks were placed in the tree rings in the pool area. • The thick thatchy plants just outside of the perimeter fence have been thinned out. The
area looks much better. There will also be some cutting done in coming weeks. Yellowstone is not licensed to apply the Sulphur-based product that the CDD suggested as a snake deterrent. Management will order it and apply it lightly around the perimeter first to determine any effects from the smell on guests.
• Yellowstone will replace some material at the front entrance to enhance the curb appeal at their expense.
• Yellowstone will provide estimates for replacement of other material that needs to be replaced around the amenity area and near Oakrise Loop.
Trash Operations
• Management has three bids to repair the compactor enclosure damage done by the compactor. Ideal Refuse will cover the repairs. They will be provided to them so the repairs can be done after the new compactor is in place and the area is pressure washed and as clean as possible.
• There has been significant progress made with the valet trash service and compactor operations. A circuit board was replaced in the compactor and there have been no breakdowns since then. Ideal Refuse still plans to replace the compactor with a new one by the end of the month. There have been fewer complaints of valet trash that was missed and Valet Living does pick up additional bags of trash left around the valet bench as long as it is bagged and not too heavy.
• There continues to be a considerable amount of trash just dumped at the enclosure area. Management is sending broadcasts to educate owners, residents and especially management companies as we suspect they are the main culprits. We have caught two such companies and contacted them directly. One was made to come back and pick up the items they had left. A sign and probably at least one camera will be placed around the enclosure area to help reduce this activity.

Operations
• A second bid has been received to pressure wash the roofs of the clubhouse/fitness center/café building and the restroom building. Two more are coming and may be available for consideration this month or September at the latest.
• No additional bids are available for resetting the pool pavers. That will be provided for the September meeting.
• Violations and notices are being issued for vehicles parking on the grass and trailers that are parked in the community.

A RESOLUTION OF THE BOARD OF SUPERVISORS OF THE SOLTERRA RESORT COMMUNITY DEVELOPMENT DISTRICT DESIGNATING DATES, TIME AND LOCATION FOR REGULAR MEETINGS OF THE BOARD OF SUPERVISORS AND PROVIDING FOR AN EFFECTIVE DATE
WHEREAS, Solterra Resort Community Development District (hereinafter the “District”) is a
local unit of special-purpose government created and existing pursuant to Chapter 190, Florida Statutes, being situated entirely within Polk County, Florida; and
WHEREAS, the District’s Board of Supervisors (hereinafter the “Board”), is statutorily
authorized to exercise the powers granted to the District, but has not heretofore met; and
WHEREAS, all meetings of the Board shall be open to the public and governed by the provisions of Chapter 286, Florida Statutes; and
WHEREAS, the District is required by Florida law to prepare an annual schedule of its regular
public meetings which designates the date, time, and location of the District’s meetings.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE SOLTERRA RESORT COMMUNITY DEVELOPMENT DISTRICT THAT:
Section 1. The annual public meeting schedule of the Board of Supervisors for the Fiscal Year
2019/2020 attached hereto and incorporated by reference herein as Exhibit A is hereby approved and will be published and filed in accordance with the requirements of Florida law.
Section 2. The District Manager is hereby directed to submit a copy of the Fiscal Year 2019/2020
annual public meeting schedule to Polk County, Florida.
Section 3. This Resolution shall become effective immediately upon its adoption.

THE ANNUAL APPROPRIATION RESOLUTION OF THE SOLTERRA RESORT COMMUNITY DEVELOPMENT DISTRICT (“DISTRICT”) RELATING TO THE ANNUAL APPROPRIATIONS AND ADOPTING THE BUDGETS FOR THE FISCAL YEAR BEGINNING OCTOBER 1, 2019, AND ENDING SEPTEMBER 30, 2020; AUTHORIZING BUDGET AMENDMENTS; AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the District Manager has, prior to the fifteenth (15th) day in June, 2019, submitted to the Board of Supervisors (“Board”) of the Solterra Resort Community Development District (“District”) proposed budgets (“Proposed Budget”) for the fiscal year beginning October 1, 2019 and ending September 30, 2020 (“Fiscal Year 2019/2020”) along with an explanatory and complete financial plan for each fund of the District, pursuant to the provisions of Section 190.008(2)(a), Florida Statutes; and WHEREAS, at least sixty (60) days prior to the adoption of the Proposed Budget, the District filed a copy of the Proposed Budget with the local governing authorities having jurisdiction over the area included in the District pursuant to the provisions of Section 190.008(2)(b), Florida Statutes; and WHEREAS, the Board set a public hearing thereon and caused notice of such public hearing to be given by publication pursuant to Section 190.008(2)(a), Florida Statutes; and
WHEREAS, the District Manager posted the Proposed Budget on the District’s website at least two days before the public hearing; and
WHEREAS, Section 190.008(2)(a), Florida Statutes, requires that, prior to October 1st of each year, the Board, by passage of the Annual Appropriation Resolution, shall adopt a budget for the ensuing fiscal year and appropriate such sums of money as the Board deems necessary to defray all expenditures of the District during the ensuing fiscal year; and WHEREAS, the District Manager has prepared a Proposed Budget, whereby the budget shall project the cash receipts and disbursements anticipated during a given time period, including reserves for contingencies for emergency or other unanticipated expenditures during the fiscal year.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE SOLTERRA RESORT COMMUNITY DEVELOPMENT DISTRICT:
SECTION 1. BUDGET
a. The Board has reviewed the Proposed Budget, a copy of which is on file with the office of the District Manager and at the District’s Local Records Office, and hereby approves certain amendments thereto, as shown in Section 2 below.
b. The Proposed Budget, attached hereto as Exhibit “A,” as amended by the Board, is
hereby adopted in accordance with the provisions of Section 190.008(2)(a), Florida Statutes (“Adopted Budget”), and incorporated herein by reference; provided, however, that the comparative figures contained in the Adopted Budget may be subsequently revised as deemed necessary by the District Manager to reflect actual revenues and expenditures.
c. The Adopted Budget, as amended, shall be maintained in the office of the District
Manager and at the District’s Local Records Office and identified as “The Budget for the Solterra Resort Community Development District for the Fiscal Year Ending September 30, 2020.”
d. The Adopted Budget shall be posted by the District Manager on the District’s official
website within thirty (30) days after adoption, and shall remain on the website for at least 2 years.
SECTION 2. APPROPRIATIONS There is hereby appropriated out of the revenues of the District, for Fiscal Year 2019/2020, the sum of $3,184,539 to be raised by the levy of assessments and/or otherwise, which sum is deemed by the Board to be necessary to defray all expenditures of the District during said budget year, to be divided and appropriated in the following fashion:
GENERAL FUND $1,735,769 DEBT SERVICE FUND, SERIES 2013 $497,191 DEBT SERVICE FUND, SERIES 2014 $278,219 DEBT SERVICE FUND, SERIES 2018 $673,360
TOTAL ALL FUNDS $3,184,539 SECTION 3. BUDGET AMENDMENTS Pursuant to Section 189.016, Florida Statutes, the District at any time within Fiscal Year 2019/2020 or within 60 days following the end of the Fiscal Year 2019/2020 may amend its Adopted Budget for that fiscal year as follows:
a. The Board may authorize an increase or decrease in line item appropriations within a fund by motion recorded in the minutes if the total appropriations of the fund do not increase.
b. The District Manager or Treasurer may authorize an increase or decrease in line item
appropriations within a fund if the total appropriations of the fund do not increase and if the aggregate change in the original appropriation item does not exceed $10,000 or 10% of the original appropriation.
c. By resolution, the Board may increase any appropriation item and/or fund to reflect
receipt of any additional unbudgeted monies and make the corresponding change to appropriations or the unappropriated balance.
d. Any other budget amendments shall be adopted by resolution and consistent with
Florida law. The District Manager or Treasurer must establish administrative procedures to ensure that any budget amendments are in compliance with this Section 3 and Section 189.016, Florida Statutes, among
other applicable laws. Among other procedures, the District Manager or Treasurer must ensure that any amendments to budget under subparagraphs c. and d. above are posted on the District’s website within 5 days after adoption and remain on the website for at least 2 years.
SECTION 4. EFFECTIVE DATE. This Resolution shall take effect immediately upon adoption.

A RESOLUTION OF THE BOARD OF SUPERVISORS OF THE SOLTERRA RESORT COMMUNITY DEVELOPMENT DISTRICT MAKING A DETERMINATION OF BENEFIT AND IMPOSING SPECIAL ASSESSMENTS FOR FISCAL YEAR 2019/2020; PROVIDING FOR THE COLLECTION AND ENFORCEMENT OF SPECIAL ASSESSMENTS, INCLUDING BUT NOT LIMITED TO PENALTIES AND INTEREST THEREON; CERTIFYING AN ASSESSMENT ROLL; PROVIDING FOR AMENDMENTS TO THE ASSESSMENT ROLL; PROVIDING A SEVERABILITY CLAUSE; AND PROVIDING AN EFFECTIVE DATE.
WHEREAS, the Solterra Resort Community Development District (“District”) is a local unit of special-purpose government established pursuant to Chapter 190, Florida Statutes, for the purpose of providing, operating and maintaining infrastructure improvements, facilities and services to the lands within the District; and WHEREAS, the District is located in Polk County, Florida (“County”); and WHEREAS, the District has constructed or acquired various infrastructure improvements and provides certain services in accordance with the District’s adopted capital improvement plan and Chapter 190, Florida Statutes; and WHEREAS, the Board of Supervisors (“Board”) of the District hereby determines to undertake various operations and maintenance and other activities described in the District’s budget (“Adopted Budget”) for the fiscal year beginning October 1, 2019 and ending September 30, 2020 (“Fiscal Year 2019/2020”), attached hereto as Exhibit “A;” and WHEREAS, the District must obtain sufficient funds to provide for the operation and maintenance of the services and facilities provided by the District as described in the Adopted Budget; and WHEREAS, the provision of such services, facilities, and operations is a benefit to lands within the District; and WHEREAS, Chapter 190, Florida Statutes, provides that the District may impose special assessments on benefitted lands within the District; and
WHEREAS, it is in the best interests of the District to proceed with the imposition of the special assessments for operations and maintenance in the amount set forth in the Adopted Budget; and
WHEREAS, the District has previously levied an assessment for debt service, which the District
desires to collect for Fiscal Year 2019/2020; and WHEREAS, Chapter 197, Florida Statutes, provides a mechanism pursuant to which such special assessments may be placed on the tax roll and collected by the local tax collector (“Uniform Method”), and the District has previously authorized the use of the Uniform Method by, among other things, entering into agreements with the Property Appraiser and Tax Collector of the County for that purpose; and
WHEREAS, it is in the best interests of the District to adopt the assessment roll (“Assessment Roll”) attached to this Resolution as Exhibit “B,” and to certify the portion of the Assessment Roll related to certain developed property (“Tax Roll Property”) to the County Tax Collector pursuant to the Uniform Method and to directly collect the portion of the Assessment Roll relating to the remaining property (“Direct Collect Property”), all as set forth in Exhibit “B;” and WHEREAS, it is in the best interests of the District to permit the District Manager to amend the Assessment Roll adopted herein, including that portion certified to the County Tax Collector by this Resolution, as the Property Appraiser updates the property roll for the County, for such time as authorized by Florida law.
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF SUPERVISORS OF THE SOLTERRA RESORT COMMUNITY DEVELOPMENT DISTRICT:
SECTION 1. BENEFIT & ALLOCATION FINDINGS. The provision of the services, facilities, and operations as described in Exhibit “A” confers a special and peculiar benefit to the lands within the District, which benefit exceeds or equals the cost of the assessments. The allocation of the assessments to the specially benefitted lands is shown in Exhibits “A” and “B,” and is hereby found to be fair and reasonable. SECTION 2. ASSESSMENT IMPOSITION. Pursuant to Chapter 190, Florida Statutes, and using the procedures authorized by Florida law for the levy and collection of special assessments, a special assessment for operation and maintenance is hereby imposed and levied on benefitted lands within the District and in accordance with Exhibits “A” and “B.” The lien of the special assessments for operations and maintenance imposed and levied by this Resolution shall be effective upon passage of this Resolution. Moreover, pursuant to Section 197.3632(4), Florida Statutes, the lien amount shall serve as the “maximum rate” authorized by law for operation and maintenance assessments. SECTION 3. COLLECTION AND ENFORCEMENT; PENALTIES; INTEREST.
A. Tax Roll Assessments. The operations and maintenance special assessments and previously levied debt service special assessments imposed on the Tax Roll Property shall be collected at the same time and in the same manner as County taxes in accordance with the Uniform Method, as set forth in Exhibits “A” and “B.”
B. Direct Bill Assessments. The operations and maintenance special assessments and previously levied debt service special assessments imposed on the Direct Collect Property shall be collected directly by the District in accordance with Florida law, as set forth in Exhibits “A” and “B.” Debt service special assessments directly collected by the District are due in full on December 1, 2019; provided, however, that, to the extent permitted by law, the assessments due may be paid in several partial, deferred payments and according to the following schedule:

Operations and maintenance special assessments directly collected by the District are due according to the following schedule: 25% due on each of October 1, 2019, January 2, 2020, April 1, 2020, and July 1, 2020.
In the event that an assessment payment is not made in accordance with the schedule stated above, the whole assessment – including any remaining partial, deferred payments for Fiscal Year 2019/2020, shall immediately become due and payable; shall accrue interest, penalties in the amount of one percent (1%) per month, and all costs of collection and enforcement; and shall either be enforced pursuant to a foreclosure action, or, at the District’s sole discretion, collected pursuant to the Uniform Method on a future tax bill, which amount may include penalties, interest, and costs of collection and enforcement. Any prejudgment interest on delinquent assessments shall accrue at the rate of any bonds secured by the assessments, or at the statutory prejudgment interest rate, as applicable. In the event an assessment subject to direct collection by the District shall be delinquent, the District Manager and District Counsel, without further authorization by the Board, may initiate foreclosure proceedings pursuant to Chapter 170, Florida Statutes, or other applicable law to collect and enforce the whole assessment, as set forth herein.
C. Future Collection Methods. The decision to collect special assessments by any particular method – e.g., on the tax roll or by direct bill – does not mean that such method will be used to collect special assessments in future years, and the District reserves the right in its sole discretion to select collection methods in any given year, regardless of past practices.
SECTION 4. ASSESSMENT ROLL. The Assessment Roll, attached to this Resolution as Exhibit “B,” is hereby certified for collection. That portion of the Assessment Roll which includes the Tax Roll Property is hereby certified to the County Tax Collector and shall be collected by the County Tax Collector in the same manner and time as County taxes. The proceeds therefrom shall be paid to the District. SECTION 5. ASSESSMENT ROLL AMENDMENT. The District Manager shall keep apprised of all updates made to the County property roll by the Property Appraiser after the date of this Resolution, and shall amend the Assessment Roll in accordance with any such updates, for such time as authorized by Florida law, to the County property roll. After any amendment of the Assessment Roll, the District Manager shall file the updates in the District records. SECTION 6. SEVERABILITY. The invalidity or unenforceability of any one or more provisions of this Resolution shall not affect the validity or enforceability of the remaining portions of this Resolution, or any part thereof. SECTION 7. EFFECTIVE DATE. This Resolution shall take effect upon the passage and adoption of this Resolution by the Board.

SOLTERRA RESORT CDD This Data Sharing and Usage Agreement, hereafter referred to as “Agreement,” establishes the terms and conditions under which the SOLTERRA RESORT CDD, hereafter referred to as agency, can acquire and use Polk County Property Appraiser (PCPA) data that is exempt from Public Records disclosure as defined in FS 119.071. The confidentiality of personal identifying and location information including: names, physical, mailing, and street addresses, parcel ID, legal property description, neighborhood name, lot number, GPS coordinates, or any other descriptive property information that may reveal identity or home address pertaining to parcels owned by individuals that have received exempt / confidential status, hereafter referred to as confidential personal identifying and location information, will be protected as follows:
1. The agency will not release confidential personal identifying and location information that may reveal identifying and location information of individuals exempted from Public Records disclosure.
2. The agency will not present the confidential personal identifying and location information in the results of data analysis (including maps) in any manner that would reveal personal identifying and location information of individuals exempted from Public Records disclosure.
3. The agency shall comply with all State laws and regulations governing the confidentiality of personal identifying and location information that is the subject of this Agreement.
4. The agency shall ensure any employee granted access to confidential personal identifying and location information is subject to the terms and conditions of this Agreement.
5. The agency shall ensure any third party granted access to confidential personal identifying and location information is subject to the terms and conditions of this Agreement. Acceptance of these terms must be provided in writing to the agency by the third party before personal identifying and location information is released.
6. The term of this Agreement shall commence on July 1, 2019 and shall run until December 31, 2019, the date of signature by the parties notwithstanding. This Agreement shall not automatically renew. A new agreement will be provided annually for the following year.

(“Association”, and together with the District, the “Parties”), a Florida non-profit corporation, whose address for purposes hereof is c/o Evergreen Lifestyles Management, 2100 South Hiawassee Road, Orlando, Florida, 32835.
WHEREAS, the District and the Association both provide certain services to the community within the boundaries of the District; and WHEREAS, the Association has adopted certain parking restrictions (“HOA Parking Rules”) through the Association’s declarations (“Declarations”), which are recorded at ___________________, and which the Association desires to enforce; and WHEREAS, among other improvements, the District is the owner of certain of the roadways (“CDD Roadways”) within the District, as shown in Exhibit A; and WHEREAS, in order to give effect to the HOA Parking Rules, the Association has requested that the District provide the Association with a license to access the CDD Roadways and in order to enforce the HOA Parking Rules, and, subject to the terms of this Agreement, the District desires to provide such a license.
NOW THEREFORE, in consideration of the recitals set forth above and the terms and conditions provided below, the Parties agree as follows:
1. LICENSE. The District hereby provides a license to the Association to enforce the HOA
Parking Rules on the CDD Roadways and in a manner consistent with Exhibit B and this Agreement. 2. “AS-IS” BASIS. The District’s grant of a license hereunder is on an “as-is” basis, and the
District makes no warranties or representations of any kind in connection with this Agreement, including but not limited to the condition of the CDD Roadways, the adequacy and/or lawfulness of any existing traffic signs and markings, etc.
3. CONDITIONS. The Association shall exercise its rights hereunder subject to the following conditions:
a. The Association shall be responsible for all costs of exercising its rights hereunder, including but not limited to enforcement of the HOA Parking Rules.

b. The Association shall be responsible for providing at its costs any necessary signage and/or markings regarding parking and parking enforcement. The Association shall notify the District in writing at least 5 days prior to installing any such signage and/or markings, and all such signage and/or markings must be compliant with applicable law.
c. The Association shall exercise its rights hereunder in compliance with all applicable laws
and ordinances and the orders, rules, regulations and requirements of all governments and entities having jurisdiction, including but not limited to Polk County, as well as the District’s rules and policies, as may be established and/or amended from time to time.
d. The Association shall ensure that the HOA Parking Rules are only enforced against those
who are subject to the HOA’s Declarations.
e. The Association shall provide written notice to the District as to all accidents or claims for damage relating to any exercise of the Association’s rights hereunder, within twenty-four (24) hours or as soon as reasonably possible.
f. The District and the Association shall not, by virtue of this Agreement, be construed as
joint venturers or partners of each other and neither shall have the power to bind or obligate the other.
g. To avoid an adverse effect on the exclusion of interest on the District’s bonds, or in
order to allow the District to issue tax exempt bonds when refinancing its existing bonds, the Association shall only exercise its rights hereunder in accordance with this Agreement and shall not restrict public access to the CDD Roadways.
4. INSURANCE. The Association shall procure and maintain liability insurance with policy
limits of not less than One Million Dollars ($1,000,000.00) personal injury liability per person, and One Million Dollars ($1,000,000.00) property damage liability per occurrence. The Association agrees to purchase such insurance from an admitted insurer with a Best's rating of A or better. The Association shall furnish the District with a certificate of such insurance naming the District, and its supervisors, staff, employees, representatives, and agents as additional insureds. The policy shall provide that coverage may not be terminated without thirty (30) days prior written notice to the District. In the event the Association exercises its rights to install signs and/or markings on the CDD Roadways, as may be authorized under Section 3.b. of this Agreement, the Association will secure or cause to be secured worker's compensation insurance for all contractors, subcontractors or vendors. 5. PROHIBITION AGAINST LIENS. Nothing contained in this Agreement creates a right in the Association to permit any construction or mechanic liens to encumber the CDD Roadways. The Parties acknowledge that the District, as a local unit of special-purpose government, is not subject to the lien provisions of Chapter 713, Florida Statutes. In the event a lien is filed, within thirty (30) days following the imposition of any such lien, the Association shall cause such lien to be released of record by payment. The District shall have, in addition to all other remedies provided herein and by law, the right, but not obligation, to cause the same to be released by such means as it shall deem proper, including payment of the claim giving rise to such lien. All such sums paid by the District and all expenses incurred by it in connection therewith, including reasonable attorney’s fees and costs, shall be payable to the District by the Association on demand.

6. INDEMNIFICATION. The Association agrees to indemnify, defend, and hold harmless the
District and its supervisors, staff, employees, representatives, and agents from any and all liability, claims, actions, suits or demands by any person, corporation or other entity for injuries, death, property damage or harm of any nature, arising out of, or in connection with, the exercise of any of the Association’s rights hereunder. Nothing in this Agreement shall constitute or be construed as a waiver of the District’s limitations on liabilities contained in section 768.28, Florida Statutes, or other law.
7. NOTICES. Any notice that either Party may or is required to give may be by personal delivery or by Certified U.S. Mail, or overnight delivery, to the Association or the District at the addresses first above written, or to such other place(s) as either Party may inform the other in writing.
8. TERMINATION. Either Party may terminate this Agreement immediately with cause or without cause upon ten (10) days prior written notice.
9. NO THIRD-PARTY BENEFICIARIES. This Agreement is solely for the benefit of the formal parties herein and no right or cause of action shall accrue upon or by reason hereof, to or for the benefit of any third party not a formal party hereto. Nothing in this Agreement expressed or implied is intended or shall be construed to confer upon any person or corporation other than the parties hereto any right, remedy or claim under or by reason of this Agreement or any provisions or conditions hereof; and all of the provisions, representations, covenants and conditions herein contained shall inure to the sole benefit of and shall be binding upon the parties hereto and their respective representatives, successors and assigns.
10. DEFAULT. A default by either Party under this Agreement shall entitle the other to all remedies available at law or in equity for breach of this Agreement, which may include, but not be limited to, the right of damages, injunctive relief, and/or specific performance. In the event that either the District or the Association is required to enforce this Agreement by court proceedings or otherwise, then the prevailing party shall be entitled to recover all fees and costs incurred, including reasonable attorneys’ fees, paralegal fees and costs for trial, mediation, or appellate proceedings.
11. ENTIRE AGREEMENT. The terms and conditions of this Agreement are the entire
agreement and understanding of the parties. Association acknowledges that it has read this Agreement and understands its provisions and agrees its occupancy of the Premises is subject to the terms of this Agreement.
12. ASSIGNMENT. This Agreement may not be assigned without the prior written consent of the Parties. Any such purported assignment without the prior written consent of the Parties shall be void.
13. CONTROLLING LAW AND VENUE. This Agreement shall be construed, interpreted, and controlled according to the laws of the State of Florida. The Parties agree and consent to venue in Polk County, Florida, for the resolution of any dispute, whether brought in or out of court, arising out of this Agreement.
14. SEVERABILITY. The invalidity or unenforceability of any one or more provisions of this Agreement shall not affect the validity or enforceability of the remaining portions of this Agreement, or any part of this Agreement not held to be invalid or unenforceable.

15. AMENDMENTS. Amendments to and waivers of the provisions contained in this
Agreement may be made only by an instrument in writing which is executed by both the Parties.
16. BINDING EFFECT. This Agreement and all of the provisions, representations, covenants, and conditions contained herein shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns.
17. AUTHORIZATION. By execution below, the undersigned represent that they have been duly authorized by the appropriate body or official of their respective entity to execute this Agreement, and that the respective Parties have complied with all the requirements of law, and have full power and authority to comply with the terms and provisions of this instrument.
