Learning Competency Guidelines
These Microsoft Learning Competency (Learning Competency)
guidelines (Guidelines) provide the terms and conditions governing
participation in the Learning Competency. Please read these
Guidelines carefully. By enrolling in or participating in the
Learning Competency, Company and each of its participating
Locations acknowledges and agrees that (a) its participation in the
Learning Competency is subject to the terms and conditions of the
Microsoft Partner Network (MPN) program agreement, and (b) Company
and each Location has read these Guidelines and agrees that its
participation in the Learning Competency will be compliant with the
terms and conditions of the MPN program agreement and the most
current version of these Guidelines.
SCOPE. The Microsoft Learning Competency is designed to help
providers of comprehensive learning solutions for individuals
and/or organizations deliver quality training on Microsoft
technologies. Participation in the Learning Competency program is
voluntary. If any of the terms in these Guidelines conflict with
the terms in the MPN program agreement or the Microsoft Partner
Network Membership Guide, these Guidelines will control with
respect to the Learning Competency.
Definitions. Unless otherwise defined herein, the terms in these
Guidelines will have the same meaning as defined terms in the MPN
agreement. In addition:
2.1. Access Code means the unique code that one (1) Student
attending the Training Session associated with the MLO can redeem
at the specified Microsoft website to obtain limited-time online
access to one (1) particular Microsoft Lab Online.
2.2. Authorized Training Session means the instructor-led
training class that teaches a Microsoft Official Course (MOC) title
or Microsoft Branded Courseware, conducted by an MCT, which is held
at your training facilities.
2.3. Classroom Device means one (1) dedicated, secure computer
owned or controlled by you, that is located at your training
facility where Training Sessions are held.
2.4. Community Courseware means the third-party instructor-led
courseware available on Courseware Marketplace that educates
individuals on how to use, develop, support, and implement
Microsoft services, software, and technologies. Community
Courseware does not include any Microsoft Branded Courseware or
Microsoft Official Course titles.
2.5. Company means a current silver or gold level MPN member in
good standing.
2.6. Courses meanscollectivelyMicrosoft Branded Courseware, MOC,
and Community Courseware in digital and print formats.
2.7. Courseware Marketplace means arvato distribution GmbHs
online global commerce and fulfillment platform, where Learning
Partners can search for, purchase, and obtain Courses.
2.8. Learning Partners meanscollectivelyCompany, and Locations
associated with Company under its MPN agreement that currently hold
and maintain an active Learning Competency status under the MPN
program.
2.9. Microsoft Branded Courseware means the Microsoft-branded,
instructor-led courseware licensed from Microsoft that educates
individuals on Microsoft services, software, and technologies.
2.10. Microsoft Certified Trainer or MCT means an individual who
is currently certified as a Microsoft Certified Trainer under the
Microsoft Certification Program, who holds the competency to teach
a particular Microsoft technology, and who has the instructional
skills and technical qualifications to deliver instructor-led
training using MOC courses and other training to information
workers, IT professionals, and developers.
2.11. Microsoft Labs Online or MLO means the Microsoft online
virtual lab environment associated with a particular MOC title.
2.12. Microsoft Official Course or MOC means the student-kit
version of the Official Microsoft Learning Product instructor-led
courseware known as Microsoft Official Course. To clarify, MOC does
not include Hands-on Labs, MLOs, First Look Clinics, MS Press
books, Trainer Kits, or Virtual Environment components.
2.13. MLO Voucher means the unique code purchased from
Courseware Marketplace that Learning Partners can redeem at the
Microsoft website specified on the voucher to obtain one (1) Access
Code. Each MLO Voucher is specific to a particular MLO.
2.14. Private Training Session means an instructor-led training
class for organizations, wherein participants are taught a
predefined learning objective. These classes are not advertised or
promoted to the general public, and class attendance is restricted
to individuals employed by or contracted by the organization.
2.15. Public Training Session means an instructor-led open
enrollment training class offered and delivered to the general
public. These classes may be advertised though marketing materials
or the Internet, and can include Students from one (1) to many
organizations and/or individuals not affiliated with a particular
Company or organization.
2.16. Self-Directed Learning Video Training Session means a
training class that uses Training Session Videos to teach Students
in a physical classroom setting located at your training
facilities. An MCT that holds a Microsoft Certification credential
to teach the Microsoft technology taught in each Training Session
Video must be present in the classroom the entire time the
Self-Directed Learning Video Training Session is taking place.
2.17. Student means an individual who attends a Training
Session.
2.18. Trainer means an individual who has the instructional
skills and technical qualifications to deliver instructor-led
training on Microsoft technologies.
2.19. Training Sessions meanscollectivelyany Authorized Training
Session, Public Training Session, Private Training Session,
Self-Directed Learning Video Training Session, Virtual
Instructor-Led Training Session, or customized Training
Session.
2.20. Training Session Video means a professionally-produced
video recording of an MCT teaching MOC.
2.21. Virtual Environment means the virtualized environment that
consists of one or more virtual hard disk images of Microsoft
software titles, supporting and configuration files, content,
sample applications, and other components for use solely when
providing an Authorized Training Session or a Self-Directed
Learning Video Training Session teaching a MOC title or Microsoft
Branded Courseware title.
2.22. Virtual Instructor-Led Training Session means an online,
live, instructor-led Training Session using Microsoft Branded
Courseware, with Students participating in real-time via the
Internet. Training Session Videos may not be used for Virtual
Instructor-led Training Sessions.
enrollment in Learning CompetencY. Enrollment in the Learning
Competency is open to all silver or gold level MPN members and
their Locations in good standing that (a) specialize in delivering
quality training on Microsoft services, software, and technologies,
and (b) meet all Learning Competency requirements at the Company
level. Company must enroll at the Silver Learning level initially,
or if rejoining after being removed from the Learning Competency.
Once Company has been accepted into the Learning Competency,
Company may upgrade to the Gold Learning level if it meets all Gold
Learning requirements.
3.1 Initial Enrollment in the Silver Learning Competency. The
following requirements must be met to enroll in the Learning
Competency: a. Company must be an active MPN member in good
standing at the Silver or Gold Certified Partner level.b. Review
and comply with the terms and conditions in the MPN agreement, the
Microsoft Partner Network Membership Guide, these Guidelines, and
any obligations listed on the Learning Competency website. c. Use
the online Partner Membership Center to enroll as a Microsoft
Silver Learning Partner. Complete enrollment details can be found
here. d. If Company has multiple Locations, determine how to
structure your organization. All Locations in a country must align
to the same Company. See the Microsoft Partner Network Membership
Guide for additional information, and factors to consider when
structuring your Locations.e. Submit three (3) customer-training
references.f. Complete and submit one (1) learning sales
assessment. g. Company must associate at least two (2) MCTs. These
MCTs may be full or part-time trainers employed by or under
contract with Company. Visit the MCT portal for information about
MCTs and the MCT program. h. Submit a Learning Competency business
application. Microsoft will evaluate each prospective enrollee upon
submission of the Learning Competency business application.
Companys business application must be approved before Company can
obtain Microsoft Learning Silver Competency member status. If
Companys business application is rejected, Company will be
contacted regarding the steps required to reapply. Please note, the
required waiting period to reapply may be as long as six (6)
months, depending on the reason for rejection of your business
application. Review the MPN Learning competency page for the
business application guidelines and template. Submit one (1)
business application per Company.i. Pay the MPN fee for Company. j.
Company and all Locations must implement the training evaluation
system designated by Microsoft (Training Evaluation Tool) within
three (3) months of their activation in the Learning Competency.k.
Upon activation of your Learning Competency membership, Company
must ensure that your Companys organization ID and Locations IDs
are appropriately registered with all Microsoft Learning tools.l.
Review and understand the Key Performance Indicators (KPI)
requirements you must meet annually to re-enroll in the Learning
Competency.
3.2 Upgrading to Gold Learning Competency. Once Learning
Partners are active in the Silver Learning Competency, and Company
or one of its Locations meets all the Gold Learning requirements,
Learning Partners are eligible to upgrade their membership to the
Gold Learning Competency, provided it complies with the current
Gold Learning requirements located here. MPN level is inherited
across all associated Locations within a Company where one Location
has earned the Gold Partner level.
3.3 Annual Re-Enrollment. Learning Partners participation in the
Learning Competency will automatically terminate upon expiration or
termination of Companys MPN program agreement, unless terminated
earlier in accordance with these Guidelines, and will not
automatically renew. To remain in the Learning Competency, Company
is required to re-enroll in the Learning Competency each year and
comply with the following requirements:a. Re-enroll in the MPN
program and pay the annual MPN fee. Details on the process can be
found here.b. Be an active MPN member in good standing at the
Silver or Gold Certified Partner level.c. Review and abide by the
requirements in the MPN agreement, the Microsoft Partner Network
Membership Guide, these Guidelines, and any obligations listed on
the Learning Competency website here. d. Complete and submit one
(1) Learning sales assessment for Silver Learning, and two (2)
Learning sales assessments for Gold Learning.e. Company must
associate at least two (2) MCTs at the Silver and four (4) MCTs at
the Gold Learning Competency level. These MCTs may be full or
part-time trainers employed by or under contract with Company. f.
At least one (1) of the MCTs associated with Company must currently
hold the Private Cloud Microsoft Certified Solutions Expert (MCSE)
certification if Company is re-enrolling at the Gold Learning
level.g. Company must have a Gold Learning Partner business plan on
file and approved by Microsoft if re-enrolling at the Gold Learning
level.h. Purchase all Courses solely from Courseware Marketplace.
i. Meet all customer satisfaction and training evaluation
requirements. j. Meet the Gold or Silver KPI targets for your
level.
Microsoft may choose not to renew Company or one or more of its
Locations participation in the Learning Competency.
3.4 Enrollment after Removal from the Learning Competency. If
Company or one of its Locations has been removed from the Learning
Competency, Company must wait at least ninety (90) days from the
date of removal before it can apply for re-enrollment. Company must
complete all of the initial enrollment requirements in section 3.1,
above.
3.5 Acceptance. Microsoft will send Company email notification
if Company is accepted into the Learning Competency.
3.6 Additional Locations. If Company wishes to add a new
Location to the Learning Competency, these steps must be
followed:a. Ensure Company is an active MPN member at Silver or
Gold level.b. Create a new MPN Location ID and associate the
Location ID with your Companys MPN ID.
Learning CompetencY REQUIREMENTS. Certain requirements must be
met at all times to maintain Learning Competency status. These
requirements are in addition to the responsibilities and
obligations outlined in the MPN agreement and the Microsoft Partner
Network Membership Guide. If Company or one of its Locations fails
to meet these requirements, Company and its Locations may be
terminated from the Learning Competency, and all rights granted
under the Learning Competency will be immediately revoked. Learning
Partners must comply with the following requirements:
4.1 Training Delivery. a. Only use qualified MCTs who hold a
Microsoft Certification credential in the technology that is the
subject of the MOC title being taught to deliver all Training
Sessions using MOC. To clarify, only MCTs can provide training
using MOC. b. Only use qualified MCTs or qualified Trainers who
have in-depth knowledge of and experience with the Microsoft
technology that is the subject of the Training Session to deliver
all other Training Sessions.
4.2 Course Delivery and Usage Requirements. a. Only use MOC, if
available on a particular Microsoft technology, for all Training
Sessions.b. All Courses are licensed on a one (1) user per Course
basis, and Learning Partners must purchase and provide each Student
attending a Training Session one (1) validly-licensed Course on the
subject of the Training Session. c. Only use Courses purchased from
Courseware Marketplace for all Training Sessions.d. If you
purchased a Course for a Student or a Training Session, you must
distribute the Course directly to the Student. You are responsible
for the distribution of all Courses you purchase.e. Prior to
providing any Student with a Course, you will ensure that each
Student first acknowledges and agrees that:i. Each Course may be
used only by one Student.ii. Their use of said Course will be
subject to the terms and conditions of the end user license
agreement that is applicable to, accompanies, or is included with
the Course.f. All Locations must use their Location MPN program ID
number for the country where the Training Session will be held for
all Course purchases.g. You will strictly abide by all Courses
usage requirements, the end user license agreement, and all
additional terms and conditions that are applicable to, accompany,
or are included with the Courses prior to accessing the Courses.h.
You will ensure your MCTs and Trainers strictly abide by the
licenses and other terms and conditions that are applicable to,
accompany, or are included with the Courses.i. You may not:i.
Distribute or use Courses for self-paced training purposes.ii.
Provide access to MOC to any individual who is not a Student
attending one of your Training Sessions.iii. Distribute or resell
used Courses.iv. Remove any copyright, trademark, or proprietary
notices contained in or on the Courses.
4.3 Additional Requirements for MOC:a. You must only use MOC, if
available on a particular Microsoft technology, for all Training
Sessions. b. If Microsoft has not developed MOC on a particular
Microsoft technology, then you may develop your own courseware
and/or use Microsoft Branded Courseware or Community Courseware
available from Courseware Marketplace for Private or Public
Training Sessions provided you:i. Do not offer or market the
Microsoft Branded Courseware under the title MOC or Official
Microsoft Learning Product. ii. Do not offer or market the
Community Courseware and/or your own courseware under the title
Microsoft Course, MOC, or Official Microsoft Learning Product.iii.
Clearly differentiate that Community Courseware and courseware
developed by you do not originate from Microsoft. iv. Do not
express or imply Microsofts sponsorship, endorsement,
certification, or approval of the Community Courseware or your
courseware.
Once MOC is available on a particular Microsoft technology, you
are required to use MOC for your Training Sessions under the
Learning Competency.
4.4 Customizing Training Sessions. You may choose not to deliver
all modules included in a MOC title in order to provide a
customized Training Session, provided you comply with the following
requirements: a. You must use a minimum of three (3) MOC modules
from each MOC title being taught in the customized Training
Session.b. You must provide full disclosure of how the Training
Session has been customized, which includes: i. For all Public
Training Sessions, you will provide clear and prominent written
notice that the Training Session is customized, including a list of
all MOC modules that will be covered and not covered in the
Training Session: in all your advertising and marketing materials
for the Training Session and in the Class Uploader/Locator tool,
and to each Student prior to the Training Session.ii. For all
Private Training Sessions, you will provide clear and prominent
written notice that the Training Session is customized, including a
list of all MOC modules that will be covered and not covered in the
Training Session to the organization prior to the start of the
Training Session.c. Your Training Session may use the same course
names and numbers as the MOC title that is being customized.d. You
may only use MOC courseware that has been specifically customized
by and purchased from Courseware Marketplace for all your
customized Training Sessions. e. You may satisfy the MOC
requirement by using at least three (3) MOC modules in a customized
Training Session. f. Community Courseware may not be customized.g.
For clarity, any use of customize refers only to changing the order
in which the MOC modules are presented, and/or removing a module
from the MOC. It does not mean changing or modifying any MOC
content, or adding any of your or third-party content to the MOC
course. h. When regional or business requirements indicate a change
in the duration of a Training Session teaching MOC, Microsoft
considers said MOC to be modified and requires that you provide
full disclosure of such to Students prior to the Training Session,
as specified above.
4.5 Supplemental Materials. You may use supplemental materials
in addition to and in conjunction with your Training Sessions
teaching MOC courseware, provided you comply with the following
requirements: a. You may only use supplemental materials developed
by you or acquired from Courseware Marketplace.b. You must clearly
differentiate that the supplemental materials are not Microsoft
materials.c. You will clearly advertise all supplemental materials
as third-party supplemental materials. d. You will not state or
imply that Microsoft endorses or recommends the supplemental
materials.e. You must warrant and represent that any supplemental
materials used in the customized Training Session do not and will
not infringe upon or misappropriate any copyright, patent, trade
secret, trademark, trade name, or other proprietary right held by
any third party. f. Learning Partners hereby agree to defend,
indemnify, and hold Microsoft harmless from and against any
damages, liability, costs, or expenses, including attorneys fees
and costs, arising out of third-party claims in connection with
such supplemental materials.
4.6 Virtual Environment. At Microsofts sole discretion,
Microsoft may provide Learning Partners with access to Virtual
Environment components, which you may use to create the Virtual
Environment associated with the MOC title or Microsoft Branded
Courseware title that is being taught in one of your Authorized
Training Sessions, provided you comply with the following
requirements: a. You may access, install, and use only those
components listed as Virtual Environment components in the
classroom setup guide for the MOC title or the Microsoft Branded
Courseware title that is the subject of the Authorized Training
Session provided by you.b. You will purchase and provide each
Student accessing the Virtual Environment with their own MOC or
Microsoft Branded Courseware title that is being taught in the
Authorized Training Session.c. You may only allow access to and use
of the Virtual Environment via a Classroom Device, and only by:i.
Those Students who are attending your Authorized Training Session
that is teaching the MOC title or Microsoft Branded Courseware
title associated with the Virtual Environment solely to perform the
hands-on activities for the MOC title or Microsoft Branded
Courseware title and only while the Student is participating in the
Authorized Training Session. ii. The MCT to prepare for and teach
the Authorized Training Session associated with the Virtual
Environment. d. The Virtual Environment may only be used in
conjunction with your Authorized Training Session that is teaching
the MOC title or Microsoft Branded Courseware title associated with
the Virtual Environment. e. The Virtual Environment may only be
loaded and stored on your Classroom Devices or your server located
at your training facilities where the Authorized Training Session
is taking place. f. You will strictly abide by the terms of the
license agreement included with the Virtual Environment components
and any additional terms and conditions that are applicable to the
Virtual Environment and its components. g. You will ensure that
your MCTs and Students strictly abide by the licenses and
additional terms and conditions that are applicable to, accompany,
or are included with the Virtual Environment.h. You may not:i. Use
the Virtual Environment for any Training Session that is not taking
place at your training facilities.ii. Provide online or remote
access to or use of the Virtual Environment (including Virtual
Instructor-Led Training Sessions).iii. Provide access to or use of
the Virtual Environment on a standalone basis.iv. Provide access to
the Virtual Environment or any of its components to any individual
who is not: (1) an active MCT in good standing who is preparing for
or teaching your Authorized Training Session on the MOC title or
Microsoft Branded Courseware title associated with the Virtual
Environment, or (2) a Student attending your Authorized Training
Session that is teaching the MOC title or Microsoft Branded
Courseware title associated with the Virtual Environment.v. Use the
Virtual Environment when providing training on any non-Microsoft
courseware, including Community Courseware.vi. Separate the Virtual
Environment components.vii. Allow online access to the Virtual
Environment.viii. Allow access to the Virtual Environment using any
device that is not a Classroom Device. ix. Use the Virtual
Environment in a live operating or production environment. x. Add
software or content to the Virtual Environment. xi. Modify the
Virtual Environment or any component.
4.7 MLOs. MLOs are available for use for Authorized Training
Sessions teaching certain MOC titles. Learning Partners
acknowledges and agrees that purchasing a MLO Voucher does not
guarantee that the MLO will be available on any given date or time.
You may use MLOs in conjunction with your Training Sessions
teaching MOC, provided you comply with the following requirements:
MLOs may be used solely for your Authorized Training Sessions
teaching the MOC title associated with the MLO. Each valid MLO
Voucher may be redeemed once to receive one (1) Access Code. A MLO
Voucher may be redeemed only for an Access Code for the associated
MLO and only at the specific website referenced on the MLO Voucher.
You must register each Authorized Training Session using a MLO at
the website specified on the MLO Voucher prior to the start date of
the Authorized Training Session by entering the following
information: The Authorized Training Sessions start and end date
and time, The course number for the MOC title being taught in the
Authorized Training Session, The number of MCTs teaching the
Authorized Training Session, The number of Students attending the
Authorized Training Session, and The valid, unused MLO Voucher code
for each Student attending the Authorized Training Session You must
have an active account at the website specified on the MLO Voucher
to register your Authorized Training Session and redeem the MLO
Vouchers. It is recommended that you register your Authorized
Training Sessions at the MLO website at least two (2) weeks prior
to the start date of the Authorized Training Session. MLO Vouchers
purchased by you may only be used for your Authorized Training
Sessions. You may not purchase or redeem MLOs Vouchers for another
partys training sessions (including other Learning Partners). All
MLO Vouchers automatically expire six (6) months from the date of
purchase. MLO Voucher expiration dates will not be extended under
any circumstances. You are responsible for keeping the MLO Vouchers
and Access Codes in a secure place to ensure they are not copied or
misappropriated. MLO Vouchers and Access Codes can be redeemed only
for the associated MLO and only at the website referenced on the
MLO Voucher. Any resale or distribution of MLO Vouchers is
expressly prohibited. Each valid Access Code may be redeemed once
for limited-time online access to the specified MLO. An individual
must have an active account at the website specified on the MLO
Voucher and are required to enter their email address and password
to sign into the MLO website and enter the unique Access Code to
redeem their Access Code to activate the MLO. Individuals are also
required to sign into the MLO website to access an activated MLO.
You will provide Access Codes obtained by redeeming a MLO Voucher
only to Students attending your Authorized Training Session
associated with the MLO solely for Students personal training use.
Access Codes will be provided to Students on the first day of the
Authorized Training Session. Students access to the MLO will
automatically expire twenty-one (21) days after the first day of
the Authorized Training Session. You will only provide Access Codes
designated for MCTs only to the MCT who is teaching the Authorized
Training Session associated with the Access Code solely so the MCT
can prepare for and teach the Authorized Training Session. You may
provide the MCT with the Access Code up to seven (7) days prior to
the start date of the Authorized Training Session. MCTs access to
the MLO will automatically terminate on the last day of the
Authorized Training Session. All Access Codes will automatically
expire the first day of the Authorized Training Session associated
with the Access Code, regardless of whether the Access Code is
redeemed. You will provide the Access Codes expiration date, the
URL for the specific MLO website, instructions on how to redeem the
Access Code, the title and start date of the Authorized Training
Session associated with the Access Code and all terms and
conditions applicable to the Access Codes with each Access Code you
distribute. You will track its distribution of Access Codes to
ensure that each Access Code is only distributed once. Any
standalone sale or distribution of Access Codes is expressly
prohibited. Microsoft, its resellers and suppliers are not
responsible for lost or stolen MLO Vouchers or Access Codes. MLO
Vouchers and Access Codes are not transferable between MLOs or
websites. Expired, stolen or lost MLO Vouchers and Access Codes
will not be replaced. MLO Vouchers and Access Codes may not be
redeemed for cash, credit, or refunds and are void if altered in
any way. You will strictly abide by any additional licenses, terms
and conditions that are applicable to the MLO Vouchers, Access
Codes, MLO websites and MLOs. You may not use MLOs or distribute
Access Codes if you do not agree to these terms.
4.8 Self-Directed Learning Video Training Sessions. You may use
Training Session Videos solely to provide Self-Directed Learning
Video Training Sessions, provided you comply with the following
requirements: a. You must notify each Student in writing that it
will be a Self-Directed Learning Video Training Session prior to
Student registering for the Self-Directed Learning Video Training
Session.b. Each Training Session Video will be displayed in a
physical classroom with an MCT present for the duration of the
Self-Directed Learning Video Training Session.c. You may only use
MCTs that hold a Microsoft Certification credential for each
technology that is being taught in each Training Session Video used
in a Self-Directed Learning Video Training Session. d. A maximum of
six (6) Training Session Videos may be taught in each Self-Directed
Learning Video Training Session. e. A maximum of twenty (20)
Students per MCT may be taught in each Self-Directed Learning Video
Training Session.f. You will provide each Student with the
appropriate peripherals (such as headsets) needed for the MOC title
that is the subject of the Training Session Video.g. You will
provide each Student attending the Self-Directed Learning Video
Training Session with the student version of the applicable MOC
courseware taught in the Training Session. h. All Training Session
Videos will be licensed and obtained only from the Training Session
Video distributor designated by Microsoft under the Learning
Competency.i. You will strictly abide by all Training Session
Videos usage requirements and the licenses and other terms that are
applicable to, accompany, or are included with the Training Session
Videos. j. You will ensure that your MCTs strictly abide by the
licenses and other terms that are applicable to, accompany, or are
included with the Training Session Videos.k. You may not:i. Provide
online access to the Training Session Videos.ii. Distribute or use
Training Session Videos for self-paced training purposes. iii.
Provide access to Training Session Videos to any individual who is
not a Student attending one of your Training Sessions. l. To
clarify, no rights are granted to Learning Partners to record
Training Sessions or to create training videos using Courses.
4.9 Specify Training Session Venue. In all your advertising and
marketing materials for all Public Training Sessions, and in your
Training Sessions descriptions in the Class Uploader/Locator tool,
you must clearly indicate:a. The type of Training Session that is
being offered (instructor-led classroom teaching MOC, Microsoft
Branded Courseware or Community Courseware; Customized,
Self-Directed Learning Video, or Virtual Instructor-Led).b. The
name and location of the Learning Partner providing the Training
Session.
4.10 Facilities Requirements. You are required to use facilities
that meet the following minimum requirements for all Public
Training Sessions:a. An adjustable ventilation system must be
installed on the premises (cooling and/or heating according to
regional needs). b. Projection equipment such as an overhead
projector and LCD panel, high-definition television or equivalent
display device with a diagonal display area of at least 40 inches
(one meter) must be available.c. A projection screen with a
diagonal measurement of at least six feet (or two meters) must be
available. d. Trainer must be able to darken the classroom for
display purposes. e. A blackboard or whiteboard must be available.
f. The facilities must comply with all laws and regulations
relating to the accommodation of persons with disabilities in their
respective countries. In the United States, the facilities must be
in compliance with the Americans with Disabilities Act, as required
by law.
4.11 Trainer Equipment Requirements. Trainers computers must
match or exceed the requirements for Classroom Devices as defined
in Section 4.12 below for all Training Sessions. In addition,
Trainers computer must have the following:a. Internet accessb.
Amplified speakersc. Connection to a projection display device that
supports 1280X1024 pixels, and 16 bit color.d. The capability to
use DVD materials
4.12 Classroom Devices Requirements. You are required to provide
each Student with one (1) Classroom Device solely for their use
throughout the duration of the Public Training Session. These
Classroom Devices must meet or exceed the hardware level specified
for the Course as indicated in the applicable Courses set-up guide,
which will be one (1) of the six (6) equipment-configuration levels
described in the table below.

4.13 Additional Systems and Hardware Requirements. Some Courses
may require additional equipment. You are required to comply with
all applicable Courses system, hardware, and configuration
requirements. Complete configuration requirements and classroom
setup guides for MOC titles are included in each MOC trainer kit.
4.14 Licenses. The Courses, Virtual Environment and its components,
MLOs, Training Session Videos, and other content are licensed, not
sold. You must: a. Purchase and provide each Student participating
in a Training Session with their own validly-licensed Course that
is being taught in the Training Session. b. Have a validly-licensed
copy of the Microsoft software on each Classroom Device.c. Abide by
the licenses and other terms that are applicable to, accompany, or
are included with any Course, Virtual Environment and its
components, MLOs, Training Session Video, and other content.
Learning Partners are eligible for special classroom training
licenses on certain Microsoft software licenses granted under the
MPN program for use in the training classroom, based on your MPN
competency level. Go here to view the classroom training licenses

4.15 MOC Training Session Completion Certificate. Upon Students
request, you must issue a completion certificate to each Student
who completes a Training Session that teaches a MOC. The completion
certificate must include the MOC title and number, and must be
signed by the MCT who conducted the Training Session. Each
completion certificate should only contain one (1) MOC number. In
the case of a customized MOC Training Session for which no single
MOC number exists, completion certificates must denote that the
Training Session was customized. Completion certificates may only
be issued for Training Sessions teaching MOC courseware; they may
not be used for Training Sessions teaching Community
Courseware.
4.16 Customer Satisfaction. You must:a. Require Students to
complete and submit online evaluations at the conclusion of every
Training Session using the Training Evaluation Tool. b. Meet
minimum customer satisfaction requirements based on Students
evaluations submitted via the Training Evaluation Tool. c.
Establish, publish, and make available to all Students quality
control and customer satisfaction policies, including a money-back
guarantee or options for retaking a Training Session at no
additional charge, as well as the opportunity to provide formal
evaluations of the Training Session using the Training Evaluation
Tool. If you purchased the Students Course, you are responsible for
ensuring that Students satisfaction with the Training Session in
accordance with this section.
4.17 Key Performance Indicators Requirements. Key Performance
Indicators (KPI) requirements are enforced on an annual basis
during Companys re-enrollment to determine Companys status in the
Learning Competency. KPIs are defined in the Learning KPI guide.
Learning KPIs will be set on an annual, per-country basis. You must
send Microsoft written notice prior to Companys re-enrollment in
the Learning Competency if you believe Companys Learning KPIs are
inaccurate. Microsoft will not make any changes to Companys
Learning KPIs if Company has re-enrolled in the Learning
Competency.
4.18 Class Locator Tool. You may use the Microsoft Class Locator
Tool (Locator Tool), provided:a. You only use the Locator Tool to
post scheduled Training Sessions that are also posted on your
website. b. You grant Microsoft the right to display your uploaded
Training Sessions to the public.c. You do not use the Locator Tool
to gauge general demand for particular Courses or specific demand
in a given region or preferred learning mode.d. You do not use the
Locator Tool as the primary mechanism for operating your Training
Sessions or providing core information about your Training
Sessions.e. Microsoft may delete your Training Sessions from the
Locator Tool and/or suspend or terminate your access to the Locator
Tool at any time, without notice.f. Your use of the Locator Tool is
at your own risk and without warranty. Microsoft has no liability
related to your use of the Locator Tool.
4.19 Student Registrations. You may register Students for
Training Sessions provided by other active Learning Competency
members in good standing, provided:a. Prior to their registration
you provide each Student with:i. Notification that you are not
providing the Training Session.ii. The name and address of the
Learning Competency member who will provide the training. iii.
Notice of the various ways their Personal Information will be used
(that their Personal Information will be shared with the training
provider, etc.). iv. Notification of who will provide them with the
Course for the Training Session (you must purchase and provide
Students with the Course if you collected money from the Student
for the Training Session).v. The quality control and customer
satisfaction policies for the Training Session. b. You provide
clear and conspicuous privacy notice on your registration page of
the various ways Personal Information will be used (including who
you will share their Personal Information withincluding the
Learning Competency member who will be providing the Training
Session, etc.). Your privacy notice will include a privacy
statement that is accurate and complies with all applicable privacy
and data collection laws and regulations, and you will not use
Personal Information accessed or collected beyond the scope of your
privacy notices. c. You keep complete and accurate records for each
registration you accept for a Training Session provided by another
Learning Competency member, including the:i. Name and Date of
Training Session.ii. Name of Learning Competency member who
provided Training Session.iii. Type of Training Session.iv.
Students name.v. Name of the individual or organization that
purchased the Course for Student.vi. Valid proof of Course
purchase.d. In all your advertising and marketing materials and for
all Training Sessions descriptions in the Class Uploader/Locator
tool, you must clearly indicate the name and location of the
Learning Competency member who is providing the Training Session.e.
If you collected payment for a Student to attend the Training
Session, you are responsible for that Students satisfaction with
the Training Session and compliance with all customer satisfaction
requirements. f. You will provide all registration records upon
Microsofts request in accordance with section 4.26 (Records).
4.20 Changes to the Learning Competency. Microsoft has the right
to change or discontinue the Learning Competency or any aspect of
it, including the right to change Learning Competency requirements
and change and discontinue any benefits at any time for no reason.
Microsoft will give Company thirty (30) days email or written
notice of any substantive Learning Competency change. Microsoft
will give Company sixty (60) days email or written notice if
Microsoft intends to discontinue the Learning Competency. These
notices will be sent to the email or mailing address provided by
Company in their Learning Competency profile. Company is
responsible for notifying Microsoft if Companys address for your
organization or Locations changes. Company is also responsible for
notifying each Location of such changes and cancellations.
For all other changes, you are responsible for checking the
Learning Competency website regularly. You will be bound by the
changes as of the date the changes are posted on the Learning
Competency website, but the changes will not apply
retroactively.
If you do not agree to the changes, your sole remedy is to
terminate your participation in the Learning Competency.
4.21 No Warranty. Microsoft does not guarantee your satisfaction
with the Learning Competency, or your results. Learning Competency
benefits are provided "as-is," and "as available, without
warranties of any kind. MICROSOFT DISCLAIMS ON ITS OWN BEHALF AND
ON BEHALF OF ITS AFFILIATES AND SUPPLIERS ALL OTHER WARRANTIES OF
ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF
TITLE, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A
PARTICULAR PURPOSE.
4.22 Logo Usage. Learning Partners may use the corresponding
Microsoft Certification logo depicted in the Microsoft
Certification Logo Specifications (the Certification Logos)
identified with the Learning Competency in the Partner Logo Builder
Tool on its websites and in its marketing materials solely to
promote its Training Sessions offered under the Learning Competency
that are tied to the Microsoft Certification represented in the
Microsoft Certification Logo, provided:a. You are an active member
of the Learning Competency in good standing.b. Your use of the
Microsoft Certification logos is compliant with the terms and
conditions in these Guidelines, the MPN program agreement and the
Microsoft Certification Logo Specifications in the Partner Logo
Builder Tool.c. You will only use the Certification Logos in a
manner that does not derogate from the rights of Microsoft in the
Certification Logos, and will take no action that may interfere
with or diminish the rights of Microsoft in the Certification
Logos.d. Microsoft reserves the right to review any materials using
the Certification Logos, and you agree to correct any improper use
of the Certification Logos and deficiencies in the quality of its
services within a reasonable time upon receipt of notice from
Microsoft.
4.23 Additional Incentives and Campaigns. a. You must be in good
standing in the Learning Competency to be eligible to participate
in any Microsoft-sponsored training incentives, including the
Software Assurance Training Voucher (SATV) program and the Learning
Partner Incentive Payment programs (Additional Incentives), or in
any Microsoft-sponsored training campaigns or promotions
(Campaigns). You are required to comply with any applicable
additional terms and conditions, licenses, and participation
requirements to participate in an Additional Incentive or Campaign.
b. Microsoft and/or its auditors will conduct random audits of
Student rosters to verify Students participation in the Additional
Incentives and Campaigns. c. Non-compliance with any Additional
Incentive or Campaigns terms, conditions, licenses, or
participation requirements, fraudulent use or redemption of SATVs
or voucher codes, reselling Vouchers when prohibited,
misrepresentation of information to Microsoft or use of any
benefit, use of any payment or incentive received for any purpose
other than the purpose outlined by Microsoft may result in Company
and/or one or more of its Locations immediate removal from the
Additional Incentives or Campaigns. It may also result in Company
and/or its Locations: i. Exclusion from participating in future
Additional Incentives and Campaigns. ii. Termination from the
Learning Competency.iii. Termination of your Additional Incentive
agreements.iv. Termination of your MPN agreement.
4.24 Verifying Compliance. You are required to:a. Participate in
any on-location or remote inspection and/or audit that Microsoft
and/or its designees may conduct. Such audits and/or inspections
may include physical on-site audits and inspections, phone,
website, Courses, Additional Initiatives/Campaigns, Student roster,
quality, Training Evaluation Tool, and KPI results. b. Abide by
standards and/or requirements designed to prevent the piracy and/or
fraudulent use of Courses, Virtual Environment, Training Session
Videos, any Microsoft intellectual property, and Microsoft
technologies. Piracy/fraud includes:i. Unauthorized copying, use,
or distribution of any Courses, Virtual Environment or its
components, software, Training Session Videos, and/or content
obtained or accessed under the Learning Competency.ii. Fraudulent
reporting of any Additional Incentives or Campaigns, including
without limitation, the Microsoft SATV Program.iii. Unauthorized
use of the software licensed for classroom use. iv. Any fraudulent
reporting, including evaluations using the Training Evaluation
Tool.
4.25 Reservation of Rights. Microsoft owns and retains all
right, title and interest in and to MOC, Microsoft Branded
Courseware, the Virtual Environment and its components,
Certification Logos, software, and other content. Microsoft
reserves all rights not expressly granted.
4.26 Records. You are required to keep and maintain all usual
and proper documentation records, books of accounts and entries
relating to the Courses, Virtual Environment, all your Training
Sessions (including Private Training Sessions, customized Training
Sessions, etc.), Students, MCTs, Trainers and Training Evaluation
Tool, and registrations for a period of eighteen (18) months after
completion of the applicable Training Session, and to provide
Microsoft with these records when requested by Microsoft. Such
records will include information regarding the number of Courses
you purchased and distributed. The records must be sufficient to
allow Microsoft to verify your compliance with these Guidelines.
You will secure all adequate rights required to perform an audit
under this Agreement, including rights to share MCTs, Trainers,
Students, and other individuals Personal Information with Microsoft
and its auditors.
4.27 Audits and Inspections. Microsoft and its auditors reserve
the right to audit all aspects of Company and each of its Locations
participation in the Learning Competency in accordance with the
audit provisions of the MPN Program agreement and these Guidelines
to verify statements issued by you and your compliance with these
Guidelines.a. You will secure all adequate rights required to
perform an audit under this Agreement, including rights to share
MCTs, Trainers, Students, and other individuals Personal
Information with Microsoft and its auditors. b. Microsoft may also
require you to accurately complete a self-audit questionnaire
relating to your use and distribution of Courses, its Training
Sessions, and the Virtual Environment. c. By invoking the rights
and procedures described above, Microsoft does not waive its right
to enforce the Agreement or to protect its intellectual property by
any other means permitted by law. d. The Learning Competency audit
may include:i. Review of the processes you used to track, acquire,
purchase, and distribute Courses.ii. Quantifying the type and
volume of Courses licenses purchased and distributed by you.iii.
Physical count of inventory of Courses.iv. Reconciling your records
with Microsoft records. v. Inspection of all your classrooms and
equipment used for training.vi. Interview of your primary contact,
MCTs, Trainers, and other staff members.vii. Training Sessions
class schedules, Student rosters and registration records, as well
as individual Student and Training Session class files.viii. Review
of your registration records for Training Sessions provided by
other Learning Competency members.ix. Confirming compliance with
Microsoft Certificate of Completion requirements. x. Confirming
compliance with all licenses and other terms and conditions that
are applicable to, accompany, or are included with any Course, the
Virtual Environment and its components, MLOs, software, Training
Session Video, tools, other content and materials or any Learning
Competency benefit. xi. Review of your MCTs competencies.xii.
Review of your Training Evaluation Tool results.e. If the audit or
self-audit reveals unreported Course use and such discrepancies
amount to three percent (3%) or more of the actual Course licenses
purchased by you, then:i. You will pay Microsoft 115% of the
current license fee for each unlicensed Course that was not
purchased from Courseware Marketplace. ii. You will have thirty
(30) days to make payment to Microsoft. Failure to make payment in
full within thirty (30) days may result suspension or termination
of Company and/or its Locations status as a Learning Partner and
may result in termination of your MPN program agreement. f.
Microsofts rights and remedies in this section are not exclusive
and are in addition to any other rights and remedies provided by
law or under these Guidelines and the MPN program agreement.
4.28 Suspension or Termination from the Learning Competency.
Microsoft, at its sole discretion, may immediately suspend or
terminate Company or any or all of its Locations membership in the
Learning Competency if Company or a Location is not compliant with
the requirements and obligations contained in these Guidelines and
the MPN program agreement.
4.29 Effects of Expiration or Suspension or Termination from the
Learning Competency. Upon expiration, suspension, or termination
from the Learning Competency for any reason, all rights granted
under the Learning Competency are immediately terminated. You must
immediately: a. Cease all activity relating to the Learning
Competency.b. Uninstall from all Classroom Devices and labs all
copies of any software that has been licensed for use in the
classroom or lab as a Learning Competency benefit.c. Cease all use
of the Certification Logos and remove all Certification Logos from
your website and marketing materials.d. Stop identifying yourself
as a participant in the Learning Competency. e. Cease all use of
MOC except as allowed under the MPN program.f. Cease all use of the
Virtual Environment and its components and permanently delete all
Virtual Environments (including all its components).g. Discontinue
all uses of any Learning Competency benefit. h. Cease marketing,
advertising, or delivering open-enrollment classes using MOC to
individuals or the general public, and cease posting public
training schedules on websites or in collateral materials for any
public classes using MOC.i. Cease all SATV activity (if
applicable).
In addition, within ten (10) days of expiration, suspension, or
termination from the Learning Competency and at Microsofts sole
discretion, you will permanently delete and destroy all Microsoft
Certification Logos, MOC, all software licensed under a lab license
from its Classroom Devices and labs, and all other content received
as a result of the Learning Competency.
Upon Microsofts request, one of Companys executive-level
officers will certify Learning Partners compliance with this
section (4.29, Effects of Expiration or Suspension or Termination
from the Learning Competency) by providing Microsoft with a
certificate of destruction signed by a Company officer.
Microsoft will not be liable to you or any third party for
damages or third-party costs of any sort resulting from (a) your
suspension or termination from the Learning Competency, and/or (b)
cancellation of or changes to the Learning Competency or any of its
benefits.
