• Recruit, educate and nurture clergy and laity for their
specific ministries.
• Revitalize and equip congregations and presbyteries to fulfill
the mission (vision) of the church.
• Establish new congregations.
• For the next 5 years focus on evangelism.

ARTICLE 1-RELIGIOUS CORPORATION
1.01 Purpose.
TheCumberlandPresbyterianChurchisaspiritualbodycomprisedofaportionoftheuniversalbodyofbelieversconfessingJesusChristasLordandSavior.Asanecclesiasticalbody,theCumberlandPresbyterianChurch
isaconnectionalChurchwhich includesallof the
judicatoriesoftheChurch.ThehighestjudicatoryofthisecclesiasticalbodyistheGeneralAssemblyoftheCumberlandPresbyterianChurch(referredtointheseBylawsas“theChurch”).ThiscorporationhasbeenformedtoserveandsupporttheChurchbyholdingrealandpersonalpropertyoftheChurch,employingstafftoservetheChurch,andperformingothersecularandlegalfunctions.
1.02 Ecclesiastical Authority Not Limited by Corporate Powers. The
enumeration in statestatutes or these Bylaws of specific power
which may be exercised by the Commissioners, Board ofDirectors,or
theofficersof thecorporationwhenacting in
theircorporatecapacityshallnot limit
theirauthoritywhenactingintheirecclesiasticalcapacityfortheChurch.
1.03 Church
Authorities.ThedoctrineoftheCumberlandPresbyterianChurch,expressedintheConfessionofFaith,Constitution,RulesofDiscipline,andRulesofOrderoftheCumberlandPresbyterianChurch,shallhaveprecedenceoveranyinconsistentprovisionoftheseBylaws.
ARTICLE 2-TERMINOLOGY
2.01
Delegates.Thecorporation’sdelegatesshallbecalled“Commissioners.”
2.02 General
Assembly.AmeetingoftheCommissionersshallbecalleda“GeneralAssembly”.
2.03
President.Thecorporation’spresidentshallbecalledthe“StatedClerk”.
ARTICLE 3-OFFICES
3.01
Location.TheprincipalofficeofthecorporationintheStateofTennesseeshallbelocatedinShelbyCounty,Tennessee.Thecorporationmayhavesuchotheroffices,eitherwithinoroutsidetheStateofTennessee,astheGeneralAssemblyortheBoardofDirectorsmaydirectfromtimetotime.
ARTICLE 4–COMMISSIONERS
4.01
Commissioners.TheCommissionersshallhavethepowersandauthoritydescribedinthecorporation’scharterandtheseBylaws.Includedamongthemarethepowerto:
a.ElecttheelectedmembersoftheBoardofDirectors. b
.Approveanyamendmenttothecorporation’scharterexceptanamendmenttodelete
thenamesoftheoriginaldirectors;tochangethenameoftheregisteredagent,orto
changetheaddressoftheregisteredoffice;
c.ElectandremovetheModerator,StatedClerk,andtheEngrossingClerk d
.Fillvacanciesonthecorporation’svariousboards,agenciesandcommittees,andon
theboardsofanysubsidiaries;
e.Approvethemergerordissolutionofthecorporation,orthesaleofsubstantiallyallof
thecorporation’sassets;and
f.Transactsuchotherbusinessofthecorporationasmayproperlycomebeforeany
meetingoftheCommissioners. 4.02 Selection of Commissioners: Number
and
Qualifications.Commissionersshallbeselectedbythepresbyteries.Apresbyteryshallbeentitledtosendoneministerandoneelderforeach1,250,orfractionthereof,activemembers(includingordainedclergy)inthepresbytery.
EachelderselectedasaCommissionermustbeservingasamemberofasessionatthetimeoftheGeneralAssemblyatwhichheorshewillserve.ACommissionershallcontinuetoserveuntilnolongerqualifiedoruntilhisorhersuccessorisselectedandqualified.
4.03 Youth Advisory
Delegates.Eachpresbyterymayselectnotmorethantwoyouthadvisory

13delegateswhoshouldbefrom15through19yearsofage.AdvisorydelegatesmayserveasmemberswithfullrightsonGeneralAssemblycommittees,butshallnotvoteasCommissioners.
4.04 Annual Meeting and Notice.
TheCommissionersshallmeetannuallyatadateand
timeestablishedbytheGeneralAssembly.Themeetingshallbecontinuedfromdaytodayuntiladjournment.WrittennoticeofthemeetingshallbemailedtothestatedclerksofallpresbyteriesandpublishedintheCumberlandPresbyterianatleastsixty(60)dayspriortotheproposedmeeting.
4.05 Special Meetings and
Notice.TheModerator,orincaseoftheModerator’sabsence,death,orinabilitytoact,theStatedClerk,maywiththewrittenconcurrenceoratthewrittenrequestoftwentyCommissioners,tenofwhomshallbeministersandtenelders,representingatleastfivepresbyteries,callaspecialmeetingoftheCommissioners.Writtennoticeofanyspecialmeetingshallbemailedtothestatedclerksofallpresbyteries,toallCommissioners,andtotheiralternatesatleastsixty(60)dayspriortothemeeting.Thenoticeshallspecifytheparticularbusinessofthespecialmeeting,andnootherbusinessshallbetransacted.
4.06 Place of
Meeting.TheGeneralAssemblymaydesignateanyplacewithinoroutsidethestateofTennesseeastheplaceforanyannualmeeting.IftheCommissionersfailtodesignateaplaceforanannualmeeting,orifanemergencyrequirestheplacetobechanged,theBoardofDirectorsmaydesignateaplacefortheannualmeeting.TheModeratorortheStatedClerk,asthecasemaybe,whencallingaspecialmeetingshalldesignatethetimeandplaceofthemeetinginthenoticeofthemeeting.
4.07
Quorum.AnytwentyormoreCommissioners,ofwhomatleasttenareministersandtenelders,entitledtovoteshallconstituteaquorumatanyGeneralAssembly.Whenaquorumisoncepresentto
organize ameeting, businessmay continue to be conducted and votes
taken despite the
subsequentwithdrawalofanyCommissioner.Ameetingmaybeadjourneddespitetheabsenceofaquorum.
4.08 Voting. Every Commissioner shall be entitled to one vote,
which must be cast by
theCommissionerinperson;noproxiesarepermitted.Allcorporateactionsshallbetakenbymajorityvoteexcept
as otherwise providedby the corporation’s parliamentary authority.
Voting formembers of theBoardofDirectorsshallbenon-cumulative.
ARTICLE 5-BOARD OF DIRECTORS
5.01
Authority.TheBoardofDirectorsshallmanagethebusinessandaffairsofthecorporationexceptforanypowerorauthoritywhichisreservedtotheCommissionersordelegatedtoanyotheragencyofthecorporation.TheBoardofDirectorsisauthorizedtoamendthecorporation’scharteronlytodeletethenamesoftheoriginaldirectors;tochangethenameoftheregisteredagent;ortochangetheaddressoftheregisteredoffice.
5.02 Composition of the Board of Directors. TheBoard ofDirectors
shall consist of seven(7)members,who shall be the directors of the
corporation. Six (6)members shall be elected by
theCommissionersandtheStatedClerkshallservebyvirtueofoffice.Allmembers,whetherelectedorexofficio,shallhavealloftheprivilegesofoffice.
5.03 Qualification for
Election.EachpersonelectedtotheBoardofDirectorsshallbeanaturalpersonwhoisapersoningoodstandingofapresbyteryorlocalCumberlandPresbyterianChurch.Notwodirectorsshallbefromthesamepresbytery,provided,however,thatadirectorwhomovesfromonepresbyterytoanothermaycontinuetoserveuntiltheexpirationofhisorhertermofoffice.
5.04 Election and
Tenure.TheelectedmembersoftheBoardofDirectorsshallservetermsofthree(3)yearseach.Thetermsshallbestaggeredsothattwo(2)directorsshallbeelectedeachyear.Eachpersonelectedshallserveuntilhisorhersuccessorhasbeenelectedandqualified.
5.05 Action of Board in Emergency or By
Default.If,foranyreason,theGeneralAssemblyfailstofillavacancyontheBoardofDirectorsatthenextGeneralAssembly,thentheBoardofDirectorsmayfillthevacancybymajorityvoteofthememberstheninoffice.
5.06
Meetings.TheBoardofDirectorsshallmeetannuallyormoreoftenatsuchtimeandplaceasitmayset.SpecialmeetingsmaybecalledbyorattherequestoftheStatedClerkoranythreedirectorsatanyplace,eitherwithinoroutsidethestateofTennessee.
5.07 Notice. Noticeofanymeetingshallbegivenat leastfive
(5)daysbefore thedateof themeeting,except
thatnoticebymailshallbegivenat least ten(10)daysbeforethedateof
themeeting.Noticemaybecommunicated inperson;by telephone, fax,or
electronicmail;orbyfirst
classmailorcourier.ExceptasspecificallyprovidedbytheseBylaws,neitherthebusinesstobetransactedatnorthepurposeofanyspecialorregularmeetingoftheBoardofDirectorsneedbespecifiedinthenoticeofthemeeting.
5.08 Notice of Special

5.11 Conference
Meetings.AnyorallthemembersoftheBoardofDirectorsoranycommitteedesignated

equipmentwhichpermitsallpersonsparticipatinginthemeetingtoheareachothersimultaneously.Amemberwhoparticipatesinameetingbysuchmeansisdeemedtobepresentinpersonatthemeeting.
5.12 Action by Written
Consent.WheneverthemembersoftheBoardofDirectorsarerequiredorpermittedtotakeanyactionbyvote,suchactionsotakenandsignedbyallofthemembersentitledtovote,
5.13 Emergency
Actions.IftheBoardofDirectorsdeterminesbyavoteofthree-fourthsofallitsmembersthatanemergencyexistsofsuchmagnitudeastothreatentheworkofthewholeChurch,orofallboardsandotheragenciesoftheChurch,andthattheemergencyrequiresactionbeforethenextmeetingoftheGeneralAssembly,thentheBoardofDirectorsshallexercisethepowersoftheCommissionersinsuchemergency.
5.14
Compensation.MembersoftheBoardofDirectorsshallreceivenocompensationintheircapacityasmembersoftheBoardofDirectors.Membersmaybepaidtheirexpenses,ifany,ofattendanceateachmeetingoftheBoardofDirectors.
5.15 Removal of
Directors.AnelectedmemberoftheBoardofDirectorsmayberemovedbytheCommissioners

ARTICLE 6-WAIVER OF NOTICE
6.01 Written
Waiver.AnynoticerequiredtobegiventoanymemberoftheBoardofDirectorsoraCommissionerundertheseBylaws,theCharter,orthelawsofTennesseemaybewaived.Thewaivershallbeinwriting,signed(eitherbeforeoraftertheeventrequiringnotice)bythepersonentitledtothenotice,anddeliveredtothecorporation.
6.02 Waiver by Attendance. The attendance of a member of the Board
of Directors or
aCommissioneratanymeetingshallconstituteawaiverofnoticeofthemeeting,unlessthepersonattendsameetingfortheexpresspurposeofobjectingtothetransactionofanybusinessbecausethemeetingwasnotproperlycalledorconvened.
ARTICLE 7-MODERATOR AND VICE-MODERATOR 7.01 Nomination and
Election.AtthebeginningofeachannualmeetingtheGeneralAssemblyshallelectaCommissionertoserveasModeratoruntilthenextannualmeeting.NominationsforModeratorshallcomefromthefloor.Onenominatingspeech,nottoexceedtenminutes,shallbepermittedonbehalfofeachnominee.Ifthereismorethanonenominee,theelectionshallbeconductedbywrittenballot.AcommitteeappointedandsupervisedbytheStatedClerkshallreceivetheballots,countthem,andcertifytheelection.Ifnonomineereceivesamajorityofthevotescast,arun-offelectionshallbeconducted.Onlythoseleadingnomineeswhotogetherreceivedamajorityofthevotescastontheprecedingballotshallbeincludedintherun-offelection.

Vice-Moderator.TheGeneralAssemblymayelectaVice-Moderatorinlikemanner.TheVice-ModeratorshallperformsuchdutiesasmaybeassignedbytheModeratoroftheGeneralAssemblyandperformthedutiesoftheModeratorintheeventoftheModerator’sdisabilityorabsencefromofficeforanyreason.
7.03 Duties.TheModeratorshall:

ARTICLE 8-STATED CLERK
8.01
President.TheStatedClerkistheprincipalexecutiveofficerofthecorporationandshallalsohavethetitlesof“president”and“treasurer”.
8.02 Nomination and Election. TheNominatingCommitteemaynominate
theservingStatedClerkforre-election.IftheNominatingCommitteedeclinestonominatetheservingStatedClerkforre-election,oriftheStatedClerkhasvacatedtheoffice,resigned,ordeclinedtobere-nominated,thentheMinistryCouncilshallconductasearchforandnominateacandidatetotheGeneralAssembly.Ineitherevent,furthernominationsmaybemadebytheCommissioners.TheCommissionersshallelecttheStatedClerkbymajorityvote.
8.03 Term of
Office.TheStatedClerkshallbeelectedtoatermoffour(4)years.TheregulartermofofficebeginsonJanuary1andendsonDecember31.ThereisnolimitonthenumberoftermswhichmaybeservedbyanindividualStatedClerk.
8.04 Duties. TheStatedClerk shallgenerally superviseandcontrol
thebusinessaffairsof
thecorporationandseethatallordersandresolutionsoftheGeneralAssemblyarecarriedintoeffect.
TheStatedClerkmaysignonbehalfofthecorporationanydeeds,mortgages,notesorotherinstrumentsandanycontractsordocumentsmade,executedanddeliveredintheordinarycourseofbusinessordulyauthorizedbytheGeneralAssemblyortheBoardofDirectorsexceptfordocumentstheexecutionofwhichhasbeenexpresslydelegatedtosomeotherperson.TheStatedClerkshall:

ARTICLE 9-OTHER OFFICERS
9.01
Secretary.ThechiefexecutiveofficeroftheMinistryCouncilshall,byvirtueofoffice,bethesecretaryofthecorporation,andshallingeneralperformalldutiesincidenttotheofficeofsecretary.
9.02 Engrossing
Clerk.TheEngrossingClerkshallbeelectedbytheGeneralAssemblytoatermoffour(4)years.TheregulartermofofficebeginsonJanuary1andendsonDecember31.ThereisnolimitonthenumberoftermswhichmaybeservedbyanindividualEngrossingClerk.TheEngrossingClerkshallserveasStatedClerkprotemporeduringmeetingof
theGeneralAssemblyintheevent
theStatedClerkisabsentorunabletoserve.TheEngrossingClerkshallperformsuchotherdutiesasmayfromtimetotimebeprescribedbytheBoardofDirectorsortheGeneralAssembly.
9.03 Additional
Officers.Thecorporationmayhavesuchadditionalofficersasitmayfromtimetotimefindnecessaryorappropriate.
ARTICLE 10-INDEMNIFICATION

Indemnification.Thecorporationshallindemnifyanydirector,officeroremployeewhois,
oristhreatenedtobe,madeapartytoacomplete,pending,orthreatenedactionorproceedingfromanyliabilityarising
from thedirector’s,officer’soremployee’sofficialcapacitywith
thecorporation. Thisindemnificationshallextendto
thepersonalrepresentationofadeceasedpersonif
thepersonwouldbeentitledtoindemnificationundertheseBylawsifliving.
10.02 Costs and Expenses Covered by

a.foranybreachofthedutyofloyaltytothecorporation; b
.foractsoromissionsnotingoodfaithorwhichinvolveintentionalmisconductora
knowingviolationoflaw;or
c.foranydistributionoftheassetsofthecorporationwhichisunlawfulunderTennessee
law.
ARTICLE 11-TRUSTEE FOR THE CORPORATION
11.01
Trustee.TheBoardofStewardship,FoundationandBenefitsoftheCumberlandPresbyterianChurch,anonprofitcorporationexistingunderthelawsofthestateofTennessee,holdscertainrealpropertyandotherassetsoftheChurchastrusteefortheuseandbenefitoftheChurch.TheBoardofStewardshipmaycontinuetoholdsuchrealpropertyandotherassets,butaftertheadoptionoftheseBylaws,itshallholdthoseassetsastrusteefortheuseandbenefitoftheCumberlandPresbyterianChurchGeneralAssemblyCorporation.
11.02 Other
Assets.Other,additionalpropertymayfromtimetotimebeconveyedtotheBoardofStewardshiptobeheldbyitastrusteeforthecorporation.AllassetsheldbytheBoardofStewardshipastrusteeforthecorporationshallbeheldatthepleasureanddirectionoftheGeneralAssembly.
ARTICLE 12-PARLIAMENTARY AUTHORITY
12.01 Designation. Theparliamentaryauthorityof thecorporation
inallmeetingsshallbe
thelatestrevisededitionoftheRulesofOrderassetoutintheConfessionofFaithandRulesofGovernmentoftheCumberlandPresbyterianChurch.InmattersnotprovidedforintheRulesofOrder,theparliamentaryauthorityshallbeRobert’sRulesofOrder,latestrevisededition.
ARTICLE 13-AMENDMENTS
13.01 Manner of
Amendment.TheseBylawsmaybeamendedorrepealedonlybytheaffirmativevote
of two-thirds of the votes cast in a duly constitutedmeeting of
theGeneralAssembly. Fair
andreasonablenoticeoftheproposedamendmentshallbeprovidedasrequiredbystatelaw.
13.02 No Amendment by the Board of
Directors.NoportionoftheBylawsmaybeamendedorrepealedbytheBoardofDirectors.

GENERAL REGULATIONSA. The Assembly’s Standing Rules
1.
MEETINGS.TheGeneralAssemblyshallmeetannuallyonthethirdorfourthMondayofJuneattwoo’clockintheafternoontoorganize,electamoderatorandtransactbusiness.TheAssemblyshallcloseonThursdayorFridayofthesameweek.
2. ELIGIBILITYREQUIREMENTFORELDERCOMMISSIONERS.
Eldercommissionersmustbeactivemembersofthesessionofthechurchtowhichtheybelong.
3.
YOUTHADVISORYDELEGATES.Eachpresbyteryiseligibletoelecttwonon-votingyouthadvisorydelegates.Advisorydelegateshavefullrightsasmembersofstandingandselectcommittees.Youthadvisorydelegatesshouldbe15through19yearsold.
4.
OFFICIALFORMS.Thestatedclerksofthevariouspresbyteriesmaycertifycommissionersandyouth
advisorydelegatestotheGeneralAssemblyeitherbytheformprovidedbytheOfficeoftheGeneralAssembly
orviaelectronicmethods.5.
ELECTIONOFMODERATOR.Theprocedureforelectingamoderatorshallbeasfollows:Nominations
shallbefromthefloor.Onenominatingspeechnotexceedingtenminutesshallbepermittedonbehalfofeachnominee.Whenthereismorethanonenomineetheelectionshallbebyballot.AcommitteeappointedbytheStatedClerkshallreceivetheballots,countthemunderthesupervisionoftheClerk,andshallcertifythevote.Iftherearemorethantwonomineesandnonomineereceivesamajorityofthevotescast,thevoteshallbetakeninthesamemanneronthoseleadingnomineeswhotogetherreceivedamajorityofthetotalvotecastontheprecedingballot.

theofficeofmoderator,andshallperformsuchotherdutiesasmaybeassignedtotheofficeofvice-moderatorbytheModeratorortheAssembly.

PROGRAMCOMMITTEE.TheProgramCommitteeshallconsistoftheRetiringModerator,StatedClerk,DirectorofMinistries,PastorHost,anelectedrepresentativeofeachboardorministryteam,andarepresentativeoftheCumberlandPresbyterianWomen’sMinistry.ThecommitteeshallmeetnolaterthanFebruary15.
8. REFERRALS. TheStatedClerk, in consultationwith
theRetiringModerator, shall refer all
itemsbeforetheAssembly.CommissionersandadvisorydelegatesshallbeprovidedwithcopiesofreferralsinadvanceoftheAssembly.
9. STANDINGCOMMITTEES. TheRetiringModerator, inconsultationwith
theStatedClerk,
shallappointallstandingcommittees.Committeereportsduplicatedandinthehandsofcommissionersshallbeconsideredashavingbeenpresented.Thosepresentingcommitteereportsshallhavetheopportunitytomakeremarksandgiveexplanation,suchpresentationsnottoexceedtenminutes.
10.ORDERFORCONSIDERINGREPORTS.Reportsofallstandingandspecialcommittees,withtheexceptionoftheNominatingCommittee,shallbeconsideredintheorderinwhichtheyarefiledwiththeStatedClerk.TheModeratorandtheStatedClerkmayrecommendexceptionstothisrule.
11.
STANDINGCOMMITTEESNAMED.ThestandingcommitteesoftheGeneralAssemblyshallbeasfollows:Children’sHome/HistoricalFoundation,HigherEducation,Judiciary,ProgramPlanning,Stewardship,andTheologyandSocialConcerns.TheModeratormay,withtheconsentoftheGeneralAssembly,
appoint such special committees as are needed. AllGeneralAssembly
committees
arerequiredtohearboardrepresentativesandteamleadersifsuchhearingsarerequested.WhenaGeneralAssemblyStandingCommitteeisseekinginformationregardinganissuedealtwithinmorethanonereportitmayinviterepresentativesofthoseagenciestobepresentatthesametime.Committeesshallwriteoutallrecommendationsverbatimintheirreports.
12.CHANGESAFFECTINGTHEWHOLECHURCH.Whenfar-reachingchangesinprogramsand/orpoliciesarerecommendedbyastandingcommittee,thecommitteeshallrecommendthattheproposalsbereferredforstudybytheMinistryCouncilandtheagencyaffectedbeforetheybecomefinal.Ifseriousconsequencesarediscovered,theMinistryCouncilandtheagencyaffectedmaydelayimplementationuntilthenextGeneralAssembly.
13.RESOLUTIONS.AllresolutionsrelatedinanywaytothegeneralenterpriseoftheChurchshallbereferredtoappropriatestandingcommitteesforrecommendationstotheAssembly.AllsuchresolutionsshallbepresentedforreferralbeforethecloseofbusinessonTuesdaymorning.

14.AMENDING/SUSPENDINGGENERALREGULATIONS.NoitemofbusinessinconflictwiththeGeneralRegulationsshallbeconsideredexceptbysuspensionofthesame.TheGeneralregulationsmaybeamendedorsuspendedbyatwo-thirdsvoteofmembersvoting.ThevoteoftheAssemblyonallquestionsrequiringmorethanamajorityvoteshallberecordedintheminutes.
15.CASESNOTPROVIDEDFORINTHEGENERALREGULATIONS.IncasesnotprovidedforintheGeneralRegulations,theAssemblyshallbegovernedbytheRulesofOrderoftheConfession

B. The Committee on Nominations

TheNominatingCommitteeshallbecomposedoftenmembers,oneministerandonelaypersonfromeachof
thefivesynods. Membersshallbeselected
fromdifferentpresbyterieswithin thesynod ifpossible.
2. Memberswillbeelectedby theGeneralAssembly forone threeyear
termandarenot eligible forreelection.
3.
Presbyteriesand/orSynodsmayrecommendpersonstoserveontheGeneralAssembly’sCommitteeon
Nominations. Such recommendations shall reach the office of the
Stated Clerk no later
thanFebruary1,andshallbepresentedtotheexistingNominatingCommitteeasrecommendationsforitsconsiderationinmakingnominationsforelectionstotheGeneralAssembly’sNominatingCommittee.
4.TheNominatingCommitteeshallmeetnotearlierthanFebruary15eachyear.5.
ItshallbethedutyofthisCommitteeto:
a.
ReviewthefileofavailablepersonnelandtonominatetotheGeneralAssemblyqualifiedpersonstofillallvacancies.TheCommitteeshallnotbelimitedtopersonsnamedindataonfile,butshallbeexpectedtoobtainasmuchinformationconcerningprospectivenomineesasisavailabletothem.
b.
Thepersonalconsentofeverynewnomineemustbeobtainedbeforenominationandelectionarevalid.Asignedconsentformnotmorethanoneyearoldshallbeconsideredpersonalconsent.
c.
ThereportoftheCommitteeshalllistthenamesofnominees,thepresbyteryifaminister,andthepresbyteryandlocalcongregationifalayperson.
d. TheCommitteeonNominationsshallbe intentional
innominatingpersonswhorepresent theGlobalnatureoftheChurch.

AnycommissionertotheAssemblymaymakeanominationfromthefloorprovidedconsentofthenomineehasbeenobtained.

TheStatedClerkshallmakeavailableasuitableformonwhichrecommendationsmaybemadeandonwhichbackgroundandqualificationsofpersonswhoqualifyforboardandagencymembershipmaybestated.
8. Presbyterymoderatorsandstatedclerksshallbeasked toassist in
thesecuringofnamesanddataconcerningpersonswhomaybequalifiedtoserveontheMinistryCouncil,theAdvisoryCommitteesofBoardsandAgencies,andthegoverningboardsofInstitutions.
Theyshallfile this
informationwiththeStatedClerkoftheGeneralAssembly.Thenumberofnamesshallnotbelessthanoneforeverythousandactivemembers,orafractionthereof,inapresbytery.ThisfileshallbeavailabletotheGeneralAssemblyforitsuse.
C. The Moderator
1.
TheModeratoroftheGeneralAssemblyisthetitularheadoftheCumberlandPresbyterianChurchduringthetenureoftheofficeandhasgreatopportunityforserviceintheChurch.TheModeratorreceivesapreciousgift;i.e.,thefreedomtogoanywhereandtolistentothemind,heart,andspiritofthedenominationandtospeakwithandtotheChurch.
2.
TheofficeofModeratorhasgreathonorandrespect,andthepersonelectedtotheOfficeisapriest,prophet,andpastoroftheChurchatlarge.TheModeratorprayswithandfortheworkoftheSpiritofGodinthelifeofthedenominationateveryopportunity.
3.
TheModeratoroftheGeneralAssemblyisarepresentativeoftheCumberlandPresbyterianChurchwhereverGod
leads. TheModeratorparticipates in the lifeandworkof
theDenomination,as faras possible, and pays particular attention to
ecumenical relations, especiallywith
theCumberlandPresbyterianChurchinAmerica.
4. TheModerator represents theGeneralAssemblyasanofficerof
theAssemblyandasanordainedperson.

5. TheModerator speaks fromknowledgeof
theactionsofGeneralAssemblyandmay interpret
theactionsoftheAssemblyasaresponsiblerepresentative.TheModeratorhasauthoritytospeakfortheChurchonlyasanordainedrepresentativeelectedtotheofficeofModeratorforoneyear.

TheModeratorhastheprivilegeofattendingeverymeetingofGeneralAssemblyagenciesandother
judicatoriestoobservethelifeandworkoftheDenominationateverylevel.TheModeratorisan
ex-officiomemberofeveryagencyoftheGeneralAssembly.TheModeratorisanadvisorymemberof
theMinistryCouncilfortwoyears;duringthetenureinofficeandfortheyearfollowingthetenure.7.
TheModeratoristhechairpersonoftheGeneralAssemblyProgramPlanningCommittee,amember
ofthePlaceofMeetingCommittee,andserveswherevertheAssemblyrequests.8.
TheroleandfunctionsoftheModeratorduringthesessionsoftheGeneralAssemblyaredescribedin
theConstitutionandRulesofOrderoftheCumberlandPresbyterianChurch/CumberlandPresbyterianChurchinAmerica.
9.
TheModeratorobservestheplacesandtimesGodiscallingtheChurchtoservice,assessestheneedforaDenominationalresponsetoGod’scall,andreportsitemsthatconcerntheGeneralAssemblyforhis/herexperienceofserviceandcapabilitiesforministry.
10. Judicatories, congregations, andothers are urged to invite
theModerator to represent
theGeneralAssemblyandtoshareinthewitnessoftheChurch.
11. Anallowanceforpartof theexpensesof theModerator
isadministeredby theStatedClerk.
TheModeratorandthepersonissuinganinvitationwillagreeinadvanceonarrangementstopaytravelexpenses.
12.
TheModeratorwearstheofficialcrossandstolesoftheofficeduringthetermofoffice.AgavelandareplicaoftheModerator’scrossispresentedtotheModeratoruponretirementfromtheoffice.
D. The Assembly Stated Clerk
1. TheDefinitionandAuthorityoftheStatedClerk’sOfficea.
TheStatedClerkoftheGeneralAssemblyshallbethePrincipalExecutiveOfficeroftheGeneral
Assembly.
b. TheStatedClerk shall be primarily concernedwith the spiritual
life of theChurch
andwithmaintainingandstrengtheningaunitedwitness.
c.
TheStatedClerkshallassumespecificresponsibilityforassuringtheorderlygovernanceoftheChurchinaccordancewiththeConstitution,RulesofOrderandRulesofDiscipline.
d.
TheStatedClerkshallbetheservantoftheGeneralAssemblyandshallrepresenttheinterestsoftheGeneralAssemblyinregardtoalljudicatories,boards,andotheragenciesoftheChurchandorganizationsoutsidetheChurchbyrespondingtorequestsfor(1)officialrecordsoftheGeneralAssemblyactions,
(2) interpretationsof
itsactions,and(3)personalrepresentationswhereanofficial of
theGeneralAssembly is needed. In cases of emergency (when
resignations of
acommittee,commission,orboardimpairstheabilityoftheentitytofunction)theModeratormayappointtheStatedClerktoact,untiltheBoardofDirectorsortheGeneralAssemblymeets.

TheStatedClerkshallbetheofficerauthorizedtosignalldocumentsonbehalfoftheCumberlandPresbyterianChurchwithregardtolitigation,toselectandemploylegalcounselandtoenterintolitigationonbehalfofthechurch.

TheStatedClerkshallbeelectedbytheGeneralAssemblyforatermoffouryears.TheregulartermofofficeshallbeginonJanuary1andexpireonDecember31.
Thereshallbenolimittothenumberof terms towhichone
individualmaybeelected.Thenominatingcommittee
shallmakenominationswhentheStatedClerk’stermexpires.Nominationsmayalsobemadefromthefloor.Iftheofficebecomesvacant,theclerkdeclinestobere-nominatedorisunacceptabletothenominatingcommitteeforrenomination,asearchshallbeconductedbytheMinistryCouncilandanomineereportedtotheGeneralAssemblybytheMinistryCouncil.IftheStatedClerkresignsorbecomesunabletoservebetweenmeetingsoftheAssembly,theMinistryCouncilshallassumetheresponsibilitiesandauthoritiesoftheofficeandarrangefortheirfulfillment.
2. DutiesoftheStatedClerkTheStatedClerk shallperformsuchduties
asprescribed in theConstitution. Additionally
and/orspecificallytheStatedClerkoftheGeneralAssemblyshall:
a. MakesuitablearrangementsforGeneralAssemblymeetings.(1)
Callmeetingsoftheplaceofmeetingcommittee.
