The American Bankruptcy Institute (ABI) attained new milestoneswhile launching several new initiatives during the past year.Total ABImembership has sailed past 9,500 members, making ABI the world’slargest organization dealing with insolvency matters.

Service to the growing ranks of new practitioners is enhanced by anew educational program on the fundamentals of bankruptcy.Thispopular program, introduced at the 2003 Annual Spring Meeting, isalso available online at the ABI World website. Meanwhile, both of the semi-annual membership meetings and each of the regionalconferences set new attendance marks this year.

Four new titles were added to the growing ABI library of publica-tions, spanning a range of diverse topics from consumer bankruptcyto the European Union insolvency regulations. Several new booksare planned for 2004.

ABI’s Endowment Fund is now past $1 million. Our strong commit-ment to research was demonstrated by the funding of several newgrants to scholars and the underwriting of an academic symposiummarking the 25th anniversary of the enactment of the U.S.Bankruptcy Code.

Our award-winning website now attracts over 2 million views permonth and nearly 7,000 unique visits per day. A major overhaul of the site is set for late 2003, to provide both a fresh look andimproved functionality. Also revamped is the joint website on assetsales. A new site on international insolvency has great promise as a resource for those dealing with cross border insolvencies.

Finally, our service to members was further evidenced by the creation of the new ABI Career Center, to help both job seekersand employers find the right fit in the dynamic insolvency employment market.

On behalf of our Board of Directors, we pledge to continue todevelop new programs and products to serve our community,and urge each member to fully participate in ABI activities.We look forward to working with you in the year ahead.

ABI has earned a reputation for high quality

educational programs that meet the needs

of our diverse membership, while providing

valuable networking opportunities, all at a

reasonable cost. More than 4,000 members

attended programs over the past 12 months.

Hundreds more continue to take advantage

of the convenience of the growing number of

ABI programs online via West LegalEdCenter.

Annual Spring MeetingThe 2003 Annual Spring Meeting in Washington saw a record

900 attendees.The Seventh Annual “Great Debates” focused on hottopics such as retention bonuses for key executives and critical ven-dor motions. Educational panels addressed the essentials of effectivetrial practice, equitable subordination, first-day orders, preferencesand out-of-court alternatives to bankruptcy. Consumer bankruptcysessions focused on chapter 13 trends and ethics.The program featured two former U.S. Attorneys General: Hon. Griffin Bell, whoserved as the keynote lunch speaker, and Hon. Dick Thornburgh,who spoke on his role as the examiner in the WorldCom case.The event concluded with a gala dinner and concert by Motownlegends The Commodores.

Winter Leadership ConfernceMore than 600 attended the 2002 Winter Leadership

Conference at LaPaloma Resort in Tucson, Arizona. Among the topics were panels on the scope of Section 105 powers, intellectualproperty issues in bankruptcy, wage and benefit claims and the controversy over indemnification of non-attorney professionals.Noted economist and television host Stuart Varney provided a forecast of the U.S. economy and financial markets during a luncheon keynote.

Regional ProgramsABI’s popular regional programs thrived over the past year,

with each one setting new attendance marks.The workshop format of the programs allows members to customize their educational experience.The largest regional conference is theNortheast Bankruptcy Conference. In 2003, this program surpassed600 registrants for an event at beautiful Newport, Rhode Island.Other ABI educational initiatives include programs for state courtjudges (now in its 13th year) and government agency counsel (new in 2003).

ABI’s Robert M. Zinman Resident Scholars (Prof. David Epstein and Prof. Marianne Culhane) responded to Capitol Hill requests for analysis and comment on various legislative proposals andprospective amendments to H.R 975. Prof. Jack Williams, a previousZinman Scholar, commented on the impact of a proposed amend-ment to change the tax attributes of certain actions taken byWorldCom. Comments from ABI are not limited to the academiccommunity. Bankruptcy judges Eugene Wedoff and Thomas Smalldeveloped a package of recommendations, titled A Proposal forMore Effective Bankruptcy Reform, to address the goals of bankrupt-cy reform, while limiting unproductive administrative procedures.

ABI’s Legislative Committee, co-chaired by judges David Houston andGeorge Paine, regularly invites the key Hill staff to update our mem-bers during the Annual Spring Meeting on the prospects for reform.

The history of bankruptcy policy is an important part of the ABI’sOctober 2003 Symposium marking the 25th anniversary of theenactment of the Bankruptcy Code of 1978. Should the currentbankruptcy reform bill become law, ABI will sponsor a series of teleseminar programs for members covering the important changes in both personal and business bankruptcy.

ABI World serves as a comprehensive source of archived legislativematerials since the 105th Congress.The full text of all bills, legislativehistory, commentary, analysis and more can be found online.

This year marks the sixth year that Congress

has considered comprehensive bankruptcy

reform.The legislation (H.R. 975) passed the

House of Representatives in the spring of

2003 and is pending in the Senate.While

ABI is not a lobbying group with a particular

agenda, our members are frequently called

upon to assist Congress’ understanding of

bankruptcy issues and policy.

With an endowment of well over $1 million,

the ABI is expanding its capability to fund

important scholarly research. Since 1998,

the endowment has funded over $270,000

in research grants, scholarships and special

projects. During 2003, ABI produced a

DVD to help consumers better manage

their finances, while explaining the basics of

bankruptcy procedure.

In addition to empirical research, the endowment funds an annual$10,000 scholarship to the St. John’s University School of Law bankruptcy LL.M. program.

The endowment also contributes to the support of ABI’s in-houseresearch capability, in the presence of the Robert M. ZinmanResident Scholar. Zinman Scholars for 2003 were Prof. David Epstein (Georgetown University Law Center) and Prof. MarianneCulhane (Creighton University Law School).

The endowment’s biggest contribution during 2003 is to help defraycosts associated with an academic symposium marking the 25thanniversary of the enactment of the Bankruptcy Code.The October10-11, 2003 event featured major paperspresented by Profs. Barry Adler (NYU),Douglas Baird (Chicago), ElizabethWarren (Harvard) and James White(Michigan).The symposium has a strongpublic policy focus, with Congressionalconsideration of bankruptcy reform thisyear. Congressional scholar NormanOrnstein provided a luncheon keynoteon changes in Congress over the lastquarter century. Famed Harvard pro-fessor Arthur Miller served as a mod-erator for a roundtable on bankruptcyreform from the 1970’s to today.

hundreds of cases in business and personal bankruptcy.

Members can order CLE programsonline 24/7/365, through a partner-ship with West LegalEdCenter.com.ABI’s bankruptcy fundamentals pro-gram is among the most popular.The website also contains streamingaudio casts of the “BankruptcyToday” programs on the Sky Radionetwork, and ABI press briefings.Dow Jones Newsletters this year joined our existing content part-ners (West, Lexis-Nexis,The Deal, Bankruptcy Litigation Report) byproviding news items, headlines from the Daily Bankruptcy ReviewSmall Cap Report, as well as networking notes.

More than 80,000 online documentsare searchable, creating a powerfulresearch capability. Enhancing thisfunctionality is a key component of a planned redesign effort, set for2004.The site attracts more than 2 million page views per month and over 200,000 visits per month,with more than 6,000 unique visitors per day.

New in 2003 is the Career Center,an online service connectingemployers in the bankruptcy fieldwith qualified candidates.The serviceis free to both employers and jobseekers. More than 200 jobs werelisted within the first few months.

The popular ABI Network Updatealso benefitted from a facelift thisyear. Now each bi-weekly issue isdelivered direct to members’ emailinbox in an attractive and easy-to-read (HTML) format. Each Updateprovides direct access to a varietyof links, such as court opinions and

committee newsletters, and an archive to past issues.

New TitlesABI published four new books during the first half of 2003. First DayMotions, by Debra Grassgreen (Pachulski, Stang, Ziehl,Young, Jones &Weintraub; San Francisco) with Prof. G. Ray Warner (St. John’sUniversity School of Law) is an insightful guide to the critical firstdays of a bankruptcy case.The book addresses the basics of adminis-trative, operational and substantive motions as well as appeals offirst day motions.The Bankruptcy Telecommunications Manual, by thebankruptcy group at Wiley, Rein & Fielding (Washington, D.C. andTysons Corner,Va) provides an overview of basic bankruptcy law for the telecom professional and basic communications law for theinsolvency professional. It examines the interrelationship and conflictbetween the Communications Act and the Bankruptcy Code.TheConsumer Bankruptcy Handbook, by Tom Yerbich (Anchorage, Alaska)covers the basics of chapter 7 and 13. ABI membership passed 9,500 in July, 2003.

The 12-month rolling growth rate is over nine

percent. More new members joined during

the first seven months of 2003 than during

any similar period in our 21-year history.

Membership retentionrates hover at or near 90percent – a figure nearlyunheard of in associationsand especially impressivegiven the diverse nature ofthe membership. More than60 percent of the nation’sbankruptcy judges are paidmembers, as are over 150 bankruptcy law professors.

ABI members enjoy a widerange of benefits, includingdiscounts on educational conferences and publications, unlimitedaccess to the daily news headlines and research sections of the website, and unmatched networking opportunities

Reporters turn to the ABI when they need

a reliable source for information in the

bankruptcy field. Over the past 12 months,

ABI and its members were cited as authorities

in hundreds of national and local news outlets,

covering both the print and electronic media.

Much of the media coverage centered on the

continued rise in personal bankruptcies and

the prospects for new legislation.

ABI’s public affairs efforts are also geared toward enhancing publicunderstanding of bankruptcy’s implications for the national economy.Toward that end, new in 2003 is a partnership with Sky Radio, thebusiness news channel of the nation’s air carriers. ABI produced amonthly segment called “Bankruptcy Today” featuring prominent professionals addressing current developments. Segments coveredeconomic forecasting, trends in corporate finance and reorganiza-tion, the emerging crisis of asbestos litigation, the treatment of laborand employment issues in bankruptcycases, and changing consumer attitudestoward debt.The shows aired throughout 2003 on the in-flight networks of United, American, USAirways, Northwest and Delta airlines.

The American Bankruptcy Institute Law Review

is the nation’s largest circulation bankruptcy

law review. Edited by the top students at

St. John’s University School of Law, it is

published twice each year by West Group.

The first issue, published in 1993, dealt exclusively with the theme of single asset real estate cases. Succeeding issues have usually featured a single theme, such as consumer bankruptcy, technologycases, healthcare bankruptcy, ethics, international insolvencies andbankruptcy taxation, among other themes.

The Winter 2002 issue was an open (non-theme) issue with three articles addressing different aspects of claims trading and two articles on the engagement rules for employment of turn-around managers and financial advisors. Included was a piece on the controversial concepts of indemnification and exculpation of these professionals.

The Spring 2003 issue featured a transcribed and annotated round-table discussion on new corporate governance issues in the wake of the accounting and financial scandals of the previous year.The session was colorfully titled: “Remembering When - Recollections of a Time When Aggressive Accounting, Special Purpose Vehicles,Asset Light Companies and Executive Stock Options Were PositiveAttributes”. A featured article in the Spring issue addressed the hot topic of retention and severance packages for key employeesand insiders.

Prof. Robert M. Zinman (St. John’s University School of Law), a pastABI President and Chairman, has served as the faculty advisor andchair of the Law Review Advisory Board since the inception. Prof.Zinman will be succeeded by Prof. G. Ray Warner, who also servesas the new director of the LL.M. program at St. John’s. Each issue of the Law Review also publishes a thesis by a graduate of the LL.M. program.

Each of ABI’s national conferences contains an educational panel on cross-border topics.The 2003 Winter Leadership Conferencefeatured a program on airline reorganization with a focus on the Air Canada case.

ABI is the largest of 32 member associations in INSOL International,the worldwide federation of insolvency professionals. ABI andINSOL created www.globalINSOLvency.com, a new website devotedto international insolvency.The website was launched during INSOL’s2003 conference in the Americas (in Las Vegas).The 2003 ABISouthwest Bankruptcy Conference, also held in Las Vegas, held apanel on cross-border current developments as a segue to theINSOL conference.

Also new this year is a primer on thenew European Union Regulations onInsolvency Proceedings, written byProf. Bob Wessels, a Dutch lawyerand noted commercial law professorat Vrije University in Amsterdam.The book covers jurisdictional issues,winding up proceedings such as theappointment of a liquidator, recogni-tion of judgments, creditors rightsand other provisions.

among those planning careers in

bankruptcy fields.

National Moot Court CompetitionA record 28 law schoolscompeted in the 2003Conrad B. DubersteinNational Moot CourtCompetition.The event, nowin its 12th year, is the onlynational competition devotedto bankruptcy. It is held eachyear at the U.S. Court ofAppeals for the SecondCircuit and is named in honor of Judge Duberstein, a former member of the ABI Board of Directors and the Chief Judge of the Eastern District of New York.The 2003 competition was won by the University of Miami School of Law, coached by ABI DirectorPatricia Redmond (Stearns,Weaver et al.).

Annual LL.M. ScholarshipEach year the Institute also awards a $10,000 scholar-ship to a graduate law student in the bankruptcy LL.M.program at St. John’s University School of Law.TheLL.M. program is the only one of its kind, and theaward reflects ABI’s long partnership with St. John’s.

Medal of ExcellenceABI presented the 2003 Medal ofExcellence in Bankruptcy to over100 top students around the coun-try. Medal recipients are selected byeach law school’s bankruptcy faculty,and typically receive their awardsduring school commencement exer-cises.Winners receive engravedmedals and certificates of achieve-ment, as well as a complimentary one-year ABI membership. Kellogg is the nation’s top graduate business school. ABIwill administer the program, sponsor a faculty stipend and providefinancial awards for the winning schools.

As the only national board certification for bankruptcy

and creditors rights attorneys, the American Board of

Certification (ABC) continually seeks new and innovative

ways to enhance the value of board certification.This year,

retired judges were added to the Board of Directors to

gain their invaluable insights into the certification process.

The 2003-2004 Directory of Board Certified Attorneys

was distributed to over 9,000 judges, bankruptcy and

creditors rights professionals as well as others who are

constantly in need certified attorneys. Additionally, more

than 75,000 visitors are expected to the ABC website

(www.abcworld.org) during the year by those seeking

valuable information regarding ABC certified attorneys

and the ABC certification programs.

According to the American Board Association, approximately 30,000 attorneys are board certified in one or more practice areas.We havedemonstrated the value of the rigorous ABC certification process in that the number of certified attorney continues to rise and ourretention rate for certified attorneys averages 97%.ABC will soongrow to over 1,000 certificate holders.This growth reflects the trendamong attorneys and law firms in recognizing the value of board certification and firms encouraging their eligible attorneys to becomecertified.The Board recently implemented new procedures to make iteasier for firms seeking to have multiple attorneys certified. Recognitionof ABC certification continues at the state level as well.The ABC programs gained additional accreditations from the Ohio SupremeCourt and the Indiana Supreme Court, and the Iowa and ArkansasSupreme Courts enacted rules changes that recognize certification.
