We have audited the accompanying statements of financial position of ‘Olelo Community Television (a Hawaii nonprofit corporation) as of December 31, 2005 and 2004 and the related statements of activities, and cash flows for the years then ended. We conducted our audit in accordance with auditing standards generally accepted in the United States of America as established by the Auditing Standards Board of the American Institute of Certified Public Accountants. NOTE, A SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES
The financial statements of ‘Olelo Community Television (‘Olelo) have been prepared on the accrual basis of accounting. A summary of the significant accounting policies consistently applied in the preparation of the accompanying financial statements follows.
1. Financial Statements
To ensure observance of limitations and restrictions placed on the use of resources available to ‘Olelo, the financial statements of the corporation are prepared in accordance with the principles of fund accounting. This is the procedure by which resources for various purposes are classified for accounting and reporting purposes into funds established according to their nature and purposes.
The assets, liabilities and net assets of ‘Olelo are reported by the following funds:
Unrestricted
Unrestricted net assets consist of all resources of the corporation which have not been specifically restricted by an external party.
Temporarily Restricted
Temporarily restricted net assets consist of cash and other assets received with stipulations that limit the use of such assets. When a restriction expires, that is when a stipulated purpose restriction is accomplished. temporarily restricted net assets are reclassified to unrestricted net assets and reported in the statement of activities as net assets released from restrictions. Temporarily restricted net assets are restricted for acquisition of property and equipment.
2. DDepreciationandAmorization
Property and equipment with lives in excess of one year and cost of more than $500 are capitalized and stated at cost.
Depreciation of equipment is provided over the estimated useful lives of the respective assets on a straight-line basis. Leasehold improvements are amortized over the life of the lease or service lift: of the improvements, whichever is shorter, on a straight-linebasis.

3. Inventory
Inventory consists primarily of blank video tapes and is stated at the lower of cost or market, determined by the first-in, first-out method.
4. Investments
Investments arc presented in the financial statements in the aggregate at fair value. Fair values are based on quoted market prices. Investment income is reported as an increase in unrestricted and temporarily restricted net assets.
5. Use of Estimates
In preparing ‘Olelo’s financial statements, management is required to make estimates and assumptions that affect the reported amounts of assets and liabilities. The disclosure of contingent assets and liabilities at the date of the financial statements, and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates.
6. Cash and Cash Equivalents
For purposes of the statement of cash flows, ‘Olelo considers commercial paper and corporate bonds purchased with an original maturity of three months or less to be cash and cash equivalents.
7. Accounts Receivable
The majority of ‘Olelo’s receivables are made up of rent receivable from tenants and other trade receivables. Accounts receivable are due due within 30 days and are stated as amounts due from tenants or others. There was no bad debt expense for the fiscal years ended December 31, 2005 and 2004.

NOTE B -NATURE OF OPERATIONS AND FUNDING
‘Olelo is a nonprofit organization formed to manage the public, educational, and governmental access channels on Oahu to be provided by cable television operators. It has been designated as the recipient of certain cable access operating fees and facilities and equipment funding by the State of Hawaii as part of the State's franchise agreement with a cable television operator. The capital funding is $823,000 annually from January 2004 through January 2009. The access fee is the amount paid in the prior year adjusted for the change in the consumer price index or an amount equal to 3% of certain of the cable operator’s revenues, whichever is less.
‘Olelo’s agreement with the State has been extended numerous times and is presently extended to June 30, 2006. ‘Olelo believes that its agreement with the State will continue to be extended until such time as the State decides on how to formally procure the services ‘Olelo presently provides.
NOTE C -COMMITMENTS
1. In December 1998, ‘Olelo entered into an agreement with the Hawaii Educational Networking Consortium (HENC) to manage various educational grants. The term of the agreement is January 1999 through December 2002, subject to annual review by ‘Olelo. Payments will be made as directed by HENC. In 2000, the requirement to continue funding HENC was incorporated in the State’s franchise agreement with the cable television operator at an amount equal to 25% of the access fees received The 2006 commitment for these grants amount to approximately $527,553 based on access fees received as of April 19, 2006.
2. ‘Olelo conducts its operations primarily from a building located on leased land under a noncancelable operating lease, which terminates in October 2044. The lease provides for payment of specified annual rent up to September 30, 2008. The rent for the remaining term of the lease shall be determined by mutual agreement. Total rent expense amounted to $464,386 and$ 439,458 for 2005 and 2004, respectively.
‘Olelo has also entered into several agreements to sublease portions of its property. These agreements terminate at August 2006, November 2007, and June 2016, respectively. Amounts related to these subleases are recorded in the statement of activities as rental revenue.
The minimum rental commitments, excluding sublease income. under operating leases are as follows:

NOTE D - FUNCTIONAL ALLOCATION OF EXPENSES
The costs of providing various programs and other activities have been summarized on a functional basis in the statement of activities.
NOTE E - INCOME TAXES
‘Olelo is a tax-exempt organization under Section 501(c)(3) of the Internal Revenue Code and, therefore, the financial statements do n o t reflect any provision for federal income taxes.
NOTE F -BUSINESS AND CREDIT CONCENTRATIONS
Financial instruments which potentially subject ‘Olelo to concentrations of credit risk consist principally of cash, investments, and accounts receivable.
‘Olelo maintains cash balances at a financial institution located in Honolulu, Hawaii. Accounts are insured by the Federal Deposit Insurance Corporation up to $100,000 At December 31, 2005, uninsured amounts held at this institution total $1,386,000. ‘Olelo has not experienced any losses in such accounts and believes it is not exposed to any significantcredit risk on cash and cash equivalents.
All of 'Olelo's revenues are from access fees from a cable television franchise on the Island of Oahu, Hawaii. ‘Olelo also receives capital support from the franchisee for equipment and property.
NOTE G - PENSION PLAN
‘Olelo sponsors a difined contribution pension plan that provides pension benefits to all full-time and certain part-time employees after one year or 1,000 hours of service. The company contributes 4% of the participant‘s compensation.
Defined contribution pension expense for 2005 and 2004 was $63,941 and $62,163, respectively.

PEG ACESS PROVIDER Activities and Responsibilities
Overview: `Ōlelo is a private non-profit corporation that was created in 1989 to serve as the Public, Educational and Governmental (PEG) access provider for O`ahu under contract to the Department of Commerce and Consumer Affairs (DCCA). That includes managing PEG access finances and operating the PEG facilities, channels and other resources for the island of O`ahu. In its Public role, `Ōlelo serves as the electronic equivalent of the “soapbox in the park,” providing a mechanism that allows private citizens to exercise their First Amendment rights.
The contract with the DCCA describes PEG access as “a media resource that promotes community development and lifelong learning; facilitates communication; and increases civic participation in the democratic process.” `Ōlelo accomplishes this by providing equipment, production training, facilities and staff support to each of the three sectors (public, educational and governmental) that allows each sector to create and cablecast programming on channels assigned to `Ōlelo. In accordance with its contract with the DCCA and with broad policy direction from its Board of Directors, `Ōlelo provides the following in support of the P, E and G sectors:
Function #1. Administrative and Management Structure and Services
Provide management and general administrative staff support to meet operational needs and ensure compliance with State and Federal laws and DCCA contract requirements. This function includes, but is not limited to;
• Human resources (HR) support for the operational staff including recruiting, staffing, performance management, training, compensation, benefits, safety, health, compliance with federal and state requirements such as OSHA and FLSA, statutory benefits (such as Workers’ Compensation, Unemployment, Temporary disability, and Prepaid Healthcare), separation and retirement.
• Finance and accounting support to receive, account for, manage and disburse funds including cable access fees, capital funds and other revenue such as investment income, grants, and tenant payments. This includes purchasing of goods and services, maintaining and updating inventory records, as well as coordinating leases, contracts, grant compliance requirements, insurance coverage, the annual audit, facility services and other related matters.
• Facilities management, maintenance of all systems (i.e. air conditioning, plumbing, security cameras, and electrical), construction oversight of renovations, and control of property and equipment.
• Administration of legal services under contract.

• Administration and fulfillment of insurance requirements, such as:
o ERISA Bond
o General Liability
o Broadcasters’ Liability
o Replacement of Equipment and Facilities
o Directors and Officers Liability
o Automobile Insurance
o Other Coverage as Necessary
Function #2. Management of PEG Channels Allocated for PEG Access
This function requires the management of six PEG channels on Oceanic’s system, four of which are streamed live on the Internet. Management involves both technical and programming subfunctions.
• Technical responsibilities include providing the engineering and technical staff to manage and maintain the headend interface between facilities, as well as technical oversight and system monitoring to ensure proper playback operations and signal quality. Subtasks for this function include, but are not limited to, on and off air operations, work related to playback hardware and automation systems, systems configuration, the intake and distribution of live programs from various locations, and the operation, maintenance and repair of both wide-area and local-area networks. Engineering support, maintenance and repair of internal equipment are essential elements of this function.
• Programming responsibilities include ensuring equity and fairness in the intake and entry of programming, providing creative and technical staff and resources to develop, maintain and enhance the architecture of the channels, assigning programs (to include fillers) to appropriate channels and time slots, and producing channel promotional spots for channel identification. Program promotion to encourage viewership is also included within this function. Additionally, programming information must be provided to national listing services so that viewers can determine program times and channels.
Function #3. Operation of Facilities and Equipment for the Production of Programming to be Cablecast on the PEG Access Channels
This function requires the completion of all tasks to operate and provide facilities and equipment for six community media centers (CMCs) on O`ahu for the production of programming by the

public, educational institutions and governmental entities. In addition, this function requires the commitment of dedicated equipment for the creation of programming by the State Legislature, the City Council and City Administration. Required equipment includes sufficient video cameras, camcorders, non-linear edit stations, and production accessories necessary to produce programming. Essential subtasks include production training, editing, and provision of field package equipment for use on single camera or multi-camera productions. Operational subtasks include:
• Operating CMCs on three public school and two community college campuses. These educational facilities require training in production and use of camera and edit equipment, as well as equipment for multi-camera productions and the capability to transfer video from many formats to one that can be cablecast and streamed. Current operational facilities are two studios at Mapunapuna, and individual studios at the Waianae, Palolo and Leeward Community College (LCC) locations. Conditions for use of facilities owned by the educational institutions must be negotiated with the individual educational institutions.
• Operating a Principal CMC to provide the following capabilities:
o A major production studio, extensive audio, graphics and a full studio lighting system for either taped or live productions. Training must be provided to potential studio users.
o A mini-studio with robotic cameras that allow programs to be created without production training.
o A field production truck equipped for multi-camera productions that can be taped or cablecast live at various locations.
o Satellite downlink capabilities that bring in non-commercial programming of community interest by satellite.
o Webstreaming and maintaining a website where programming from four channels can be simulcast on the internet.
• Operation of Mobile service for training and production at locations away from principal facilities.
Function #4. Training of Educational, Governmental, Community Organizations and the General Public in the Use of Access Production Facilities and Equipment
Provide training for all sectors (P, E and G). Training includes both group sessions and individual mentoring in the following areas:
• Producer training requires teaching of the basics of the producer role in all aspects of video production.

• Camera operation training requires the teaching of the basics of camera operation.
• Edit training requires the teaching of basic to advanced non-linear video editing.
• “Feather Pack” training requires instruction on procedures and equipment needed to accomplish a multi-camera “switched shoot” in the field.
• Advanced Camera instruction requires training on professional camera equipment and accessories. It includes:
o Reviews of the important aspects of lighting for video production.
o Instruction on use of professional video monitors to ensure quality images, framing and correct color.
• Linear Edit Class requires instruction on the basics of video editing using a linear edit bay.
• Advanced Classes must be provided to meet the growing skills and needs of PEG Access producers.
• Studio Training is required to teach the basics of studio production in all key crew positions including director, floor manager, studio camera operator, as well as switcher, graphics, teleprompter, audio, and video tape recorder (VTR) operation.
• Electronic Field Production (EFP) Van Class required to instruct studio-trained clients on how to accomplish a multi-camera studio shoot in the field using an EFP van.
• Mentoring must be provided to assist individuals involved in all training.
Function #5. Marketing and Promotion of the Access Center, PEG Access Channels and Programs
Enhance the PEG Access Program through marketing, which must include;
• Design of print material such as newsletters, brochures, outreach materials, annual reports that explain services, CMC locations, channels and programs.
• Video promotions such as video reports, magazine format programs and/or specific service spots or on-air educational spots.
• Use of other media, including websites and on-air bulletin board programming.
• Marketing image campaigns via print, radio and television
• Establishing a strategic presence at community events, both large and small scale.

Function #6. Support to Users of the PEG Access Facilities and Equipment to Include Assistance in the Production of Access Programs and Support of Special Services
Enable community organizations to have their events video taped and cablecast by certified volunteers. Ensure people and organizations can use PEG facilities to inform their communities about specific issues.
Function #7. Outreach Program
Develop outreach program to promote public involvement and participation in PEG programs and enhance value of programming to community.
Function #8. Develop Partnerships With Educational Institutions and Government
Create partnerships with the educational community and all sectors of government.
• Education
o Comply with DCCA standards for commitment of franchise fees to the Hawaii Educational Network Consortium (HENC) to support educational access.
o Manage the headend interface for the E channels (55 and 56) with Oceanic by installing and maintaining the appropriate equipment and by providing monitoring and technical oversight to ensure proper operation and signal quality.
o Cooperate with the DOE in the operation of community media centers (CMCs) on three public school campuses. Provide video production training and production support for teachers and students. Provide equipment necessary for DOE faculty to train students or develop productions to be shown on PEG channels.
o Cooperate with the University of Hawaii in the operation of jointly-staffed and equipped community media centers (CMCs) on two community college campuses. Provide video production training and production support for teachers and students.
• Government
o Federal Government. Support production and cablecasting of Federal Government programs, such as the Fair Housing Program.

o State Government.
1. Provide and maintain dedicated equipment at no charge to the State Legislature to allow simultaneous cablecast and internet streaming of two separate legislative sessions.
2. Train State production crews at no cost and support additional State programming.
o City and County of Honolulu
1. Provide and maintain dedicated equipment at no charge to the City Administration and City Council to allow live cablecasting and internet streaming of City Council sessions or related events produced by the City Administration.
2. Support production and cablecasting of City government programming.
3. Provide additional production support, staff, equipment (EFP truck, microwave hookup, etc) and channel space to the City, at no cost, to produce and cablecast special events such as Honolulu City Lights, the Mayor’s State of the City Address and City Council meetings that originate outside Honolulu Hale.
