SIL –SPECIAL TERMS AND CONDITIONS

The tender quantities shall be distributed in the following manner:

1. The bids of all eligible bidders will be opened as per Qualification criteria. 02 Nos. samples each of the L1 & L2 tenderer will be selected for internal testing and for ICAT/ARAI approval. If the samples of either or both fails in testing, then next one in sequence i.e. L3 will be considered for testing and so on as per circumstances.

2. There will be a pre-bid meeting after floating the tender and 10 days before bid opening date which will

be on 03/05/2019 at 11.00 Hours in SIL premises.

3. The following special terms and conditions without any deviation are required to be adhered to:

(A) The 02 nos. of Prototype Motors along with matching Controllers for Electric Vehicle being manufactured by

Scooters India Ltd are to be provided within 06 weeks of written communication by SIL. Both the Motors and

Controllers should have regenerative braking provisions. After successful endurance trial and performance

validation the Motors & Controllers along with the vehicle will be sent to ICAT– Manesar (Govt. Of India Agency)

for component level testing under AIS 041 and for following tests :-

Electric Motor characterization and Performance evaluation.

Environmental Simulation Test (Temperature and Humidity Cycles)

Load test / No-Load Test-(Constant Speed, Constant Torque)

Motor & Controller Performance Analysis

Overall Efficiency Analysis/ Coolant Efficiency Analysis

Transient Cycles / Driving Cycles/ Other Tests if any specified by ICAT/ARAI from time to time.

(B) The Motor and matching controller shall also be subject to Electric Power train test on vehicles for –

Construction and Functional safety requirement to meet AIS 038 .

(C) Both the motors & matching controllers shall have to qualify for EMC and EMI test as a component level.

(D) Both the Motor and matching Controller should qualify also for vehicle level test as per AIS 004.

(E) All technical support as and when required should be provided by the party, till completion of the Type

Approval Activities of Electric vehicle at ICAT – Manesar and also at SIL – Lucknow.

(F) The Cost of the Type Approval charges for the vehicle at ICAT – Manesar will be borne by SIL and the testing

charges for both Motor and Controller as individual components level test will have to be borne by the vendor.

(G) Upon successful completion of Type Approval Test for Motors & matching Controllers for the SIL Electric

vehicle, SIL shall reimburse the cost of 02 Nos. of prototype motors & controllers at L1 rates after obtaining Type

Approval Certificate.

(H) In case both the Motor and Controllers fails to qualify both individual component level test and the Type

Approval test of Electric Vehicle, no cost shall be reimbursed by SIL and the tested samples shall be returned to

the vendor at their cost. No claims for the same shall be entertained at later stage.

(I) Upon matching of L1 rates (Cost to SIL), L2 will get 30% of the tendered quantity.

(J) SIL reserves the right to inspect the facilities by a team of officers for checking the manufacturing facilities of

bidders by the manufacturing where by the mfg. activities, testing facilities should be clearly demonstrated and

either motor/controller be manufactured by its own.

(K) Check list must be filed up and enclosed by vendors.

(L) The quoted prices shall be FIRM for full supply of order with guarantee / warranty support.

(M) The payment terms shall be 45 days direct credit from the date of receipt of material at SIL.

(N) The supply shall be strictly as per scope and Bid at Annexure-I

(O) The delivery term shall be “FOR SIL Store”.

(P) The validity of PO shall be 02 years and further may be extended for 01 year in case quantity is not

consumed.

(Q) SIL encourages startups as per Make in India Policy

(R) Call Escalation Matrix with name, designation, mob. no. and email Id on letter head must be enclosed.

Annexure-VIII

MINIMUM QUALIFICATION CRITERIA A. Vendor should be a regular manufacturer & OEM supplier for subject / similar tendered items to

industries preferably automotive. Vendors must enclose desired documents like sale invoices / copies of purchase orders issued within the past 03 years period to substantiate above, along with the Bid. If a particular vendor does not have either of the item, they can tie up with other OEM and give as a single bid.

B. New Vendor should fill-up the vendor registration form & submit the same along with the tender documents. Vendor registration form can be downloaded from our website www.scootersindia.com and duly filled Form should be attached with the Bid.

C. The Company Profile and Brochure should be invariably attached with the tender documents. D. The vendor should also enclose and furnish the manufacturing and testing facilities and

infrastructure available with them for the subject items which may be subjected to verification by a team of the company.

E. Vendor should have the sum of minimum turnover of Seven crores five lakhs (Rs 7,05,00,000 /-) in last two consecutive years (for MSME minimum turn over should be Five Crore eighty seven lakhs (Rs 5,87,00,000/-). The vendor must furnish relevant documents i.e. audited balance sheet, profit –loss account statement of last 2 financial year’s i.e. (2016-2017 and 2017-2018) etc. confirming the turnover. If the bidder does not fulfill the above said financial criteria than they have to give a security deposit of Rs. 5,00,000 to SIL in form of FD/BG drawn on a schedule bank favoring SIL valid for 02 years . SIL will not pay any interest on the same.

F. Offers of only manufacturers having valid ISO 9001 certification shall be considered. However in case if a vendor who is a manufacturer of either electrical motors or controllers, they may tie up with respective other OEM’s for supply of electrical DC motor or matching controller or allied components. But the same needs to be declared by the vendor on their official letter head. Such tie ups should have been declared separately at the time of submission of bid documents. No post tie ups after bid opening will be allowed.

G. Integrity pact should be signed & accepted by the bidder. H. Offer of only those bidders will be considered who shall agree to provide 02 nos. of Prototype

Motors along with matching controllers for Electric Vehicle being manufactured by Scooters India Ltd. Both the Motors and Controllers should have regenerative braking provisions. After successful endurance trial and performance validation the Motors & Controllers along with the vehicle will be sent to ICAT– Manesar (Govt. Of India Agency) for component level testing under AIS 041 Indicative list of tests undertaken by ICAT/ARAI are as follows:- Electric Motor characterization and Performance evaluation.

Annexure-IX

SCOOTERS INDIA LIMITED LUCKNOW

PRICE VARIATION FORMULA: (Column B & C to be filled by vendor at the time of submission of offer).

*CONDITIONS: 1. Price will be reviewed yearly in a financial year and will be considered if variation is beyond ± 5%. In any case escalation beyond 10% of the

material cost for the whole year shall not be allowed.

2. No increase shall be considered on account of labour and overhead etc.

3. The reference data for tendered commodity available in public domain/ SIAM/ Office of the Economic Advisor. Base rate will be reckoned as the

date on which P.O. will be awarded. Further the difference in Index/rates on 12 months period will be applied on 1:1 basis on the settled rates

for price variation claimed if it is more than +/-5 %. Incase of reduction also, the same criteria will be followed in same proportion.
