3.2 Installation-Configuring

1 ConfigureTrendDevicetoCommunicatewithModem(Contact Trend for any queries)

Note: The Sim and Modem require activation and this can take up to 72 hours. To activate the modem and sim contact the Trend Bureau on +44 (0)1403 226500 or email [email protected]. Provide the sim phone number (located on the packaging), the IMEI number (located on the modem), the site name, the IP address and subnet mask of the modem, plus the IP address and port numbers of the Trend Ethernet device to which the modem is to connect.

1. Set your PC to an address in the modems LAN address space. By default the modem address is set to 192.168.13.31 so use 192.168.13.251 or similar with a subnet mask of 255.255.255.0

2. Connect an Ethernet cable between the Ethernet port on your PC and the Ethernet port on the modem. Run up the browser and enter the following address into the URL: 192.168.13.31:9191. You should get the login page.

3. Use the default user name (user) and password ‘12345’ to login:

4. Make a note of the IP address, this is the external WAN IP address that you will use to connect over the Internet using VPN.

5. Check the signal strength it should be -65 or less.6. Select the security tag:7. Select enable for port forwarding from the drop down

menu options.8. Press apply

9. Obtain the IP address of the Trend device containing the vCNC that is to be used to connect to the system (IQ3, IQ4, XTEND etc).

10. Obtain the UDP port of Trend device containing the vCNC ( IQ3, IQ4, XTEND etc)

11. Press ADD to add a port forwarding rule.12. Enter the VCNC port number into the public Start port

the Public End Port and the private Start port.13. Enter the IP address of the Trend device into the host

IP field.14. Select TCP & UDP as the protocol.

15. Press Apply. In this example the UDP port on the WAN is the same as the UDP port on the local LAN. You can make them different. Then reboot the TCONN/LS300 modem using the Reboot option from the menu items.

16. To connect the Trend applications ( SET, 963 etc ) to the Trend system, run up the VPN service on your PC. Run up the Trend application and use external WAN IP address of the TCONN/LS300 modem with the external WAN port number to connect to the vCNC of the Trend Devices.

4 CONNECT TO REMOTE SITE uSING VPN CLIENT

1 Install the VPN client2 Run the VPN Client (Start > All Programs > Trend Connect > Trend Connect).3 The username and password as provided by Trend should be auto-filled.4 Click Connect. Remote connection to the Trend device has now been made.5 Use the IP address provided by the Trend Bureau and the port that was setup on the TCONN/LS300 modem

to connect to the site via 963, TEM or SET.

6 TREND CONNECT uK COMMERCIAL TERMS AND CONDITIONSPurpose: M2M applicationsTerritory: UK.SIM delivery and activation: Trend shall use reasonable endeavours to deliver standard SIM cards within 2 days of planned

delivery date on the Customer order and within forecast. Orders which are in excess of the Forecast, Trend will use reasonable endeavours to deliver standard SIM cards within 4 weeks of the planned delivery date on customer Order. However time shall not be of the essence.

SIM usage: Customer will ensure that the GSM module or any other equipment within which the SIMs are used have been approved by Vodafone

Charges: Charges for GDSP Airtime Services are set out in the Trend Control System UK Price List applicable at the time. Charges not specifically set out in this agreement shall be charged at standard list price.

Data Limit and Overage: See “Charges Schedule” below.

Key PointsPricing is based on the following conditions:

1. Pricing is in GBP and excludes VAT and applicable sales taxes;2. A minimum of 12 month contract term per SIM, “SIM Contract”;3. The SIM contract can be terminated by either party by giving 30 days notice which does not expire prior to the end

of the initial SIM Contract;4. Available Networks are specified in Appendix 1 are subject to changes;

BuNDLES and OVERAGE1. The Standard Data Bundle is 30MB per month.2. Usage incurred over the specified bundle amount will be charged at the overage prices listed in the table above;3. Overage will be charged per MB, rounded up to the nearest KB on a per session basis4. Unused bundle data cannot be rolled over in to subsequent months.

7 M2M GDSP AIRTIME SERVICES TERMS AND CONDITIONS1 Definitions1.1 In this Agreement, the following words and expressions shall have the meanings given below:

Active-Live Describes the SIM status where the service and charging are fully enabled and the SIM is available for full commercial use.

Active-Suspend Describes the SIM status where the service is blocked but charging (for the SIM) continues; the SIM is temporarily suspended.

Applicable Law Any relevant local, national and international legislation, directives, regulations and/or statutory instruments and any requirement of a regulatory authority (or persons authorised on their behalf) under the authority and/or any such legislation, directives, regulations or statutory instruments

Connectivity Services

The transmission of data by the Vodafone to an installed and activated SIM in the Territories

End User The ultimate end user of a SIM.Equipment Any equipment using SIMs provided by Vodafone in accordance with this AgreementForce Majeure Event

an event beyond the control of a Party (or any person acting on its behalf), which by its nature could not have been foreseen by such Party (or such person), or was unavoidable, and includes, without limitation, acts of God, storms, floods, riots, fires, sabotage, civil commotion or civil unrest, interference by civil or military authorities, acts of war (declared or undeclared) or armed hostilities or other national or international calamity or one or more acts of terrorism or failure of energy sources

GDSP Vodafone Global Data Services Platform; a dedicated management platform for global M2M connections, which has been optimised for large scale and multi-country deployments of customer M2M solutions.

Inactive Describes the SIM status where there is no access to service and no charging; this applies until the SIM is activated.

Intellectual Property Rights

Patents, registered and unregistered trademarks and service marks, domain names, registered designs and design rights, copyright (including such rights in computer software and databases), database rights and moral rights (in each case for the full period thereof and extensions, revivals and renewals thereof), applications for the foregoing and the right to apply for any of the foregoing anywhere in the world, and all similar rights anywhere in the world including those subsisting in inventions, designs, drawings and computer programs.

2. Services and Coverage2.1 Trend shall use reasonable endeavours to provide the Customer with the Services and to ensure the security of Customer’s

communications at all times. However, due to the nature of mobile technology, it is impossible to provide a fault-free service.2.2 Trend may suspend the Services: (i) due to maintenance or testing of the Network; (ii) during any technical failure of the

Network, (iii) when it is necessary to safeguard the security and integrity of the Network or to reduce the incidence of fraud; or (iv) due to Emergency Planning Measures. Trend shall endeavour to keep all such suspensions to a minimum and shall give customer notice of such suspensions where reasonably practicable.

2.3 Where relevant, Trend shall use reasonable endeavours to give the Customer access to Overseas Networks; however, Trend shall not be responsible for the performance of Overseas Networks or any part of the Network. Overseas Networks may be limited in quality and coverage and access and service availability depends on the arrangements between the Network and Overseas operators.

2.4 All SIM’s provided under this Agreement are intended for use with M2M services enabling Trend BEMS comms only. Use of Trend Connect for other purposes is prohibited.

3. Customers use of Services3.1 The Customer shall only use the Services, and shall procure that any End Users will only use the Services, for the Purpose

in the Territory in accordance with this Agreement, all Applicable Laws and any instructions or conditions notified to the Customer by a MNO or the Supplier, which in the Suppliers reasonable opinion prevent (i) the transmission of illegal material; or (ii) the Services from being impaired or damaged; or (iii) any breach of this Agreement.

3.2 The Customer shall remain primarily liable for the acts or omissions of any End user as if they were the Customers’ own acts or omissions. Without prejudice to the foregoing, the Customer shall be liable for the payment of all charges or Fees payable in accordance with this Agreement.

3.3 The Customer shall ensure that it or the End User only use devices that are compatible with the MNOs Network and Platform and that Equipment is used in accordance with any specifications provided.

3.4 The Customer shall, and shall ensure that End users shall, comply with all instructions reasonably issued by the Supplier or MNO regarding care and treatment of SIM Cards.

3.5 The Customer shall ensure that any Services supplied under this Agreement shall be used by itself and its End Users solely for the Purpose and not in any way that:(a) involves the transmission of voice (including VOIP) unless expressly agreed otherwise by the Supplier;(b) would violate copyright, trademark, trade secret or other property right of any third party;(c) interfere with other users’ use of a network or of the Platform; or attempts to penetrate security measures whether

or not the intrusion results in the corruption or loss of data;(d) uses the Services or software related to Internet relay chat (“IRC”), peer to peer file sharing (“P2P”), bit torrent, or

proxy server network;, spamming, the sending of bulk unsolicited emails or commercial messages or maintaining an open SMTP relay;

(e) could lead to death, personal injury, or severe physical injury or environmental damage (for example life support machines) due to the failure of the Services.”

3.6 Notwithstanding clause 3.7e below, the Customer shall be entitled to sell its own Products incorporating the SIM to End Users, to the extent necessary to achieve the Purpose.

3.7 The Customer shall not and shall procure that its End Users shall not:(a) modify, adapt, alter, translate, or create derivative works from the Services or the SIMs;(b) merge or use the SIMs with any other hardware, software, products or services other than pursuant the Purpose or

as expressly authorised by the Supplier;(c) sublicense, lease, rent, loan, disclose or otherwise transfer the SIMs to any third party (i.e. parties unconnected to

the Purpose, not End Users);(d) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source or object code of the SIMs or

any software running on the SIMs;(e) save for Customer’s resale of the services to the End User in accordance with this Agreement, resell or use the

Services to provide any services to third parties or permit third parties to remotely access and use the Services or use or allow the SIMs to be used to develop a product line that is similar to the SIMs, save to the extent necessary for the Purpose;

(f) publish any results of any benchmark or performance tests of the SIMs, the Operator Networks, Services, or component thereof (such restriction shall not restrict the End User from publishing performance results as specifically related to its or the End Users machines or equipment and not to the Services);

(g) use the SIMs for any purpose other than for the Services in relation to the Purpose and specific applications as agreed in writing by wilfully or negligently use or permit the use of the SIMs, so as to cause the operation of a Operator’s Network or the quality of the Services to be jeopardised, impaired or interrupted or to interfere with the integrity or security of any telecommunications or IT network or system; or

(h) otherwise use or copy or allow use of the SIMs except as expressly allowed under this Agreement.

3.8 In the event that data usage over the monthly bundle is recorded then the Customer will be notified within 30 days of the overage event. At this time the customer /End User will have the options as follows:(a) Actively work with the supplier to reduce the data usage to within the monthly data bundle provided. A maximum 3

month period shall be allowed prior to overage charges being applied.(b) Pay additional charges based on the data usage and the rates notified above. Charges will be billed monthly in

arrears strictly according to actual usage.(c) Agree to a non standard data bundle and appropriate tariff and pay these additional charges in monthly in advance

via Direct debit billing.(d) Agree to a cap on the data usage such that when data used in month exceeds bundle limit then the service will be

suspended until month end.

4 SuPPLY OF SIMSVodafone shall retain title to the SIMs. The risk in the SIMs shall pass to the Customer upon receiving the SIMs.

5 DYNAMIC uPDATES TO SIMS5.1 Vodafone reserves the right to send updates or upgrades to the SIMs (such updates may be required for functionality, for

intellectual property issues, or to comply with national regulations). 5.2 Notwithstanding any transfer of title in the SIMs, Customer consents, and shall obtain the consent of any End User, to the

upgrade by Vodafone of the SIMs from time to time. 5.3 For any SIMs which is not upgraded in accordance with 5.1 and 5.2 above, Supplier retains the right at all times to suspend

or deactivate these SIMs, and accepts no liability for any consequences of such suspension.

6 CONNECTIVITY SERVICES6.1 Subject to clause 3 above, the Supplier via the Operator Networks will provide Customer with connectivity on the Territory

Networks from the Effective Date subject to the appropriate bundle tariff.6.2 The Supplier reserves the right to modify the list of Connected Networks in response to commercial and regulatory

changes (including without limit where the MNOs enter into new roaming agreements and/or terminates existing roaming agreements).

6.3 Supplier shall, on the MNOs instructions, suspend a SIM if anyone has tampered with it in any way which could render billing information inaccurate.

7 PAYMENT7.1 Customer shall pay the Suppler the Fees to the bank account nominated by the Supplier in accordance with their normal

payment terms upon receipt of an invoice from the Supplier (the Due Date) in consideration for the Supplier providing the Services. Further sums may be due in the event the parties agree any alteration to the Services in accordance with the terms of this Agreement. Fees will be billed annually in advance other than overage charges which will be billed monthly in arrears.

7.2 Customer shall be entitled to use the SIMs up to the Data Limit. If the Data Limit is exceeded, Customer shall pay Supplier the Overage.

7.3 Where the Customer does not pay the Fees by the Due Date, except in the case of a bona fide dispute, the Supplier shall be entitled:(a) to charge interest on sums due at an annual rate equal to 3% over the then current base lending rate of Barclay’s

Bank Plc, at the date of the relevant invoice date, commencing on the due date and continuing until fully paid, whether before or after judgement, and

(b) if Supplier has not paid within 7 days of receiving notice of the failure to pay, to suspend the provision of any of the Services until the Supplier receives payment in full of any outstanding sums due.

8 TAXATION8.1 The Fees shall be exclusive of any applicable VAT in any relevant Territory.8.2 If VAT is chargeable in respect of any amount payable hereunder, Customer shall, upon receipt of an appropriate tax invoice,

pay to Supplier the VAT chargeable, in respect of that payment.8.3 Customer agrees to provide its VAT registration number and such other further information as the Supplier may reasonably

request in relation to any supply hereunder.

9 INDEMNITYCustomer shall indemnify and hold the Supplier harmless from and against all claims, losses, liabilities, damages, costs and expenses (including without limitation reasonable attorneys fees) (Claims) incurred by Supplier and/or any of its licensors and arising out of any actions, suits or proceedings brought by a third party against Supplier as a result of Customers or End Users use of the Services in breach of this Agreement provided that the Supplier shall not compromise or settle any Claims without the prior written consent of Customer, such consent not to be unreasonably withheld or delayed.

10 LIMIT ON LIABILITY10.1 Subject to clause 10.3 below, the Supplier shall not be liable to the Customer for any indirect, punitive, special, incidental or

consequential damages in connection with or arising out of the terms of this Agreement nor any loss of business, revenue, profits, goodwill, use, data, or other economic advantage, however they arise, whether in breach of contract (including repudiatory breach), breach of warranty or in tort, including negligence. Supplier shall not be liable to Customer if it is unable to provide any of the Services contemplated by this Agreement due to circumstance outside its reasonable control.

The Supplier shall not be liable for the acts or omissions of any Network Operator or other providers of telecommunication services.10.2 Subject to clause 10.3 below, each party’s liability for all claims arising under this Agreement shall not exceed in any 12

month period the amounts actually paid or payable in the respective 12 month period by Customer to the Supplier under this Agreement.

10.3 Neither party limits or excludes its liability for fraud or fraudulent misrepresentation or for death or personal injury caused by its negligence or the negligence of its employees, agents or sub-contractors.

10.4 The Customers liability to pay the Fees is expressly excluded from any limitation of liability.

11 FORCE MAJEuRE11.1 Either party shall have no liability to the other under this agreement if it is prevented from or delayed in performing its

obligations under this agreement, or from carrying on its business, by acts, events, omissions or accidents beyond its reasonable control, including, without limitation, national strikes, lock-outs or other industrial disputes, failure of a utility service or transport or telecommunications network, act of god, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, , fire, flood, storm or default of suppliers or sub-contractors, provided that the customer is notified of such an event and its expected duration.

11.2 The party invoking this clause shall give notice forthwith to the other party upon becoming aware of an occurrence of force majeure, such notice to contain details of the circumstances giving rise to the occurrence and use all reasonable endeavours to remove any such causes and resume performance under this agreement as soon as practical.

12 TERM, TERMINATION AND SuSPENSION.12.1 This Agreement shall be effective from the Effective Date for the period agreed and shall continue while SIMs are under

contract and shall continue thereafter unless either party serves 30 days written notice on the other party, such notice not to expire before the end of any SIM contract.

12.2 Either party may terminate this Agreement if the other party:(a) commits a material breach of this Agreement which, if capable of remedy, is not remedied within thirty (30) days of

receipt of written notice to do so;(b) becomes or threatens to become insolvent;(c) suspends, or threatens to suspend, payment of its debts or is unable to pay its debts as they fall due or admits

inability to pay its debts or is deemed unable to pay its debts; or(d) commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes

a proposal for or enters into any compromise or arrangement with its creditors other than for the sole purpose of a scheme for a solvent amalgamation of that other party with one or more other companies or the solvent reconstruction of that other party.

12.3 Upon expiry of the Term, or Earlier Termination as set out above:(a) all rights granted to Customer under this Agreement shall cease immediately and revert to Supplier;(b) Customer shall, and shall procure that any End User shall, remove all SIMs from its machines and return them to

Supplier or destroy them, as requested by Supplier;(c) All sums accrued up to the date of termination shall immediately become due and payable; and(d) each party shall destroy or return all Confidential Information belonging to the other party in relation to the Purpose.(e) any of the Parties’ rights and remedies which have accrued as at termination remain unaffected.(f) the following terms shall survive termination: this clause 12.3(f) (Survival of obligations), clause 13.5 (Governing law

and jurisdiction).12.4 Supplier reserves the right to suspend the Services (or any part of them) in any of the following circumstances:

(a) the provision or continuation of the Services would be in breach of an Applicable Law;(b) the Customer commits a material breach of this agreement which, if capable of remedy, is not remedied within thirty

(30) days of receipt of written notice to do so; or(c) the schedule of Territory Networks materially changes as a result of a change In any Applicable Law.

13 MISCELLANEOuS13.1 Notices: All notices shall be sent to the other party’s registered office as set out above by pre-paid recorded delivery or

prepaid courier. Service of notices shall be effective at the time of signature confirming receipt.13.2 Assignment and Sub-contracting: Neither party shall assign its rights and obligations under this Agreement without the

prior written consent of the other (not to be unreasonably withheld or delayed) Save that Severability: Any provision of this Agreement found to be illegal or unenforceable shall not form part of this Agreement but the remaining provisions shall continue in full force and effect.

13.3 Entire Agreement: Without prejudice to the rights of either party in relation to fraudulent misrepresentation, this Agreement represents the entire agreement between the parties relating to its subject matter and supersedes any previous agreements between the parties relating to its subject matter. No amendment to this Agreement shall be valid unless signed in writing by duly authorised representatives of each party.

13.4 Counterparts: This Agreement may be executed in any number of counterparts, each of which when executed and delivered shall constitute an original of this Agreement but all the counterparts shall together constitute the same agreement.

13.5 Governing Law and Jurisdiction: This Agreement is governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
