Both parties acknowledge and declare of their legal will and act: Preamble: The Lessor owns the industrial plot No. …………, building No. ….., Road No. ……., Block No. …… in …………… The Lessee intends to utilize the industrial plot for ……………… as per the industrial license No. …….. and the industrial registration certificate No. ………… Both parties agree to the following conditions: 1- The previous preamble shall be an integral part of this Contract. 2- The Lessee agrees to abide by Decree Law No.(28) for of 1999 with respect to the establishment and organization of Industrial Areas and to the Implementation Regulation of the same, and to any future amendments. The articles of this Decree and its Implementation Regulation are an integral part of this Contract. 3- The Lessor is handing over the industrial plot to the Lessee with all rights, easements and privileges now belonging to or enjoyed by any adjoining or neighboring property, the Lessor shall not be liable to indemnify the Lessee for these rights. 4- This Contract is for a period of …….. years commencing from the hand over date of the industrial plot. 5- If the industrial plot requires filling, leveling or reclamation, in the case of lands currently in the sea, the cost thereof shall be for the account of the Lessee, who shall have to obtain the prior written consent of the Lessor on the quality of filling used and the height of the industrial plot before commencing the works. Furthermore, the Lessor shall not be liable to indemnify the Lessee for the expenses incurred for filling or improving the industrial plot. 6- The Lessee shall get the building permit within a maximum period of nine months from the handover date of the industrial plot. 7- The Lessee shall begin the construction within a year from the handover date of the industrial plot. The Lessee shall complete the project within a maximum period of two years from the handover date of the industrial plot.

8- The Lessor has full right of inspection of the site and premises and has the right to manage and follow up the execution of works, erections and buildings. 9- The Lessor has the right to get all antiquities, and treasures which the Lessee may discover on the industrial plot during the period of this contract. Furthermore the Lessor has unconditional rights over all petroleum, natural gas and other minerals what so ever which might be discovered in or under the industrial plot. 10- The Lessee shall undertake to pay the rent on time, and shall undertake to pay any future increase regarding the industrial areas rent rates. 11- The Lessee shall undertake to pay the rent for the first year in advance. 12- The rent rates might be reviewed & the Lessor shall have the right to increase it whenever required. 13- Rentals payable to the Lessor in respect to property subject to the provisions hereof shall have lien and priority over any other preference save. 14- The Lessee shall bear and pay all governmental and principal fees, levies, taxes now imposed or to be imposed in future on the industrial plot or structures built thereon. 15- The Lessee shall comply with all the laws, legislations, provisions, orders, decrees and regulations in force in Kingdom of Bahrain in respect to building, environment, fire precautions safety, security and health or any other issues related to the industrial plot including guidelines issued by the Lessor. 16- The Lessee shall prepare the designs for the installations and obtain the prior written consent of the Lessor according to the relevant authorities and ministries including defining the boundaries as per the plans specifications and building requirements in force. 17- The Lessee shall not change, alter or renovate any buildings or structures unless the same are executed in accordance with plans and specifications authorized by the prior written consent of the Lessor. 18- The Lessee shall not use the roads in the area for parking cars, equipment, containers or any other wastes outside the industrial plot.

ـــة ـــة والتاظيمي ـــا للقواــــد اإلداري ـــارات والماشـــآت وفق العق، وأيــة عــديالت أو الييــرات قــد طــرأ ـليهــا المطبقــة حاليــا
مستقبال .
19- The Lessee shall provide adequate car parks within the boundaries of the industrial plot for loading and unloading of goods as well as spaces for the employees, customers and visitors of the company, the Lessee shall provide landscaping compatible with the purposes of the project. 20- The Lessee shall avoid placement of any obstacles in the entrances leading to the industrial plot. 21- The Lessee shall construct a fence and erect direction signs at the main entrance of the industrial plot clearly showing the name of the leasing company and its address after obtaining the written consent of the Lessor on the design thereof. 22- The Lessee shall avoid or refuse to permit to place any posters or advertising signs on the buildings or installations erected on the industrial plot without the prior written consent of the Lessor. 23- The Lessee shall maintain and repair the installations and buildings erected on the industrial plot including the boundary, sewerage, drainage, decorations and all the other facilities. Where the Lessee fails to carry out the necessary repairs and maintenance, the Lessor reserves the right to carry out necessary renovations and repair by itself or its appointed agents and charge the costs of the repairs to the Lessee. 24- The Lessee shall remove all debris immediately after completion of construction, failing to do so, the Lessor shall have the right to remove such debris at the Lessee’s cost. 25- The Lessee shall refrain from any act that might cause damages to the environment or the Lessees or occupiers of the neighboring industrial plots and to undertake to make good those damages at its own expenses. 26-The Lessee shall abide by the rules and regulations of occupational health and safety within his installation. 27- The Lessee shall dispose industrial wastes in a manner that they are not exposed to the risks of fire, or cause damages to properties or cause disturbance to the Lessees, occupiers or users of any neighboring properties. 28- The Lessee shall comply with the provisions of the Lessor in relation to the principles of good estate management which are in force and any amendments or variations subsequently made.

يلتزم المستنجر بعدم اسـتالالل القسـيمة النـااـية فـي -23 غير األغراض الماننة لها.
تعلقة بني ل يحدث للقسيمة والمناري والمطالبات الم .النااـية أو ألية ممتلكات حكومية أو مرافق ـامة
29-The Lessee shall not use the industrial plot for any other purpose other than those formally approved. 30-The Lessee shall not assign the contract or permit another to occupy the industrial plot or the buildings or any part thereof without the prior written consent of the Lessor. 31- The Lessee shall not sublet the lease contract. 32- The Lessor have the right to terminate this contract at any time, without prejudice of paying the rents and any amount that have to pay by the Lessee in the following cases: a- If the Lessee fails to get the building permit within a maximum period of nine months from the handover date of the industrial plot. b- If the Lessee fails to utilize the land of the licensed project within one year from the handover date of the industrial plot. c- If the Lessee fails to complete the project within a maximum period of two years from the handover date of the industrial plot. d- If the Lessee suspends work in the installation for a period of six months. e - If the Lessee has used the industrial plot for purposes other than those allocated thereto. f - If the Lessee has subleased the industrial plot. g- If the Lessee makes residential building for workers without prior written consent of the Lessor. h - If the Lessee assigns the rent thereof or mortgage any right in rem without prior written consent of the Lessor. i- If the period of the contract expires without being renewed. j- If the Lessee dies before the termination date of the contract and his heirs or any one of them do not desire to continue the contract with the Lessor. 33- The Lessee shall not erect any buildings for use as accommodation for the workers unless the Lessee obtains the prior written consent of the Lessor. 34- The Lessee shall indemnify the Lessor for all the losses, expenses and claims related to any damages caused to the industrial plot or to any government properties or public utilities.

35- The Lessee shall obtain a comprehensive insurance policy with full value of the buildings and installations erected on the industrial plot against fire and other risks with any insurance company, and to provide the Lessor with a copy of this insurance policy or any evidence confirming the continuity of insurance every year during the period of this contract. In the event of any damage, the Lessee undertakes to remove such damage from the installations as soon as the formalities related to insurance claim are completed. The Lessee shall ensure adequate third party insurance cover. 36- The Lessee obliges to vacate the industrial plot if a Ministerial Order is issued. The Ministerial Order is to take effect from the date of issue. 37- The Lessor shall have the right to lease the industrial plot to another Lessee after the cancellation of this contract. 38- The Lessee obliges to vacate and yield the property upon expiry of the period of this contract, if not renewed, or upon cancellation of the contract, and providing that in the event of failure to do so, the Lessee shall be considered a trespasser and the Lessor may have recourse to the court to cease the trespass at the Lessee’s cost. 39- The buildings and structures shall be owned by the Lessor upon expiry of the period of this contract without it being renewed or upon cancellation for this contract. 40- If this contract is terminated, terminates by the end of its’ period, or cancelled, the Lessee shall return back the industrial plot to the Lessee without any buildings, structures or obstructions at Lessee’s own cost. In the event of failure by the Lessee to do so the Lessor shall have the right of removal of same and to charge the Lessee with all costs. 41- In the event of termination of this contract upon expiry of its’ period, the Lessor shall consider renewing it upon the request of the Lessee in accordance with the policies, terms and conditions in force at the time of such renewal. 42-The Lessee may terminate this contract at any time during the period of this contract. The Lessee shall give written notice of termination to the Lessor. In such case the Lessee shall pay all the rent due at that date and shall remain bound by all the terms and conditions hereunder during the notice period.

43- The Lessee shall inform the Lessor at least six months prior to the end of the period of the contract of his intent to renew the contract, in case of non compliance, this contract shall be cancelled automatically. 44- The Lessee shall sign a record for receipt of the industrial plot at the expiry date of the contract, if it is not renewed, or upon its’ cancellation. In case of not signing that record, this contract shall be cancelled automatically at the expiry date of the contract or from the issue date of cancellation of the contract by Ministerial Order. 45- If any change in the address of the two parties takes place, both parties undertake to notify the other party of such change in the address, telephone, facsimile or email addresses. Any notice in respect of this contract notified in writing, by facsimile, email or by letters sent to the address stated herein shall be deemed to have been sufficiently received. 46- The Lessor shall have the right to obtain a fine with special nature of five thousands Bahraini dinars directly from the Lessee in the following cases: a- If the Lessee violates articles No. (22,23,26,29) from the decree-law No. (28) of 1999 with respect to the establishment and organization of industrial areas. b- If the Lessee refuses to vacate the industrial plot and refuses to sign a record for receipt of the industrial plot. c- In the cases from (a-k) from article No. (32) of this contract. The fine shall be doubled if the Lessee repeats the violation. 47- This contract has been made in Kingdom of Bahrain, and shall be governed by the laws of Bahrain, and the Gregorian calendar shall be used for the purposes of its interpretation and application. 48- Any dispute, controversy or claim arising out of or relating to this contract in any way whatsoever, or the breach, voidance, termination or invalidation thereof shall be finally determined by arbitration administered by the Bahrain Chamber for Dispute Resolution (BCDR-AAA) in accordance with its Arbitration Rules.
