Bagi SMART, tahun 2005 merupakan tahun yang luar biasa.
Perseroan telah berhasil mencapai tingkat produksi CPO,
pendapatan dan laba bersih yang tinggi. Para pemegang saham
juga telah menyetujui dilaksanakannya konversi hutang
menjadi ekuitas yang mana telah memperbaiki posisi neraca
kita sehingga mencapai yang terkuat selama Perseroan berdiri.
Gabungan dari keseluruhan pencapaian ini telah memberikan
semangat yang tinggi bagi SMART untuk terus mengembang-
kan bisnisnya menjadi salah satu perusahaan minyak kelapa
sawit terintegrasi yang terbesar di Indonesia dan di dunia.
Kita telah menghadapi berbagai tantangan usaha selama tahun
2005, di mana beberapa terkait dengan kejadian alam seperti
kemarau panjang yang mempengaruhi perkebunan kami di
Kalimantan Selatan. Adanya kenaikan harga bahan bakar dan
tingginya inflasi di Indonesia juga memberikan tekanan yang
tinggi terhadap biaya. Saya sangat bangga atas tindak lanjut
dari para karyawan SMART terhadap tantangan ini dan
semangat kerja mereka yang tidak mengenal lelah untuk terus
memperbaiki efisiensi operasional guna meminimalisasi
dampak buruk dari tantangan ini.
Selama tahun berjalan, kami terus menerapkan teknologi
terkini guna memastikan bahwa perkebunan telah terpelihara
dengan efektif, dan dengan cara yang bertanggung jawab dari
segi lingkungan maupun sosial. Di sektor hilir, minyak goreng
bermerek premium Perseroan, Filma, sekali lagi berhasil
menunjukkan kekuatan posisi mereknya dengan menerima
Status Superbrand dan Indonesian Customer Loyalty Award

The year 2005 was another remarkable year for SMART. The
Company achieved record high CPO production, revenues
and net income. Shareholders also approved a debt to equity
conversion exercise which restored our balance sheet to its
strongest position ever. These combined achievements give
SMART strong momentum to build our business as one of
the largest integrated palm-oil based consumer company in
Indonesia and the world.
We faced many business challenges in 2005, some of which
were linked to natural events such as the drought that
effected our plantations in South Kalimantan. The effects of
the fuel price increases and the resulting high inflation in
Indonesia put heavy pressure on our costs. I am proud of
the response of SMART’s staff to these challenges, and their
tireless work to improve operating efficiencies to minimize
the impact of these adverse developments.
During the year, we continued our drive to apply the latest
available technology to ensure we grow our plantations
effectively, and in environmentally and socially responsible
ways. On the downstream front, our premium branded
cooking oil, Filma, once again demonstrated its leading brand
position by receiving the Superbrand Status and the 2005
Indonesian Customer Loyalty Award for highest customer

kategori minyak goreng. Selain itu, Perusahaan juga telah
menerima sertifikat HACCP pada Januari 2006 yang
memperkuat posisi kita di Indonesia dan di pasar manca
negara.
Merupakan suatu keistimewaan yang besar bagi saya untuk
dapat melihat tahun yang sukses ini. Atas nama Dewan
Komisaris, saya ucapkan terima kasih kepada para pemegang
saham, kreditur, konsumen, dan rekan bisnis kita atas
dukungan yang tiada hentinya. Saya sampaikan rasa terima
kasih kami kepada Bapak Johannes Hardianto yang telah
mengundurkan diri dari Dewan Direksi pada November 2005

menyampaikan kinerja PT SMART Tbk dan anak perusahaan
untuk tahun yang berakhir pada 31 Desember 2005 melalui
laporan tahunan ini.
KINERJA KEUANGAN
Pada tahun 2005, pendapatan kami naik sebesar 9% dari
Rp 4.275 miliar menjadi Rp 4.657 miliar, terutama karena
meningkatnya kuantitas penjualan sebesar 10%. Harga jual
Perseroan mengalami penurunan sebesar 1% dibandingkan
tahun lalu karena menurunnya harga CPO internasional
dari USD 430 per ton menjadi USD 376 per ton (FOB
Belawan). Akan tetapi, penurunan ini diimbangi dengan
menguatnya dolar AS terhadap Rupiah. Sejalan dengan
peningkatan penjualan, harga pokok penjualan juga meningkat
sebesar 8% dari Rp 3.659 miliar menjadi Rp 3.934 miliar.
Peningkatan ini juga disebabkan oleh kenaikan harga bahan bakar
selama 2005. Laba kotor kami meningkat sebesar 17% mencapai
Rp 722 miliar dibandingkan Rp 616 miliar pada tahun 2004.
Beban penjualan meningkat menjadi Rp 194 miliar dibanding-
kan Rp 128 miliar pada tahun 2004. Peningkatan ini disebabkan
oleh naiknya beban iklan dan promosi sehubungan dengan
peluncuran produk baru pada pertengahan tahun 2005 dan
naiknya beban pajak dan administrasi ekspor seiring dengan
meningkatnya penjualan ekspor. Beban umum dan administrasi
meningkat sebesar 11% menjadi Rp 228 miliar dibandingkan
tahun sebelumnya sebesar Rp 204 miliar, terutama dari
peningkatan gaji dan tunjangan karena bertambahnya jumlah
karyawan dan naiknya tingkat gaji. Laba usaha meningkat
sebesar 6% dari Rp 283 miliar menjadi Rp 301 miliar,
sedangkan EBITDA kami naik sebesar 33% dari Rp 453 miliar
menjadi Rp 603 miliar pada tahun 2005.
On behalf of the Board of Directors, I am pleased to
present the performance of PT SMART Tbk and its
subsidiaries for the year ended 31 December 2005 in this
annual report.
FINANCIAL PERFORMANCE
In 2005, our revenue grew by 9% from Rp 4,275 billion
to Rp 4,657 billion, mainly due to the increase in sales
volume by 10%. The Company’s selling price experienced
a 1% decline compared to last year due to the decline
in international CPO prices from USD 430 per ton to
USD 376 per ton (FOB Belawan). This decline was
however offset by the strengthening of the US Dollar
against the Rupiah. In line with the sales increase, cost
of goods sold rose by 8% from Rp 3,659 bi l l ion to
Rp 3,934 bi l l ion. The fuel pr ice h ike during 2005
likewise contributed to this increase. Our gross profit
increased by 17% reaching Rp 722 billion compared with
Rp 616 billion in 2004.
Selling expenses increased to Rp 194 billion compared
with Rp 128 billion in 2004. The increase was driven by
higher advertising and promotion expenses related to
the launching of our new products in mid-2005 and higher
export tax and administration expenses as a result of
higher export sales. General and administrative expenses
increased by 11% to Rp 228 bi l l ion compared with
Rp 204 bi l l ion last year mainly from the increase in
salaries and benefits due to the increase in number of
employees as well as salary rate. The operating profit
rose by 6% from Rp 283 billion to Rp 301 billion, while
our EBITDA grew by 33% from Rp 453 billion to Rp 603
billion in 2005.

In 2005, we have strengthened our balance sheet position
by successfully completing the debt to equity conversion
of USD 204.6 million in loans (or equivalent to Rp 1,939.6
billion). The debt to equity conversion involved the issuing
of new shares without pre-emptive rights. Consequently,
our foreign debts significantly reduced to USD 181 million
compared with USD 367 mi l l ion in 2004. Equi ty
strengthened to a positive of Rp 1,929 billion compared
with a negative equity of Rp 349 billion last year. Debt to
equity ratio improved to 1.38. This restructuring also
significantly reduced our foreign exchange loss and interest
expenses to Rp 115 billion and Rp 126 billion respectively,
from Rp 224 billion and Rp 173 billion in 2004, respectively.
The Company recorded a profit before tax of Rp 238 billion
compared to a loss before tax of Rp 65 billion in 2004. After
deducting income tax, our net profit also increased to Rp 304
billion compared to a net loss of Rp 108 billion last year.
PALM PLANTATIONS
In 2005, the Company’s plantation area increased by 3,746

1,38. Restrukturisasi ini juga menyebabkan berkurangnya
kerugian selisih kurs dan beban bunga menjadi masing-masing
sebesar Rp 115 miliar dan Rp 126 miliar, dari Rp 224 miliar
dan Rp 173 miliar pada tahun 2004.
Perseroan telah mencatat laba sebelum pajak sebesar Rp 238
miliar dibandingkan tahun sebelumnya rugi sebelum pajak
sebesar Rp 65 miliar. Setelah dikurangi pajak penghasilan, laba
bersih kami juga meningkat menjadi Rp 304 mil iar
dibandingkan rugi bersih sebesar Rp 108 miliar pada tahun
sebelumnya.
PERKEBUNAN KELAPA SAWIT
Pada tahun 2005, luas area perkebunan Perseroan meningkat
sebesar 3.746 hektar menjadi 102.556 hektar. Luas area
menghasilkan sedikit menurun menjadi 91.480 hektar dari
92.699 hektar, karena adanya penanaman kembali atas beberapa
area perkebunan yang sudah tua. Meskipun demikian, TBS yang
dipanen meningkat sebesar 13,4% menjadi 1,91 juta ton dari
1,69 ton pada tahun sebelumnya. Aktivitas pemupukan yang
dilakukan secara intensif selama 2004 telah menunjukkan
hasilnya. Rata-rata hasil TBS per hektar naik dari 18,2 ton

replanting that was being conducted to some of our old
plantation areas. Despite that, the FFB harvested rose by
13.4% to 1.91 million tons from 1.69 million tons last year.
Intensive fertilizing activities conducted during 2004 had
shown their result. Our average yield per hectare grew from
18.2 tons per hectare to 20.9 tons per hectare in 2005.
During 2005, we operated 3 new mills in Jambi, East and
South Kalimantan with total capacity of 450 thousand tons
per year. We currently operate 12 CPO mills with total

per hektar menjadi 20,9 ton per hektar pada tahun 2005.
Selama 2005, kami mengoperasikan 3 pabrik pengolahan
kelapa sawit baru di Jambi, Kalimantan Timur dan Selatan
dengan jumlah kapasitas sebesar 450 ribu ton per tahun. Saat
ini, kami mengoperasikan 12 pabrik pengolahan kelapa sawit
dengan jumlah kapasitas hampir mencapai 2,9 juta ton per
tahun, 2 pabrik pengolahan inti sawit dengan jumlah kapasitas
sebesar 202 ribu ton per tahun dan 2 pabrik penyulingan
minyak dengan jumlah kapasitas sebesar 840 ribu ton per
tahun. Seiring dengan meningkatnya TBS yang dipanen,
produksi CPO meningkat sebanyak 19,7% menjadi 462 ribu

ekstraksi CPO sedikit menurun menjadi 23,21% dari 23,33%
pada tahun lalu karena dampak kekeringan di Kalimantan
Selatan pada tahun 2004. Produksi PK meningkat sebesar 14,4%
menjadi 98 ribu ton dari 85 ribu ton pada tahun sebelumnya.
PRODUK-PRODUK BERMEREK
Produk-produk bermerek kami memberikan kontribusi
hampir 19% dari keseluruhan penjualan di tahun 2005,
mencapai Rp 884 miliar atau meningkat 14,7% dibandingkan
tahun lalu sebesar Rp 770 miliar. Penjualan minyak goreng

Selama tahun berjalan, kami telah menyelesaikan re-
strukturisasi atas sistem distribusi kami yang mana akan
mempermudah peningkatan penetrasi kami di pasar produk
bermerek. Pada Januari 2006, pabrik penyulingan kami di
Jakarta dan Surabaya juga menerima Sertifikat HACCP
(Hazard Analysis Critical Control Point). Sertifikat ini
merupakan akreditasi internasional atas dipenuhinya
persyaratan standar keamanan dalam produk makanan.
Semua produk hasil penyulingan kami sekarang telah
terjamin keamanannya secara internasional.

TEKNOLOGI INFORMASI
Perseroan yakin akan pentingnya Sistem Teknologi Informasi
sebagai tulang punggung untuk memastikan pengambilan
keputusan yang efektif dan tepat waktu. Sejak 1997, kami
te lah menerapkan SAP untuk mendukung strateg i
pertumbuhan perusahaan “to be the best” dalam industri
produksi minyak kelapa sawit. Basis data SAP kami yang
terintegrasi dengan ‘Google satellite earth search’ dan GIS
(Geographical Information System) telah memperkuat
pengendalian dan pengawasan jarak jauh. Saat ini, kami
mampu melacak kinerja perkebunan kami yang luasnya lebih
dari 100.000 hektar dan operasi divisi hilir kami.
Dengan aplikasi ini, kinerja operasional perkebunan yang
penting seperti pemeliharaan, pemanenan, produksi, kualitas
produk, dan instalasi kebun dapat dengan mudah dimonitor
secara langsung dari seluruh kantor manajemen yang letaknya
tersebar di kepulauan Indonesia. Selain peningkatan
pengawasan, sistem TI kami juga menjamin pengendalian
transaksi bisnis yang lebih intensif dan keamanan penyimpanan
data yang lebih baik melalui sistem otomatisasi alur kerja
yang terintegrasi dengan SAP dan strategi pengumpulan data
yang inovatif.
Infrastruktur TI Perseroan mendukung manajemen dalam
pengendalian keseluruhan operasi dengan informasi yang
mutakhir yang sangat diperlukan untuk dapat mendukung
pencapaian kinerja perkebunan kelapa sawit yang baik di
industrinya.
BRANDED PRODUCTS
Our branded products contributed almost 19% of total sales
in 2005 reaching Rp 884 billion or an increase of 14.7%
compared to Rp 770 billion last year. Cooking oil sales grew
by 13.5% to Rp 668 billion compared with Rp 588 billion in
2004. This increase was mostly generated from export and
industrial customers. Sales of margarine and shortening also
rose by 18.8% to Rp 216 billion compared with Rp 182 billion
in 2004. The growth mainly came from expansion in export
markets and the launching of a new product, FILMA
Margarine, in mid-2005.

distribution system which will facilitate the increase of our
penetration in the branded market. In January 2006, our
refineries in Jakarta and Surabaya also received Hazard
Analysis Critical Control Point (HACCP) Certificates. It is
an internationally accreditation for fulfilling safety standard
requirements for edible food. All our refined products are
now internationally assured for its food safety.
INFORMATION TECHNOLOGY
Our Company believes on the importance of Information
Technology System as a backbone to ensure effective and
timely decision making. Since 1997, we have implemented
SAP to support our corporate growth strategy “to be the
best” in the palm oil production industry. Our SAP database
integration linkage with Google satellite earth search and
GIS (Geographical Information System) has greatly
strengthened the remote monitoring controls. We are
currently capable of tracking the performance of our over
100,000 hectares of plantations and our entire downstream
operations.
With this application, key plantation operation performances
such as field upkeep, harvesting, yield production, product
quality and estate installations can be easily monitored online
from any of our remote management offices situated across
the Indonesian archipelago. Besides monitoring enhancement,
our IT landscape also ensures more stringent business
transaction controls and better data storage security via SAP
integrated system workflow automation and innovative data
archiving strategies.

CORPORATE GOVERNANCE
Good corporate governance is very crucial for a publicly
listed company with transparency and accountability being
the foundation of our business practices. According to the
Capital Market Supervisory Board and Jakarta Stock Exchange
regulations, a public company has to have independent
commissioners and an audit committee. We have had 8 (eight)
members of Board of Commissioners in which 3 (three) of
them are Independent Commissioners. We also have 3 (three)
members of Audit Committee. The responsibilities of the Board
of Commissioners are to supervise and provide input to the
Board of Directors in managing the Company’s business. While
the duties of the Audit Committee is to assist and give
recommendation to the Board of Commissioners in fulfilling
their responsibilities.
During the year under review, the Board of Commissioners
conducted 6 meetings with the Board of Directors. The
Audit Committee also held 10 other meetings with the
Board of Directors as well as other management members.

Perkebunan Sinar Mas dan menjabat sebagai Wakil Presiden
Senior pada tahun 1991, kemudian sebagai Direktur PT
SMART Tbk (1992-2003), CEO Perkebunan Sinar Mas I (1994-
2004), CEO Perkebunan Sinar Mas IV (2000-2003) dan V
(2002-2003). Saat ini, beliau menjabat sebagai Managing

SMART Tbk (1990-2001), Deputy Managing Director of
Agronomy (since 2001) and as Director of PT SMART Tbk
(since 1992).
He graduated from Economic Faculty, Atma Jaya Catholic
University, Jakarta, in 1986 and obtained his Magister
Management degree from University of Tarumanagara in
1995. He started his career as an auditor at Atmaja & Co
Public Accountant. In 1989, he joined Sinar Mas Plantation
as Accounting Manager until promoted to Vice President
Business Control of Agribusiness Division. Currently, he also
holds position as a Director of PT SMART Tbk (since June
2003).
He studied at the University of the Philippines where he
obtained a Bachelor of Science in Economics in 1988. In
1992, he obtained a Master in Business Management from
the Asian Institute of Management, Philippines with a
scholarship from SGV Philippines. He started his career in
the corporate planning directorate of San Miguel
Corporation, Philippines (1989-1990). He joined Pilipinas
Shell Petroleum Corporation in 1992 where he worked on
regional projects and has extensive experience in corporate
and financial planning. He joined PT SMART Tbk in 1997 and
has held the position of Director in PT SMART Tbk since
June 2004.
He graduated from Economic Faculty, Parahyangan Catholic
University, Bandung, majoring in Management in 1985. He
started his career as Accounting Section Head of PT Sadang
Mas from 1985 to 1986. He was a CEO of Sinar Mas

memulai karirnya sebagai Accounting Section Head PT
Sadang Mas pada tahun 1985-1986. Menjabat sebagai CEO
Perkebunan Sinar Mas V (2000-2002). Saat ini beliau menjabat
sebagai CEO Perkebunan Sinar Mas III dan sebagai Direktur
PT SMART Tbk (sejak November 2004).

Perusahaan memulai usahanya di bidang perkebunan kelapa
sawit pada tahun 1962 dengan nama PT Maskapai Perkebunan
Sumcama Padang Halaban. Pada tahun 1970, seluruh saham
Perusahaan dikembalikan kepada pihak asing dan status
Perusahaan berubah menjadi PMA (Penanaman Modal Asing)
sesuai dengan Surat Keputusan Menteri Negara Ekonomi
Keuangan dan Industri No.KEP/41/MEKUIN/7/1970 tanggal 15
Juli 1970. Pada tahun 1985, status Perusahaan berubah menjadi
PMDN (Penanaman Modal Dalam Negeri) sesuai dengan surat
dari Badan Koordinasi Penanaman Modal (BKPM) No.06/V/
1985 tanggal 28 Maret 1985. Kemudian pada tahun 1991
Perusahaan merubah namanya menjadi PT Sinar Mas Agro
Resources and Technology Corporation atau disingkat PT
SMART Corporation.
Pada tahun 1989, Perusahaan mengakuisisi 100% saham dari
2 perkebunan kelapa sawit; PT Maskapai Perkebunan Leidong
West Indonesia dan PT Perusahaan Perkebunan Panigoran
yang masing-masing memiliki areal seluas 1.879ha dan 1.666ha.
Perusahaan juga mengakuisisi 100% saham PT Maskapai
Perkebunan Indorub Sumber Wadung, perkebunan teh dengan
luas areal 1.052ha yang berlokasi di Jawa Barat.
Di tahun 1991, Perusahaan mengambil alih 100% saham PT
Nirmala Agung, perkebunan teh dengan luas areal 450ha; 19%
penyertaan pada perkebunan pisang, PT Global Agronusa
Indonesia; melakukan penggabungan usaha dengan PT
Mulyorejo Industrial Company, pabrik penyulingan minyak
goreng, margarin dan lemak nabati, serta mengakuisisi 25%
saham PT Grahamas Indojaya, perusahaan pengangkutan.
Sebelum Perusahaan melakukan penawaran umum pada tahun
1992, Perusahaan mengambil alih 100% saham PT Kunci Mas
Wijaya; 49% saham PT Inti Gerakmaju, perkebunan kelapa

In 1989, the Company acquired 100%-shares of 2 oil

Kresna Duta Agroindo (‘KDA’) yang berlokasi di Jambi serta
PT Pilinti Perkasa Alam yang berlokasi di Riau. PT Pilinti
Perkasa Alam kemudian mengubah namanya menjadi PT Ivo
Mas Exim. Pada tahun 1994, Perusahaan menambah
kepemilikannya di KDA dari 49% menjadi 52,2%.
Perusahaan menandatangani perjanjian kerjasama dengan
Goodman Fielder Overseas Holding Pte Ltd, melalui anak
perusahaannya, PT Smartindo Utama pada awal tahun 1995.
Pada bulan Juli 1995, Perusahaan juga mengadakan kerjasama
dengan beberapa perusahaan lokal untuk mengemas,
mendistribusi serta memasarkan minuman ringan berkarbon
di Indonesia dengan nama PT Nala Vini Eka Beverages
(‘Navika’). Pada bulan Desember 1995, Pe ru s ahaan
meningkatkan kepemi l ikannya pada PT Intersmart
Corporation, perusahaan induk dari Navika, dari 70%
menjadi 100%. Dengan demikian, kepemilikannya pada Navika
meningkat dari 35,7% menjadi 51%. Pada saat yang bersamaan,
Perusahaan menjual 60% kepemilikannya pada Smartindo
Utama dan juga 50% kepemilikannya pada SMII. Perusahaan
meningkatkan kembali kepemilikannya pada KDA dari 52,2%
menjadi 55,1% di tahun 1995.
Pada bulan Juni 1997, Perusahaan mengakuisisi 100% saham
dari 2 buah perusahaan di Kalimantan Timur yaitu PT Sangatta
Andalan Utama dengan luas lebih kurang 5.700ha dan PT
Matrasawit Sarana Sejahtera dengan luas area lebih kurang
16.650ha. Perusahaan juga mengadakan kerjasama dengan
Super Air dari Selandia Baru di bidang pemupukan. Pada bulan

the Company took over two oil palm plantations, PT

and PT Pilinti Perkasa Alam which is located in Riau. PT
Pilinti Perkasa Alam then changed its name to PT Ivo
Mas Exim. In 1994, the Company increased its ownership
at KDA, hence increasing its shares from 49% to 52.2%.
The Company signed a joint venture agreement with
Goodman Fielder Overseas Holding Pte. Ltd., through
its sub-holding Company, PT Smartindo Utama, in early
1995. In July 1995, the Company engaged in a joint
operation with local parties in bottling, distributing and
marketing of carbonated soft drinks in Indonesia, namely
PT Nala Vini Eka Beverages (‘Navika’). In December 1995,
the Company rose its ownership at PT Intersmart
Corporation, a holding Company of Navika, from 70% to
100%. Hence, changing the Company’s ownership at
Navika from 35.7% to 51%. At the same time, the
Company sold its 60% ownership of Smartindo Utama
and its 50% ownership in SMII as well. The Company again
rose its ownership at KDA from 52.2% to 55.1% in 1995.
In June 1997, the Company acquired 100%-shares of 2 new
undeveloped land banks in East Kalimantan, PT Sangatta
Andalan Utama with total area of approximately 5,700ha
and PT Matrasawit Sarana Sejahtera with total area of
approximately 16,650ha. The Company also engaged in a
joint venture with Super Air from New Zealand in area
manuring. In December 1997, PT SMART divested its
shares in PT Intersmart Corporation, a soft drink
company.
In accordance with the EGM Resolution No.27 dated
May 14, 1999 regarding the change of company’s name,
the Company changed i t s name from PT SMART
Corporation to PT SMART Tbk, in compliance with
Government Regulation No.26 year 1998 on the usage
of Limited Liability’s Name.
In order to concentrate more on the core business, in

Desember 1997, Perusahaan melepaskan kepemilikan
sahamnya pada PT Intersmart Corporation, perusahaan
minuman ringan.
Sesuai dengan Akta Risalah Rapat Umum Pemegang Saham
Luar Biasa No.27 tanggal 14 Mei 1999 mengenai perubahan
nama Perusahaan, nama PT SMART Corporation diubah
menjadi PT SMART Tbk dalam rangka penyesuaian dengan
Peraturan Pemerintah No. 26 tahun 1998 perihal Pemakaian
Nama Perseroan Terbatas.
Agar dapat lebih berkonsentrasi pada bisnis utama, pada bulan
Mei 2002, Perusahaan mendivestas ikan se luruh
kepemil ikannya pada perkebunan teh, PT Maskapai
Perkebunan Indorub Sumber Wadung dan anak
perusahaaannya serta PT Perkebunan dan Perindustrian
Nirmala Agung. Investasi Perusahaan sebesar 6,9% pada PT
Global Agronusa Indonesia, perkebunan pisang, juga telah
didivestasikan seluruhnya pada bulan November 2002.
Sedangkan perkebunan pisang yang seluruh sahamnya
dimiliki oleh Perusahaan sudah tidak beroperasi lagi sejak

Pada bulan November 2004, Perusahaan mengakuisi 51%
saham PT Inti Gerakmaju yang sebelumnya telah dimiliki
sebanyak 49%, sehingga PT Inti Gerakmaju dimiliki 100% oleh
Perusahaan. Pada bulan Desember 2004, Perusahaan telah
memfinalisasikan proses divestasi PT Sinar Pure Foods
International yang merupakan perusahaan pengalengan ikan.
May 28, 2002 the Company divested its direct ownership
in tea plantations, PT Maskapai Perkebunan Indorub
Sumber Wadung and its subsidiaries and PT Perkebunan
dan Perindustrian Nirmala Agung. The investment of
6.9%-shares at PT Global Agronusa Indonesia, a banana
plantation, was being divested in November 2002. Our
100%-owned banana p lantat ion was no longer in
operation since the beginning of 2000 due to the
sectarian riot at that area.
In November 2004 , the Company acqu ired 51%-
shares of PT Int i Gerakmaju, in which 49%-shares
had been owned. As a result , the Company owned
100%-shares o f PT Int i Gerakmaju . In December
2004, the Company f inal ized the divestment process
of PT Sinar Pure Foods Internat ional , a canned f ish
company.
