Lenovo eXpert Achievers Program (LEAP) 2014

Lenovo eXpert Achievers Program (LEAP) is a global offering developed to reward Business Partners for their sales and the completion of select Lenovo training. LEAP enables Business Partners like you, who sell Lenovo products, to individually accumulate LEAP Points in the program, which can be redeemed for a wide range of merchandise rewards. Participation in LEAP is entirely voluntary and not required by Lenovo. Participation is subject to approval by your company’s management team. This LEAP User Guide contains detailed information about the 2014 LEAP program to help Business Partners like you get the most out of it.

How do I earn Rewards with LEAP?

You can earn LEAP Points that can later be redeemed for Rewards by:

Claiming your sales of eligible Lenovo products (Sell and Earn) and

Boosting your knowledge about Lenovo through LEAP’s educational resources, which also cover related products and Lenovo solutions (Learn and Earn)

With the Sell and Earn component of LEAP, you can earn LEAP Points for each sale of eligible Lenovo products, offerings, or services. The number of LEAP Points you earn for each claimed sale is pre-determined according to a list posted on the LEAP website. You can learn more about Sell and Earn in this BP Guide. With Learn and Earn, you can earn LEAP Points by completing online learning that covers the Lenovo System x and PureFlex portfolio. The educational resources offered are intended to equip you with skills and knowledge that can give you an edge when you’re selling to your customers. Be sure to read the points earning criteria on the Learn page to understand how you will qualify for LEAP Points.The number of LEAP Points you can earn per education offering is posted on the LEAP website. Find out more about Learn and Earn in this BP Guide. With LEAP, the more sales you claim and the more eligible educational offerings you complete, the more LEAP Points you’ll earn! You can redeem your LEAP Points for the MasterCard Reloadable Card or Gift Card. You’re in control of your Rewards experience: you decide what to redeem and when (within the timeframe of the program). That means you can potentially accumulate as many LEAP Points as possible (within the parameters of your region’s maximum earnings allowance. See local Terms & Conditions for details). All components of LEAP are online, which means you can claim your sales, complete qualifying training and redeem Rewards 24/7. Continue reading on for eligibility rules, participation requirements and specific details about how the program works. LEAP makes it easy to maximize your potential and reward your success!

Eligibility

To become eligible for LEAP, you must be linked to a Lenovo Business Partner Program with active registration in the PartnerWorld1 Program. Note: Eligiblity to earn sales rewards varies between geographical regions, so please visit the LEAP website for full details and Terms & Conditions. 1 The IBM PartnerWorld portal is for IBM Business Partners and Lenovo partners that sell the products that were sold to Lenovo. If you are not familiar with the program, please visit www.ibm.com/PartnerWorld.

How to participate

If your company complies with the eligibility criteria outlined above, you can follow the steps below to participate in LEAP. We have included more detailed instructions for some of the steps in the Appendix section of this Guide for your convenience. 1. To participate in the LEAP program and earn LEAP Points, you must first register for an IBM PartnerWorld ID and create a profile at the PartnerWorld website (www.ibm.com/PartnerWorld). Appendix 1 - HOW TO CREATE YOUR PARTNERWORLD ID* 2. You must associate your profile with your company's profile on the PartnerWorld website. This registration should be approved by your company’s APA2 (Authorized Profile Adminstrator). You can self-associate or request approval directly from your company’s APA. Appendix 2 - HOW TO SELF-ASSOCIATE TO YOUR COMPANY PROFILE Appendix 3 - HOW TO FIND YOUR COMPANY’S APA Appendix 4 – HOW TO INCLUDE EMPLOYEES IN YOUR COMPANY’S PROFILE (FOR APAS) Appendix 5 - HOW TO FIND THE COMPANY TOKEN (FOR APAS) 3. You must have prior approval from your company’s APA to participate in LEAP. All firms that have accepted the Know Your IBM (KYI) Attachment prior to October 1, 2014 do not need to sign an additional agreement to use the LEAP Program. The KYI Attachment will be assigned to Lenovo. All NEW BP firm participants to the LEAP program will need to have the LEAP Agreement signed by the APA to allow us to reward their sales representatives directly. How to sign the 2014 Lenovo eXpert Achievers Program Agreement: We will shortly have the LEAP Agreement on the LEAP website for your APA to sign and will provide instructions accordingly. 2The APA (Authorized Profile Administrator) is the contact within the Business Partner’s organization who acts as the officialliaison for Lenovo programs.If your company does not have a profile in PartnerWorld, or for further information, please contact PWCS (PartnerWorld Contact Services). 4. You can enter the LEAP website (www.ibm.com/PartnerWorld/LenovoLEAP) with your PartnerWorld ID and password. LEAP utilizes single sign-on through PartnerWorld which enables Business Partners to log in only once with their PartnerWorld ID and password and enjoy seamless transition between all ibm.com/PartnerWorld sites. 5. The first time you log into LEAP, you must agree to the Terms & Conditions and provide the profile information that you’re prompted for. If you do not accept them, then you will not be able to participate in the program. You may view the Terms & Conditions anytime by selecting ‘Help’ on the main menu, followed by the ‘Terms & Conditions’ sub-tab. 6. When placing a redemption, you will be asked to accept the following conditions: I certify that (1) I have submitted only accurate and complete information in making claims under the Lenovo eXpert Achievers Program (“LEAP”), (2) I will either personally use a LEAP reward for my own individual benefit or give a LEAP reward to an immediate family member* for his or her own personal use and individual benefit, (3) under no circumstance will I or any such immediate family member* give all or any portion of any LEAP reward, or any of its value, to any other person and (4) I will promptly, accurately

and completely respond to any inquiries from Lenovo regarding my participation in the LEAP Program, including my compliance with this certification. *An immediate family member means my spouse, parents and grandparents, children and grand-children, brothers and sisters, mother in law and father in law, brothers in law and sisters in law, daughters in law and sons in law. Adopted, half, and step members are included in this definition of "immediate family member". If you would like to make any changes to your Partner Profiling System details, you can do so by clicking on the sentence: Click here to update your PartnerWorld (PPS) profile . From there, simply select ‘Update my profile’ and follow the instructions to edit your profile.

Sell and Earn

Sales Claiming

You can access the ‘Claim a Sale’ function located on the top navigation bar of the LEAP website. Only those transactions reported by the Distributor as sold out to your firm (using your unique CEID number as identification) in the eligible quarter will be included in your attainment. If eligible transactions are missing, in the first instance consult with your Distributor to ensure correct reporting of the sale to Lenovo. NOTE: Sales to Government Entities, as defined in the LEAP Agreement, will not be eligible for LEAP Points. Please visit the LEAP website for full details and Sales Claiming Terms & Conditions. Not all products on an invoice are eligible to receive LEAP Points. Before you begin claiming your sales invoice on the LEAP website, you can view the complete list of eligible products available for sales claiming and their corresponding LEAP Points. You can do this by clicking on ‘Points and Product Tables’ available in the ‘Claim a Sale’ drop-down menu.

The number of LEAP Points you earn for each sales claiming invoice will depend on the product, as each product has a fixed qualifying point value.

Lenovo reserves the right to change and remove the eligible products and designated LEAP Points, as well as the Rewards offered at any time by updating the LEAP website. All changes made to this list will be communicated via the LEAP website.

Deadlines to ‘Claim a Sale’

In order for the LEAP Points to be awarded, you must claim the sale invoices of eligible products on the LEAP website by the published deadlines.

Lenovo reserves the right to conduct an audit of all sales invoices claimed in LEAP. It is the sole responsibility of the LEAP Participants to ensure that all sales invoices are their own or they are authorized to represent their company as a ‘champion’ for the invoice(s). Participants whose sales may have been incorrectly claimed or otherwise cannot be validated may have their account frozen and be ineligible to participate in future LEAP offerings. All such participants will be notified via email.

Claiming your sales invoice

To claim your sales invoice, select ‘Claim a Sale’ on the top navigation bar of the LEAP home page.

Once you’re in the Sales Claiming panel, you can follow the steps below to claim your sales invoices for eligible products. Make sure you have copies of the relevant Distributor Invoice, Delivery Note or Purchase Order (depending on your region’s specific requirements) in front of you so you have information such as the Distributor invoice number, Distributor invoice date and product codes handy.

Claiming a Sale

The ‘Claim a Sale’ drop-down menu will display all of your company’s invoices (from the Distributor) that qualified for LEAP points. Your company’s invoices should appear on this tab approximately 20 business days after the end of each month.

New sales invoices will be uploaded monthly. A quarter’s worth of invoices will remain on this page until the Claiming Deadline (2 months after the quarter closes). Make sure you claim your invoices early because once the quarter’s invoices disappear, so does your ability to claim them. STEP 1 To claim a sales invoice, simply review the invoices that appear in the ‘Unclaimed’ section. You can review any invoice that matches your Invoice number, Invoice Date and End User by clicking on the ‘View Details’ button.

STEP 2 The ‘Invoice Details’ page will appear containing all of the sales information. Carefully review the details, and if everything checks out, click ‘Claim Now’.

STEP 3 Click the ‘Claim Now’ button to claim the invoice.

Now your claimed invoice has moved to the ‘Previously Claimed Invoice’ section with your name attached to the invoice.

Repeat steps 1-3 for each invoice you wish to claim. All your claimed invoices can be viewed in the ‘Previously Claimed Invoices’ page in the ‘Claim a Sale’ drop-down menu.

Unclaiming a Sales Invoice

If you claimed an invoice in error and within the 10-calendar-day pending period, you can un-claim it by going to the ‘Previously Claimed Invoices’ page, checking the checkbox associated with that invoice and then clicking ‘Unclaim Selected Invoices’.

It is the sole responsibility of the LEAP Participant to ensure that all sales invoices are their own or they are authorized to represent their company as a ‘champion’ for the invoice(s). Any disputes with claimed invoices must be handled within the Business Partner’s company without involvement from Lenovo, or the agencies that manage the offering. Please refer to the Sales Claiming FAQ posted on the LEAP site.

Missing Invoice

If you believe some of your invoices may be missing from LEAP’s Sales Claiming tab, please check the product’s eligibility and invoice date before contacting us. Make sure you have all necessary information ready when you fill and send the online query to us. Your question also may already be addressed in the FAQ and Help tab.

LEAP Calendar When you claim your sales, you will not be awarded LEAP Points in real-time. Points will be distributed according to a predetermined Points schedule.

For your convenience, you can view or download a customizable LEAP Google Calendar from the LEAP site. It contains all of the relevant Learn and Sell dates.

Learn and Earn

Using the educational offerings

You can access the LEAP curriculum through the ‘Learn’ tab located on the top navigation bar of the LEAP website.

From there, you will be directed to the page where you can find all of the available course ware. These courses were designed to help you enhance your knowledge about Lenovo products and solutions, improve your sales performance and accumulate LEAP Points that can be redeemed for great Rewards and have been categorised by the following:

To earn LEAP Points, you must complete the entire training course and associated quiz or pre and/or post test. In order to unlock the ability to redeem LEAP points for rewards, you must successfully complete the “Winning in Transition - Business Partner Training” module and test. To complete the module, the test must be successfully completed. NOTE: To earn reward points, you must complete the quiz within a certain number of tries, or you must achieve a certain mark on your test . If the criteria is not met as per the terms stated on the LEAP Learn page, then you forfeit your points. Please be sure to read the completion criteria carefully. To complete the training, simply follow these steps:

STEP 1 - Completing The Education Click on the module you would like to complete, for example:

Once you have selected the module, a new window will open that leads to the training content. To view your completed modules, visit the ‘Statements’ page in the ‘Account’ tab.

STEP 2 Select your language preference, and then click the ‘Play’ button, as shown below, and follow the instructions for each module.

After you click the ‘Play’ button, you will be able to view the front page of the module. From there, click on the ‘Next’ arrow (as shown below) to start viewing the module’s content.

Each module has a table of contents. Before you take a quiz, you must review all of the pages within the module. If you try to take the quiz before reviewing all of the pages, you will see an Error message stating that you’re not ready to take the quiz yet.

STEP 3 After you have read all of the module’s content, we recommend that you take a moment to review the module’s summary. This will help prepare you for the quiz. You can print or save the module’s content in a PDF document for future reference. To do so, simply click on the links ‘Download printable module’ and ‘Download module cheatsheet’ on the final page of the module.

STEP 4 The last step of the module is to complete the quiz. When you’re ready to take the quiz, simply click on the ‘Quiz’ button as shown below.

Once you have answered the questions correctly, the module will be officially completed. Now all you have to do is wait for the LEAP Points to become available in your account overnight. Points can be used towards the MasterCard Reloadable Card or Gift Card. The concierge service is also available for special requests.

Other Learning Opportunities you can take advantage of to earn additional LEAP Points

Now that you know how to complete a LEAP Quick Learn module, let’s look at other educational courses that are also rewarded through LEAP. Skills Enhancement Courses This is a longer learning course that includes several learning modules. These courses are deeper and provide more detail for you to use when learning how to sell with Lenovo. Like with the LEAP Quick Learn modules, the end-of-module exam must be successfully completed to receive the credit for these courses. Guided Certification Preparation Roadmaps* As you develop your skills with Lenovo, it is to your professional advantage and important for your firm’s partnership with Lenovo for you to demonstrate your ability by completing a Lenovo certification. We want to help you prepare for the certification by guiding you through the education recommended for the certification. The learning begins with an assessment quiz. You can earn LEAP Points just for completing the assessment. Depending on how you perform on the assessment, the roadmap will be tailored to show you which educational modules you will need to complete in order to successfully pass the end-of-roadmap exam. After you successfully complete the final exam, you can earn additional LEAP Points. We know that

scheduling time for training can be difficult, so we want to save you time, keep it interesting and make it fun by providing LEAP rewards. Certifications

Lenovo certifications help you gain a competitive edge, boost your credibility and validate your knowledge. Plus, your company earns valuable PartnerWorld Skills Points for each certification completed by its employees. We want to reward you every step of the way as you boost your Lenovo knowledge. You can earn LEAP Points when you successfully complete any of the eligible certifications listed on the LEAP site.

*PLEASE NOTE: Lenovo certification exams require field experience in order for a person to successfully complete the certification. We are providing the guided learning online, but you will need to practice this in your job before you attempt the exam. You can find more details about Lenovo certifications at ibm.com/certify.

Finding out when you can use your LEAP Points

The LEAP Points you earn upon successful completion of an educational course will be refreshed overnight.

Redeeming your Points

Now comes the fun part: redeeming your well-deserved LEAP Points! Points can be redeemed for the MasterCard Reloadable Card or Gift Card. The concierge service is also available for special requests. You can explore ideas on how to spend your MasterCard Reloadable Card or Gift Card by visiting our Pinterest page which has lots of suggestions! Visit www.pinterest.com/LenovoLEAP for ideas & inspiration!

Your LEAP Points account

Your LEAP Points can be redeemed for Rewardswhen they have been verified and posted to your account.

Redeeming LEAP Points

LEAP Points can be redeemed for the MasterCard Reloadable Card or Gift Card at any time during the period they are valid. Check your country’s Terms & Conditions to see how long your Points are valid for. NOTE: LEAP Points cannot be redeemed for cash. Redeeming Rewards To redeem the Reward of your choice, simply add it to your online Shopping Cart. When you are done, click on ‘Checkout.’ From there, you will be directed to a screen that will prompt you for delivery details. You should update the information if your delivery details are different from the address listed in your profile. You can only change

your delivery address and not your name or email address that you have registered in PartnerWorld. Once you have updated this information, click on ‘Redeem’. You will then receive an automatic confirmation email with your redemption ID. Save it for future reference. Rewards typically take a maximum of 28 business days for delivery. The LEAP Team will do everything they can to make sure your Reward arrives as soon as possible. If upon receipt of your Reward you identify that it is defective or damaged, immediately contact the LEAP Rewards team at [email protected]. For more information, see the Help of this Guide.

Concierge Service

For that special reward, LEAP offers a Concierge Service that can search for a customized Reward. To access this service, go to the ‘Concierge’ tab. Providethe requested details and characteristics of the product that you wish to redeem with your LEAP Points. The more details you provide, the easier it will be for our team to track down the Reward you want. You should receive a response from our Concierge team within two business days, along with a ticket number that has been assigned to your request. You will receive an emailfrom [email protected] as soon as your customized Reward is available for redemption. The number of LEAP Points required to redeem your customized Reward will be calculated at the same rate of conversion that the LEAP Team uses for the MasterCard Reloadable Card or Gift Card. Withdrawing from LEAP

You may withdraw from the LEAPprogram at any time by sending an email to [email protected]. Companies that are Lenovo Business Partners may also withdraw their approval of employees participating in LEAP at any time by sending an email to [email protected]. If a LEAP member’s employment at a Business Partner firm is terminated, any sales he or she has registered in LEAP under this agreement will no longer be valid and will not be converted into LEAP Points. Likewise, if a Partner company has its PartnerWorld Agreement (PWA) terminated, it automatically becomes ineligible for the program, and blocked from claiming sales on the LEAP website. NOTE: If the Partner company is disqualified from LEAP, Lenovo will use its discretion to determine whether the Partner company’s participants will lose the LEAP Points they have already accumulated due to improper use of the LEAP program.

Other applicable terms

Lenovo accepts no responsibility for tax obligations or tax and social security consequences to the person receiving the Reward(s). Taxes, if any, associated with the goods received under the terms of this Program are the sole responsibility of each participant. Exceptions may apply in certain regions. Appendix 7 - Terms of the Lenovo eXpert Achiever Program Offering

Lenovo Expert Achiever Program

This Lenovo Expert Achiever Program Agreement (“Agreement”) is entered into by and between Lenovo PC HK Limited (“Lenovo”) and the Lenovo Business Partner (“Partner”).

BY CLICKING THE BOX NEXT TO THE WORDS “I HAVE READ AND AGREE TO THE TERMS OF THE LENOVO EXPERT ACHIEVER PROGRAM AGREEMENT, PARNTER ACKNOWLEDGES THAT PARTNER HAS READ THIS AGREEMENT; UNDERSTANDS IT; AND THAT PARTNER AGREES TO BE LEGALLY BOUND BY ITS TERMS AND CONDITIONS.

Under the terms of this Agreement, Lenovo provides Lenovo Expert Achiever Program (“LEAP”) education on a selected set of Lenovo products (“Products”), Lenovo services ("Services"), solutions and offerings. After successfully completing this education Lenovo will reward the enrolled employees of eligible Partners (“Participants”) with points that can be redeemed for incentive rewards. Participants may complete any education courseware made available under the terms of the LEAP Supplement ("Supplement"). Participants may also receive points for registering their sales of eligible Products, solutions and offerings, all as specified in the Supplement.

You agree that the terms of this Agreement are between you, in the country in which the incentive rewards are received, and the Lenovo Affiliate for that country. The rights, duties and obligations of each party under the terms of this Agreement are valid only for that country. An “Affiliate” is an entity that controls, is controlled by, or is under common control with a party.

1. Offering Description

The LEAP offering is comprised of two primary components; Learn and Earn (“Learn”) and Sell and Earn (“Sell”). Additional details may be found on the LEAP offering web site which is available to all eligible Participants.

1.1 Learn and Earn

Eligible on-line training will be made available on the LEAP offering web site www.ibm.com/partnerworld/lenovoleap. At the end of all education, knowledge will be tested by completing a quiz.

Upon successful completion of the quiz, the Participant shall be awarded points. Points may be redeemed for rewards. Lenovo’s decision on the quiz results is final.

1.2 Sell and Earn

Sell and Earn points are earned for sales of qualifying Lenovo Products to qualifying customers.

Full details of qualifying products and customers are available on the LEAP web site or in the applicable Supplement.

It is the Partner’s responsibility to ensure that each Participant claims their sales accurately. Transactions registered via distributor sales out reporting will be made available according to the schedule posted on the LEAP website. Claiming deadlines will be posted on the LEAP web site.

1.2.1 Excluded Customer Sales

A Government Entity is not a qualifying customer.

A Government Entity is defined as any:

a. country, federal, national, provincial, regional, state, municipal, territorial, local or other level of government, including any department or agency of any such government, and

b. government enterprise or instrumentality, including any government owned or controlled entity, such as any:

(1) public hospital, school, utility or organization licensed to provide public services,

(2) public international organization, such as the United Nations or World Health Organization,

(3) entity subject to public procurement laws or regulations, and

(4) other entity, whether privately held, publicly traded or otherwise constituted, if a government, public international organization, an entity subject to public procurement laws or regulations or a government official owns or has the ability to exercise control over such entity.

Lenovo, in its sole and absolute discretion, determines whether a specific entity is a Government Entity.

1.2.2 Sell and Earn Point Transfers

Participants in the Sell component of the LEAP offering may request the transfer of points to other Participants within the same company to reflect multi-Participant contribution in a qualifying sale. Point transfers can only occur if: a) the recipient's point balance does not exceed their annual earnings point cap; and b), and the transfer request confirms that the recipient materially assisted on the sale.

1.3 Rewards for Participation in other Lenovo Offerings

Points may be periodically awarded for activities in other Lenovo offerings and programs. Conditions for participation and points to be offered will be publicized in those programs via the Lenovo web site www.ibm.com/partnerworld/lenovoleap. Lenovo may modify or withdraw these additional offerings without notice. The effective date of such changes or withdrawal will be the date identified on the LEAP web site.

1.4 Records, Audit and Sales Submissions

Partner agrees to retain all documentation that demonstrates compliance with this Agreement and all applicable Supplements, and its Participants’ compliance with all of the rules and requirements of this offering, for at least three (3) years from the date of creation. Lenovo, or an auditor that Lenovo retains, may periodically review and audit such compliance, including reviews and audits of all sales claimed on the LEAP web site, on Partner’s premises during normal business hours or remotely. Partner agrees to fully cooperate with any such audit, including providing Lenovo or its auditor with relevant records on request, which Lenovo or its auditor may reproduce and retain.

It is Partner’s responsibility to ensure that its eligible employees claim all sales correctly within published deadlines, to remain eligible for points. Non-compliant Participants will forfeit any existing point balances, will be removed from participation, and may be ineligible to participate in future offerings. Such non-compliance will afford Lenovo the right to terminate your participation in the offering, for all of your employees, as well as terminate any and all of your Agreements.

2. Participant and Business Partner Eligibility

Partner employees who sell, or provide technical support for, Lenovo Products and Services and who are approved by their Partner employer are eligible to participate in this offering. Eligible Partner sales personnel are active employees of an eligible Partner whose job role substantially includes the sale of qualifying Lenovo Products and Services. Eligible Partner technical personnel are active employees of an eligible Partner whose job role includes providing technical pre- and post-sales support for qualifying Lenovo Products and Services. Eligible Participants must be employed by the participating Partner for which they have accumulated points, at the time any relevant rewards are redeemed. For clarity, only those employees who qualify as eligible sales or technical personnel may participate in the offering – no other employees may participate.

Partners who are Government Entities as defined in Section 1.2.1 above are not eligible to participate in this offering. Partner represents by accepting this Agreement and by approving its employees to participate in the offering that Partner’s firm is not a Government Entity.

A Participant may have only one activePartnerWorld ID in the offering. Participants remain employees of Partner and are not considered employees of Lenovo.

Lenovo has the sole and exclusive determination as to whether a Partner and its employees are eligible to participate in the offering.

2.1 Withdrawing Participant Eligibility

A Partner may withdraw one or more of its employees from participation in this offering upon written notice to Lenovo. Any points earned by those withdrawn from the offering shall be forfeited.

A Participant may remove himself or herself from participation in this offering upon written notice to Lenovo. Any points earned by a Participant withdrawing from the offering shall be forfeited.

Participants who leave the employment of a participating Partner forfeit all points earned while under that firm’s employment and their eligibility to participate in the offering is deemed terminated as of the end of their employment. Former Participants who enroll in this offering with another business partner will be considered new Participants, with respect to that firm.

3. Redeeming LEAP Points

Points earned for Learn and Sell activities, can be redeemed, by Participants, for rewards included in the applicable LEAP catalog, subject to any limitations that may apply.

To redeem accumulated points, a Participant requires a valid PartnerWorld ID and password. It is your responsibility to ensure that all Participants protect their IDs and passwords.

Participants will be subject to an annual earnings point cap for Learn and Sell activities. The annual earnings point cap will be published in the Supplement.

Rewards acquired via point redemption is for the sole use of the Participant and their Immediate Family. “Immediate Family” is defined as the Participant, as well as his or her spouse, parents and grandparents, children and grand-children, brothers and sisters, mother in law and father in law, brothers in law and sisters in law, daughters in law and sons in law. Adopted, half, and step members are also included in this definition of “Immediate Family”.

It is Partner’s responsibility to ensure that such rewards are used solely by Participants and their Immediate Families.

LEAP points earned in a given calendar year may be redeemed up until the 31st of May of the calendar year following the calendar year in which the LEAP points were earned.

Any obligation by Lenovo to provide rewards under this Agreement may be borne by a Lenovo Affiliate.

4. Our Relationship

The parties mutually agree that each party will assign a single point of contact for the purpose of interfacing with the other party regarding matters dealing with our relationship under the terms of this Agreement.

4.1 Partner Responsibilities

Partner agrees:

a. to implement sufficient processes, procedures and controls to ensure compliance with the rules and requirements of this offering, including education of its employees with respect to this offering and its associated rules and requirements;

b. to provide relevant business information and data applicable to the terms of this Agreement, as Lenovo may request;

c. to provide, and bear the costs of, the necessary infrastructure to access the Web based education located at www.ibm.com/partnerworld/lenovoleap;

d. to provide approval, by an individual who is authorized to make personnel decisions on Partner’s behalf, to Lenovo for its employees to earn points and rewards under the terms of this offering on an annual basis;

e. to provide confirmation, if requested , that Partner’s firm is not a Government Entity as defined in this Agreement;

f. tocomply with all applicable employee tax withholding obligations for the points that Partner’s employees redeem under this offering. The points achieved and rewards claimed under this offering are exclusive of all indirect taxes, including service tax and value added tax; and

g. that Partner and not Lenovo, are responsible for resolving any potential internal disputes related to points awarded to, or points redeemed by, Participants of this offering.

4.2 Lenovo Responsibilities

Lenovo agrees:

a. to announce LEAP campaigns that are eligible for this offering and the education modules that are focused on the campaigns;

b. to provide and maintain a web site to support this offering;

c. to provide Partner, if requested, a report of all Learn and Sell claims made and points earned and redeemed by each of its Participants; and

d. to provide Partner with access to information regarding the Participants in this offering from its company.

5. Independent Contractors

This Agreement does not create, nor should it be construed to create, the relationship of employer-employee, principal and agent, partners, or joint venture between the parties. At all times relevant hereto, Partner and Lenovo shall be independent contractors. Neither party may act on behalf of the other; bind the other in any way; or represent to a third party that the other party is in any way responsible for its acts or omissions. Each party shall be solely responsible for its costs and expenses related to this Agreement and its rights and obligations hereunder.

6. Comply with Local Laws

Partner shall comply, at its own expense, with all applicable laws and regulations, including the U.S. Foreign Corrupt Practices Act of 1977, as amended and all other laws and regulations prohibiting corruption and bribery, and shall procure all licenses and pay all fees and other charges required thereby.

Partner represents and warrants to Lenovo that in connection with all activities pertaining to or related to this offering, neither Partner nor any of its directors, officers, employees, agents or representatives, nor any other person acting for or on Partner’s behalf, will directly or indirectly make or give, offer or promise to make or give, or authorize the making or giving of any payments, gifts or other things of value, including merchandise earned under this offering, to anyone for the purpose of wrongfully influencing decisions in favor of (a) Lenovo, (b) Partner,(c) any of Partner’s directors, officers, employees, agents or representatives or (d) any other person acting for or on Partner’s behalf. Notwithstanding anything to the contrary in this Agreement, Lenovo may terminate this Agreement and any and all Agreements immediately if Partner breaches this representation and warranty or if Lenovo reasonably believes such a breach has occurred or is likely to occur.

Partner shall ensure that it has the necessary processes, procedures and controls in place to comply with the representation and warranty set forth in the preceding paragraph.

7. Lenovo Code of Conduct

Lenovo has a code of conduct for its employees (“Code of Conduct”) available at http://www.lenovo.com/social_responsibility/us/en/2011_Lenovo_CodeofBusinessConduct_EN.pdf. The Code of Conduct applies to all Lenovo business dealings. Partner shall not induce or request any Lenovo employee to breach the Code of Conduct.

8. Liability

IN ANY ACTION UNDER OR RELATED TO THIS AGREEMENT, LENOVO AND ITS AFFILIATES SHALL NOT BE LIABLE TO PARTNER AND ITS AFFILIATES FOR ANY OF THE FOLLOWING EVEN IF INFORMED OF THEIR POSSIBILITY OR NOT AND WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE: 1) THIRD-PARTY CLAIMS FOR DAMAGES; 2) LOSS, DAMAGE OR DISCLOSURE OF DATA; 3) SPECIAL, INCIDENTIAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES; OR 4) LOSS OF PROFITS, BUSINESS, REVENUE, GOODWILL OR ANTICIPATED SAVINGS. AS SOME STATES OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF SOME DAMAGES, THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO THIS AGREEMENT. EXCEPT FOR BODILY INJURY (INCLUDING DEATH) AND DAMAGE TO REAL PROPERTY OR TANGIBLE PERSONAL PROPERTY, LENOVO SHALL NOT BE LIABLE FOR MORE THAN THE AMOUNT OF ACTUAL DIRECT DAMAGES SUFFERED BY PARTNER, UP TO THE AMOUNT OF THE VALUE OF INCENTIVE REWARDS PROVIDED UNDER THIS AGREEMENT. THESE LIMITATIONS WILL NOT APPLY TO PARTNER’S OBLIGATION TO INDEMNIFY LENOVO AS SET FORTH IN SECTION 8 BELOW.

9. Indemnification

Lenovo shall have no liability to any Participant, and Partner shall indemnify, defend and hold harmless Lenovo and its Affiliates against any action, claim, expense or damage brought by any Partner employee against Lenovo or any third party arising out of Partner’s conduct, acts or omissions under this Agreement, or in connection with this offering.

10. Changing the Terms of this Agreement

Lenovo may change the terms of this Agreement on one (1) month's written notice to Partner. In addition, Lenovo may modify or withdraw this offering, qualifying Products, Services or point values for eligible Participants at any time.

11. Ending the Agreement

Either of us may terminate this Agreement, without cause, on two weeks’ written notice or immediately with cause in the case of breach of a material term of this Agreement. Termination of this Agreement includes termination of any associated Supplement.

Lenovo has the right to immediately terminate any and all of your Agreements if Lenovo terminates this Agreement for cause.

12. Partner Information

Lenovo and its Affiliates may store, use and process contact information and other information about Partner and Participants, including name, phone numbers, addresses, and e-mail addresses, necessary to perform under this Agreement. Such information will be processed and used in connection with this Agreement. It may be transferred by Lenovo to any country where Lenovo does business; and may be provided to entities acting on Lenovo’s behalf in relation to this Agreement. Lenovo may also disclose such information where required by law.

13. Electronic Communications

Each party may communicate with the other by electronic means (for example, to provide written notice or consent to the other), and such communication is acceptable as a signed writing to the extent permissible under applicable law.

14. Complete Agreement

This Agreement is the sole and complete understanding of the parties regarding the subject matter hereof, superseding all prior or contemporaneous agreements and understanding whether written or oral.

15. Geographic Scope

The rights, duties and obligations of the parties under the terms of this Agreement, are valid worldwide.

Certain benefits will be provided by Lenovo and those benefits will be provided under the terms of this Agreement.

Other benefits may be provided by the Lenovo Affiliate for a country or that Affiliate’s designee and those benefits also will be provided under the terms of this Agreement. In such case, the Lenovo Affiliate, or that Affiliate’s designee, by providing the benefit and Partner, by accepting the benefit, agree that this Agreement is between Partner and the Lenovo Affiliate for that country, or that Affiliate’s designee. Lenovo PC HK Limited is then not a party to this Agreement. This Agreementand any applicable Attachments will then be only between Partner and the Lenovo Affiliate for that country, or that Affiliate's designee andwill be the complete understanding with respect to those benefits.

16. Governing Law

Partner enters into this Agreement with Lenovo PC HK Limited, a Hong Kong corporation. The laws of Hong Kong shall govern, construe, and enforce all of the rights, duties, and obligations arising

under, or relating in any manner to, the subject matter of this Agreement, notwithstanding any conflicts of law principles.

Partner agrees that Lenovo PC HK Limited or its Affiliates may assign any rights or claims against Partner to any other Partner Affiliate and/or authorize any Lenovo Affiliate to bring any claims against Partner on its or their behalf. Partner agrees to such assignments or authorizations. Partner further agrees that when benefits are provided by a Lenovo Affiliate other than Lenovo PC HK Limited, or by that entity’s designee, the laws and the jurisdiction of the courts of the country in which such entity or its designee is doing business shall apply to govern, interpret and enforce rights, duties, and obligations of the parties arising from, or relating in any manner to, the subject matter of this Agreement, except that in 1) Australia, the laws of the State or Territory in which the transaction is performed apply; 2) Albania, Bosnia-Herzegovina, Bulgaria, Croatia, Hungary, Serbia, Poland, Montenegro, Romania, Slovakia, Armenia, Azerbaijan, Belarus, Georgia, Kazakhstan, Kyrgyzstan, Republic of Macedonia, Moldavia, Russia, Tajikistan, Turkmenistan, Ukraine, and Uzbekistan, the laws of Austria apply. All disputes arising out of this Agreement or related to its violation, termination, or nullity shall be finally settled under the Rules of Arbitration and Conciliation of the International Arbitral Centre of the Federal Economic Chamber in Vienna (Vienna Rules) by three arbitrators appointed in accordance with these rules. The arbitration shall be held in Vienna, Austria, and the official language of the proceedings shall be in English. The decision of the arbitrators shall be final and binding on both parties; 3) Estonia, Latvia, and Lithuania, the laws of Finland apply; 4) Algeria, Benin, Burkina Faso, Cameroon, Cape Verde, Central African Republic, Chad, Congo, Djibouti, Democratic Republic of Congo, Equatorial Guinea, France, Gabon, Gambia, Guinea, Guinea-Bissau, Ivory Coast, Lebanon, Mali, Mauritania, Morocco, Niger, Senegal, Togo, and Tunisia, this Agreement shall be construed and the legal relations between the parties shall be determined in accordance with the French laws and all disputes arising out of this Agreement or related to its violation or execution, including summary proceedings, shall be settled exclusively by the Commercial Court of Paris; 5) Angola, Botswana, Burundi, Egypt, Eritrea, Ethiopia, Ghana, Jordan, Kenya, Kuwait, Liberia, Malawi, Malta, Mozambique, Nigeria, Oman, Pakistan, Qatar, Rwanda, Sao Tome, Saudi Arabia, Sierra Leone, Somalia, Tanzania, Uganda, United Arab Emirates, United Kingdom, West Bank/Gaza, Yemen, Zambia, and Zimbabwe, this Agreement shall be governed by English Law and disputes relating to it shall be submitted to the exclusive jurisdiction of the English courts; 6) Canada, the laws of the Province of Ontario apply; 7) Indonesia, the laws of Indonesia apply except that termination shall take effect without the requirement of a court pronouncement for purposes of which we both agree to waive the provisions of article 1266 Indonesian Civil Code, 2nd and 3rd paragraphs; 7) People’s Republic of China, disputes arising out of this Agreement shall be submitted to China International Economic and Trade Arbitration Commission for arbitration according to the then effective rules of the said Arbitration Commission. The arbitration shall take place in Beijing and be conducted in Chinese. The arbitration award shall be final and binding on both parties. During the course of arbitration, this agreement shall continue to be performed except for the part which the parties are disputing and which is undergoing arbitration 9) Argentina, jurisdiction shall be in "the Ordinary Commercial Court of the city of Buenos Aires"; 10) Bolivia, jurisdiction shall be in "the courts of the city of La Paz"; 11) Brazil, jurisdiction shall be in "the court of Rio de Janeiro, RJ"; 12) Chile, jurisdiction shall be in "the Civil Courts of Justice of Santiago"; 13) Ecuador, jurisdiction shall be in "the civil judges of Quito for executory or summary proceedings (as applicable)"; 14) Macau S.A.R., the laws of Hong Kong Special Administrative Region of China ; 15) Mexico, jurisdiction shall be in "the courts located in Mexico City, Federal District"; 16) Paraguay, jurisdiction shall be in "the courts of the city of Asuncion"; 17) Peru, jurisdiction shall be in "the judges and tribunals of the judicial district of Lima, Cercado"; 18) Uruguay, jurisdiction shall be in "the courts of the city of Montevideo"; 19) Venezuela, jurisdiction shall be in "the courts of the metropolitan area of the city of Caracas and 20) the United States and Puerto Rico, the laws of the State of New York apply. 21) Laos, Cambodia, Indonesia, Philippines and Vietnam, the laws of Singapore apply. Disputes arising out of or in connection with this Agreement shall be finally settled by arbitration which shall be held in

Singapore in accordance with Arbitration Rules of Singapore International Arbitration Center (“SIAC Rules”) then in effect. The arbitration award shall be final and binding for the parties without appeal and shall be in writing and set forth the findings of fact and the conclusions of law. The number of arbitrators shall be three, with each side to the dispute being entitled to appoint one arbitrator. The two arbitrators appointed by the parties shall appoint a third arbitrator who shall act as chairman of the proceedings. Vacancies in the post of chairman shall be filled by the president of the SIAC. Other vacancies shall be filled by the respective nominating party. Proceedings shall continue from the stage they were at when the vacancy occurred. If one of the parties refuses or otherwise fails to appoint an arbitrator within 30 days of the date the other party appoints its, the first appointed arbitrator will be the sole arbitrator, provided that the arbitrator was validly and properly appointed. All proceedings shall be conducted, including all documents presented in such proceedings, in the English language. 22) India, the laws of India. Disputes arising out of or in connection with this Agreement shall be finally settled by arbitration which shall be held in Bangalore, India in accordance with the laws of India then in effect. The arbitration award shall be final and binding for the parties without appeal and shall be in writing and set forth the findings of fact and the conclusions of law. The number of arbitrators shall be three, with each side to the dispute being entitled to appoint one arbitrator. The two arbitrators appointed by the parties shall appoint a third arbitrator who shall act as chairman of the proceedings. Vacancies in the post of chairman shall be filled by the president of the Bar Council of India. Other vacancies shall be filled by the respective nominating party. Proceedings shall continue from the stage they were at when the vacancy occurred. If one of the parties refuses or otherwise fails to appoint an arbitrator within 30 days of the date the other party appoints its, the first appointed arbitrator shall be the sole arbitrator, provided that the arbitrator was validly and properly appointed. All proceedings shall be conducted, including all documents presented in such proceedings, in the English language. The English language version of this Agreement prevails over any other language version.

The application of the above referenced laws is without regard to applicable conflict of laws principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.
