I just returned from a business trip to St. Petersburg, Florida. The town is surrounded by beautiful water, bay and gulf. I was struck by how prominent their natural surroundings played in the development of the town. Even during the off season the business

community was thriving because people are attracted to the area as tourist and residents. Like Kerrville, there is a mix of neighborhoods and the quality of property varies widely, but they

mitigated the variances by developing attractive public space that promotes community involvement and business development. It made me think of other cities and towns I’ve traveled to that have water as the centerpiece of their development; Missoula, Portland, New York, Paris, San Antonio, Austin, and even New Braunfels and Boerne to name a few. Most are larger than Kerrville for sure, but all have developed around their prominent natural features.

In Kerrville, we seem embarrassed about the Guadalupe River. The downtown buildings block the view. Except at Louise Hays Park and Kerrville Schreiner City Park, there is no easy access to the river. When people in town talk about what they like about Kerrville the river is often mentioned, but it really is a resource

that we seem to take for granted.The Chamber has taken the position

that the development of the river trail should take place. According to the City of Kerrville, the Guadalupe River trail in Kerrville has been discussed since the early 1970’s and has been included in each city comprehensive plan since that time. Developing public river access, infrastructure, and amenities promotes community activity and will serve as a catalyst for private development. Some people will argue that the funds should be used for other worthwhile projects. We don’t think it is an either/or proposition, but rather we should figure out ways to complete multiple projects that promote quality of life and business development. We think that the funding mechanism proposed is a good match for this project and that it is time to stop talking and time to take action.

The Kerrville Area Chamber of Commerce doesn’t take positions often, but when we think it will benefit our members and promote a more robust business community, we won’t be shy. If you have suggestions on issues that we should proactively support, please let us know.

On New Year's Day, 2012 at noon, hundreds of brave souls will slide down the 30-foot-high slide at Mo Ranch into the Guadalupe River for the annual Polar Bear Challenge. You may be asking yourself “Why in the world would anyone want to do that?” Because it is fun and benefits a great cause! This year, Partners in Ministry was selected as the beneficiaries of all funds raised. They were selected by a committee of five Kerr County residents who reviewed grant applications from 15 non-profits in Kerrville. The criteria that Partners in Ministry had to meet was:

•Provide for charitable and/or educational needs of the Texas Hill Country, particularly as they relate to the community of Kerr County, Texas. •Promote and encourage volunteer participation and citizen involvement.•Have a clearly defined mission and a history of its accomplishment. •Have demonstrated an effective plan for fund development and an efficient use of those funds.Director of Development, Katie Givens says, “We are so

excited… this is an incredible opportunity for Partners and it is so fun to see people’s enthusiasm about sliding and raising money for our organization. There are so many facets of what we do at Partners that we have really tried to encourage people to slide for what they are passionate about whether that be children, youth, or those in need. I get to see day in and day out how lives are being changed in the community through our programs, but I am personally sliding and raising money because of my passion for kids. I believe that our Vision Youth program and the leadership of our street youth minister, Tony Vela, is giving kids a chance to believe they can accomplish anything with the help of Jesus Christ. Although I am terrified of the slide and how cold it will be, I am doing it because I love what I do and see at Partners in Ministry!”

Partners in Ministry started in 1993 and was created to deliver good works to the vulnerable in Kerr County. Eight programs exist that fall under the category of: Kids Ministries or Community Services. In the last year, Partners mobilized roughly 1,000 volunteers largely through their CSI or Community Service Day, home rehabilitation program for families in need and the elderly, and kids’ ministries. Seventy-five percent of Partners current and future focus is the Kids Ministries aimed at meeting the unmet, tough to tackle issues impacting children and youth today. These include a street youth ministry, Vision Youth; a whole and healthy kids ministry, Building the C.O.R.E.; a mentoring ministry, Kids Count; and a ministry to new moms, One by One. Recently, Partners in Ministry announced a commitment to the community that they were creating a movement dedicated to mobilizing volunteers and resources to produce healthy and productive kids in every school and neighborhood in Kerr County. This vision is that every student will have a few adult advocates (beyond parents) who will know and care for them.

Can EmployeesDiscussPay?

Most employers do not want their employees to discuss wages, salaries, commissions, bonuses, or other forms of regular or special compensation. The reasons usually have something to do with the competition, as well as matters of confidentiality, jealousy between employees, not wanting new employees to know how much senior employees earn, not wanting employees to know how much managers and owners earn, and not wanting employees to waste valuable working time on endless chatter. All of these are probably legitimate and fair business considerations. But is the suppression of this information legal? Can an employer stop employees from talking among themselves about how much they earn?

Under the National Relations Board Act (NLRA) of 1935, non-management employees—union or non-union members—have the right to engage in “protected concerted activities” for “mutual aid and protection.” The United States Court of Appeals for the Sixth Circuit upheld this decision by stating that

“A rule prohibiting employees from communicating with one another regarding wages, a key objective of organizational activity, undoubtedly tends to interfere with the employee’s right to engage in protected concerted activity.” The court further stated that even if the rule banning wage discussion is not written in an employee handbook, “any rule prohibiting employee wage discussions—whether written or oral—has a tendency to discourage such protected discussions.”

“Even if routinely not enforced, the mere existence of the rule inhibited conduct,” the court added.

Keeping compensation matters confidential may be a good idea from the “employee morale” standpoint. However, it is important to understand that a blanket policy, whether oral or written, prohibiting employees from discussing wages is going to be in direct violation of the NLRA and could lead to legal problems

for an employer. The NLRA states that employers may not “interfere with, restrain, or coerce employees in the exercise of the rights guaranteed in Section 7 of this Title.”

One suggestion is to state in an employee notice or the employee handbook that “disclosure of confidential or proprietary information, or use of such information to benefit personally, is a serious violation of Company policy and could lead to disciplinary action, up to and including termination and legal prosecution. Employees are discouraged from discussing wages, salaries, commissions, bonuses, or other pay issues.” This statement does not prohibit such discussion and does not say what the consequences will be if pay is discussed between employees, but it sends a clear message that management would not be happy about it. Employees would probably get the message!

hile my parents moved around the country quite a bit, my grandparents always lived in Texas. During summers my folks would let me get away from Detroit, or Chicago, or Mexico City, or where ever we were living that year, and I would return to Texas to be with them. The highlight of these summers were our Hill Country road trips. We’d drive to Bandera from Houston, and we’d take our time, especially in and around Kerrville.

My grandparents not only introduced me to the Guadalupe and great barbeque: they also introduced me to the power of estate planning. Without their foresight I probably would never have gone to law school or have the career that I do today. I was able to reach as high as I my ability could take me in my education. That’s because of what my grandparents did for me.

Their philosophy was pretty simple: financing their grandchild’s education was a double gift. It was a gift to me, their grandchild. But it

was also a gift to my mother and step-father. They were relied on my grandparents, not for any money for them, but to help with my aspirations. When I look at my framed law degree, or think about what I would be doing if I wasn’t lucky enough to get into law school, I think about my grandparents. Their legacy wasn’t large in terms of dollars. But they fueled my dreams: from our trips around the Hill Country, and teaching me to ride a horse and shoot a shotgun, to helping out with the law school tuition I could not afford. So while I graduated with copious amounts of debt after obtaining my professional degree, my burden was managable instead of insurmountable.

A few things have changed since the 1960s when my grandparents started their planning. There are new tools available, both under the laws of Texas and federal law. Here are a few ideas for grandparents who want to benefit their grandkids:

Estate Planning for grandparents

Wills and Lifetime Instruments: The legacy my grandparents left me would never have come to pass if they had not written it down. They both had Wills. These documents were not that complex, but they were critically important. Without a Will in place, the inheritance laws of Texas would have passed everything to my mother. While this is a logical and fair result, it’s not what my grandparents wanted. My mother was married and well-taken care of -- she was an adult and had a career. What my grandparents wanted to do was benefit their grandchild. And the only way to make sure that happened was to set down their wishes in their Wills.

My grandparents also made sure that my mother and I had control of their finances and medical care when their health declined. Both of them executed financial Powers of Attorney, Medical Directives, and Medical Powers of Attorney. These documents were crucial in easing my grandmother’s last days at hospice.

trusts: Grandparents can create trusts for their grandchildren either in life or at death. If created through a Will, a grandparent can stipulate that his or her estate will pass to a trust for the benefit of a grandchild. Under laws in effect for 2011 and 2012, the value of this kind of trust can be $5 million without being subjected to either estate tax, or the additional tax that applies to gifts to grandchildren called the “generation-skipping transfer tax.” We’re not sure whether Congress will change those tax-free amounts in the upcoming years.

While taxes motivate a lot of estate planning, my grandparents didn’t have a taxable estate -- not by a long shot. But they still used trusts. They created a trust in their Wills that was set up specifically to help with my education after the survivor passed away.

That same kind of trust can be established during life. A grandparent can create a trust for the benefit of their grandchildren today, and give to it up to $5 million without facing any kind of

transfer tax. In fact, many of my clients are doing just that.

A common kind of trust for grandchildren is that which is specifically set up for education. Generally, these kinds of trusts are structured so that when the youngest granchild gets a degree in higher education, the trust splits into shares for all the grandkids, allowing them to use his or her own trust fund for health, education, maintenance and support. It can be a really good idea to have a bank or trust company administer trusts for grandkids, but it’s really a case-by-case analysis.

gifts: Grandparents can directly pay for any kind of education (pre-school, primary, secondary, or college and post-graduate) without being subjected to any kind of gift tax. A direct gift to a grandchild is subject to a $13,000 annual gift tax exclusion per year. Gift over that amount must be reported to the IRS and reduce what a grandparent can leave tax-free at death, even if no tax is immediately due. Large lifetime gifts require some careful consideration.

529 Plans: These are special kinds of investment vehicles created by Congress to help fund educational expenses. I like to think of them like an IRA for college since they grow income-tax free. While these kinds of plans are highly favorable for grandparents in states where there is an income tax (unlike in the Great State of Texas), they are still useful for Texas grandparents.

The Texas Tomorrow Fund, our state’s Plan, gives grandparents a couple of options to fund their grandkids’ education. There’s a regular qualified 529 Plan, called the Texas College Savings Plan, and there’s another, called the Texas Tuition Promise Fund, that locks in today’s college costs for future years. Special tax rules allow grandparents to bundle up five years’ worth of their $13,000 gift tax exclusion for transfers to 529 Plans, essentially allowing a $65,000 per grandparent gift in a single year.

Parental Authorization: A few years ago the Texas legislature passed a new law, and a very handy one at that for grandparents. When my parents

dropped me off for a summer of riding in the back of an Oldsmobile with my grandfather at the wheel, they left a note with my grandmother that said “To whom it may concern: my son is in my mother’s care.” The idea was that if my grandparents had to talk to a doctor or sign some document on my parents’ behalf, this slip of paper would let them do it. We never had to test it.

Now, under Texas law, any parent can execute a document called a “Parental Authorization.” This is a powerful document that allows an adult sibling, aunt, uncle, or grandparent to take legal custody of a minor child. It allows the relative to control a child’s employment, physical location, and even direct medical care.

For grandparents who have little visitors over the summer months, this document is a must. It is a legally binding document signed by both the parents and the grandparents, and it must be honored by third parties. While this legal instrument is only a few years old under Texas law, we are recommending all our clients with kids get one in place.

If you’re a grandparent and you want to help your grandkids, the first step is to get it down in writing. Meet with your trusted advisor to talk about it. It can be a lawyer, accountant, or financial professional. You can’t leave a legacy to your grandchild without a plan.
