Name of the proposed Racing Manager:

The racing manager of the partnership will be Matthew Craven.

Name of the proposed Administration Manager:

The Administration Manager of the partnership will be Matthew Craven. The Administration manager is responsible for the preparation of any annual accounts required, issuing of invoices payable for the costs of racing the above mentioned horse, the management of the horses racing career, communications between the trainer, stables and owners .

Details of proposed ongoing expenses to be incurred by members:

The Administration manager is responsible for the preparation of any annual accounts required, issuing of invoices payable for the costs of racing the above mentioned horse, the management of the horses racing career, communications between the trainer, stables and owners. Each shareholder is subject to the Australian Rules of Harness Racing and is also subject to the standard trading Terms and Conditions of Matthew Craven Racing Racing (Please ask for a copy of the current terms).

If invoices payable by a partner remain outstanding for more than 60 days then the administration manager has the right to rescind the shareholding, provided that a final written notice of the pending sale has been forwarded to the defaulting partners last known address at least 14 days before any pending forfeit. The Administration manager then has the right to use the proceeds to pay any outstanding fees for that partners share (including the independent valuers costs), By signing this document the owner will in the event of default, irrevocably appoint the manager to do all acts necessary to exercise power of sale and hereby applies the funds at his discretion.

How did the Promoter obtain the horse and the purchase price paid by the Promoter: This horse was purchased by Matthew Craven at the APG Melbourne Autumn Sale for $8,000.

A statement by the Promoter as to whether any fact or occurrence is known to the Promoter, which renders the Veterinary Certificate material inaccurate:

The promoter knows of no occurrence which renders the veterinary certificate as inaccurate.

A statement by the Promoter as to the correctness of the Valuation and Veterinary Certificate:

The veterinary certificate that accompany this Document is fair and accurate and are able to be relied upon for the purpose of any investment decision. The Veterinary Certificate has been prepared by a qualified Veterinary Surgeon being Dr P Kavenagh, Barwon Equine,Victoria,

A statement whether the Promoter owns the horse or whether the horse is in any way Encumbered:

We, Mark Hanlon Hoare and Gregory Robert MacMillan, of Pacific Bloodstock advise to prospective investors, that horse was purchased on terms by Matthew Craven who on the registration of this scheme will guarantee participants clear title.

If the horse is encumbered:

(1) A statement by the Promoter providing full particulars of the arrangement:

The horse was purchased by Matthew Craven for APG on 30 days terms.



(2) A statement by the Promoter that upon registration of the scheme, syndicate subscribers will receive right title:

We Mark Hanlon Hoare and Gregory Robert MacMillan advise that prior to the registration of the scheme, Matthew Craven will guarantee title.

(3) A statement by the Promoter to discharge any encumbrances on the title to the horse(s) before or upon registration of the scheme:

Matthew Craven undertakes to discharge all encumbrances prior to the registration of the scheme.

A statement showing the details of arrangements (if any) which have been made to vest possession of the horse(s) in the manager or partnership, if a manager is to be appointed:

This horse is to be managed by Matthew Craven (The Manager). All invoices from Providers will be forwarded to the manager. The Manager will then pay invoice. The manager will hold funds with the CBA, the Manager will then pay any providers for any services that have been rendered from this Account. Any prize money which is received by The Manager will be deposited into this Account before dispersion to subscribers at a time determined by the manager. Please note all prize money paid by HRV will be paid directly to the partnership bank account.

A statement disclosing the full particulars of any lease agreement that will affect the partnership / syndicate:

There is no lease agreement that will affect this partnership/syndicate.

A statement that the application moneys will be held in a bank account (that is applicable for the sole purposes of this product) by the Promoter.

The manager has opened a Bank Account at CBA Terang for all monies received by this promotion.

A statement that where the partnership/syndicate has not been fully subscribed within six months from the date on which invitations were first made , ALL moneys held , together with interest, will be returned to investors within (10) business days:

The promoter & manager acknowledges that they shall abide by the licensing laws that “Should the promotion of this horse fail, to be fully subscribed within 6 months the promoters shall refund all monies held in trust plus interest at the applicable rate paid by the CBA within 10 days of expiration”.

Details of any cooling off regime:

The promoter acknowledges that he shall abide by a standard 5 day cooling off period upon placement of investment funds for a share in a horse promoted by Pacific Bloodstock Pty Ltd. The promoter shall refund the investment sum following written advice from an investor within 5 days of the cooling off period.

A statement regarding any perceived conflict of interest:

The promoter does not rely upon the promotion of racehorses as its sole source of income. The promoters agents have financial interests outside of racing industry in which to gain income.

A statement of Industry risks:

1. Not all horses may become racehorses. 2. Not all racehorses earn prize money. 3. Insurance may not cover all circumstances. 4. There is a possibility that a racehorse could injure itself and need long recuperation periods or

be unable to race again. 5. There is not a ready made market for placement of shares, Pacific Bloodstock or the

manager are not obliged to place your share in the event you wish to exit and by acquiring it you should view it as long term arrangement.

A partner should contact the manager in writing in the first instance to resolve any dispute. If the dispute is not resolved within 5 working days of contacting the manager then the partner may submit their concerns to the Integrity Department at HRV.

I confirm that:

(a) the statements contained in this Document in relation to the partnership / syndicate are true; and not misleading in their form or content.

(b) the Document contains all information which the investors and their advisers would require and reasonably expect to find in the Document for the purpose of making an informed assessment about investment in the partnership / syndicate.

7 April 2017 To whom it may concern Lot 622 Brown filly by Art Major (USA) from Soaring France (NZ) On Tuesday 4 April 2017, I examined the above yearling at the stables of Goodtime Racing, Colac. The filly was examined with a view to its suitability to be syndicated to race. The filly was in good body condition and free from apparent lameness. Examination revealed a swollen lateral aspect of the right hock. There was evidence of scarring of the skin and the appearance was consistent with an old trauma wound. Radiographs were taken of all aspects of the hock joint with no visible abnormalities. From my examination of this horse and with the added assistance of the radiographs I can see no detectable issues that would prevent this horse from being suitable for syndication to race.
