    What This Clause says.

    yAll the employers will be treated at par and allapplication for employment to the companysatisfying the requirements will be viewed in an

    unbiased mannery Not taking into consideration the applicants a)caste ,

    b)religion, c) Color d) ancestry, e) marital status, f)gender, g) age, h) nationality, i) ethnic origin or

    disability.y The human resource policies followed by the

    company encourages diversity and equality in thework place while complying with all local labor laws& adapting best international practices.

    What This Clause says.

    y In accordance with the TATA policy every singleEmployee will be treated with dignity without beingsubjected to any form of harassment be it physical,

    verbal or physiological.

    Conclusion:

    So as per this code of conduct

    Equal Opportunities EmployerAll requirements and promotions will be made by the

    company purely on the basis of merit.

    What This Clause says.

    y The company & its employees have to abstain fromany form of illegal offers in cash or kind directly orindirectly with the intention of obtaining favors in

    lieu of the same.y In association with government authorities the

    company shall make efforts to put an end to allforms of bribery fraud and corruptions.

    y The company and its employees may howeveraccept and offer nominal gifts, that are given as acustom and is of a conmurative nature but with fulldisclosure.

    For example..

    y Suppose Mr. X is a TATA employee who has beenoffered something from a rival employee to leak outcertain schemes of the company, that amounts to

    bribery, and his conduct will be against the codeConclusion:

    So as per this code of conduct

    GIFTS AND DONATIONS

    Every employee has to abstain himself fromreceiving any gifts in cash / kind or nay form

    at personal level.

    What This Clause says.

    y Third parties agents like consultants, agents ,distributers, channel partners, contractors andsuppliers who have business deals with the company

    but are not the members of the company.

    y Therefore it becomes mandatory for the third parties

    and its employees to follow the code, while theyinteract on behalf of the company.

    To support & keep any information confidentialTATA companies are made to sign a nondisclosure agreement with the third parties.

    Conclusion:So as per this code of conduct

    THIRD PARTY REPRESENTATION

    The third parties cannot make anycommitments or take any decisionswithout the consent of the company.

    y If any employee has an access to or possess anyinformation about the company or group or itsclients or suppliers, the same should not be used to

    his or any other persons benefit.y His immediate family members are also liable to

    keep any unpublished price sensitive information tothemselves.

    y Such information should not be leaked to the investingpublic.

    Conclusion:

    So as per this code of conductSECURITIES TRANSACTION AND

    CONFIDENTIAL INFORMATION

    Every employee bound by this clause is expected

    to respect & observe the confidentiality of nayinformation related to the company while in

    contact of outsiders.
